If you completed a valid federal Section 1031 exchange, the gain you deferred generally becomes recognizable when you sell or otherwise dispose of the replacement farmland—unless that later transaction itself qualifies for another nonrecognition rule. The replacement property’s adjusted basis usually carries forward from the property you gave up, so the later sale can expose both the earlier built-in gain and appreciation that occurred after the exchange.
That does not mean every dollar is taxed the same way. Farmland sales can involve depreciation recapture, soil-and-water conservation deductions, cost-sharing rules, and Section 1231 treatment. The result depends on each asset’s basis, depreciation and other deductions, sale proceeds, liabilities, selling costs, holding period, and the terms of the original exchange.

The short answer: deferred gain is usually recognized at the replacement-property sale
Section 1031 defers recognition; it does not erase the gain. The Internal Revenue Service states in Publication 225 (2025), Farmer’s Tax Guide: “In general, your gain or loss will not be recognized until you sell or otherwise dispose of the property you receive.”
When the replacement property is later sold in a taxable transaction, you generally calculate gain by comparing the amount realized with the property’s adjusted basis. Because that basis generally reflects the basis carried over from the relinquished property, the recognized gain may include:

A later purchase made with sale proceeds is not automatically another exchange. To defer recognition again, the later transaction must independently meet Section 1031’s requirements, including the rules governing property use, identification, timing, and receipt of proceeds.
First confirm what “deferred farmland-sale gain” means
This explanation uses that phrase to mean gain deferred in a federal Section 1031 like-kind exchange. Section 1031 generally applies to real property held for investment or productive use in a trade or business, not property held primarily for sale or personal-use property. Land and qualifying improvements can be like-kind real property, and real estate exchanged for farm property may qualify when the ownership and use facts meet the rules.
If the original transaction was an installment sale, an involuntary conversion, a special farm election, or another arrangement, its deferred-income rules may differ. Review the original return and closing documents before applying the Section 1031 analysis.

Nonrecognition is tied to an exchange, not simply reinvestment
In a qualifying exchange, the tax law generally postpones recognition of realized gain rather than treating the transaction as permanently tax-free. A deferred exchange normally requires that you do not receive actual or constructive control of the sale proceeds before acquiring qualifying replacement property. An IRS-described qualified intermediary can provide a safe harbor, but using one does not guarantee that every fact in the transaction qualifies.
Simply selling farmland, receiving the money, and later buying another farm is ordinarily a taxable sale followed by a purchase. The funds’ eventual use does not convert the first sale into an exchange if the actual-receipt or constructive-receipt rules were not satisfied.

The timing limits matter
| Requirement | Federal rule | Practical significance |
|---|---|---|
| Identify replacement property | Within 45 days after transferring the relinquished property | A written, timely identification is required; changing plans after the deadline can invalidate the intended exchange. |
| Receive replacement property | Within 180 days after the transfer, or by the due date of the federal return for that year, including extensions, if earlier | Missing the earlier applicable deadline can turn the transaction into a recognized sale. |
These deadlines and the receipt rules are described in the IRS Instructions for Form 8824 (2025) and Publication 544 (2025), Sales and Other Dispositions of Assets.
Why the replacement property’s basis controls the later tax
For a qualifying like-kind exchange, the replacement property’s basis is generally the same as the basis of the property transferred, with adjustments required by the exchange. It is not automatically the replacement property’s purchase price or fair-market value. Publication 544 describes this carryover-basis rule and the adjustments that can apply.

Build an adjusted-basis schedule
At the later sale, reconstruct the replacement property’s adjusted basis from the original exchange records and every subsequent basis event. The schedule should identify, at minimum:
- the relinquished property’s adjusted basis immediately before the exchange;
- cash paid or received and the fair value of any non-like-kind property;
- liabilities assumed, relieved, or exchanged;
- exchange expenses that affect basis under the applicable rules;
- capital improvements and other additions after acquisition;
- depreciation, amortization, and other deductions that reduce basis; and
- any prior dispositions, casualty adjustments, or other tax-basis changes.
Use the actual closing statements, depreciation schedules, improvement invoices, loan records, and prior returns. A simplified “purchase price less depreciation” calculation can omit the deferred gain and other adjustments that Section 1031 carries into the replacement property.
Compute realized gain at the sale
The starting formula is:
Amount realized − adjusted basis = realized gain or loss

Amount realized generally includes cash and relevant debt assumed or paid off, reduced by allowable selling expenses. The allocation must be made asset by asset when the property includes land, buildings, equipment, improvements, mineral or water interests, or other components. The resulting total is then divided among the character categories described below; it is not automatically all capital gain.

A farm is often a collection of assets with different tax histories. The sale agreement and appraisal should support a defensible allocation of proceeds among those assets.
Depreciation recapture can be ordinary income
Depreciable property may trigger ordinary-income recapture under Sections 1245 or 1250 to the extent the recapture rules apply. The recapture amount is generally tied to depreciation or similar deductions previously allowed or allowable, not simply to the property’s overall appreciation. That portion can be ordinary income even when the farm was held for investment or business use.
Soil-and-water conservation deductions can affect Section 1252 treatment
Publication 225 explains a special rule for farmland held more than one year and less than ten years when soil-and-water conservation expenditures were previously deducted. Some gain may be treated as ordinary income under Section 1252 rather than receiving Section 1231 treatment.
Excluded cost-sharing payments can invoke Section 1255
Excluded cost-sharing payments connected with conservation or improvement projects can create a separate ordinary-income rule under Section 1255. Whether it applies depends on the payment, the property, and the prior exclusion or deduction.

The remaining gain may be Section 1231 gain
After recapture and other special rules, the remaining gain from qualifying business or investment real property held long enough may receive Section 1231 treatment. Section 1231 has its own netting and look-back rules, so it is not correct to label every recognized amount “capital gains” or promise a particular tax rate.
Can another exchange defer the gain again?
Potentially, yes—but the later transaction must qualify on its own. A sale of the replacement property followed by a normal purchase is not enough. The taxpayer must structure the disposition and acquisition as a qualifying exchange and comply with the actual- or constructive-receipt rules, property-use requirements, and identification and closing deadlines.
Before signing a contract, determine whether sale proceeds will be held by a qualified intermediary, whether the proposed replacement property is eligible, and whether the transaction timeline can satisfy the 45-day and 180-day rules. A prior successful exchange does not automatically protect a later transaction.

Original exchange: Form 8824
The IRS generally requires Form 8824, Like-Kind Exchanges, for the original exchange even when no gain or loss was recognized at that time. The form records the properties exchanged, dates, basis information, liabilities, and any recognized amount.
Later taxable disposition: Form 4797 and possibly Schedule D
Recognized gain from the later sale of farm business property is generally reported using Form 4797, Sales of Business Property. Depending on the assets and the final character calculation, amounts may also flow to Schedule D. Ordinary recapture and Section 1231 amounts must be separated according to the applicable instructions.

Form 8824 for the old exchange does not report every consequence of a later sale. The later return must use the replacement property’s then-current adjusted basis and the facts of that disposition. Check the current-year forms and instructions when filing; IRS forms and rules can change.
Section 1062 is different from Section 1031
For tax years beginning after July 4, 2025, the IRS’s December 2025 Instructions for Form 1062 describe a new election under Section 1062. It concerns net income tax attributable to gain from certain qualifying sales or exchanges of qualified farmland property to a qualified farmer.
The election is a payment-timing provision: the elected tax is paid in four equal annual installments beginning in the year of the qualifying sale or exchange. It is not a carryover-basis rule, does not erase gain, and is not a general method for postponing tax after selling Section 1031 replacement property. Eligibility depends on the property, buyer, taxpayer, transaction, and current instructions. The IRS also addressed estimated-tax penalty relief related to Section 1062 elections in Notice 2026-3.
Do not assume a Section 1062 election applies merely because the property is farmland or because the original transaction used Section 1031. Analyze the later sale and the statutory requirements separately.
A practical process before selling the replacement farmland
- Collect the original exchange file. Obtain the relinquished-property closing statement, Form 8824, intermediary statements, debt schedules, and the basis computation used in the exchange year.
- Update basis through the sale date. Add qualifying improvements and other increases, then subtract depreciation, amortization, and other reductions shown on tax records.
- Inventory every asset. Separate land, buildings, fencing, irrigation, drainage, equipment, conservation projects, and other interests. Confirm which assets were part of the exchange and which were acquired later.
- Identify prior deductions and payments. Review depreciation, soil-and-water conservation deductions, excluded cost-sharing payments, casualty claims, and any prior recapture.
- Model the disposition. Determine gross proceeds, debt payoff or assumption, selling costs, and the defensible allocation of price among assets. Calculate gain or loss for each class before applying character rules.
- Decide before closing whether another exchange is intended. If so, engage qualified tax and exchange professionals early enough to structure receipt of proceeds and meet identification and closing deadlines.
- Prepare the correct reporting package. Preserve the original Form 8824, prepare the later Form 4797 and any Schedule D entries, and evaluate whether a current Form 1062 election is available.
Common mistakes that create unexpected tax
- Treating deferred gain as forgiven. The carryover basis means the old gain can reappear when the replacement property is sold.
- Using the replacement purchase price as basis. This can omit the Section 1031 carryover amount and produce the wrong gain.
- Calling the entire result capital gain. Recapture and special farm provisions can recharacterize part as ordinary income.
- Assuming reinvestment equals an exchange. Buying another farm after receiving sale proceeds does not satisfy Section 1031 by itself.
- Ignoring liabilities. Debt assumed, relieved, or paid off can affect both exchange calculations and the later amount realized.
- Combining assets without allocation. Different depreciation histories and holding periods can require different character treatment.
- Relying on federal treatment for state returns. State conformity, rates, filing forms, and recognition rules vary by jurisdiction and require state-specific analysis.
- Using outdated instructions. Confirm the forms and Section 1062 guidance for the tax year in which the replacement property is sold.
What information determines the actual tax result?
No reliable tax amount can be calculated from the sale price alone. A professional preparing the return will need the original and replacement basis, asset-by-asset allocation, depreciation and conservation-deduction history, excluded cost-sharing payments, improvements, liabilities, selling expenses, ownership and use, holding periods, taxpayer type, and whether another exchange was properly structured.
Federal rules provide the framework, but state treatment is jurisdiction-dependent. The IRS materials cited here do not resolve every interaction between a prior Section 1031 exchange, a later replacement-property sale, and a potential Section 1062 election. Obtain advice based on the transaction documents before closing, not after the proceeds have been received.
