What Happens to Charitable Donations if a University Loses Tax-Exempt Status?

A donation to a university is generally deductible only if the legal entity that received it was eligible to receive deductible charitable contributions when the gift was made. If the IRS later revokes the university’s exemption, that does not automatically erase every earlier deduction. The result turns on the type of revocation, the effective date, when the IRS announced or posted it, what the donor knew, and whether the IRS later reinstated the organization retroactively.

The federal rule in plain English

For federal income-tax purposes, a gift made during a period when an organization is not eligible to receive deductible contributions generally is not deductible. A university can lose eligibility in several ways, however, and the date that matters is not always the date a donor first hears about the problem.

Two dates often have to be compared: the legal effective date of the status change and the date the IRS publicly announced it or posted the organization on a public list. Donor-reliance rules can protect a contribution made before public notice, particularly when the donor did not know about the revocation and was not involved in the conduct that caused it. A later reinstatement can also change the analysis if the IRS makes it effective for the period in which the gift was made.

This is a general U.S. federal explanation, not a determination about any particular school or donor. A university may direct gifts to a separately incorporated foundation, so the name on a campaign or athletic program is not necessarily the legal donee.

Identify the legal recipient before analyzing the gift

Start with the entity that actually received the money. The university itself, an affiliated foundation, an endowment corporation, an alumni association, and a hospital or research affiliate may have different employer identification numbers and separate IRS records. A receipt that uses the university’s familiar brand does not by itself establish which organization accepted the contribution.

  • Read the acknowledgment letter, online payment confirmation, check payee, or wire instructions for the legal name and, if shown, the EIN.
  • Search that exact legal name and EIN in the IRS Tax Exempt Organization Search.
  • Review the organization’s Pub. 78 information, the IRS EO Business Master File record, any determination letter, and the Auto-Revocation List.
  • Match the gift date to the effective date of any revocation and to the date of public posting or announcement.

If the university’s main entity lost exemption but a separate foundation remained qualified, a gift payable to that foundation is analyzed under the foundation’s record, not the university’s status.

Automatic revocation after three years of missed filings

How the automatic rule works

Most tax-exempt organizations must file an annual information return or notice. Missing the required filing for three consecutive years causes automatic revocation. Under the IRS guidance, the effective revocation date is the original due date of the third missed return or notice. It is not necessarily the day the IRS updates its website.

Automatic revocation ends the organization’s eligibility to receive tax-deductible contributions and removes it from the applicable qualified-organization listing. The IRS later posts the name on its Auto-Revocation List. The list records both the effective date and the posting date, which is why a donor must examine the record rather than rely on a single date.

Why the posting date matters to donors

The IRS’s automatic-revocation guidance states: “Donors can deduct contributions made before an organization’s name appears on the Automatic Revocation List.” That statement addresses automatic revocation specifically. In practical terms, a donor who gave before the name was posted ordinarily has a stronger reliance position than one who gave after the posting, even if the legal effective date was earlier.

The protection is not unlimited. A donor who already knew the exemption had been revoked, knew revocation was imminent, or was responsible for or aware of the noncompliance may not be able to rely on the normal rule. The facts and the applicable IRS reliance provision matter.

Other revocations and loss of contribution eligibility

Do not apply the three-year nonfiling timeline to every loss of charitable status. The IRS can revoke or change an organization’s qualification for reasons other than missed annual filings. For those cases, the general reliance rule usually allows contributors to rely on the organization’s prior IRS listing until a public announcement states that it no longer qualifies to receive deductible contributions.

That reliance can fail when the donor knew of the revocation, knew it was about to occur, or was involved in or aware of the activities or deficiencies that caused the loss. A donor’s relationship with the university, the information received before making the gift, and the timing of the public announcement can therefore matter as much as the date printed on a revocation notice.

The federal deduction question also differs from the treatment of grants, foundation distributions, or other transactions involving a private foundation. Those transactions can have additional rules. The analysis here focuses on an individual or ordinary donor asking whether a charitable gift can be claimed as a federal deduction.

Compare the dates and rules for the most common situations

Situation Legal date to check Public-notice date Typical donor analysis
Automatic revocation for three years of missed filings Original due date of the third missed return or notice Date the name appears on the Auto-Revocation List A gift before posting is generally protected for an unaware donor; a gift after posting requires careful review and is generally not deductible unless another rule, such as retroactive reinstatement, applies.
Other IRS revocation or loss of eligibility Effective date stated by the IRS Date of the relevant public announcement or listing change Prior listing can generally be relied on until public notice, subject to knowledge and involvement exceptions.
Later reinstatement Effective date in the new determination letter Date updated IRS records become available Gifts during the gap are covered only if the reinstatement is effective for that period; do not assume reinstatement is retroactive.

Retroactive reinstatement can repair a gap, but it is not automatic

An automatically revoked organization cannot simply ask the IRS to erase the revocation. It must apply for reinstatement. Depending on the organization’s filing requirements, prior history, timing, and documentation, the IRS may reinstate exemption retroactively to the revocation date or recognize exemption from the postmark date of the application.

The 15-month routes

One streamlined retroactive process is limited to organizations that were eligible to file Form 990-EZ or Form 990-N for each of the three years leading to revocation, had no previous automatic revocation, and applied within the stated 15-month window. Other retroactive routes require additional statements, filings, and a reasonable-cause explanation. After 15 months, the reasonable-cause showing becomes more demanding.

These are requirements for the organization’s application, not a promise that every donor’s deduction will be accepted. The IRS determination letter controls. If the letter makes reinstatement effective on the revocation date, gifts in the covered period may receive different treatment than they would under a prospective reinstatement. If it makes reinstatement effective only from the application’s postmark date, the earlier gap remains.

How reinstatement appears in IRS records

The Auto-Revocation List is a historical record. The IRS may leave an organization’s name on that list even after approving reinstatement. Check the determination letter’s effective date and the current Pub. 78 or EO Business Master File record instead of treating continued appearance on the historical list as proof that the organization is still revoked.

A step-by-step check for a past donation

  1. Confirm the donee. Use the legal name and EIN shown on the receipt, acknowledgment, check, or payment record. If the gift went through a university foundation, investigate that foundation separately.
  2. Write down the exact gift date. For a mailed check, retain evidence of when it was delivered or otherwise treated as made under the applicable facts. For an online gift, save the transaction confirmation and timestamp.
  3. Search the IRS records. Use Tax Exempt Organization Search to review Pub. 78 data, the EO Business Master File, determination letters when available, and the Auto-Revocation List.
  4. Separate the dates. Record the revocation’s effective date, the public-announcement or list-posting date, and any later reinstatement effective date.
  5. Ask what you knew. Consider whether you had actual notice, knew revocation was imminent, or were involved in or aware of the conduct that caused the loss of status. Those facts can defeat ordinary reliance protection.
  6. Check for reinstatement. If the organization was reinstated, read the new determination letter rather than relying on a fundraising statement or an unchanged historical list entry.
  7. Preserve the file. Keep the receipt, acknowledgment, payment proof, IRS records viewed, determination letters, and any communications about the status change with your tax records.

What if the gift was a pledge or paid in installments?

A pledge that spans a status change cannot be analyzed by looking only at the date the pledge was signed. Each payment may have its own timing and reliance question. IRS guidance recognizes that some legally enforceable obligations can receive extended treatment in specified circumstances, but that treatment depends on the facts and does not automatically cover every university pledge.

For a large pledge, a payment made before public notice, a payment made after posting, and a payment made after a prospective reinstatement may all produce different results. Do not assume that signing the pledge before revocation protects installments paid later. Have a tax professional review the obligation, the organization’s status dates, and the governing reliance rule before claiming a disputed deduction.

Examples of how timing changes the result

Gift before an automatic-revocation posting

A donor gives to the legal university entity while it is still listed as qualified. The IRS later determines that the organization missed three consecutive filings and posts its name on the Auto-Revocation List. If the donor was unaware of the problem and made the gift before the posting date, the automatic-revocation guidance generally supports deductibility for that contribution, subject to the donor’s records and other normal deduction requirements.

Gift after public posting

A donor checks the IRS list, sees the organization listed as automatically revoked, and then contributes anyway. The donor cannot ordinarily rely on the organization’s former listing for a gift made after public posting. The contribution is generally not deductible unless a later IRS reinstatement is effective for the gift date or another specific rule applies.

Gift during a retroactively covered period

An organization is reinstated with an effective date that reaches back to its revocation date. A donor who gave during that covered period should retain the new determination letter and compare its effective date with the gift date. Retroactive coverage may restore the organization’s eligibility for that period, but the donor should not infer coverage from the word “reinstated” alone.

Gift to a separate foundation

The university’s operating entity appears on the Auto-Revocation List, but the receipt identifies a separately incorporated foundation with its own EIN. The foundation’s IRS status and dates control the deduction analysis. The operating university’s revocation does not by itself establish that the foundation is ineligible.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Consequences for the university itself

Revocation is more than a receipt problem. Automatic revocation ends federal income-tax exemption and can create income-tax and filing obligations for the organization. The university may need to address returns, taxes, notices, and its application for reinstatement. State and local income-tax, charitable-solicitation, property-tax, and registration consequences can differ by jurisdiction and do not follow automatically from the federal record.

A donor who needs a state tax credit or deduction must therefore check the law of the relevant state or locality separately. Federal eligibility does not guarantee a state benefit, and a federal reinstatement does not answer every state question.

What to do if you already claimed the deduction

Do not automatically amend a return merely because a university later appears on a revocation list. First determine the legal recipient, the gift date, the effective revocation date, the public-notice date, your knowledge, and any reinstatement date. A gift made before public notice may be protected even when the IRS later revokes the organization.

If the gift was made after notice, the organization was never eligible for the relevant period, or the IRS denied retroactive reinstatement, ask a qualified tax adviser how to correct the return. A substantial gift, a contested deduction, a multi-year pledge, or a transaction involving a private foundation warrants professional review. Keep the adviser’s analysis with the source documents so the position can be explained if the IRS asks questions.

Donor checklist

  • Verify the legal donee, not just the university’s public-facing name.
  • Record the exact contribution date and retain proof.
  • Check Tax Exempt Organization Search, Pub. 78, the EO Business Master File, the Auto-Revocation List, and available determination letters.
  • Compare the gift date with both the legal effective date and the public-posting or announcement date.
  • Consider whether you knew about the revocation or were involved in the conduct that caused it.
  • Read any reinstatement letter for its effective date; do not treat a historical list entry as conclusive.
  • For pledges, analyze each payment and obtain advice before assuming an installment is protected.
  • Check state and local rules separately.

The practical answer is date-specific: later loss of exemption does not automatically invalidate every earlier university donation, but a gift made after the relevant public notice is generally at risk unless the IRS later provides effective retroactive coverage. The legal entity, the records, and the applicable reliance rule determine the result.
