An IRS criminal tax investigation is a fact-gathering process conducted by IRS Criminal Investigation (IRS-CI) to determine whether evidence supports possible criminal tax violations. It does not begin with an automatic charge, and an IRS recommendation is not a prosecution, indictment, or conviction. In the usual path, information is screened, a subject investigation is approved, agents gather evidence, IRS managers decide whether to close the case or recommend prosecution, and the Department of Justice (DOJ) makes a separate prosecution decision.
Cases differ. IRS procedures describe a typical framework, not a guaranteed timetable or a checklist that every investigation follows. If an agent contacts you, treat the contact seriously, verify the agent’s identity through official IRS channels when available, preserve records, and obtain advice from a lawyer before answering substantive questions.

How an IRS criminal investigation differs from a civil tax matter
A civil IRS examination generally seeks to determine the correct tax, interest, and civil penalties. IRS-CI investigates possible criminal violations and related offenses. The IRS says its special agents do not work civil tax cases and do not demand payment during a criminal-investigation contact. An unannounced visit or telephone call can nevertheless be legitimate.
Criminal and civil activity can involve the same underlying records, but the purpose and procedures differ. A criminal investigation focuses on evidence relevant to possible criminal conduct. The fact that someone is audited, receives a notice, or makes a tax mistake does not by itself mean a criminal investigation has begun.

Stage 1: Information is developed and screened
Where information can come from
IRS-CI may receive information from another IRS function, a member of the public, another law-enforcement investigation, or a U.S. Attorney’s Office. The information may concern a taxpayer, business, return preparer, or related person. Receiving information does not itself establish wrongdoing.
Primary-investigation review
A special agent evaluates the information in a preliminary process called a primary investigation. The agent’s front-line supervisor reviews the material. If the matter appears to warrant opening a subject criminal investigation, the special agent in charge must also approve it. At least two levels of IRS-CI management therefore review the primary-investigation material before a subject investigation is opened.
This screening is an internal authorization step, not a judicial finding. It means IRS-CI has approved further investigative work, not that the taxpayer has been charged or that the evidence will ultimately support prosecution.
Stage 2: Agents gather and assess evidence
After a subject investigation opens, the special agent seeks facts and evidence relevant to possible criminal activity. The methods used depend on the facts, the records involved, and what information investigators already have. IRS materials list the following as possible techniques:

| Financial-data review | Comparison of returns, account activity, business records, assets, and other financial information. | Investigators assess the whole evidentiary picture rather than relying on one unexplained item. |
IRS Chief Counsel Criminal Tax attorneys work with the special agent during the investigation. Their involvement helps IRS-CI evaluate legal and evidentiary issues, but it does not mean prosecution has been authorized.
What an IRS-CI call or visit may look like
Unannounced contact can be genuine
The IRS says special agents may visit or call without advance notice as part of a criminal investigation. The agent should identify themself as IRS-CI, display credentials, and provide a unique identification number and telephone number. An employee-verification tool is available from the IRS, although the agency notes that it may be unavailable during some enforcement actions for operational and safety reasons.
If you are uncertain about an agent’s identity, do not rely on a telephone number or link supplied by the caller. Ask for the agent’s identifying information, end the conversation if necessary, and use official IRS verification information obtained independently. IRS-CI agents do not demand immediate payment during these contacts.
Rights advisement at a formal subject interview
The Internal Revenue Manual instructs a special agent to advise a subject at the start of an initial formal question-and-answer interview that the agent is investigating possible criminal violations, that the person cannot be compelled to answer questions or provide information that might incriminate them, that statements and documents may be used in a criminal proceeding, and that the person may consult an attorney before responding.

The manual’s sample language includes:
"As a special agent, one of my functions is to investigate the possibility of criminal violations of the Internal Revenue laws and related offenses."
"I also advise you that anything you say and any documents you submit may be used against you in any criminal proceeding which may be undertaken."
These are procedural advisements, not a transcript of every interview. The manual distinguishes a subject from a witness and from a corporate record custodian, so the rights and obligations of another person cannot be assumed from the subject-interview language.

Stage 3: IRS review can end the case or lead to a recommendation
Discontinuation
After gathering and analyzing evidence, the special agent and supervisor may conclude that the evidence does not substantiate criminal activity. They can discontinue the investigation. Discontinuation is not the same as a finding that every tax issue has been resolved; any separate civil tax matter follows its own procedures.
Recommendation for prosecution
If the agent and supervisor believe the evidence supports a prosecution recommendation, the agent prepares a special agent report. IRS review then proceeds through the supervisory special agent, a centralized case-review team, an assistant special agent in charge, and the special agent in charge. This layered review is an IRS recommendation process. It is not a criminal charge and does not compel DOJ to prosecute.
| Decision point | Who acts | What it means |
|---|---|---|
| Open a subject investigation | IRS-CI management after primary-investigation review | IRS-CI authorizes further evidence gathering. |
| Discontinue | Special agent and supervisor, subject to IRS procedures | The available evidence is not viewed as substantiating criminal activity. |
| Recommend prosecution | IRS-CI after supervisory and centralized review | IRS-CI sends a recommendation for DOJ consideration. |
| Authorize or decline prosecution | DOJ Criminal Division Tax Section, or the appropriate federal prosecutor | DOJ makes the separate decision whether to pursue the case. |
The pre-referral conference
IRS procedures generally provide that a taxpayer who is the subject of a prosecution recommendation will be offered a conference with the special agent in charge and Criminal Tax Counsel before referral. The conference is not guaranteed in every case. Exceptions include grand-jury investigations and situations in which the special agent in charge decides that a conference is not in the government’s interest.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteAt the conference, IRS procedures call for a general statement of the alleged violations and supporting facts to the extent possible without harming the government’s interests. The taxpayer is read rights against self-incrimination. The conference is an opportunity to understand the allegations and present information through appropriate counsel; it is not a trial and does not determine guilt.

Stage 4: DOJ makes the prosecution decision
A tax-case recommendation is sent to the DOJ Criminal Division’s Tax Section. DOJ may authorize the prosecution and forward the matter to a U.S. Attorney’s Office or assign it to a DOJ attorney. DOJ or the U.S. Attorney may also decline prosecution.
If prosecution is accepted, the special agent may assist the prosecutors, while the prosecutors manage the matter. Referral does not guarantee an indictment, plea agreement, trial, or conviction. Those are later decisions governed by federal criminal procedure and the evidence presented.
Voluntary disclosure: why timing and intent matter
The IRS Voluntary Disclosure Practice is aimed at willful tax or tax-related noncompliance. The IRS requires a truthful, timely, and complete disclosure through designated procedures, supporting documentation, cooperation, and payment—or an arrangement to pay—the tax, interest, and applicable penalties.
When a disclosure may be considered timely
The IRS considers whether a civil examination or criminal investigation has begun, whether the agency has received third-party information about the noncompliance, and whether relevant information has come from a criminal-enforcement action. These timing rules mean that a person should not assume the practice remains available after an investigation or other disqualifying event has started.
Willful conduct versus a non-willful mistake
Voluntary disclosure is directed at willful noncompliance. The IRS points people whose conduct was a non-willful error toward other correction options. Whether conduct was willful, whether a disclosure is timely, and what consequences follow are fact-specific. Consider the current Form 14457 instructions and obtain advice from a qualified tax attorney before making a disclosure.
Submitting a voluntary disclosure does not automatically guarantee immunity from prosecution. The IRS describes it as a practice with conditions, not a promise that criminal charges cannot be brought.
Practical steps after contact from IRS-CI
- Verify the contact. Record the agent’s name, credentials, identification number, and telephone number. Use official IRS verification information when available, recognizing that the tool may not be available during every enforcement action.
- Do not destroy or alter records. Preserve tax returns, accounting files, bank statements, electronic data, messages, and other potentially relevant material. Do not conceal, backdate, or rewrite records.
- Ask what role you have. A subject, witness, employee, and corporate record custodian are not interchangeable categories. Clarify whether the agent is asking about you or someone else, without volunteering a substantive narrative.
- Request counsel before a formal interview. The IRS procedure allows a subject to seek an attorney before responding and directs the agent to stop the interview when the subject invokes that request.
- Do not guess. If you do not know an answer, say so. Avoid trying to fill gaps, speculate about another person’s conduct, or provide documents without understanding the request and your legal position.
- Keep civil and criminal matters separate. A civil examination, payment notice, or ordinary correspondence does not prove that a criminal case exists, and a criminal contact does not by itself resolve any civil liability.
Common misunderstandings
| Misunderstanding | More accurate explanation |
|---|---|
| An audit automatically becomes criminal. | A criminal investigation requires IRS-CI screening and management approval. Many tax disputes remain civil. |
| An IRS-CI recommendation means you have been charged. | It is an IRS recommendation that DOJ must separately review. |
| Every case uses a search warrant or surveillance. | Those are possible techniques. The methods vary with the facts and evidence. |
| An unannounced visit is a scam. | The IRS says legitimate IRS-CI contacts may be unannounced. Verify identity independently. |
| IRS-CI agents demand payment at the door. | The IRS says CI agents do not work civil cases or demand payment during a criminal-investigation contact. |
| Voluntary disclosure always prevents prosecution. | The practice has timing, intent, documentation, cooperation, and payment requirements and does not automatically guarantee immunity. |
What the overall path means for a taxpayer
The central distinction is between investigation and prosecution. IRS-CI develops and evaluates evidence under internal review. It may close the case or recommend prosecution. DOJ then independently decides whether to authorize a tax prosecution, assign it to a federal prosecutor, or decline it. At each point, the result depends on the evidence and the applicable procedures; no single contact or referral predicts the final outcome.
