Grey market premium (GMP) is an unofficial, time-sensitive sentiment signal—not a promised IPO listing price. In India, it describes the speculative premium that grey-market participants reportedly pay above an IPO’s issue price before the shares list. A ₹100 issue price and a quoted ₹15 GMP produce a rough implied figure of ₹115, but that arithmetic is not a forecast, guarantee, or evidence that you will receive an allotment.
The most reliable decision material remains the issuer’s offer document, financial disclosures, risk factors and the formal warnings that the post-listing price and trading activity are not assured.

What IPO grey market premium means
Grey market premium, usually shortened to GMP, is the amount by which participants in an informal pre-listing market are reportedly willing to pay above an IPO’s issue price. For example, if an IPO is priced at ₹100 and the quoted GMP is ₹15, the grey-market quote implies a transaction level of about ₹115 before listing.
That definition comes from the Securities and Exchange Board of India (SEBI) adjudicating officer’s May 2026 order in the matter of Veerkrupa Jewellers Limited. The order describes GMP as a “speculative premium” paid over the issue price before listing. The word speculative is important: it identifies a market opinion at a particular time, not a contractual right to sell at that price.

GMP is not an official quote from a stock exchange, a company, SEBI or another regulated market infrastructure institution. The same SEBI order says it operates in an unregulated sphere outside the regulated ecosystem. Quotes can therefore be informal, inconsistently reported and difficult for an outside investor to verify.
How the implied GMP arithmetic works
People often turn a GMP quote into an “estimated listing price” by adding it to the issue price. The calculation is simple, but the label must remain cautious.

In a real example, write “the implied estimate from the quoted GMP is ₹115” rather than “the shares will list at ₹115.” The quote may move before listing, and the opening exchange price can be materially higher or lower. The arithmetic itself is not a statistical model and does not measure predictive accuracy.

What GMP can tell you
A snapshot of informal sentiment
A GMP quote can indicate that some grey-market participants are willing to pay a premium, or demand a discount, relative to the issue price. It is therefore a narrow sentiment indicator. The observation is about what participants in that informal setting reportedly say they would pay at that moment.

The market’s rough premium relative to the offer price
Expressing GMP both in rupees and as a percentage helps put the quote in context. A ₹20 GMP on a ₹100 issue price is a 20% implied premium; the same ₹20 on a ₹400 issue price is only 5%. This comparison is arithmetic, not proof that either IPO will deliver that return.
A reason to investigate, not a decision rule
A changing GMP can prompt you to examine why sentiment appears to be moving and whether the issuer’s disclosures support the enthusiasm. It cannot replace analysis of the company, its industry, valuation, governance, use of proceeds or stated risks.
What GMP cannot establish
It does not predict the listing price
There is no established accuracy rate in the available evidence that would let an investor treat GMP as a dependable listing-price forecast. SEBI’s IPO disclosure language expressly warns that the issue price should not be treated as indicative of the market price after listing. It also says there is no assurance of the eventual post-listing price or of active and sustained trading.

It does not tell you whether you will receive an allotment
Allotment is determined through the IPO’s formal application and allocation process. A GMP quote says nothing about whether a particular investor’s application will receive shares. It is possible to see a high informal premium and receive no allotment, or to receive an allotment when the quoted premium is low.
It does not prove that an investment is suitable
Even if the shares list above the issue price, that outcome would not establish that the IPO fits your time horizon, liquidity needs, risk tolerance or portfolio. A quote cannot reveal whether the issuer’s earnings are durable, whether its debt is manageable or whether the valuation compensates you for disclosed risks.
It does not guarantee a profit or a quick exit
An implied premium is not an assured return. The eventual market price may fall below the issue price, and thin trading can make it difficult to sell at a desired level. SEBI’s investor guidance advises skepticism toward claims of assured or near-certain returns and recommends checking whether anyone offering an investment strategy is regulated.
Why GMP is especially uncertain
It comes from an informal, opaque market
Unlike an exchange quote, a GMP does not come with the same standardized public reporting, order-book transparency or surveillance framework. Different observers may report different numbers, times or transaction conditions. You may not know whether a quoted premium reflects a completed trade, an indication, a small transaction or a promotional claim.

The number is time-sensitive
GMP can change while an IPO is open, after the issue closes and before listing. Always record the date and, where available, the time of a quote. A number without a timestamp can create false precision: it may describe sentiment that no longer exists.
Manipulation is a recognized concern
In its May 2026 order, SEBI noted that the lack of transparency in unregulated pre-listing trade practices leaves ground for manipulation. The adjudicating officer wrote: “I find that while GMP indicates a speculative premium that subscribers in the grey market are willing to pay over and above the issue price of the company before its listing, but, it cannot be allowed to be misused to indulge in fraudulent, manipulative and unfair trade practices relating to securities proposed to be listed.”
This finding concerns the regulatory risk of misuse; it does not establish that every GMP quote or every participant is fraudulent. It does mean that a reader should not treat an unattributed number as independently verified market data.
No reliable predictive statistic is established here
A 2024 arXiv paper examined grey market price alongside IPO filing, macroeconomic and market information in a broader prediction context, but its available abstract does not report an accuracy figure for GMP. Do not substitute an unsupported percentage for evidence that has not been published.

Why the offer document matters more
The offer document is the issuer’s formal disclosure record. It is the place to test whether the business and valuation justify further consideration, rather than assuming that informal sentiment has done that work.
Read the risk disclosures
Start with the stated risks, including business, industry, regulatory, litigation, operational and financial risks. Consider whether a risk is specific and material or merely generic wording. A high GMP does not reduce any risk disclosed by the issuer.
Check what the company is selling and why
Determine how much of the issue is a fresh issue versus an offer for sale, and examine the stated use of proceeds. An offer document can show whether funds are intended for expansion, debt repayment, working capital or other purposes. The use of proceeds affects what the IPO capital may change in the business.

Review the reported financial statements, revenue and profit trends, cash flows, borrowings, related-party disclosures, promoter holdings and any lock-in or selling-shareholder information described in the document. These are company-specific facts; a GMP quote is not a substitute for them.
Keep SEBI’s price disclaimer in view
SEBI’s IPO disclosure guidance says the issue price is not indicative of the market price after listing and gives no assurance about active or sustained trading or the eventual post-listing price. That warning applies even when an IPO appears popular before listing.
A practical way to read a GMP quote
- Identify the source and timestamp. Record who published or communicated the number, when it was observed and whether the source describes an actual transaction or only an indication. An unattributed figure should receive less weight.
- Separate the issue price from the premium. Write the two numbers independently. Do not present the sum as a guaranteed listing outcome.
- Calculate the implied figure transparently. For an issue price of ₹100 and GMP of ₹15, show ₹115 and 15% as arithmetic estimates. Label them “implied” and “unofficial.”
- Look for changes rather than a single headline number. If you have several dated observations from a consistent source, note the direction and size of movement. Do not infer that a short trend will continue.
- Read the offer document before deciding. Compare the sentiment signal with the issuer’s risk factors, financial information, valuation discussion and use of proceeds. If you cannot explain the business and its main risks, the GMP should not fill that gap.
- Reject guarantees and pressure. Treat promises of a certain listing gain, guaranteed allotment or urgent payment as warning signs. Verify that any intermediary or adviser offering a strategy is appropriately regulated, and rely on the formal application channels described in the IPO documentation.
- Decide on your own risk limits. Set the maximum amount you can commit and the loss you could tolerate before applying. A GMP quote should not cause you to borrow, over-concentrate or abandon a previously reasonable plan.
Common mistakes and the better interpretation

The right mental model
Think of GMP as a noisy thermometer for one narrow form of pre-listing speculation. It can tell you what an informal group is reportedly willing to pay above the offer price at a particular time. It cannot tell you the exchange’s opening price, the price weeks later, the probability of allotment or whether the investment belongs in your portfolio.
Use the number, if at all, as a prompt for questions: Is the quote dated and attributable? What assumptions would have to hold for the implied premium to appear? Do the issuer’s disclosures support the valuation? What could make the price fall? Those questions convert a headline into analysis without giving the headline more authority than it deserves.
