What Employee Retention Credit Records Should You Keep, and for How Long?

Keep ERC records for at least six years when they relate to qualified wages paid after June 30, 2021. That is the specific minimum on the Internal Revenue Service’s current employment-tax recordkeeping guidance, accessed October 13, 2026. The IRS’s ordinary employment-tax rule is generally at least four years, but that broader period should not be used to discard records covered by the specific six-year ERC instruction.

The period is a minimum, not an automatic destruction date. Keep records longer if an examination, refund dispute, amended return, other tax rule, litigation hold, financing requirement, or state law requires it. The exact end date depends on the wage quarter, the return and payment dates, the type of record, and any unresolved IRS proceeding.

The two IRS retention rules you must distinguish

ERC recordkeeping involves a general employment-tax period and a more specific ERC instruction. They apply to different scopes, so applying one number to every file can create a problem.

Rule What it covers Minimum stated period Important qualification
General employment-tax retention Ordinary employment-tax records At least four years The IRS describes this as four years after the fourth-quarter filing for the year, and its general guidance also refers to four years after the tax is due or paid, whichever is later.
ERC-specific instruction Records related to ERC qualified wages paid after June 30, 2021 At least six years This is the more specific instruction on the current IRS employment-tax page. It is tied to that wage period, not automatically to every ERC record from every quarter.

IRS Notice 2021-20, Question 71, uses the following wording: “An eligible employer should keep all records of employment taxes for at least 4 years after the date the tax becomes due or is paid, whichever comes later.” Read that statement with its scope in mind. The current IRS employment-tax page separately gives the six-year direction for records connected with qualified wages paid after June 30, 2021.

For wages from an earlier ERC period, the material summarized here does not establish a blanket six-year period. Apply the general four-year rule and any other applicable limitation or preservation requirement to those records instead of assuming that one period governs every quarter.

What your ERC file should prove

A defensible file should allow someone who was not involved in the original claim to reconstruct two things: why the employer was eligible and how the credit amount was computed. Keep the source documents, calculations, approvals, and filed forms together by quarter.

Employer and employee information

  • Employer identification number.
  • Employee or recipient names, addresses, Social Security numbers, occupations, and employment dates.
  • Payroll registers and other records identifying which workers were paid in each relevant pay period.

Protect sensitive information with access controls and an appropriate retention system. The fact that a file is needed for tax substantiation does not remove privacy and security obligations.

Wage, payment, and tax records

  • Amounts and dates of wage, annuity, and pension payments.
  • Payroll journals, wage detail, payroll-provider reports, and adjustments used to calculate qualified wages.
  • Tax-deposit records and evidence of payments.
  • Copies of filed employment-tax returns, amended returns, and filing confirmations.

Keep the version of each spreadsheet or calculation that supports the number reported on the return. If a later revision changed the claim, preserve the original, the revised file, and a short explanation of the change rather than overwriting the history.

Eligibility evidence

Retain the contemporaneous material that supports the eligibility route used for each quarter. Depending on the claim, that may include government orders, dates and descriptions of a full or partial suspension, gross-receipts workpapers, accounting reports, and a written explanation tying the evidence to the quarter. A conclusion without the underlying records is difficult to defend years later.

Qualified-wage and health-plan computations

  • Calculations showing which wages were treated as qualified and how excluded wages were removed.
  • For a large eligible employer, work records showing wages paid for time an employee was not providing services.
  • Documentation of allocable qualified health-plan expenses, including the allocation method and source invoices or carrier statements.
  • Reconciliations from payroll totals to the amounts reported on the employment-tax return.

Keep the assumptions used in the calculation. For example, retain the employee-count analysis used to determine whether large-employer treatment applied, not just the final credit total.

Aggregation and related-entity analysis

If the employer was part of an aggregation group, preserve the ownership or control information, the entities included, the dates the relationship applied, and the analysis of how aggregation affected eligibility, employee counts, gross receipts, or credit limits. Include a signed internal memorandum or adviser analysis when the conclusion was judgment-based.

Forms and third-party payer records

  • Copies of Forms 7200, where used.
  • Copies of all employment-tax returns and schedules connected with the claim.
  • If a professional employer organization, payroll company, or other third-party payer filed returns, the information supplied to that payer about the employer’s entitlement to the credit.
  • Correspondence confirming what the payer filed and when it filed it.

The third-party payer’s records do not replace the employer’s own file. Obtain copies or exportable reports while they are available, and document who had responsibility for each filing.

How to set the retention clock without guessing

Do not label a box “destroy after six years” and apply that label to every ERC document. Use a quarter-by-quarter schedule that identifies the wage period, filing date, payment date, and any event that pauses or extends ordinary disposal.

  1. Identify the wage quarter. Record the dates the qualified wages were paid, because the six-year ERC instruction is expressly tied to qualified wages paid after June 30, 2021.
  2. Identify the related return and payment. Note the employment-tax return on which the credit was claimed, any amended return, and when the related tax was due or paid.
  3. Apply the more specific IRS instruction where it fits. For covered post-June 30, 2021 qualified wages, use at least six years as the baseline. For other employment-tax records, evaluate the general four-year rule and any additional requirement.
  4. Check for an open matter. An examination, notice, amended filing, refund dispute, litigation hold, or written request for records means the file should remain intact until the matter and all related deadlines are resolved.
  5. Document the decision. Keep a retention log showing the records covered, the rule applied, the planned review date, and the person who approved any destruction.

This process produces a review date rather than an unqualified promise that a file can be destroyed on a particular calendar day. The IRS rules can change, and an individual claim may be subject to a different limitation.

Electronic storage is acceptable when it remains auditable

The IRS permits electronic recordkeeping. A digital file is useful only if it remains available, readable, and sufficiently detailed to support and verify the entries on the return. IRS automated-record guidance calls for an audit trail connecting source records to books and filed returns.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Minimum controls for a digital ERC archive

  • Use a stable file format and preserve the original payroll exports, return PDFs, correspondence, and calculation workbooks.
  • Keep a consistent folder structure by entity, quarter, and document type.
  • Record the file date, source, and any later amendment in a log.
  • Restrict editing rights and retain a read-only or otherwise protected copy of filed returns and final calculations.
  • Back up the archive in a separate location and test that files can be opened.
  • Ensure the system can produce a usable audit trail showing how a number moved from payroll or accounting records to the return.

Scanning paper records is optional. IRS guidance allows qualifying electronic records but does not require a scanner or endorse a particular document-management product. If you scan, check that every page is legible, complete, correctly oriented, and linked to the relevant quarter.

Do not confuse record retention with the ERC assessment period

The Internal Revenue Manual describes a separate assessment limitation for certain ERC amounts. For assessments made after July 4, 2025, a six-year minimum can apply under specified conditions, including wage-period and claim-date rules. The cited IRS summary covers wages paid after June 30 and before October 1, 2021, or through December 31, 2021 for recovery startup businesses. It also states that certain assessments made before July 5, 2025 will not expire before five years for specified wages paid after June 30 and before January 1, 2022.

Those are rules about how long the IRS may have to assess tax. They are not a universal substitute for the employment-tax recordkeeping instruction. A longer assessment period can be a reason to preserve records, but the applicable period depends on the statutory conditions and the dates in the particular case. Do not infer an individualized destruction date from the six-year assessment language alone.

A disallowance letter creates a different, urgent deadline

If the IRS disallows an ERC refund claim, treat the notice deadline separately from your retention schedule. IRS guidance says a taxpayer generally has two years from the date of a Letter 106-C to file suit. Requesting Appeals review does not extend that two-year period.

An IRS announcement in 2026 describes a Form 907 option for qualifying taxpayers whose deadline is approaching while they await IRS review. That option and its eligibility requirements should be evaluated from the actual notice and current IRS procedures. Preserve the complete claim file, the Letter 106-C envelope or delivery evidence, Appeals correspondence, and proof of any filing or agreement.

The two-year litigation period concerns the right to sue over the disallowance. It does not replace the six-year or four-year recordkeeping rules, and it does not mean the underlying records can be discarded once a lawsuit is filed.

Common retention mistakes and how to prevent them

Using four years for every ERC document

The general employment-tax period is not a reason to delete records tied to qualified wages after June 30, 2021. Tag those records for the specific six-year minimum and review related quarters together.

Keeping only the filed form

A return shows the claimed amount but not necessarily eligibility, health-plan allocations, non-service wages, aggregation conclusions, or the source payroll data. Retain the evidence and calculations that make the filing reproducible.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Relying entirely on a payroll provider

Providers may retain reports for their own period and may not hold every employer-level eligibility document. Export the reports, obtain copies of payer submissions, and retain the employer’s analysis independently.

Overwriting amended calculations

Replacing an original workbook with a corrected version removes the audit trail. Preserve both versions and explain why the amount changed.

Destroying records during an examination or dispute

Place a hold on destruction as soon as an IRS notice, examination request, Appeals matter, lawsuit, or adviser instruction identifies the records. Release the hold only after the matter and associated deadlines are closed.

A practical ERC retention checklist

  • Have you identified every quarter and the dates the claimed wages were paid?
  • Does each quarter have payroll detail, payment evidence, and a reconciliation to the filed return?
  • Is the eligibility basis documented with source records rather than a summary conclusion?
  • Are health-plan allocations and, where applicable, non-service wage records included?
  • Is the aggregation-group analysis preserved for every entity that affected the claim?
  • Are Forms 7200, amended returns, filing confirmations, tax deposits, and third-party payer communications in the file?
  • Can an independent reviewer open the electronic files and follow the audit trail from source data to return?
  • Has a retention hold been recorded for examinations, notices, Appeals review, litigation, or other disputes?
  • Has a qualified tax professional reviewed unusual wage periods, related entities, or unresolved IRS correspondence?

When to obtain professional advice

Use a tax professional when the employer has an open examination, a Letter 106-C, an amended employment-tax return, multiple related entities, recovery startup business wages, missing payroll records, or uncertainty about which limitation applies. Bring the retention log and the full quarter-by-quarter archive to that review. IRS retention and assessment rules can change, so current notices and the facts of the claim control over a generic calendar rule.
