It is a company-level measure of equity-market size, not the value of one share and not a verdict that the share is cheap, expensive, safe or suitable for you.
Calculate it as current share price × total outstanding shares. Because both inputs matter, two companies can have the same share price but radically different market values. Market cap is useful for comparing relative size and understanding index categories; you need earnings, cash flow, assets, debt, valuation measures and your own risk requirements to answer other investment questions.

What market capitalisation measures
The market cap belongs to the company (or to its shares collectively), while the share price is the quotation for one share. Investor.gov defines it as “the value of a corporation determined by multiplying the current public market price of one share of the corporation by the number of total outstanding shares.” See the Investor.gov market-capitalisation glossary. The U.S. Securities and Exchange Commission’s glossary likewise describes it as the market value of a public company’s shares.

|---|---|
| Share price | The current market quotation for one share. |
| Outstanding shares | The total shares currently held by shareholders, as reported by the company and market data providers. |
| Market capitalisation | The quoted per-share price multiplied by the outstanding share count. |
The result is an estimate of the market’s aggregate value for the company’s equity at that price. It is not automatically the amount of cash required to buy every share: a purchaser may have to pay a premium, and the quoted price does not establish that every share could be acquired at exactly that price.

How to calculate it
Use the formula:
Market capitalisation = current share price × total outstanding shares
- Record the share price and the date or time of the quote.
- Find the company’s outstanding share count for a matching period. Check whether your data source reports basic shares, diluted shares or a point-in-time figure.
- Multiply the two numbers and keep the currency and units clear.
FINRA’s educational example is explicitly illustrative: 5 million shares multiplied by $20 per share equals a $100 million market capitalisation. It is arithmetic, not a live-company statistic. The worked example appears in FINRA’s “Market Cap, Explained,” published 26 April 2018.
Why share price alone is misleading
FINRA also compares two hypothetical companies that both trade at $50. One has 5 million shares, giving it a $250 million market cap; the other has 5 billion shares, giving it a $250 billion market cap. Looking only at the $50 quotation would make them appear identical, even though the equity values differ by a thousandfold.

What market cap can tell you
Relative company size
Market cap provides a common scale for comparing listed companies’ equity values. A company with a larger market cap has a larger aggregate market value of its outstanding equity at the quoted price. That is the narrow, defensible meaning of “large” in a large-cap label.
Which size group a company may enter
Investors, index providers and funds often group companies as large-cap, mid-cap, small-cap or micro-cap. The labels are useful shorthand, but the cutoffs are not universal. Investor.gov’s large-, mid- and small-cap glossary defines the terms as descriptions of company size and market value without prescribing numerical boundaries.
For a dated U.S. educational example, FINRA’s 26 April 2018 article gives these typical ranges:

| Category | FINRA’s illustrative 2018 range | How to use it |
|---|---|---|
| Large-cap | $10 billion or more | Attribute the threshold to FINRA’s article and date; do not treat it as a universal current rule. |
| Mid-cap | $2 billion to $10 billion | Check the classification method and measurement date. |
| Small-cap | $250 million to $2 billion | Boundaries can differ by index, fund or market. |
| Micro-cap | Below $250 million | Use the source’s definition rather than assuming every market uses this cutoff. |
A company can therefore receive different labels from two providers if they use different universes, currencies, dates or thresholds. Name the scheme before relying on a cap category.
How some indexes and funds organise exposure
Market cap is also used to organise or weight market exposure. FINRA cites the S&P 500 as an example of a large-cap, market-cap-weighted index. That does not mean every index uses market-cap weighting; some use equal weights, prices, fundamentals or other rules. An index fund following a market-cap-weighted benchmark will generally assign more weight to companies with larger market values, subject to that benchmark’s methodology.
Why market cap changes
Market cap changes when the share price changes, when the outstanding share count changes, or when both change. The number alone does not reveal which event caused the move.

| Event | Immediate arithmetic effect | What you still need to investigate |
|---|---|---|
| Share price rises while share count is unchanged | Market cap rises. | Whether the price move reflects improved expectations, speculation, news or broader market conditions. |
| Share price falls while share count is unchanged | Market cap falls. | The company announcement, earnings outlook, sector move or market-wide shock behind the fall. |
| New shares are issued at the prevailing price | Outstanding shares increase, so market cap can rise even if the price is unchanged. | Why capital was raised, how proceeds will be used and whether existing ownership is diluted. |
| Shares are repurchased and cancelled | Outstanding shares decrease, so market cap can fall arithmetically even if the price is unchanged. | The buyback terms, funding source and effect on each remaining share. |
| Price and share count move together | The combined percentage changes determine the result. | Both the market event and the corporate-action records. |
A higher market cap does not by itself prove that the underlying business performed better. A share-price jump can increase the total without a change in operating results, while a share issue can change the total through the denominator.
What market cap cannot tell you on its own
| Reader’s question | Why market cap is insufficient | Information to examine instead or alongside it |
|---|---|---|
| Is the share cheap or expensive? | Market cap is an aggregate value, not a valuation ratio. | Profit, cash flow, growth expectations and measures such as price-to-earnings or price-to-sales, chosen to fit the business. |
| Is the company financially healthy? | The formula does not show liquidity, debt, margins or cash generation. | Balance sheet, cash-flow statement, interest obligations, profitability and filings. |
| What would it cost to buy the whole business? | Market cap covers quoted equity value and does not separately include debt or cash; it is not enterprise value or a takeover price. | Enterprise-value calculations, transaction terms and liabilities when an acquisition question is relevant. |
| Will the stock be stable or safe? | Size alone does not establish volatility, business resilience or investor suitability. | Price history, liquidity, leverage, concentration, business risk and your time horizon. |
| Can I trade a large position easily? | Market cap does not measure daily trading volume, bid-ask spreads or the shares available to trade. | Trading volume, free float, spreads and the market in which the shares are listed. |
| What return will I earn? | A company’s current equity value does not predict a particular future return. | Valuation, future cash flows, risks, diversification and an investment plan. |
Market cap versus enterprise value
Market capitalisation represents the market’s value of the equity at the quoted price. Enterprise value is a different analytical concept that adjusts equity value for components such as debt and cash. Do not substitute one for the other: use market cap when the question is about equity-market size, and use an appropriately defined enterprise-value measure when comparing the value of operating assets regardless of financing structure. The market-cap formula itself does not provide those debt and cash adjustments.

- Set the date and currency. Record when the price and share count were measured. A moving quote can make two screens disagree without either being wrong.
- Confirm the share-count definition. Check whether the figure is basic, diluted, period-end or current, and whether corporate actions have been reflected.
- Compare market values, not nominal prices. Put the companies’ market caps side by side before assigning a relative-size label.
- Name the classification source. If you use large-, mid-, small- or micro-cap language, cite the index, fund or educational scheme and its date.
- Identify the purpose. For size, market cap may answer the question. For valuation, review earnings and cash flow. For financial strength, review debt, liquidity and assets. For trading capacity, review free float, volume and spreads.
- Explain any movement. Separate price changes from share-count changes so that a market-cap chart is not mistaken for an operating-performance chart.
- Check primary disclosures. Use company filings and the relevant exchange or regulator for the share count, corporate actions and financial statements.
Common mistakes and how to avoid them
- Calling market cap a share price: say “the company’s market capitalisation” and reserve “share price” for one share.
- Ranking companies by price per share: include the outstanding share count in every comparison.
- Treating a cap label as universal: thresholds vary by provider, market and date; identify the scheme.
- Equating a bigger company with a safer investment: size does not guarantee stability, profitability or suitability.
- Calling market cap a purchase price: a quoted-price multiplication is not a takeover-cost calculation and does not equal enterprise value.
- Reading a market-cap increase as proof of better operations: first determine whether price, share count or both changed.
- Using stale figures: prices and share counts change, especially after splits, issues, buybacks and other corporate actions.
Geography, dates and terminology matter
Market-cap arithmetic is broadly the same, but category conventions and educational wording can differ between markets. For example, the Securities and Exchange Commission Nigeria’s 13 November 2023 investor-education page, “Understanding Market Capitalisation,” discusses increases in market capitalisation as a positive sign for the capital market. That general market observation should not be turned into a promise about one company’s shares or one investor’s outcome. When reporting a real company’s figure, state the market, currency, measurement date and source.
Bottom line for a share investor
Market capitalisation answers a specific question: how much is the company’s outstanding equity worth at the current quoted price? It lets you compare relative company size, understand a stated cap classification and interpret some index or fund weightings. It does not tell you whether one share is under- or overvalued, whether the business is financially sound, what the enterprise would cost to acquire, how liquid the shares are or whether the investment fits your circumstances. Use the number as a starting point, then investigate the operating, financial, valuation and risk evidence that matches your decision.
