It can be a HIPAA business associate agreement (BAA), a health-information-network arrangement, a provider participation contract, or an app’s consumer terms. The privacy result depends on the parties’ legal roles, the type of information, the purpose of the exchange, and the laws that apply. Signing an agreement does not automatically make every later use lawful or give a recipient unlimited permission.
Why the agreement matters more than the label
“Health data-sharing agreement” is not one standardized document. The same phrase may describe a BAA between a medical practice and its software vendor, a network participation agreement for electronic exchange, a consumer app’s terms of service, or a data-use contract for research or analytics. Each instrument allocates responsibilities differently.

The agreement is important because it translates broad legal duties into operational boundaries. It should identify the parties, describe the work, state which uses and disclosures are allowed or required, and assign security, incident-response, retention, and termination duties. It cannot override a law that prohibits a disclosure. A contract that says a recipient may do something does not make that action permissible if the HIPAA Privacy Rule or another applicable law forbids it.

Before assessing privacy, identify four facts:
- Who is sending the information?
- Who is receiving it, and in what legal role?
- Why is the information being exchanged?
- What kind of information and which jurisdiction-specific rules are involved?
Those answers determine whether HIPAA applies, whether an authorization is needed, and what rights or restrictions are available.

Start with the parties and their legal roles
Covered entities
HIPAA applies to defined “covered entities,” including health plans, health-care clearinghouses, and many health-care providers that conduct specified electronic transactions. A covered provider may share protected health information (PHI) under HIPAA’s permitted circumstances, but the exact permission depends on the purpose and the minimum-necessary and other Privacy Rule requirements.
Business associates
A business associate is a person or organization that performs certain services for, or provides services to, a covered entity and handles PHI for that work. Examples can include a vendor running systems, a health information organization supporting exchange, or a service that maintains a patient index. The label depends on the functions and relationship, not simply on whether a company sees medical information.
Apps and other recipients
Many consumer health apps are not HIPAA-covered entities or business associates. That does not mean they have no obligations. The Federal Trade Commission (FTC) Act can apply to deceptive privacy promises, and the FTC’s Health Breach Notification Rule may apply to certain breaches involving personal health records. An app can therefore be outside HIPAA while still being subject to federal consumer-protection or breach-notification requirements, as well as state law.
Do not assume that an agreement’s use of the word “HIPAA” proves the recipient is covered, or that a HIPAA-covered sender makes every downstream recipient covered too.
What a HIPAA business associate agreement does
A BAA is a written arrangement between a covered organization and a business associate that handles PHI for it. The contract describes the service and requires the business associate to protect the information. The U.S. Department of Health and Human Services (HHS) explains that a BAA generally must establish the business associate’s permitted and required uses and disclosures, and may not authorize conduct that would violate the Privacy Rule.
Depending on the service, a BAA may address functions such as:

- Managing authorized requests for electronic exchange.
- Maintaining a patient index or record locator.
- Standardizing data received from different systems.
- Helping a covered entity identify or correct errors.
- Aggregating information for the covered entity’s health-care operations.
These are examples, not an automatic permission list. A vendor may perform one of these functions only within the scope allowed by the covered entity’s role, the Privacy Rule, the BAA, and any other applicable law.
A BAA normally addresses safeguards, reporting of unauthorized access or breaches, cooperation with the covered entity’s duties, access or amendment requests, and what happens to PHI when the relationship ends. The precise clauses vary with the service and exchange purpose.
What signing a BAA does not mean
- It does not give the business associate a blanket right to use PHI for its own commercial purposes.
- It does not make every person or company that later receives data a HIPAA-covered entity.
- It does not prove that a patient gave an authorization for every possible disclosure.
- It does not replace stricter state or special-record rules.
Purpose determines whether authorization is needed
Treatment exchanges
HHS says covered providers may use or disclose PHI for treatment without obtaining an individual authorization. Providers may exchange information electronically for treatment when they apply reasonable safeguards. That permission is purpose-specific: a treatment exchange between providers is not the same as an advertising disclosure or an unrelated commercial use.
Payment, operations, public health and research
HIPAA contains separate rules for payment and health-care operations, and additional provisions address public-health activities and research. Whether a disclosure fits one of those categories depends on the actual facts and, in some cases, additional documentation or review. A contract should state the intended purpose instead of relying on vague language such as “business purposes.”
Marketing and other uses
Marketing uses or disclosures generally require a valid HIPAA authorization, subject to defined exceptions. If an organization receives financial remuneration for a disclosure, the authorization must clearly state that fact. An authorization should be written in plain language and identify:
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
- The person or organization authorized to disclose the information.
- The information covered, described specifically rather than as an unlimited category.
- The person or class of recipients.
- The purpose of the use or disclosure.
- When the permission expires, such as a date or an event.
- Any remuneration the organization will receive when required.
A signature alone is not a blanket waiver. If the document does not clearly identify these elements, ask the organization to explain what information and uses it actually covers.

What to look for in the agreement
Use the following checklist when comparing an agreement, authorization, app terms, or network enrollment document. The exact clauses required will depend on the parties, purpose, data, and governing law.
| Reading question | What to identify | Why it affects privacy |
|---|---|---|
| Purpose | Treatment, payment, operations, public health, research, marketing, or another defined purpose | A permission for one purpose should not silently become permission for a different one. |
| Parties and roles | Covered entity, business associate, health information organization, app, employer, researcher, or another recipient | HIPAA duties attach to legal roles and activities, not to the phrase “health data.” |
| Data scope | Diagnoses, medications, claims, identifying details, location, reproductive or mental-health information, and metadata | More sensitive or identifiable data can create greater harm and may trigger special rules. |
| Further sharing | Whether the recipient may disclose data to contractors, affiliates, advertisers, researchers, or other parties | Onward disclosure can expand the privacy risk beyond the first recipient. |
| Patient choice | Whether authorization is required, how to revoke it, and which restrictions can be requested | Consent and restriction rights differ by purpose and legal framework. |
| Safeguards | Access controls, encryption, authentication, workforce training, monitoring, and incident response | These controls reduce unauthorized access but do not eliminate all risk. |
| Retention and deletion | How long information is kept, backup handling, and deletion or return at termination | Data that remains after the service ends can still be exposed or reused. |
| Oversight and remedies | Audit rights, reporting deadlines, cooperation duties, complaints, and termination rights | Clear accountability determines what happens when a party fails to follow the terms. |
Your rights and limits on patient control
HIPAA gives individuals rights concerning access to their health information and allows them to request restrictions on certain uses and disclosures. A request is not the same as an automatic veto. In most circumstances, a covered entity does not have to agree to a requested restriction. There are limited situations with stronger requirements, so the result depends on the type of request and the parties involved.
Do not assume you can stop every treatment, payment, or operational exchange by asking. Instead, ask the covered entity what restriction process it offers, whether it will agree, and how the decision will be documented.
Access rights also have practical limits. The organization holding the record, the type of record, and applicable exceptions affect how access or correction requests are handled. An app’s ability to export data may be governed by its own terms rather than by HIPAA access procedures if the app is not a covered entity.
Does HIPAA protect data shared with an app?
Sometimes, but not automatically. If a covered provider sends PHI to an app at a patient’s direction, the disclosure may be treated differently from a provider-to-provider treatment exchange. Once data reaches an app that is not a covered entity or business associate, HIPAA may no longer govern the app’s subsequent practices. The app’s privacy policy, contractual promises, FTC rules, breach-notification requirements, and state law may become the primary controls.
Read the app’s terms for collection, processing, storage, sale or other disclosure, targeted advertising, data retention, account deletion, and use of service providers. HHS guidance to businesses warns that a company must consider everything it says or implies about health-data collection, use, retention, or sharing—and anything material it fails to say—so it does not create a deceptive or misleading impression.

If the app connects through a health-information network, that connection still does not prove that the app is HIPAA-covered or that the network’s baseline terms answer every privacy question. You need the app’s own disclosures and the actual organizations involved.

The Trusted Exchange Framework and Common Agreement (TEFCA) is a U.S. nationwide framework intended to support exchange across participating networks. The Office of the National Coordinator for Health Information Technology (ONC) describes common legal and technical requirements, including baseline privacy and security expectations. Each request under the framework must identify its exchange purpose.
TEFCA was announced in 2022, and the first Qualified Health Information Networks (QHINs) were designated in December 2023. Those are milestone dates, not a statement of current participation or a guarantee that every provider or app is connected.
An app that connects through TEFCA may agree to many HIPAA-related terms, yet consumers should still read the fine print governing collection, processing, storage, and use. TEFCA supplies a network framework; it does not replace the agreement, authorization, or privacy notice that applies to your particular transaction.
A practical way to review an agreement
- Mark every party. Write down the sender, recipient, contractors, affiliates, and any network intermediary. Note each party’s stated legal role.
- Underline the purpose clause. Separate treatment, payment, operations, research, marketing, and other purposes. Flag catch-all language that allows undefined “business” or “commercial” uses.
- List the data fields. Check whether the document covers only a requested record or an entire account, including identifiers, inferred information, location, or app-generated data.
- Trace onward disclosures. Find clauses on subcontractors, affiliates, sale, licensing, analytics, advertising, and de-identification. Determine whether those uses require notice or permission.
- Check patient controls. Look for authorization expiration, revocation instructions, restriction requests, access and correction contacts, and complaint procedures.
- Review security and incidents. Identify required safeguards, breach-notification timing, investigation duties, and who pays for response or remediation.
- Check the end of the relationship. Determine whether data is returned, destroyed, or retained, and how backups are handled.
- Compare the terms with the law. If a clause appears broader than the stated HIPAA purpose or conflicts with a state or special-record requirement, ask the organization’s privacy officer or a qualified attorney before signing.
Common situations and what they mean
One doctor sends records to another doctor for treatment
This may be allowed without a patient authorization under HIPAA when the exchange is genuinely for treatment and reasonable safeguards are used. The providers’ identities, the records requested, and the actual purpose still matter.

A patient connects a consumer app
HIPAA may not govern the app after transfer if the app is not a covered entity or business associate. Review the app’s privacy terms and FTC-related disclosures rather than relying on the provider’s HIPAA notice.
A company requests data for advertising
Marketing generally requires a valid authorization under the Privacy Rule, subject to defined exceptions. The authorization should identify the information, recipient, purpose, expiration, and any required remuneration statement.
A network exchange uses TEFCA
TEFCA supplies common network-level requirements and a purpose-based exchange framework. It does not tell you, by itself, which individual organization may use your data later or how an app will retain it.

- The recipient is described only as “partners” or “third parties,” with no meaningful definition.
- The purpose allows broad commercial, advertising, or artificial-intelligence uses unrelated to the service you requested.
- The document permits indefinite retention or gives no deletion process.
- There is no incident-notification contact or no explanation of who handles a breach.
- An app claims to be “HIPAA compliant” but does not identify its legal role or explain onward sharing.
- The agreement conflicts with a separate privacy notice, authorization, or patient-facing promise.
Ask for a plain-language explanation and keep a copy of the version you accepted. For a dispute involving a specific disclosure, the actual agreement, the data involved, the parties’ roles, and the applicable state or special-record rules will determine the answer. A privacy officer, regulator, or attorney may be needed for a case-specific determination.
Bottom line
A health data-sharing agreement defines boundaries; it is not a universal permission slip. The safest reading starts with the parties and their legal roles, then tests the stated purpose, data scope, onward sharing, patient controls, safeguards, retention, and applicable law. HIPAA can protect information in a covered-entity or business-associate relationship, while an app outside HIPAA may instead be governed by its promises, FTC rules, breach-notification requirements, and state law. TEFCA can standardize exchange between networks, but it does not replace the terms that govern your particular data transfer.
