Short answer: A Czech company entering Karnataka must first choose its Indian operating form—subsidiary, branch or another taxable presence—because that choice affects Indian corporate tax, permanent-establishment (PE) exposure, funding and repatriation. It should then model GST and Karnataka professional tax, review the India–Czech tax treaty, and use Karnataka’s Single Window System to identify project-specific approvals. Hiring Czech staff requires separate immigration verification, while Indian hiring requires a written Karnataka labour and payroll checklist before anyone starts work.
The practical rules are time-sensitive. The tax rates below are identified for the stated assessment years, and Karnataka’s professional-tax portal and notices changed during 2026. Have an India-qualified tax and employment adviser validate the company’s facts and the current government requirements before implementation.

Choose the operating model before calculating tax
A Czech parent can enter Karnataka through an Indian subsidiary, a branch or another form of taxable presence. There is no single “Czech-company tax rate” that applies to every structure. The legal form, where management decisions are made, what contracts are signed, who bears commercial risk and how personnel work can all change the result.
| Operating model | Tax and legal questions | Funding and repatriation issues |
|---|---|---|
| Indian subsidiary | The subsidiary is generally an Indian domestic company. Review its corporate-tax regime, GST registration and PE relationship with the Czech parent, including transfer-pricing documentation. | Capital contributions, intercompany loans, dividends, royalties and service fees each have different withholding, exchange-control and transfer-pricing consequences. |
| Branch or other foreign-company presence | Determine whether the activities create an Indian PE and how the foreign-company rules and the India–Czech treaty apply. Contracts negotiated or performed in Karnataka can be important facts. | Profit attribution, remittance procedures and the parent’s liability profile must be reviewed before operations begin. |
| Limited project or service presence | Even without a locally incorporated company, employees, agents, fixed premises or repeated contract activity may create tax, payroll or regulatory obligations. | Short-term deployment does not automatically eliminate Indian tax or immigration exposure. Document the project scope and duration. |
Compare the models on legal liability, expected tax residence, PE risk, local financing, ability to hire, ownership of assets, reporting burden and how profits will return to the Czech Republic. A structure selected for speed can become expensive if it later has to be rebuilt to correct PE, payroll or licensing problems.

Indian income tax: rates depend on status and year
The India Income Tax Department lists a 35% general income-tax rate for a foreign company’s “any other income” for assessment years (AY) 2025–26 and 2026–27. That is the published base rate before any applicable surcharge and the 4% health-and-education cess. It is not a final effective rate for every Czech company: the company’s income category, taxable profit, surcharge, cess, deductions and treaty position still have to be calculated.
An Indian subsidiary is a domestic company and may fall into a different regime. For AY 2026–27, the Income Tax Department lists these base-rate alternatives:
| Domestic-company option | Published base rate for AY 2026–27 | Important qualification |
|---|---|---|
| Turnover or gross receipts in the relevant prior year not exceeding Rs. 400 crore | 25% | The turnover test and all statutory conditions must be met. |
| Section 115BAA | 22% | Election requirements and restrictions apply. |
| Section 115BAB | 15% | Only qualifying new manufacturing companies meeting the statutory conditions can use it. |
| Any other domestic company | 30% | Subject to the applicable surcharge and cess. |
These figures are base income-tax rates, not a quote for a particular group. Model the company’s expected Indian profit, withholding obligations, minimum-tax position, losses, incentives and intercompany charges with current Indian rules.

Minimum alternate tax (MAT)
India’s MAT rule is generally 15% of book profit. The Income Tax Department identifies exceptions for certain foreign-company income and for a foreign company resident in a country with a double-taxation agreement (DTAA) when it has no PE in India. Whether an exception applies depends on the company’s residence, income and activities; it cannot be assumed merely because the parent is Czech.

Use the India–Czech treaty, but prove the facts
The Czech Ministry of Finance’s in-force treaty table records India — 27.9.1999 — 301/1999 Coll. as an India–Czech double-taxation agreement. The treaty can affect business profits, dividends, interest, royalties, capital gains, withholding and relief from double taxation.
Treaty treatment is fact-dependent. Before relying on a treaty article, document:
- the company’s Czech tax residence and any Indian residence created by management or operations;
- the exact character of each payment or income stream;
- beneficial ownership and the recipient entitled to treaty relief;
- withholding-tax and certificate requirements;
- transfer-pricing support for related-party transactions; and
- whether a fixed place, dependent agent, project activity or personnel creates an Indian PE.
A Czech company can therefore face Indian tax even when it has no Indian subsidiary. Conversely, a treaty limitation may reduce Indian taxation only if the company satisfies the treaty’s conditions and can substantiate them in a tax review.

Map every planned supply before signing customer contracts: software or engineering services, installation, licensing, goods, imports, intercompany services and reimbursements can have different GST treatment. The correct registration, place-of-supply analysis, invoicing, input-tax-credit and return obligations depend on the activity, customer location and operating entity. The available official material does not establish a universal registration threshold for this project, so obtain a current GST determination rather than applying a generic threshold from another state or business type.

Professional tax in Karnataka
Karnataka’s Commercial Taxes Department administers professional tax and maintains the state professional-tax portal. The department records a portal upgrade effective 1 July 2026, a 2026 Karnataka Tax on Professions, Trades, Callings and Employments amendment, and related 2025 rules. Treat professional tax as a live payroll-compliance item: confirm whether the employer must register or enroll, identify the applicable employee and employer obligations, deduct the correct amount, file returns and retain payment evidence.
Check the portal’s current notices at the time of registration and again before the first payroll. A payroll provider’s calculation does not transfer the employer’s legal responsibility for registration, deductions or filings.
Find Karnataka permits through the Single Window System
Invest Karnataka’s Single Window System is the starting point for discovering and filing state approvals. Its “know-your-approvals” wizard is designed to identify approvals relevant to a project. The portal says the system covers over 150 state services across more than 30 departments and lets an investor identify services, submit applications, pay fees, track status, receive certificates and renew clearances through an investor dashboard.
- Define the project facts. Record the entity, business activity, products, land or premises, built-up area, utilities, headcount, machinery, expected emissions, water use, construction work and proposed start date.
- Create an investor registration. Registration is required before applying for business services on the system. Use the legal entity’s details consistently with incorporation, tax and ownership documents.
- Run the know-your-approvals wizard. Enter the project’s actual manufacturing, service, construction, environmental, land, labour and local-body characteristics. Save the resulting list and the assumptions used.
- Prepare the Combined Application Form. The portal allows investors to submit the Combined Application Form for in-principle approval. Reconcile the form with site plans, constitutional documents, financial information and technical reports before submission.
- File each approval and pay the stated fee. Upload documents in the required format, nominate an authorised signatory and record application numbers and payment receipts.
- Monitor the dashboard. Track queries, deadlines, inspection requests, certificates and renewal dates. Assign a named owner for each approval rather than treating the dashboard as a one-time filing.
- Confirm operating conditions. Read every approval for validity period, production limits, environmental conditions, labour restrictions and reporting duties. A certificate is not permission to ignore conditions attached to it.
Karnataka Udyog Mitra provides investment facilitation and assigns nodal officers through the project life cycle. Use that channel when an application is delayed or responsibilities between departments are unclear, while retaining the company’s own evidence and deadlines.

Why the wizard is not a blanket licence
The required approvals can change with the site and activity. A software office, an engineering workshop, a factory and a construction project will not produce the same checklist. Land conversion, building and occupancy permissions, power and water connections, fire safety, pollution control, environmental permissions, local-body licences, labour registrations and sector-specific clearances may each be relevant. Treat the Single Window output as a project-specific control list and have a local adviser verify omissions before committing funds or starting work.

The available official material does not establish a complete current employment-visa category, salary threshold or document list for Czech nationals. Do not assume that a business, tourist or short-term visit permission authorises productive work. Before a Czech employee travels, verify the current category and conditions with India’s Ministry of Home Affairs, the Indian visa portal and the relevant Foreigners Regional Registration Office (FRRO).
Prepare an assignment file containing the Indian entity or host, job description, work location, employment or secondment agreement, compensation, proof of qualifications, passport validity, insurance and tax-residence information. Confirm whether registration after arrival, reporting to the FRRO, address notification, travel restrictions or an exit permit applies to the person’s category. Recheck the rules if the employee changes location, employer, duties, compensation or assignment length.

Indian employee payroll and labour registrations
Before the first local hire, obtain a written, current checklist from the Karnataka Labour Department and the applicable Employees’ Provident Fund Organisation (EPFO) and Employees’ State Insurance Corporation (ESIC) offices. The available official material does not provide a complete current matrix of headcount thresholds, registration triggers or exemptions for the following items:
| Area to verify | Questions for the written checklist |
|---|---|
| Shops and Establishments | Does the office or establishment require registration, what records and notices are mandatory, and which working-time and leave rules apply? |
| Factories | Does the premises or process meet the statutory definition of a factory, and are plan approval, licence, inspections or safety appointments required? |
| Contract labour | Will contractors, staffing agencies or labour suppliers trigger principal-employer registration, licensing, wage records or contractor due diligence? |
| EPF | When does coverage begin for this establishment and workforce, and how are eligible employees enrolled and contributions remitted? |
| ESIC | Do the establishment and employee wage conditions create coverage, and what registration, contribution and medical-benefit procedures follow? |
| Leave and working time | Which state and central rules govern hours, weekly rest, holidays, leave, overtime and attendance records? |
| Payroll tax | How will Karnataka professional tax, income-tax withholding, payslips, returns and year-end certificates be administered? |
Do not fill an unknown threshold with a rule from a different Indian state. Keep the written advice, registration certificates, employee declarations, wage registers, attendance records, challans and filings in a central compliance file.
Direct employment versus secondment
| Arrangement | What to examine before using it |
|---|---|
| Indian entity employs the worker | Indian payroll withholding, professional tax, social-security coverage, local employment terms, labour registrations and immigration for foreign nationals. |
| Czech parent seconds the worker | Host supervision, recharge methodology, treaty PE risk, payroll withholding, social-security treatment, immigration permissions and who bears employment-law duties. |
| Short business visit | Whether the planned activities are genuinely permitted visitor activities. Contract negotiation, supervision or hands-on services may require a work-authorised category. |
| Employer-of-record or staffing arrangement | Which party holds the employment relationship, who controls the work, contractor licensing, co-employment risk, data handling and responsibility for statutory filings. |
Write the arrangement down before travel or onboarding. The agreement should match reality: the entity directing daily work, paying compensation, bearing risk and benefiting from the services should not be contradicted by the paperwork.
A practical pre-launch sequence
- Weeks 1–2: scope the presence. Decide the activity, location, personnel, customer contracts, assets and expected Indian revenue. Select candidate structures and identify PE scenarios.
- Weeks 2–4: model tax and cash. Compare foreign-company and domestic-company tax outcomes, MAT, GST, professional tax, withholding, transfer pricing, treaty relief and profit repatriation.
- Weeks 3–6: build the approvals register. Register on the Single Window System, run the wizard, prepare the Combined Application Form and assign owners and renewal dates for every approval.
- Weeks 4–8: validate people compliance. Obtain the Karnataka labour, EPFO and ESIC checklist; configure payroll and professional-tax processes; and verify each Czech employee’s immigration category and FRRO obligations.
- Before operations: test evidence. Confirm that contracts, invoices, payroll records, visa documents, tax registrations, approval conditions and intercompany agreements tell the same factual story.
Common failure points and fixes
- Signing customer contracts from Karnataka before analysing PE. Map who negotiates, signs and performs each contract and obtain a written treaty analysis.
- Assuming a subsidiary automatically solves tax. A subsidiary still needs corporate-tax, GST, payroll, transfer-pricing and state registrations.
- Treating the Single Window result as complete forever. Re-run the approval analysis when the site, machinery, headcount, emissions or activity changes.
- Starting payroll without professional-tax registration. Check the current Commercial Taxes Department portal notices, the 1 July 2026 portal changes and the 2026 amendment before the first deduction.
- Sending Czech staff on a convenient but unsuitable visa. Obtain current written confirmation from the Ministry of Home Affairs, visa portal and FRRO for the actual duties and duration.
- Relying on an unverified labour threshold. Ask the Karnataka Labour Department, EPFO and ESIC for a dated checklist that addresses the establishment’s headcount, premises and contractors.
The sound entry plan is therefore sequential: choose the legal presence, quantify Indian and treaty tax, discover Karnataka approvals through the Single Window System, and verify immigration and labour requirements before hiring or commencing work. That sequence reduces the risk that a Czech company has a valid incorporation but an unusable licence, incorrect payroll or unexpected Indian PE.
