What Counts as a Transfer of Virtual Digital Assets for Indian Tax Purposes?

For Indian tax, a virtual digital asset (VDA) is not transferred only when you sell it for rupees. Under the legacy Income-tax Act, 1961, section 115BBH(3) applies the inclusive definition of “transfer” in section 2(47) to any VDA, whether or not it is a capital asset. A crypto-to-crypto swap and consideration paid wholly or partly in another asset can therefore fall within the transfer rules even when no cash changes hands.

The exact result depends on the asset, the rights that changed, the parties, the consideration and the tax-year law. The official material does not provide a universal answer for every wallet movement, gift, staking arrangement, loan, derivative, bridge or wrapped-token transaction. Those events must be described factually rather than labelled automatically taxable or tax-free.

The legal meaning of “transfer” for a VDA

Section 2(47) of the Income-tax Act, 1961 uses an inclusive definition of transfer. Section 115BBH(3) then states that this definition applies to a virtual digital asset “whether capital asset or not.” That wording prevents a narrow reading in which only the sale of a capital asset for money is covered. The question is whether an asset, interest or right was disposed of, parted with or otherwise changed in a transaction that fits the statutory concept.

For a transaction falling under section 115BBH, income from the transfer is taxed at 30%, plus applicable surcharge and cess. The computation allows the cost of acquisition, if any, and does not allow other expenditure or allowances. A loss from one VDA transfer cannot be set off against other income or carried forward. CBDT Circular 23/2022 also states that a loss from one VDA transfer cannot be set off against income from another VDA transfer.

Choose the statute for the tax year first

Departmental material published in 2026 presents a VDA transfer-tax provision in section 194 of the Income-tax Act, 2025, while other current pages continue to display the familiar section 115BBH, section 2(47A) and section 194S references from the 1961 Act. The Schedule VDA page was updated on 18 May 2026 and still lists those legacy provisions. A return or advice should identify the relevant financial year or assessment year and then use the corresponding Act; do not combine section numbers from the two statutes without explaining the transition.

What qualifies as a virtual digital asset

Under section 2(47A) of the 1961 Act, a VDA includes information, code, numbers or tokens (other than Indian or foreign currency) that represent value and can be transferred, stored or traded electronically. The definition also covers specified non-fungible tokens and other digital assets that the government notifies. The government may exclude an asset by notification, so a label such as “token” or “collectible” is not enough by itself.

Examples and exclusions in departmental guidance

The Income Tax Department’s guide lists crypto assets and NFTs as examples. It also identifies categories that are not treated as VDAs in the cited guidance:

  • Indian currency and central-bank digital currencies;
  • foreign currency;
  • physical NFTs;
  • gift cards and vouchers;
  • reward points and loyalty cards; and
  • subscriptions to a website or application.

Whether a particular digital collectible, tokenized right or platform credit falls inside the definition still requires checking the statutory language and notifications applicable to the tax year.

The separate crypto-asset limb from 1 April 2026

Finance Act, 2025 material reflected on the official section 2 page inserts a separate crypto-asset limb effective 1 April 2026. It describes crypto-assets by reference to a cryptographically secured distributed ledger or similar technology. That change is another reason to state the tax-year framework and avoid relying on an old, one-sentence paraphrase of the VDA definition.

Transaction-by-transaction map

Use the following map as a classification starting point, not as a substitute for analysing the actual rights and consideration.

Transaction What the official material establishes What still requires fact analysis
Sale for cash A disposal for consideration is the clearest transfer case. Confirm that the asset is a VDA for the relevant year, identify acquisition cost and calculate consideration.
VDA-for-VDA swap CBDT Circular 23/2022 expressly addresses consideration in another VDA for the withholding regime; the Department’s TDS guidance describes exchange responsibilities. Identify what each party disposed of and received, the value used for reporting and each asset’s acquisition cost.
Payment wholly or partly in kind The circular covers wholly in-kind consideration and cases where cash is insufficient to meet withholding. Determine who paid and received consideration and how the withholding obligation is discharged.
Movement between wallets controlled by the same person The reviewed official material does not give a universal rule for every own-wallet movement. Establish whether ownership or an underlying right changed, or whether the event was only a transfer of custody.
Gift No blanket taxable or non-taxable conclusion is supplied for every VDA gift. Analyse the donor, recipient, consideration, ownership change and any rule that applies to the particular gift.
Staking, lending or liquidity arrangements The sources do not settle every staking or lending structure. Separate the original asset movement from any newly created right, reward or repayment obligation.
Derivatives, bridges and wrapped tokens The sources do not classify every derivative, bridge or wrapped-token interaction. Identify the legal and economic interest disposed of or created and check whether the resulting instrument is itself a VDA.

How tax is computed after a transfer

30% rate under section 115BBH

For income from a VDA transfer under section 115BBH, the statutory rate is 30%, with applicable surcharge and cess as described in departmental guidance. The rate applies to the computed income, not automatically to every rupee of gross proceeds.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Only acquisition cost is deductible

The statutory computation permits the cost of acquisition, if any. It does not permit deductions for other expenditure or allowances. Keep evidence showing how and when the asset was acquired and how the cost relates to the units transferred.

Losses are ring-fenced

A loss from a VDA transfer cannot be set off against income under another provision and cannot be carried forward. Circular 23/2022 further explains that a loss from one VDA transfer cannot be set off against income from another VDA transfer. A losing trade therefore does not shelter salary, business income, interest or a profitable VDA transaction.

Illustrative calculation

Suppose a taxpayer acquired a VDA for ₹100,000 and later transferred it for ₹180,000. Ignoring surcharge and cess, the section 115BBH income is ₹80,000 (₹180,000 less ₹100,000), and the 30% tax on that income is ₹24,000. The example does not create a valuation rule for swaps and does not include any deduction other than acquisition cost.

Section 194S withholding: a separate question from final tax

Section 194S concerns tax deducted at source on consideration paid to a resident for transfer of a VDA. The general rate is 1% of consideration. It is withholding, not the recipient’s final income-tax calculation under section 115BBH or the corresponding provision for a later tax year.

Annual no-deduction thresholds

Payer category in Circular 23/2022 Aggregate consideration threshold in a financial year Rate when the provision applies
Specified person ₹50,000 1% of consideration paid to a resident
Other payer ₹10,000 1% of consideration paid to a resident

The thresholds are annual figures described in Circular 23/2022. Confirm the payer’s status, the recipient’s residential status and the applicable law for the financial year before relying on them.

Exchange and in-kind consideration

CBDT Circular 23/2022 addresses a VDA exchange, consideration paid wholly in kind and a situation in which the cash component is insufficient to cover the required withholding. The absence of rupees therefore does not, by itself, remove the transaction from the withholding discussion. Departmental guidance also describes responsibilities for parties handling over-the-counter and exchange transactions. The party responsible for payment or settlement should follow the applicable procedure rather than assuming that an exchange platform or the counterparty has dealt with TDS.

Reporting the transaction in Schedule VDA

Information reported transaction by transaction

The Income Tax Department says Schedule VDA requires transaction-wise information, including:

  • the acquisition date;
  • the transfer date;
  • the income head;
  • the acquisition cost; and
  • the consideration received or paid.

Departmental guidance says a loss is reported as nil in the schedule. That reporting treatment does not turn a loss into deductible income; the loss restrictions under the VDA regime still apply.

Records to retain

Keep exchange statements, wallet transaction records, acquisition-cost evidence and documents that describe what the transaction did. For a swap or in-kind payment, preserve both sides of the transaction and the records used to determine consideration. This is practical recordkeeping guidance; it should not be confused with a separately verified statutory record-retention period.

A practical classification workflow

  1. Identify the tax year. State the financial year and whether the 1961 Act or the 2025 Act provision applies.
  2. Identify the asset. Test the token, NFT or digital right against the VDA definition, exclusions and notifications for that year.
  3. Map ownership and rights before and after. Record who controlled the asset or interest before the event and who controlled it afterward.
  4. Describe the consideration. Specify whether it was cash, another VDA, services, property or wholly in kind. Do not infer “no consideration” merely because no rupees were paid.
  5. Check the parties. For section 194S, identify the payer, the recipient and whether the recipient is resident. Apply the relevant annual threshold.
  6. Compute separately. Determine transfer income using acquisition cost and the 30% regime, then handle any 1% TDS as withholding credit or compliance, not as the final tax.
  7. Report and retain evidence. Enter each event in Schedule VDA with dates, cost, consideration and income head, and retain the records supporting every entry.

How common fact patterns should be described

Crypto sold for rupees

State the units sold, acquisition cost, sale consideration and dates. This is the least disputed transfer pattern. Apply the VDA income computation and separately check whether the buyer or payer had a section 194S obligation.

Bitcoin exchanged for another token

Treat the event as a potential transfer of the first VDA and a receipt of the second, not as a non-event simply because the settlement currency was another token. Circular 23/2022 specifically addresses VDA-for-VDA consideration for withholding. Document the assets, parties, consideration and acquisition costs independently.

Crypto sent from one personal wallet to another

Do not label every own-wallet movement taxable or exempt. Explain whether the same person remained the beneficial owner and whether any sale, exchange, payment, gift or new right occurred. A custody transfer and a disposal can look identical on a blockchain record, so the surrounding facts matter.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Gift, staking reward or loan

Describe the legal arrangement and the rights created or surrendered. The official material reviewed does not provide a single rule resolving every gift, staking or lending structure. Avoid presenting a universal answer where the transaction has not been matched to an official provision or interpretation.

Common errors to avoid

  • Assuming “transfer” means only a cash sale.
  • Treating a crypto-to-crypto swap as tax-free because no rupees were received.
  • Calling the 1% section 194S deduction the final tax rate.
  • Claiming expenses other than acquisition cost under section 115BBH.
  • Using a VDA loss to reduce salary, business income or another VDA gain.
  • Combining 1961 Act and 2025 Act section numbers without naming the tax year.
  • Reporting a wallet transaction without records showing ownership, consideration and acquisition cost.

Bottom line for taxpayers

Start with the statutory definition, not the payment rail. A VDA disposal can be a transfer even when consideration is another VDA or is wholly in kind. Then identify the tax-year statute, establish whether the asset is a VDA, map the rights that changed, test section 194S withholding and complete transaction-wise Schedule VDA reporting. For own-wallet movements, gifts, staking, lending, derivatives, bridges and wrapped tokens, give a fact-specific explanation instead of claiming that every on-chain movement is taxable or exempt.
