When a garment supplier misses a deadline, first establish the exact exposure and cause, then obtain a written recovery schedule. Compare priority production, partial shipments, alternate transport and revised customer dates before using delay charges, cancellation or termination. The purchase order, incorporated terms and governing law determine which remedies are actually available.
1. Confirm exactly what is late
Do not treat “the order is delayed” as a sufficient status. Build an exposure list for every affected purchase order and have the supplier confirm it in writing. Record:
As an Amazon Associate I earn from qualifying purchases.
- Purchase-order number, style, color, size run and total units.
- The contractual completion date, inspection date, ship date and required arrival date.
- Launch, campaign, retail-window or customer commitments that depend on the goods.
- Current production stage: fabric booking, cutting, sewing, finishing, inspection, packing or ready-to-ship.
- Quantities complete, in work-in-progress, blocked by materials, rejected or still unstarted.
- Named factory, production location and any subcontractor involved.
Ask for a dated production report rather than a new promise stated only in a phone call. A useful report separates what is physically complete from what is merely planned and gives a revised completion date, inspection and packing date, shipping cutoff and estimated arrival date.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsQuestions that make the update usable
- What event caused the delay, and on what date did management first know it could affect delivery?
- Which operation is the bottleneck, and what evidence supports that diagnosis?
- Are fabric, trims, labels and packaging physically available and approved?
- Which lines, shifts, machines and workers are assigned to the order now?
- Has work moved between factories or subcontractors, and have quality and compliance controls moved with it?
- What output will be completed each day or week, and what assumptions could still change the schedule?
Fair Wear Foundation’s shipment guidance emphasizes clarifying where and when production is taking place so a buyer can assess capacity and visibility. If the supplier will not identify the location, work-in-progress or constraint, treat the proposed date as low-confidence and escalate procurement and compliance review.

2. Set a written recovery cadence
Appoint one owner on each side and put the recovery plan in a dated document or purchase-order amendment. The plan should state the affected quantities, milestones, responsible person, decision deadlines and escalation path.
Minimum milestones
- Diagnosis: written cause, affected operations and evidence.
- Materials: confirmation that all fabric, trims and packaging are on hand, with expected dates for anything missing.
- Production: daily or weekly output targets by style and quantity.
- Quality: inline inspection, final inspection and rework allowance.
- Packing: carton completion, documentation and booking readiness.
- Transport: booking date, origin cutoff, vessel or flight schedule and estimated arrival.
Choose an update frequency that matches the risk. A severe delay may require a daily dashboard; a stable, smaller slippage may justify twice-weekly written updates. Each update should show planned versus actual units, newly discovered blockers and the decision needed from the brand. Keep a contemporaneous record of notices, approvals, cost quotes and revised dates. That record supports operational decisions and preserves the ability to enforce contract rights without turning every conversation into a dispute.
3. Compare recovery options by order, not by habit
There is no universal “best” response. Fair Wear identifies priorities, partial shipments, sea-air or air transport, courier services, vessel schedules and cutoffs as planning tools. Compare each option against the units protected, days gained, incremental cost, feasibility, quality risk, customer impact and contractual or worker consequences.

| Option | When it helps | What to quantify before agreeing | Main risks |
|---|---|---|---|
| Prioritize key styles or quantities | A limited assortment can protect a launch, core size run or important account. | Units and revenue protected; completion date for the priority lot; effect on the remainder. | Lower-priority goods may slip further; changing the line plan can create quality or labor pressure. |
| Partial shipment | Finished goods can move while later units remain in production. | Carton count, minimum economic shipment, split freight and receiving capacity; dates for each lot. | Duplicate logistics and customs work; incomplete size or color runs may be difficult to sell. |
| Reallocate production | Another qualified line or factory has capacity and compatible equipment. | Transfer time, sample approval, capacity evidence, audit status and incremental cost. | Unapproved subcontracting, inconsistent workmanship, traceability gaps or worker-protection concerns. |
| Change transport mode | Goods are, or soon will be, ready to leave the origin. | Transit-time saving, quote validity, fuel or surcharge exposure, customs timing and carbon impact. | Air or courier cannot solve unfinished production; costs may exceed the value of the date gained. |
| Renegotiate the downstream date | The customer or retailer can accept a realistic later arrival. | New launch, allocation and marketing dates; written customer acceptance; costs of re-planning. | Lost sales or penalties downstream; reputational damage if dates change repeatedly. |
| Cancel, cover or terminate | Recovery is not credible or the commercial purpose has been lost. | Contractual trigger, notice and cure period, replacement cost, inventory exposure and transition plan. | Wrongful termination claim, duplicated production, stranded materials and supplier-worker impacts. |
Transport: what it can and cannot fix
Faster freight is useful only after a shipment is ready, documented and able to clear export and import controls. It cannot cure a shortage of fabric, an unstaffed sewing line or failed quality inspection. Ask the supplier and forwarder to show the exact handoff date, available booking and arrival calculation. In its European-buyer context, the Centre for the Promotion of Imports (CBI) says buyers may request a discount or alternative transport at the supplier’s cost; that is guidance for that context, not an automatic entitlement. Whether the supplier must pay depends on the accepted agreement and applicable law.
4. Read the purchase order before imposing a remedy
A missed date does not automatically create a right to a late-delivery charge, cover purchase, cancellation or recovery of customer losses. Pull the accepted purchase order, specifications, amendments, incorporated standard terms and any master supply agreement. Confirm:
- Whether the delivery date is expressly essential or tied to a defined event.
- How notice of delay must be delivered, to whom and within what period.
- Any cure or grace period and the milestones that start it.
- Liquidated damages, service credits, discounts or other delay charges, including caps and exclusions.
- Rights to suspend, cancel, terminate for cause or terminate for convenience.
- Cover-purchase, price-difference, consequential-loss and customer-claim provisions.
- Force-majeure definition, notice requirement, mitigation duty and documentation standard.
- Inspection, acceptance, title, risk of loss, governing law and dispute forum.
Send a formal reservation-of-rights notice when the contract requires one, while making clear that operational discussions are intended to mitigate loss and do not waive existing rights. Have qualified counsel apply the actual governing law; a clause from another buyer’s contract is not a rule for your order.

Why sample terms can mislead
Purchasing terms published by the Project Management Institute illustrate how a negotiated contract may require written notice, mitigation such as overtime or urgent freight, liquidated damages and termination. Their stated charge of 2% per complete week, capped at 10%, belongs only to those terms. It is not an apparel-industry standard and should not be copied into a claim unless your contract contains the same language.

“Force majeure” is not a synonym for ordinary lateness, poor planning or an unexplained factory promise. Under the UNIDROIT Principles of International Commercial Contracts 2010, Article 7.1.7, a party seeking relief must establish an impediment beyond its control that could not reasonably have been anticipated when the contract was made or avoided or overcome. A temporary impediment excuses performance only for a reasonable period in view of its effect, and the affected party must notify the other party.
UNIDROIT states: “The party who fails to perform must give notice to the other party of the impediment and its effect on its ability to perform.” The Principles are a framework, not automatically the law governing an apparel transaction. Your contract may define qualifying events differently, allocate risk specifically, or exclude predictable labor, capacity or material problems.

Evidence to request for a force-majeure notice
- The event, start date, affected facility and direct link to the missed obligation.
- Contemporaneous government, carrier, utility or other independent records where relevant.
- Why the event could not reasonably have been anticipated, avoided or worked around.
- Actions taken to mitigate, including alternate materials, lines, routes or shifts.
- Expected duration, temporary versus permanent impact and the next review date.
Do not accept a bare label as proof. Check notice timing and mitigation against the contract, and continue the recovery plan while the legal position is assessed.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.6. Check whether brand-side decisions contributed
Responsible purchasing changes the solution. Fair Wear links unrealistic delivery demands and late-delivery penalties to downward pressure on suppliers. Review whether your team issued late specifications, changed quantities or colors, approved samples slowly, forecasted inaccurately, paid late or set a date that ignored the production calendar. If the brand contributed, document the facts and negotiate a fair allocation of cost and time rather than demanding an impossible acceleration.
Ask the supplier what overtime, weekend work or subcontracting would be required to recover. Do not make a date-saving decision that creates excessive hours, unsafe conditions, unpaid wages or unapproved production. The OECD’s garment and footwear due-diligence guidance, adopted by 50 governments according to its current topic page, places supply-chain human-rights and environmental risks in the same management context as commercial performance. A recovery plan should therefore include responsible-workplace checks, not just a faster output target.

7. Manage retailers and customers with one realistic date
Give internal merchandising, marketing, finance, logistics and customer-service teams the same version-controlled schedule. Separate confirmed dates from estimates and identify the assumption behind each estimate. Then approach affected retail partners or end customers with options: a later complete delivery, an earlier partial assortment, a changed launch allocation or cancellation of only the unusable portion.
Do not promise a date that depends on an unbooked flight, unapproved subcontractor or untested overtime plan. Explain what is known, what remains conditional and when the next update will arrive. Fair Wear recommends working with retail partners on realistic schedules and communicating responsibly when a force-majeure event occurs. Written acceptance of a revised downstream date can reduce avoidable disputes, but it does not change the supplier’s obligations unless the supplier agreement is amended as well.
8. Decide when recovery is no longer credible
Set objective decision gates in the recovery plan. Examples include missing two consecutive production milestones, failure to provide evidence of materials, refusal to disclose the production location, repeated quality failures or an arrival date that misses the commercial purpose of the order. At a gate, compare:
Quick wins for a faster PC:
Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Clear out junk files and repair common Windows errorsFree Scan →- Continuing with the supplier under tighter supervision.
- Taking a verified partial shipment and reallocating the balance.
- Moving the balance to an approved alternative source.
- Canceling or terminating the affected order under the contract.
For an alternative source, check lead time, available fabric and trims, technical files, testing, social-compliance status, capacity and intellectual-property controls before committing. For cancellation or termination, follow the required notice and cure process, calculate exposure for finished goods and custom materials, and preserve evidence of the business reason. Document how the decision considered supplier workers and any safe, lawful wind-down of production.
9. Prevent the next missed deadline
Build prevention into sourcing and contracting rather than relying on emergency freight. Use a calendar that works backward from the customer date through testing, approvals, production, inspection, packing, booking, customs and buffer time. Put style-level milestones and responsibility for each approval in the purchase order. Require prompt notice of any event likely to affect delivery, visibility into approved production locations and subcontractors, and a documented escalation route.
At supplier onboarding and seasonal planning, test capacity against the actual order mix, peak-season constraints, material lead times and realistic line output. Review payment and change-control practices so the brand does not create avoidable bottlenecks. A short, clear delay clause should state notice, mitigation, revised scheduling, partial shipment authority, transport decisions, damages or credits, force-majeure procedure, termination triggers and dispute forum. Have counsel align those clauses with the governing law and the commercial reality of the order.
