Your share count rises, but the market price is adjusted downward in roughly the same proportion, so your ownership percentage and the immediate theoretical value of the holding usually do not change. The company receives no new cash; it capitalizes reserves, and earnings per share (EPS) is recalculated for the larger number of shares.
What a bonus issue is
ASIC defines bonus shares as extra shares a company issues to existing members at no extra cost. They are usually distributed pro rata, so an investor receives the same proportion of the company’s enlarged share capital as before. The offer is not a cash gift and it is not a new investment decision: eligible holders receive shares under the terms announced by the issuer.

The ratio is written as new shares:old shares. A 1:1 bonus gives one new share for every one held. A 2:1 bonus gives two new shares for every one held. A 1:3 bonus gives one new share for every three held. Read the issuer’s wording carefully because markets can display ratios in different formats; the decisive question is how many new shares are issued for each old share.

How your share count and theoretical price change
Let b be the number of new shares issued per old share. The mechanical calculations are:
- New shares: old shares × b.
- Total shares after the issue: old shares × (1 + b).
- Theoretical ex-bonus price: pre-bonus price ÷ (1 + b).
| Bonus ratio | Total-share multiplier | Theoretical price adjustment | Illustration |
|---|---|---|---|
| 1:1 | 2× | Price divided by 2 | ₹10 becomes ₹5 before market movements |
| 2:1 | 3× | Price divided by 3 | ₹10 becomes about ₹3.33 |
| 1:3 | 4/3× | Price multiplied by 3/4 | £9 becomes £6.75 |
For example, an investor with 100 shares priced at ₹10 has a ₹1,000 holding before the event. In a 2:1 issue, 200 bonus shares are added, producing 300 shares. The illustrative ex-bonus price is ₹10 ÷ 3, or about ₹3.33. Three hundred shares at ₹3.33 are approximately ₹1,000. This is a theoretical adjustment at the instant of the corporate action, not a promise about the next traded price.
Actual prices can be higher or lower because buyers and sellers continue to trade. Company news, market conditions, taxes, liquidity, investor expectations and the technical effect of a different nominal price can all move the quote away from the theoretical figure.

Does a bonus issue increase your ownership?
Usually, no. If every holder of the same class receives shares in proportion to existing holdings, your percentage ownership stays constant. Suppose a company has one million shares and you own 10,000, or 1%. In a 1:1 issue the company has two million shares and you receive another 10,000, leaving you with 20,000 of two million, still 1%.
Your voting interest normally remains proportionate when the bonus shares are in the same class and carry the same rights. An issuer can have multiple classes or special terms, however. Check the corporate-action notice for voting, dividend, ranking and conversion rights rather than assuming that every new share is identical.

The number printed in your account increases, but that alone does not create a larger claim on the company’s assets. The claim is divided into more units. A later price rise can increase your wealth, but it is caused by the market’s valuation, not by the arithmetic creation of bonus shares.
How to calculate your new average price
For a simple issue, spread the original purchase cost over the enlarged share count:
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsNew average cost per share = total original cost ÷ total shares after the bonus.
If you bought 100 shares for ₹10 each, your original cost is ₹1,000. A 2:1 bonus creates 300 shares, so the mechanical average is ₹1,000 ÷ 300, or about ₹3.33 per share. In a 1:1 issue, 100 shares bought for $24 become 200 shares with a mechanical average of $12.
This calculation describes the economic allocation of the original cost. Your tax basis may not be recorded this way. Rules can assign a nil cost to bonus shares, pool the cost across the holding, preserve acquisition dates, or require another allocation. The answer depends on your country, account type, security and the exact terms of the issue. Treat the broker’s displayed average as an accounting aid until you have checked the applicable tax rules.

A bonus issue does not raise cash or operating resources. The company capitalizes eligible reserves or another permitted equity balance and converts that amount into share capital. Total shareholder funds do not increase merely because the bonus is declared; the classification within equity changes.
Accounting Standard AS 20 explains that equity shares in a bonus issue are issued to existing shareholders for no additional consideration. Its two-for-one example multiplies the pre-event share count by three. Because the denominator in EPS becomes larger, reported per-share amounts must be made comparable.
- Basic EPS: adjusted for the enlarged number of shares.
- Diluted EPS: adjusted on the same basis where diluted calculations are presented.
- Earlier periods: AS 20 requires retrospective adjustment for all periods shown, as if the bonus had occurred at the beginning of the earliest period reported.
- Other per-share data: figures such as book value or dividends per share may also require an adjustment under the relevant reporting rules.
For example, if profit is unchanged and shares triple in a 2:1 bonus, a previously reported ₹30 EPS would be shown as ₹10 on a comparable post-bonus basis. The company has not earned less cash; each share now represents a smaller slice of the same earnings.
For Indian issuers, SEBI rules require the reserves used for a bonus to be eligible free reserves or securities premium collected in cash. They prohibit capitalizing revaluation reserves and prohibit issuing bonus shares instead of a dividend. Those are Indian regulatory requirements, not a universal rule for every market.

Announcement, ex-date, record date and allotment
A bonus has several dates, and they serve different purposes. The announcement date is when the company communicates the proposal or decision. The record date identifies the holdings used to determine entitlement under the market’s settlement system. The ex-date is when the security trades without the entitlement under exchange rules. The allotment or credit date is when the new shares are actually posted to the investor’s account.
Do not infer eligibility from the announcement date alone. Settlement conventions differ by country and can change. The issuer’s notice and the exchange timetable control, not a generic rule remembered from another market.
- Read the issuer’s corporate-action notice. Confirm the ratio, share class, record date, ex-date, rounding treatment for fractions and the expected credit timetable.
- Check the exchange calendar. Verify how its settlement cycle determines who is on the register at the record date.
- Review your broker account after allotment. Open the corporate-action, holdings or statement view and confirm the new quantity, any fractional-share treatment and the adjusted displayed cost.
- Recalculate the position. Multiply the credited quantity by the current market price; do not compare the old price with the new quantity without adjusting both.
- Save the records. Retain the notice, contract notes and account statement for future sale calculations and tax reporting.
If the quantity is wrong or the shares remain pending beyond the timetable, contact the broker’s corporate-actions team with the issuer notice and your account statement. If the broker cannot resolve an entitlement dispute, the issuer’s registrar or the exchange’s investor-help channel may be the next point of contact, depending on the market.

Tax treatment is jurisdiction-specific. A bonus can affect the cost basis, acquisition date, holding period and the calculation of a later capital gain even though no cash changed hands on the issue date. The correct treatment can also differ between a taxable brokerage account, a pension account and other sheltered accounts.
HM Revenue & Customs treats bonus issues as share reorganisations in which new shares are allotted to existing shareholders in proportion to their holdings. Its HS285 guidance for 2025 illustrates a 1-for-3 issue for record-keeping. That example does not replace the rules in another country, nor does it determine the treatment of a different security or account.

Before selling, ask your tax authority or a qualified adviser how to allocate basis and dates. Keep a worksheet showing the old quantity, new quantity, original cost, the ratio, the credit date and every subsequent purchase. A broker’s automatic adjustment can be useful, but you remain responsible for the return you file.
Bonus issue versus a stock split or cash dividend
These events can all change the numbers shown in an account, but they are not interchangeable. Their legal and tax results depend on the jurisdiction and the instrument’s terms.
| Question | Bonus issue | Stock split | Cash dividend |
|---|---|---|---|
| Does new cash enter the company? | No; reserves are capitalized under the applicable rules. | Usually no; existing shares are divided or combined mechanically. | No new capital is raised; cash leaves the company to pay holders. |
| Are reserves reclassified? | Yes, permitted reserves or securities premium may be transferred into share capital. | Generally no reserve capitalization is involved. | No share-capital reclassification is required merely to distribute cash. |
| What does the shareholder receive? | Additional shares, normally fully paid. | More or fewer units representing the same proportional interest. | Cash, subject to the issuer’s declaration and payment terms. |
| What happens to the quoted price? | It is theoretically reduced by the total-share multiplier. | It is theoretically adjusted by the split or consolidation factor. | It may fall by approximately the dividend amount when the stock goes ex-dividend, but market trading determines the actual price. |
| What happens to EPS and records? | EPS is adjusted retrospectively for the enlarged share count; basis and tax records require local-rule treatment. | Per-share measures are adjusted for the split; basis is allocated across the new units under local rules. | EPS is not reduced by issuing new shares, but the cash payment can be taxable and must be recorded. |
A company can use one of these actions for different capital-management reasons. Compare the cash flow, reserve treatment, share count, price adjustment and tax records rather than treating a lower post-event price as evidence that the investment lost value.
Common mistakes and how to fix them
- Calling the shares “free profit.” Fix: multiply the new quantity by the adjusted price and compare the total position, not the share count alone.
- Using the announcement date as the eligibility test. Fix: follow the issuer’s record-date and exchange-settlement instructions.
- Assuming the first traded price must equal the theoretical price. Fix: allow for news, liquidity, taxes and supply-and-demand effects.
- Leaving old EPS in a comparison. Fix: use the retrospective, post-bonus share count for every period presented.
- Overwriting tax lots. Fix: preserve original purchases and document how local rules allocate basis and dates.
- Assuming every class has identical rights. Fix: read the notice for voting, dividend and ranking terms.
- Ignoring a missing credit. Fix: compare the expected entitlement with the broker statement, then escalate with the notice and account evidence.
A practical decision rule for investors
When a bonus is announced, first separate the mechanical event from the investment case. Calculate the post-bonus quantity and theoretical price, then evaluate whether the company’s earnings, cash generation, balance sheet and valuation justify owning the enlarged number of shares. The bonus itself neither improves operating performance nor guarantees a higher return.
Once the shares are credited, use the adjusted quantity for portfolio allocation and risk limits. Use the tax authority’s method for basis and holding period. If your broker’s figures conflict with the issuer’s notice, pause any tax-sensitive sale until the discrepancy is explained.
