VMBS is an exchange-traded fund that owns a diversified, sampled portfolio of U.S. agency mortgage-backed pass-through securities. An agency mortgage REIT is an operating company whose common stock represents a leveraged mortgage-investment business. Both can lose value when rates, mortgage prepayments or MBS spreads move. REIT shareholders also bear repo-financing, margin, hedge, liquidity and company-management risks that a direct investment in an unleveraged bond fund does not have.
The word “agency” describes the mortgage collateral or its guarantor; it does not guarantee your ETF price, a REIT’s book value, its dividend or your total return. The useful comparison is therefore structure, leverage, cash-flow behavior, funding and valuation—not the agency label alone.

What VMBS owns and what your ETF share represents
VMBS is the Vanguard Mortgage-Backed Securities ETF. Vanguard says it seeks to track the Bloomberg U.S. MBS Float Adjusted Index through representative sampling rather than purchasing every index security. The index contains fixed-rate U.S. agency mortgage-backed pass-through securities issued or guaranteed through GNMA, FNMA and FHLMC programs. In practical terms, one VMBS share is a proportional claim on a fund portfolio, not a claim on one mortgage pool and not common stock in a mortgage REIT.

VMBS is designed as diversified, intermediate-term agency-MBS exposure. It does not eliminate the price effects of rates, prepayments, extensions, mortgage spreads or trading liquidity; it distributes those risks across a portfolio rather than concentrating them in one company’s balance sheet.
What an agency mortgage REIT is
An agency mortgage REIT is a corporation whose common shares trade like equity. The company buys mortgage assets—often agency pass-through securities—and finances a substantial portion of those assets with repurchase agreements and other borrowings. It may use interest-rate swaps, swaptions, futures or other hedges, and it decides how much leverage, duration exposure and liquidity buffer to maintain.
The term “agency mortgage REIT” is not a guarantee that every asset is agency-backed. Company filings must be checked for non-agency mortgage credit, mortgage servicing rights, commercial assets or other businesses. Strategies also differ: one REIT may emphasize specified pools, another may hold more adjustable-rate securities, and another may actively trade or hedge its book. The common stock adds corporate expenses, preferred financing, management decisions and equity-market pricing to the underlying mortgage risks.
Agency guarantees: GNMA is different from Fannie Mae and Freddie Mac
Agency status has important legal distinctions. Ginnie Mae (GNMA) is a federal government corporation whose mortgage securities carry the full faith and credit of the United States. Fannie Mae (FNMA) and Freddie Mac (FHLMC) are government-sponsored enterprises, not federal agencies. Vanguard’s agency-bond and GNMA explanations state that their obligations are not equivalent to U.S. Treasury obligations and are not guaranteed by the U.S. government in the same manner as GNMA securities.
A guarantee primarily addresses the credit performance of scheduled principal and interest under the program’s terms. It does not protect an investor from a market-price decline when rates rise, an unexpected change in prepayments, an extension of mortgage cash flows, wider MBS spreads, ETF trading discounts, REIT leverage losses or a dividend reduction.
VMBS vs. agency mortgage REITs at a glance
| Feature | VMBS | Agency mortgage REIT common stock |
|---|---|---|
| Legal form | Exchange-traded fund share in a registered investment company. | Equity share in an operating corporation. |
| Underlying exposure | Sampled portfolio of fixed-rate agency pass-through MBS in the Bloomberg U.S. MBS Float Adjusted Index. | Company-selected mortgage assets; agency exposure must be verified in the latest filing and may not be exclusive. |
| Leverage | The fund is not a leveraged mortgage operating company; ordinary portfolio and derivative risks still apply. | Borrowing, commonly through repurchase agreements, can multiply gains and losses relative to shareholders’ equity. |
| Funding risk | No company-level repo book to roll, but the portfolio can experience market and liquidity stress. | Repo maturities, haircuts, counterparties, collateral calls and short-term funding costs directly affect results. |
| Hedging | Index-tracking portfolio management; the fund does not promise a hedge of every mortgage risk. | Company-specific hedges may reduce rate exposure but leave basis, spread, prepayment and hedge-cost risk. |
| Valuation reference | Intraday market price and end-of-day NAV. | Share price, reported book value per share and the premium or discount between them. |
| Distributions | Fund distributions reflect portfolio income and realized results; the amount can change. | Dividends are set by the board and depend on earnings, leverage, hedges, book value and capital needs; they are not a bond coupon. |
| Published dated figure | Average duration: 5.0 years as of December 31, 2025 (Vanguard fact sheet). | Dynex reported 7.3 times shareholders’ equity leverage as of December 31, 2025 under its own calculation; this is not a sector average. |
Shared risk: interest rates and mortgage duration
When market rates rise, the prices of existing fixed-rate mortgage securities generally fall. When rates decline, prices generally rise, but mortgage securities do not behave like ordinary bullet bonds because borrowers can refinance or repay. A portfolio’s effective duration can change as the expected timing of principal payments changes.

VMBS publishes a portfolio duration on a particular date. A mortgage REIT may report asset duration, hedge-adjusted duration, duration gap or another company-defined measure. These statistics are not interchangeable. A meaningful comparison requires the same measurement date, a clear definition and an understanding of whether the figure includes hedges and financing.
Prepayment and extension risk affect both investments
When prepayments speed up
If homeowners refinance or sell, mortgage principal returns sooner than expected. The investor then has to reinvest that cash, potentially at lower yields. Rapid prepayments can also limit the price appreciation that a conventional bond might experience when rates fall. Funds and REITs may hold pools with different borrower characteristics, coupons and geographic concentrations, so their prepayment responses can differ.
When prepayments slow down
When rates rise, refinancing becomes less attractive and borrowers may repay more slowly. The investor is left holding a below-market-rate asset for longer—a phenomenon commonly called extension risk. The security’s value can fall further, and a REIT’s duration gap can widen at the same time that its financing costs increase.
Prepayment models are estimates, not guarantees. Changes in housing turnover, refinancing incentives, loan age, borrower credit characteristics and servicing behavior can all change actual cash flows.
How leverage changes mortgage REIT risk
A mortgage REIT typically purchases more mortgage assets than it could buy with shareholders’ equity alone. It pledges those securities in a repurchase agreement, receives cash, and uses the cash to acquire or retain additional assets. The lender can require a haircut—lending less than the collateral’s market value—and can demand additional collateral if prices fall.

Leverage magnifies both directions of a result. A small decline in asset value can produce a much larger percentage decline in equity value after debt remains outstanding. If repo rates reset upward, the spread between asset income and funding cost narrows. If a lender raises a haircut or a counterparty will not roll financing, the REIT may have to sell assets into a weak market, crystallizing losses and shrinking book value.
Dynex Capital’s 2025 Form 10-K reported leverage of 7.3 times shareholders’ equity as of December 31, 2025, using Dynex’s stated calculation. That figure illustrates the scale leverage can reach in one company; it must not be treated as typical for all agency mortgage REITs. Annaly and AGNC also describe repo, collateral, liquidity and leverage risks in their 2025 filings, but each company defines and presents its metrics differently.
Repo funding, liquidity and counterparty exposure
Repurchase agreements are short-term financing transactions secured by mortgage securities. Their risk is not limited to the quoted interest rate. An investor evaluating a REIT should consider the maturity profile of repos, the number and quality of counterparties, collateral haircuts, unencumbered assets and available cash or other liquidity.
- Funding-cost risk: A rise in short-term benchmark rates or repo spreads can reduce net interest income.
- Rollover risk: Financing must be renewed; a lender can decline to extend a position or change its terms.
- Margin and haircut risk: Falling collateral values can require cash or additional securities when the company can least afford them.
- Forced-sale risk: Meeting a collateral call may require selling mortgage assets at unfavorable prices.
- Counterparty risk: A lender’s failure or a dispute over collateral can disrupt funding even if the underlying mortgages continue paying.
VMBS investors can still face market-wide liquidity and bid-ask-spread stress, but they do not bear a single REIT’s obligation to roll a leveraged repo book.
Mortgage spread and hedge risk
The spread between agency MBS yields and comparable interest-rate instruments can widen even when Treasury rates are unchanged. Wider spreads lower mortgage-security prices and can reduce a REIT’s book value. AGNC’s 2025 filing explicitly describes spread risk as an exposure its hedging strategy generally does not seek to eliminate.

Hedges can reduce sensitivity to a chosen rate move, but they are imperfect. A swap or option may hedge a benchmark rate while the mortgage asset responds to a different point on the curve. Hedge positions have premiums, margin requirements, termination values and basis risk. They may also offset income in a period when rates move in the opposite direction from the company’s expectation. Hedges do not guarantee protection against prepayment changes, extension, spread widening or a liquidity event.
Price, NAV, book value and distributions
VMBS has two observable valuation references: the ETF’s market price during trading and its calculated net asset value. Temporary premiums or discounts can occur when markets are volatile or the underlying bonds are less liquid. The fund’s distribution rate should be assessed alongside total return, duration and price movement rather than treated as a fixed yield.
A mortgage REIT’s share price can trade above or below reported book value per share. Book value itself changes with MBS prices, hedges, financing and realized gains or losses. A high dividend may reflect leverage or a payout of current earnings that is vulnerable to funding costs; it does not make the shares equivalent to a bond. Dividend amounts can change, and distributions do not describe total return.

Use documents dated as close together as possible. A VMBS fact sheet from one quarter and a REIT filing from another can create a misleading comparison because rates, spreads, leverage and book value move continuously.
- Map the assets. Read the REIT’s latest filing for agency versus non-agency holdings, pass-through versus specified pools, adjustable-rate exposure, mortgage servicing rights and any non-mortgage businesses. Set that beside VMBS’s index description and current holdings.
- Identify the guarantee. Separate GNMA’s full-faith-and-credit backing from FNMA and FHLMC GSE guarantees. Record the percentage or dollar amount in each category where the filing provides it.
- Match duration definitions. Note VMBS’s current published duration and the REIT’s asset duration, hedge-adjusted duration or duration gap. Confirm whether each includes derivatives and the same rate shock assumption.
- Study prepayment exposure. Compare coupon distribution, loan age, specified-pool characteristics and the company’s disclosed prepayment assumptions. A lower coupon or faster-paying pool can behave differently from the broad VMBS portfolio.
- Measure leverage consistently. Record gross and net leverage, the numerator and denominator, and whether the calculation includes preferred equity, derivatives or other financing. Do not compare Dynex’s 7.3-times figure with another company’s ratio without reconciling definitions.
- Inspect repo and liquidity. Review repo maturity buckets, counterparties, haircuts, unencumbered assets, cash and unused borrowing capacity. Look for disclosures about collateral calls or concentration.
- Evaluate hedges and residual risk. List hedge instruments, notional amounts, maturities, costs and the exposures management says remain—especially spread, basis, prepayment and extension risk.
- Compare valuation and shareholder economics. Put the REIT’s share price beside book value per share, and VMBS’s price beside NAV. Then examine expense ratios, management fees, issuance or repurchase activity and distribution policy as disclosed for the same period.
- Use total return, not yield alone. Combine price or book-value changes with distributions and account for the measurement period. A large distribution can coexist with a falling share price or book value.
What happens in common market scenarios?
| Scenario | Likely VMBS effect | Additional agency-REIT transmission |
|---|---|---|
| Market rates rise quickly | Bond prices generally fall; duration and changing prepayment expectations influence the size of the move. | Asset losses can combine with higher repo costs, wider duration gaps, margin calls and lower book value. |
| Market rates fall and refinancing accelerates | Price gains may be limited by faster principal return and reinvestment at lower yields. | Prepayment can alter asset income and hedge performance; leverage can magnify gains or losses depending on positioning. |
| Rates rise and refinancing slows | Cash flows extend, increasing interest-rate sensitivity and potentially reducing value. | Extension can lengthen the asset book while funding remains short term, increasing duration and liquidity pressure. |
| Agency MBS spreads widen | Portfolio market value can decline even if Treasury yields are stable. | Spread losses reduce book value; ordinary rate hedges may not offset them, and collateral requirements can rise. |
| Repo lenders tighten terms | The ETF may experience wider trading spreads or lower NAV liquidity in stressed markets, but it has no corporate repo rollover obligation. | Higher haircuts or unavailable financing can force asset sales and dilute or impair common equity economics. |
Are agency mortgage REITs safer than mortgage bond ETFs?
There is no universal “safer” winner. VMBS generally offers a diversified, unleveraged fund structure and transparent NAV exposure to agency pass-through MBS, but it remains exposed to rate, prepayment, extension, spread and market-price risk. An agency mortgage REIT can produce a different income and return profile, yet its leverage, repo funding, hedges, corporate expenses and equity-market valuation add layers of risk.

Safety depends on the risk being measured. For a reader focused on avoiding company-level financing and margin-call risk, the ETF structure removes those specific exposures. For a reader comparing short-term price volatility, a heavily leveraged REIT can be more sensitive to small changes in rates or spreads. For credit risk, the exact GNMA, FNMA or FHLMC mix matters more than the word “agency.” For total return, distributions, price or NAV changes, leverage and fees must be considered together.
A practical decision framework
When a diversified ETF structure may fit the objective
An investor seeking broad agency-MBS exposure without selecting a company’s management, leverage policy or repo counterparties may prefer the fund structure. The trade-off is accepting index-sampling decisions, an expense ratio and the market-price behavior of an ETF. The current expense ratio was not stated in the cited materials, so it should be taken from the latest VMBS prospectus before investing.

When a mortgage REIT requires extra analysis
A REIT demands company-level due diligence. Read the latest 10-K and subsequent quarterly filing, follow leverage and book value through changing markets, and understand how management positions duration and spread risk. A large dividend is not a substitute for examining financing stability and total return.
When neither label is enough
If your primary concern is preservation of principal over a specific time horizon, neither an ETF share nor a leveraged REIT share is a guaranteed cash investment. Agency guarantees support the underlying mortgage obligations in their respective programs; they do not set your purchase price or sale price.
Information to verify before making a current comparison
- Use the newest VMBS fact sheet for duration, holdings, NAV, market price and distribution information.
- Use the newest filing for the particular REIT for asset composition, leverage, repo maturities, counterparties, hedges, book value and liquidity.
- Put the date beside every number. The 5.0-year VMBS duration and Dynex’s 7.3-times leverage are both December 31, 2025 snapshots.
- Check definitions before ranking companies. “Net leverage,” “recourse leverage,” “economic leverage” and “leverage to equity” may use different denominators.
- Review changes in book value and total return over the same period rather than comparing a current dividend with a historical ETF yield.
The cited materials are educational descriptions of structures and risks, not an individualized investment recommendation.
