VTI is the broader U.S. stock-market choice; VOO is the more concentrated large-cap choice. Vanguard reported the same 0.03% expense ratio for both funds as of April 28, 2026, so the fee does not decide the comparison. The meaningful questions are whether you want exposure beyond large companies, what your existing holdings already contain, and how either fund fits alongside international stocks, bonds, cash, your account type and your tolerance for equity risk. Neither ETF is a complete global or multi-asset portfolio, and the available evidence does not establish a permanent long-term performance winner.
VTI and VOO at a glance
| Feature | VTI | VOO |
|---|---|---|
| Primary exposure | Broad U.S. equity market, including large-, mid- and small-cap stocks | Large-cap U.S. stocks represented by the S&P 500 Index |
| Benchmark wording | Vanguard’s current profile names the Morningstar US Total Market Index; Vanguard’s March 31, 2026 fact sheet names the CRSP US Total Market Index | S&P 500 Index |
| Expense ratio | 0.03%, as of April 28, 2026 | 0.03%, as of April 28, 2026 |
| Portfolio role | Broad U.S. equity allocation | Large-cap U.S. equity allocation |
Those descriptions identify the central difference: VTI is designed to represent the investable U.S. market across company sizes, while VOO is designed to follow a large-cap benchmark. The benchmark name for VTI differs between Vanguard’s current profile and its dated fact sheet, so it is important to preserve the source and date rather than treating the two labels as interchangeable without qualification.

Vanguard’s March 31, 2026 VTI fact sheet says the CRSP US Total Market Index represents approximately 100% of investable U.S. companies. Vanguard’s VTI profile reported 3,507 holdings on August 31, 2026. A holding count is a dated statistic, and it does not mean every company has an equal weight or that the fund carries no concentration risk.

A total-market design
VTI’s stated objective is broad U.S. stock exposure. Its design includes the largest public companies as well as mid-cap and small-cap companies, so an investor can use one fund for a broad U.S. equity sleeve instead of selecting separate large-, mid- and small-cap funds. The breadth is the reason VTI is often considered when the goal is to own the U.S. market rather than a single size segment.

The approximately 100% investable-company coverage description belongs specifically to the CRSP US Total Market Index in Vanguard’s March 31, 2026 fact sheet. It describes the index’s intended market coverage, not a promise that every security will always remain in the fund or that the fund’s portfolio will have a fixed number of holdings. Companies enter and leave an index as eligibility and market conditions change.
How to read the benchmark discrepancy
Vanguard’s current online VTI profile calls the benchmark the Morningstar US Total Market Index, while the March 31, 2026 fact sheet calls it the CRSP US Total Market Index. Both descriptions point to broad U.S. market exposure, but they are not the same written label. If you are documenting a portfolio policy, comparing tracking results or checking a prospectus, cite the exact Vanguard document and date you used.
What the holding count does—and does not—tell you
The reported 3,507 VTI holdings, measured August 31, 2026, demonstrate the scale of the portfolio at that date. The count alone cannot tell you how much of the fund is in small companies, how concentrated the largest positions are, or how volatile the fund will be. A market-capitalization-weighted total-market fund can contain many small positions while still having a substantial value in its largest companies.
What VOO owns
The S&P 500 large-cap segment
VOO tracks the S&P 500 Index and focuses on large-cap U.S. stocks. That makes it a targeted exposure to the biggest, most established segment represented by that benchmark, rather than a claim on every publicly investable U.S. company.
Choosing VOO is therefore an allocation decision, not simply a choice between two labels for the same portfolio. An investor who intentionally wants large-cap exposure may prefer the S&P 500 framework. An investor who wants smaller companies included in the same U.S. equity sleeve may prefer VTI’s broader mandate.

Why the two funds can behave similarly
Both funds include major U.S. companies, so their returns can overlap substantially even though their mandates differ. VTI’s broad portfolio still contains the large companies represented in the S&P 500, while VOO does not provide the same stated exposure to mid- and small-cap stocks. The available material does not establish a current overlap percentage, so it would be misleading to assign one.
Adding both funds does not automatically create the kind of diversification that comes from adding a different asset class. Owning both can change the balance between large-cap and the rest of the U.S. market, but it does not by itself add international stocks, bonds or cash.

Fees: identical stated expense ratios, different total costs
Vanguard listed a 0.03% expense ratio for each fund as of April 28, 2026. On a $10,000 balance, a fee at that rate equates to about $3 over a year before considering investment gains or losses; on $100,000, it equates to about $30. These are arithmetic illustrations of the published rate, not a forecast of the dollar amount that will appear in an account.
An expense ratio is a fund expense, not a complete measure of what an investor pays. Trading costs, bid-ask spreads, taxes, account charges and the way distributions are handled can affect the result. The same stated expense ratio means the decision should be driven primarily by exposure and portfolio fit rather than by a fee advantage.
Vanguard also cautions that a fund’s current expense ratio can be lower or higher than the figure shown in a prospectus. Because fund statistics change, check the latest profile and prospectus before making a trade or publishing a figure as current.

Which fund fits which long-term investor?
VTI may fit when you want one broad U.S. equity sleeve
- You want large-, mid- and small-cap U.S. stocks represented in one fund.
- You prefer a total-market mandate to choosing a separate large-cap, mid-cap and small-cap mix.
- Your existing portfolio does not already provide a deliberate allocation to smaller U.S. companies.
- You want the fund’s role to be broad U.S. equity exposure, while making separate decisions about international stocks, bonds and cash.
VOO may fit when large-cap exposure is intentional
- You specifically want the S&P 500 Index as your U.S. equity benchmark.
- Your investment policy already handles mid- and small-cap stocks elsewhere, or you have decided not to target those segments.
- You prefer to evaluate your U.S. stock allocation through a large-cap lens rather than a total-market lens.
- You understand that the fund is not a complete representation of all investable U.S. companies.
Either may fit when the rest of the portfolio does the differentiating
If your retirement plan, taxable account or other investments already contain multiple U.S. equity segments, the choice between VTI and VOO may have a smaller effect on your overall allocation than the choice of international, bond and cash exposures. In that situation, examine the combined portfolio rather than judging one ETF in isolation.
A step-by-step way to choose
- Define the job of the fund. Write down whether this purchase is meant to be broad U.S. stock exposure or specifically large-cap U.S. exposure. A clear job prevents the fund name from substituting for an allocation decision.
- Inventory your existing holdings. List U.S. equity funds in every relevant account. Identify whether you already own broad-market, mid-cap, small-cap or large-cap funds. Do not assume that two different fund names create two independent sources of diversification.
- Check the intended asset mix. Decide how much of the complete portfolio belongs in U.S. stocks, international stocks, bonds and cash. Neither VTI nor VOO determines those percentages for you.
- Choose the exposure that fills the gap. If the gap is broad U.S. equity exposure, VTI’s stated mandate may be the closer match. If the gap is a deliberate large-cap allocation, VOO’s S&P 500 exposure may be the closer match.
- Review the account and tax setting. The suitability of an ETF can depend on whether it is held in a taxable account, a retirement account or another structure, as well as on your jurisdiction and personal tax position. Confirm the applicable rules with a qualified tax professional when the consequences are material.
- Set a contribution and rebalancing rule. Decide in advance whether new money will be directed to the underweight asset class, whether you will rebalance on a schedule or a threshold, and what would cause you to change the plan. Avoid changing funds solely because one recent period had a higher return.
- Verify current documents before trading. Check the latest fund profile, prospectus, benchmark description, expense ratio and portfolio data. The figures cited here are dated and can change.
How the choice fits a complete portfolio
International stocks
Both VTI and VOO are U.S. equity funds. If your long-term plan includes companies outside the United States, that exposure must come from another holding or account. Selecting VTI instead of VOO does not create international diversification.
Bonds and cash
Neither ETF is a bond fund or a cash substitute. Their values can fluctuate with the U.S. stock market, and the choice between them does not set the amount of stability, liquidity or near-term spending capacity in your portfolio. Those functions require separate decisions.
Time horizon and risk capacity
A long time horizon does not remove the possibility of substantial declines in an all-stock allocation. Consider when the money will be needed, how much loss you could withstand without selling, and whether your income, emergency reserves and other assets can support the plan. The broader VTI mandate and the large-cap VOO mandate are both equity exposures; neither is automatically appropriate simply because the investment is long term.
Performance: avoid declaring a permanent winner
Historical returns are backward-looking and depend on the exact start and end dates, market cycle and reinvestment assumptions. The available official material includes period-specific performance figures, but those figures do not establish which fund will outperform for an unspecified future period or for a particular investor.

Comparing a single trailing period can also obscure the reason for a difference. VTI’s additional mid- and small-cap exposure can help or hurt relative performance depending on the market environment, while VOO’s large-cap concentration can produce a different result when the largest companies lead or lag. A return ranking without the dates and context is not a durable selection rule.

Mistake: choosing solely on the fee
Correction: Both funds carried the same stated expense ratio on the cited date. Compare the exposure, the account setting and the rest of the allocation before treating a tiny fee difference as decisive.
Mistake: treating a holding count as equal diversification
Correction: A dated number of holdings does not reveal the weight of each position or the concentration in the largest companies. Use the fund’s portfolio breakdown and your overall allocation to assess concentration.
Mistake: assuming both funds together equal a global portfolio
Correction: They are both U.S. stock exposures with substantial overlap. If the goal is broader geographic or asset-class diversification, evaluate international stocks, bonds and cash separately.

Practical decision examples
Example: a single U.S. stock allocation
An investor building one U.S. equity sleeve and wanting the broad market, including smaller companies, would generally find VTI’s stated role more closely aligned with that objective. The investor would still need separate decisions for international stocks, bonds and cash.
Recommended Free Tools
Example: a deliberate large-cap policy
An investor whose written policy calls for S&P 500 large-cap exposure, and who handles any mid- or small-cap allocation elsewhere, may find VOO the cleaner implementation. The choice reflects the policy rather than a claim that large-cap stocks must outperform.
Example: two accounts with overlapping U.S. funds
An investor holding a broad U.S. fund in one account and an S&P 500 fund in another should look at the combined exposure before adding either ETF. The second purchase may mostly adjust the large-cap-versus-rest-of-market balance instead of adding a wholly new source of diversification.
Bottom line for a long-term portfolio
Choose VTI when your priority is broad U.S. market coverage that includes large-, mid- and small-cap companies. Choose VOO when your priority is a focused S&P 500 large-cap allocation. With the same stated expense ratio as of April 28, 2026, neither fund wins on the headline fee. The better choice is the one that matches your intended U.S. equity exposure and fits coherently with your international, bond, cash, account and tax decisions.
