Udaan’s operating revenue increased 12.6% to ₹5,134 crore in FY26 from ₹4,561 crore in FY25, which is commonly rounded to 13%. It was the business-to-business marketplace’s first full-year revenue growth after four years of weak or negative performance. The improvement was accompanied by a lower net loss, not a profit: FY26 loss was ₹851.5 crore, and the company’s balance sheet still carries a material going-concern uncertainty.
What changed in Udaan’s FY26 numbers?
The revenue increase marks a break from the pattern of contraction that followed Udaan’s earlier expansion. Financial statements reported by Inc42 show operating revenue of ₹5,134 crore for FY26, compared with ₹4,561 crore in FY25.

| Measure | FY25 | FY26 | Change |
|---|---|---|---|
| Operating revenue | ₹4,561 crore | ₹5,134 crore | Up 12.6% (the 13% headline figure) |
| Net loss | ₹1,055.4 crore | ₹851.5 crore | Down about 19% |
The earlier sequence was a roughly 40% revenue decline in FY23, growth of only about 1% to 1.7% in FY24, and a further 20% decline in FY25. FY26 therefore represents a recovery in operating revenue, but not a return to annual profitability. Operating revenue is also not the same as gross merchandise value (GMV), so the 12.6% figure should not be read as a 12.6% increase in the value of every transaction on the platform.

Dense clusters replaced broad geographic expansion
Udaan says it moved away from trying to cover a wide footprint and concentrated on smaller, high-density markets made up of individual pin codes or groups of pin codes. In a denser cluster, more retailers can be served from the same fulfilment and procurement base. That can raise warehouse utilisation, reduce fulfilment cost per order and improve purchasing terms.
#1 Best Overall
The model is designed to increase penetration among existing buyers rather than depend on opening a large number of new markets. More frequent orders and larger baskets from retailers can lift revenue without the same level of customer-acquisition spending required for geographic expansion.
Managers now own unit economics, not just sales
City and category leaders are evaluated on contribution margin, retailer retention, order frequency, basket size, procurement efficiency and fulfilment costs alongside revenue. Udaan cofounder and CEO Vaibhav Gupta described the change to Business Standard as making leaders responsible for “the economics of their categories and markets, not just topline growth.”

Gupta also said the priority is to win more of existing retailers’ procurement spend rather than overinvest in customer acquisition or new markets. This makes the strategy a share-of-wallet effort: the company is trying to become a larger supplier to retailers already using its platform.
Private labels and institutional distribution add higher-value sales
Private labels now represent approximately 15% to 25% of staples sales across Udaan’s operating cities, according to senior vice president Vishnu Menon. Udaan says these products can improve margins and increase wallet share because the company captures more of the sourcing and distribution value than it does when merely facilitating a third-party brand.

In Bengaluru, private labels and HoReCa sales together account for about half of Udaan’s revenue, according to Business Standard. The horeca360 business serves hotels, restaurants, caterers and other institutional buyers, and expanded into Hyderabad and Chennai during FY26. That broadens the addressable demand beyond small retailers while using much of the same distribution infrastructure.
Revenue growth has not yet become profitability
The fall in net loss from ₹1,055.4 crore to ₹851.5 crore is meaningful, but it still leaves a large annual deficit. Udaan’s operating indicators have improved faster than its consolidated earnings. Menon said revenue had a compound annual growth rate of about 25% over the ten quarters from Q4 CY23 through Q1 CY26, contribution margin had improved by nearly 500 basis points, and EBITDA burn had declined by about 70%. Those are management-reported operating trends, not evidence that the company was profitable for FY26.

| Indicator | What it shows | Limit |
|---|---|---|
| Operating revenue | FY26 grew 12.6% year over year | Does not measure GMV or profit |
| Net loss | Reduced about 19% to ₹851.5 crore | Company remained loss-making |
| Contribution margin | Management reported an improvement of nearly 500 basis points over ten quarters | Not the same as consolidated net margin |
| EBITDA burn | Management reported a decline of about 70% | Cash and balance-sheet obligations still matter |
Claims that individual cities or categories are profitable should therefore be kept separate from consolidated profitability. A profitable cluster can coexist with losses from corporate costs, weaker markets, financing expenses or older obligations.

How acquisitions and new capital support the reset
July 2026 recapitalisation
After the FY26 year-end, Udaan completed a recapitalisation reported at $160 million. It combined fresh equity, new debt and conversion of debt into equity, including $45 million of private credit from BlackRock. This provides additional funding for operations and can reduce pressure from maturing or otherwise payable obligations, but it does not by itself prove that the operating model is sustainably profitable.

ShopKirana and LYNK Logistics
Udaan acquired ShopKirana in July 2024. In 2026 it agreed to acquire Swiggy-owned LYNK Logistics in an all-share transaction valued at ₹500 crore. Swiggy is to receive 2.8% of Udaan and invest ₹75 crore. Udaan said the combination adds distribution capacity and retail reach; Gupta described the rationale as stronger B2B capability together rather than building every function internally.

Not yet. Inc42’s report on Udaan’s FY26 financial statements identified a material going-concern uncertainty. At the end of FY26, current liabilities exceeded current assets by ₹1,391 crore, while total liabilities exceeded total assets by ₹790.9 crore. Udaan said post-year-end funding and cost reductions should improve operating cash flow, but that outcome depends on execution and continued access to capital.
The company therefore has two separate tests ahead:
- Operating test: keep retailer retention, order frequency, basket size and contribution margin improving as clusters mature.
- Financial test: convert those improvements into enough cash generation to meet liabilities without repeated emergency fundraising or asset sales.
The recapitalisation and LYNK transaction may strengthen the platform, but they also mean the recovery is supported by balance-sheet actions as well as organic operating gains. An eventual public offering or longer-term growth target remains a management expectation, not a completed outcome.
Quick Recap
What to watch in the next results
- Whether revenue growth continues beyond the first positive year after the contraction period.
- Whether the net loss narrows faster than revenue grows and eventually turns into a consolidated profit.
- Cash flow after the July 2026 funding, including whether current-liability pressure falls.
- Private-label penetration beyond the stated 15%–25% range in staples and the economics of horeca360.
- Integration results from LYNK Logistics, including fulfilment cost, retailer reach and any additional capital requirements.
