The IRS can secure the balance with a federal tax lien, seize money or property through a levy, or assign the account to collections. You may be able to stop or restructure enforcement with an installment agreement, an Offer in Compromise, or a temporary hardship classification, but each option has different rules. File every required return, bring payroll and estimated-tax deposits current, and read every notice for its appeal deadline before choosing a strategy. Entity type, tax period, responsible-person status, state law and the bankruptcy court handling a case can change the result.
What the IRS can do when your business tax is unpaid
Federal collection usually follows a sequence: the IRS bills an assessed tax, sends notices, and gives the taxpayer opportunities to pay or arrange terms. Ignoring notices can move the account toward enforced collection. The agency can protect its claim with a lien or take assets with a levy. Those are different actions, and confusing them can lead to a missed deadline or an unrealistic payment proposal.

- Lien: the government’s security interest in the taxpayer’s property. It protects the IRS’s claim while the balance remains unpaid.
- Levy: the actual seizure of salary, bank-account funds, accounts receivable or other property to satisfy the debt.
- Collection alternatives: installment agreements, Offers in Compromise and temporary collection delay can change how the IRS collects, but they do not all reduce the balance.
The business should keep filing returns and making required deposits while it seeks help. Nonfiling or new unpaid deposits can cause additional assessments and can disqualify an otherwise viable arrangement.
What is a federal tax lien?
A federal tax lien arises from the government’s legal claim to property after a tax is assessed and remains unpaid. It is not a bank-account withdrawal. A lien can follow the taxpayer’s property while the liability is outstanding and can complicate a sale, refinancing or transfer. Whether the notice is filed publicly and how it affects a particular transaction depends on the account and applicable law, so review the exact IRS notice and obtain professional advice before moving assets.

How a lien differs from a levy
| Question | Lien | Levy |
|---|---|---|
| What it does | Secures the government’s claim against property. | Takes money or property to apply to the balance. |
| Immediate cash impact | Usually none by itself. | Can remove funds from a bank account, wages, receivables or other property. |
| Can it end while money is still owed? | Only when the IRS’s lien requirements are met or the liability is otherwise resolved. | Yes, in circumstances such as payment, expiration of the collection period, qualifying payment-plan terms, economic hardship, or when release will not hinder collection. |
| Does release erase the debt? | Not applicable. | No. The IRS expressly warns that releasing a levy does not mean the balance no longer has to be paid. |
A levy release is therefore a cash-flow remedy, not forgiveness. The IRS may release a levy after payment, when the collection period expires, when an installment agreement prohibits continuation, when collection causes economic hardship, or when the property’s value exceeds the debt and release will not impair collection. The facts and the notice control.
Can the IRS levy a business bank account or receivables?
Yes. A levy can reach bank-account funds, wages and accounts receivable, as well as other property held by the business or a third party for the taxpayer. A bank levy can remove available funds after the bank receives the IRS notice; a receivables levy can redirect customer payments. The exact timing and property covered appear in the levy paperwork.
What generally cannot be seized
Publication 594 (Rev. 1-2026) identifies necessary books, clothing and tools of trade among property that generally cannot be seized, subject to the publication’s limits and exceptions. “Generally” is important: do not assume that every asset used in the business is protected. Ask the IRS or a tax professional to apply the exemption rules to the specific property.

When a pending arrangement can block a new levy
Under Publication 594 (Rev. 1-2026), the IRS generally cannot issue a new levy while a payment plan, Offer in Compromise or agreed economic-hardship condition is current or pending, subject to the publication’s exceptions. An installment-agreement request generally also prohibits levy while the request is pending, although exceptions apply and the collection period can be suspended or extended.

What to do after receiving an IRS collection notice
- Identify the tax and period. Match the notice to the business entity, employment-tax quarters, income-tax years and assessed amounts. A notice for one period does not automatically explain every balance on the account.
- Check filing and deposit status. File missing federal returns and resume required payroll, excise, estimated-tax or other deposits. An unfiled return or new liability can derail a payment arrangement.
- Protect cash records. Download bank statements, accounts-receivable aging, payroll records, general ledgers and proof of prior payments. Do not transfer assets to insiders or close accounts to hide funds.
- Read the appeal language and deadline. A qualifying lien or levy notice explains how to request a Collection Due Process (CDP) hearing. Missing the stated deadline can limit review options.
- Choose an option based on ability to pay. Compare full-payment terms, an installment agreement, an Offer in Compromise, a temporary hardship delay or bankruptcy analysis. The cheapest-looking option may fail if it ignores future deposits or payroll obligations.
- Contact the IRS through an official channel. Confirm where payments should go and keep confirmation numbers, transcripts and copies of every submission.
Which collection option fits a small business?
| Option | When it fits | Filing and payment compliance | Effect on balance | Levy and bankruptcy considerations |
|---|---|---|---|---|
| Installment agreement | The taxpayer cannot pay immediately but can pay the liability in full within the allowed timeframe. | Required returns and ongoing deposits must remain current; the IRS evaluates financial information. | Debt is repaid, not reduced. Interest and applicable additions can continue, and the collection period may be suspended or extended. | A qualifying request generally pauses levy activity while pending, with exceptions. An open bankruptcy case changes what collection actions remain available. |
| Offer in Compromise | The taxpayer qualifies to settle for less than the full amount under IRS rules. | All legally required returns must be filed; federal tax deposits and estimated payments must be current. | Can reduce the amount if accepted and fully performed. A federal tax lien is released after the accepted offer’s terms are completed. | The IRS will not consider an offer while an open bankruptcy case is pending. Failure to meet five years of post-acceptance filing and payment obligations can default the offer and revive the liability. |
| Currently not collectible or other hardship delay | After basic living expenses, the taxpayer cannot pay without economic hardship. | Returns and new deposits still need attention; the IRS can review the account later. | Balance is deferred, not cancelled. Interest and additions can continue. | Active collection is suspended while the status applies, but a later review can restart collection. Bankruptcy remains a separate legal analysis. |
| Bankruptcy | A broader insolvency case requires court-supervised treatment of debts and assets. | Tax filing, reporting and post-petition obligations continue according to the case and tax law. | Some taxes may be discharged; others survive. Treatment is period- and case-specific. | Filing a petition suspends most collection efforts. An open case makes the taxpayer ineligible for an Offer in Compromise. |
Installment agreements
An installment agreement is designed for a taxpayer who can pay in full over the permitted period, not for permanently reducing the tax. The IRS can require financial information and may add user fees or other conditions. Keep every current filing and deposit on schedule; defaulting or creating a new liability can end the arrangement and resume enforced collection.
Offer in Compromise
An Offer in Compromise (OIC) can settle for less than the full balance only when the taxpayer meets the IRS’s eligibility and documentation rules. Before submitting, verify that all legally required returns are filed and that federal tax deposits and estimated payments are current. The IRS will not evaluate an OIC during an open bankruptcy proceeding.
An accepted offer carries a five-year compliance obligation: file required returns and pay all federal taxes on time. If the taxpayer defaults, the IRS can reinstate the liability and collection actions. If an offer is rejected and no additional tax debt has been incurred, the IRS says an existing installment agreement will be reinstated with no additional fee.
Currently not collectible status and hardship delay
If paying after basic living expenses would create economic hardship, the IRS may delay active collection or classify the account as currently not collectible. This does not cancel the balance. The agency can request updated financial information and resume collection if circumstances improve or the collection period is approaching its end.

Why payroll taxes create special personal risk
Employment taxes withheld from employees are trust-fund taxes. When a business fails to deposit or pay them, the IRS can assess a Trust Fund Recovery Penalty against individuals who were responsible for collecting, accounting for or paying those taxes and who willfully failed to do so. The assessment can reach responsible owners, officers, managers or other people, depending on the facts; incorporation or an LLC label does not by itself answer who is liable.
Treat payroll deposits and employment-tax returns as the first compliance priority. Keep payroll accounts segregated in your records, reconcile each payroll run to the deposit confirmation and respond promptly to interviews or proposed assessments. A professional should review which person had authority and knowledge before anyone signs an agreement or makes a personal payment.
How Collection Due Process appeals work
A qualifying lien or levy notice may offer a Collection Due Process hearing. The IRS CDP instructions direct levy cases to Form 12153. The notice supplies the filing deadline and the address or submission method; use that deadline rather than relying on a generic calendar rule.

If the deadline was missed
Ask a tax attorney or enrolled agent whether another administrative appeal, a late-hearing request or judicial review is available. The remedy depends on the notice, the date, the action already taken and the taxpayer’s procedural history. Do not assume that calling the IRS automatically preserves appeal rights.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What happens if the account goes to a private collection agency?
The IRS may assign certain accounts to a private collection agency. The agency sends an initial contact letter and may monitor an arrangement intended to pay within seven years or before the collection expiration date. It cannot levy property, file a Notice of Federal Tax Lien, accept an Offer in Compromise or decide that an account is currently not collectible.
Follow the payment instructions in the IRS and agency letters, but make payments to the United States Treasury as directed by the IRS. A request for gift cards, prepaid debit cards, cryptocurrency transfers or payment to an unrelated person is a fraud warning. Verify a caller’s identity through contact information on an IRS notice before sharing bank or payroll data.
Can bankruptcy erase small-business tax debt?
Filing a bankruptcy petition triggers an automatic stay that suspends most IRS collection efforts. A discharge may reduce or eliminate some tax debts, but bankruptcy does not wipe out every tax category. The result depends on the tax type, the filing and assessment dates, whether a return was filed, the bankruptcy chapter, the entity or individual debtor, liens and the court’s jurisdiction.

Taxes that require close analysis
- Payroll trust-fund liabilities: withholding taxes and Trust Fund Recovery Penalties often receive different treatment from ordinary business income-tax debt.
- Recent assessments and unfiled returns: timing and filing history can determine whether a tax is eligible for discharge.
- Liens: bankruptcy may change personal liability, but a valid lien can raise separate questions about collateral and property.
- Post-petition taxes: taxes arising after filing must be handled under bankruptcy and tax rules and are not automatically covered by a discharge.
An open bankruptcy proceeding makes the taxpayer ineligible for an Offer in Compromise. Before filing, have bankruptcy tax counsel or a tax attorney map every tax period, notice, responsible-person assessment and lien to the proposed case. A business owner should not assume that a company’s bankruptcy resolves an owner’s separate payroll-tax exposure.
Federal collection versus state tax debt
This article describes the federal IRS baseline. States can use different lien, levy, installment, voluntary-disclosure and bankruptcy procedures, and state payroll or sales-tax rules may impose separate personal-liability standards. A federal payment plan does not automatically settle a state balance. List each jurisdiction and tax period separately, then confirm deadlines and appeal rights with the relevant state revenue agency.
When professional help is justified
Consider a tax attorney, enrolled agent or bankruptcy tax counsel when a levy threatens payroll or operating cash, a Trust Fund Recovery Penalty interview is pending, a lien blocks a sale or refinancing, a CDP deadline is near, the account involves multiple entities, or bankruptcy is being considered. Provide the professional with complete transcripts, notices, filed returns, deposit records, bank statements and ownership documents. A bookkeeping or payroll-compliance service can help prevent new liabilities, but it cannot by itself release an existing levy or negotiate a bankruptcy discharge.

A practical decision path
- Stop the growth: file every delinquent return and make current deposits before negotiating old debt.
- Protect essentials: document payroll, rent, utilities, inventory and other expenses needed to keep the business operating.
- Match the remedy to capacity: choose full-payment installments when repayment is feasible, an OIC only when eligibility and five-year compliance are realistic, hardship delay when payment is currently impossible, and bankruptcy analysis when liabilities and assets require court protection.
- Preserve rights: calendar every notice deadline, including a CDP request on Form 12153 when appropriate.
- Prevent default: monitor deposits, returns and agreement payments monthly; a new missed filing can undo the relief obtained for older periods.
The central distinction is simple: a lien secures the IRS claim, while a levy takes property. Payment plans and hardship status generally defer collection, an accepted Offer in Compromise can reduce the balance if its terms are met, and bankruptcy may discharge only qualifying taxes. The safest course is prompt compliance, a documented financial proposal and advice tailored to the entity, periods and notices involved.
