A small-cap or mid-cap fund is designed to keep a substantial portion of its portfolio in one company-size segment. A flexi-cap fund gives its manager discretion to move among large-, mid- and small-cap stocks. Your choice should follow the role you need in your portfolio, your ability to tolerate drawdowns, and the specific scheme’s current holdings, Riskometer, costs and process.
The category label is only a starting point. Use it to understand the mandate, then examine the individual fund and whether it duplicates investments you already own.

At a glance: the structural difference
| Category | Minimum category allocation under SEBI’s February 26, 2026 circular | What the manager can do with the rest | Typical portfolio role |
|---|---|---|---|
| Small-cap fund | At least 65% of total assets in equity and equity-related instruments of small-cap companies | The balance can be invested according to the scheme mandate and applicable rules; it is not required to remain in small-cap stocks. | A deliberate allocation to smaller listed companies, accepted with the concentration and liquidity risks that may accompany it. |
| Mid-cap fund | At least 65% of total assets in equity and equity-related instruments of mid-cap companies | The balance is managed under the scheme’s stated mandate; the portfolio is not necessarily 100% mid-cap. | A dedicated allocation to medium-sized listed companies. |
| Flexi-cap fund | At least 65% of total assets in equity and equity-related instruments | The manager may allocate dynamically across large-, mid- and small-cap stocks. | A single diversified equity allocation where the manager, rather than the investor, decides the mix among company-size groups. |
The 65% figures are minimums, not promises that the remainder will be invested in a particular segment. A scheme’s current portfolio can therefore look materially different from another fund carrying the same category name.

Small-cap funds
A small-cap scheme must keep at least 65% of its assets in small-cap equity and equity-related instruments. That requirement creates a clear exposure objective: even when the manager is cautious about the market, the fund cannot simply remove most of its small-cap allocation and become a large-cap portfolio.

This is a structural reason that small-cap exposure may be harder for some investors to hold through weak markets. It is not proof that every small-cap scheme is riskier than every flexi-cap scheme. Compare the specific schemes’ Riskometers, portfolio concentration, liquidity and drawdowns instead of ranking categories by reputation.
Mid-cap funds
Mid-cap schemes have the corresponding 65% minimum in mid-cap companies. The mandate gives an investor a more targeted way to obtain mid-sized-company exposure than a flexi-cap fund, whose manager can change the allocation among all three size groups.
Because the minimum is not a 100% requirement, review the current holdings before assuming that two mid-cap funds have identical exposures. Sector weights, cash or other permitted assets, and the portion outside the required segment can differ.
Flexi-cap funds
SEBI describes this category as “an open ended dynamic equity scheme investing across large cap, mid cap, small cap stocks.” Its 65% minimum applies to equity and equity-related instruments overall, while the manager decides how that equity allocation is divided by company size.
That discretion can be useful when you do not want to maintain separate large-, mid- and small-cap allocations yourself. It does not guarantee lower volatility, superior returns or timely changes in every market. A flexi-cap fund can still have meaningful mid- or small-cap exposure, and its risk can change as the manager changes the mix.

The relevant stock list is updated, and the scheme document says the fund rebalances after an update. A company can therefore move between segments as market values and the official ranking change. Before using a stock as an example or judging whether a fund meets its intended exposure, check the latest AMFI list rather than relying on an old label.
Why the mandate matters more than the category name
Two funds in the same category can have different experiences because the mandate sets a floor, not an identical portfolio. Examine the following details in each scheme’s current factsheet, portfolio disclosure and offer documents:
- Percentage invested in the named segment and percentage outside it.
- Top-ten holdings and the share of assets represented by those holdings.
- Sector weights, including unusually large sector bets.
- Market-cap distribution within the portfolio, not just the fund’s category title.
- Cash or other permitted instruments that may affect how much of the portfolio participates in an equity rally or decline.
- Manager tenure and the stated process for changing allocations.
A flexi-cap label tells you that the manager has room to shift across sizes; it does not tell you what the fund owns today. A small- or mid-cap label tells you the minimum exposure that must be maintained; it does not tell you the exact concentration, sectors or quality of the holdings.
Risk: use the scheme-level evidence
Read the Riskometer
SEBI Investor defines the Riskometer as “a risk-measuring tool used in the mutual fund industry to depict the risk level of a mutual fund scheme.” It reflects factors including the underlying assets and market volatility, and the displayed level can change over time.
Record the current Riskometer for every scheme you are considering and revisit it when the portfolio or market conditions change. Do not infer a fund’s risk solely from whether it is called small-cap, mid-cap or flexi-cap.
Look at concentration and liquidity
Concentration describes how much of the fund depends on a relatively small number of companies or sectors. Liquidity describes how readily holdings can be bought or sold without materially affecting prices. These characteristics can influence drawdowns and the speed at which a manager can adjust the portfolio, particularly during stressed markets.

The category mandate alone does not quantify either characteristic. Use the current portfolio disclosure and comparable-period drawdowns to make that assessment.
Separate category risk from personal risk capacity
Your ability to remain invested matters as much as the fund’s mandate. Money needed soon has less room to absorb a prolonged decline than money that can remain invested through several market cycles. A fund that is theoretically suitable for a long horizon can still be unsuitable if a temporary loss would force you to sell.
A practical comparison framework
| Comparison axis | Questions to answer | Why it changes the decision |
|---|---|---|
| Portfolio role | Do you want a dedicated small- or mid-cap allocation, or one manager who can choose among all three size groups? | The categories impose different exposure constraints and levels of manager discretion. |
| Current risk | What are the scheme’s Riskometer, concentration, liquidity profile and drawdowns in comparable market periods? | Risk varies by scheme and can change; the label is incomplete evidence. |
| Existing holdings | Which companies and sectors do you already own through other equity funds? | Two apparently different funds may duplicate the same holdings or sector bets. |
| Performance | How did the named scheme perform against its appropriate benchmark and peers over the same periods, including weak markets? | Consistent periods and benchmarks are more informative than category flows or a single recent return. |
| Cost and process | What is the current expense ratio, who manages the fund, how long has the process been in place, and has the scheme followed its mandate? | These are scheme-specific characteristics that cannot be inferred from the category. |
| Personal suitability | What is your time horizon, how much loss can you tolerate, and when will you need the money? | A category cannot be declared suitable without the investor’s circumstances. |
How to choose, step by step
1. Define the job the fund must perform
Write one sentence describing the intended role. Examples include “I want a dedicated mid-cap allocation alongside my existing broad equity funds” or “I want one equity fund whose manager can change the mix by company size.” If you cannot state the role, comparing category labels will not resolve the uncertainty.

2. Check whether a dedicated allocation is necessary
A small-cap or mid-cap fund gives you a targeted exposure, but it also means you must accept that the fund will retain at least the mandated allocation to that segment. Choose this route only if that exposure is intentional and you can hold it through uncomfortable periods.
A flexi-cap fund may be more convenient when you prefer a single manager to make the size allocation. Convenience is not the same as control: you must accept the manager’s decisions and review the portfolio to see what those decisions produced.
3. Set a time horizon and loss rule
Specify when the money may be needed and what you would do after a substantial decline. A written rule such as “I will review the mandate and my goal, not sell solely because of a short-term fall” is more useful than assuming you will remain calm. If a loss would make you abandon the plan, select a less concentrated role or reduce the allocation rather than hoping discipline will appear later.

4. Gather current scheme documents
- Download the latest factsheet, portfolio, Riskometer disclosure, expense-ratio information and benchmark details for each candidate.
- Note the named category allocation and the percentage outside it.
- List the largest holdings and sector weights.
- Record manager tenure, stated investment process and any material mandate or strategy change.
- Compare the scheme with your existing equity funds for company and sector overlap.
5. Compare performance on an equal basis
Use the same start and end dates, the same return convention and the benchmark specified for each scheme. Include periods of market weakness, not only a recent rally. A category-wide inflow number is not a return measure, and a past winner does not establish future suitability.

Owning separate small-cap, mid-cap and other equity funds requires you to monitor overlap and rebalance your overall allocation. A flexi-cap fund delegates the size mix to one manager, but you still need to review whether the portfolio remains consistent with your goal. Choose the arrangement you can realistically monitor.
7. Write down review triggers
Review after a material change in your goal, a prolonged mismatch with the stated mandate, a significant process or manager change, or a change in your ability to tolerate losses. Do not replace a sound plan merely because another category has recently attracted more money.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Portfolio overlap: the check many investors skip
Category labels do not reveal how much duplication exists across your funds. Create a simple holding map with each fund’s largest companies and sector weights. Mark repeated names and unusually large combined exposures. A flexi-cap fund may own many of the same companies as a mid-cap or small-cap fund, especially when those companies sit near a classification boundary or when managers favor similar sectors.
Overlap is not automatically wrong. It becomes a problem when you believe you are diversified but several funds are driven by the same companies, sectors or market-cap exposures. Evaluate the combined portfolio, not each scheme in isolation.

Which investor might prefer each approach?
A dedicated small-cap allocation may fit when
- You have a clearly defined reason to seek smaller-company exposure.
- Your broader portfolio does not already create excessive small-cap concentration.
- You can remain invested through drawdowns and accept that the mandate limits how far the manager can retreat from the segment.
- You are prepared to monitor holdings, liquidity and overlap.
A dedicated mid-cap allocation may fit when
- You want medium-sized-company exposure as a deliberate part of your asset allocation.
- You understand that the fund will maintain the required mid-cap exposure even when market leadership changes.
- You have checked whether other funds already provide the same exposure.
A flexi-cap allocation may fit when
- You prefer one manager to decide the balance among large-, mid- and small-cap stocks.
- You value a dynamic mandate more than control over the exact size allocation.
- You will still review the current portfolio, Riskometer, costs and process rather than treating “flexi-cap” as a low-risk label.
Common mistakes and how to correct them
Mistake: treating 65% as a permanent 100% allocation
Correction: Read the current portfolio and identify what sits outside the required segment. The minimum establishes a floor, not a complete portfolio description.
Mistake: assuming flexi-cap means automatically diversified
Correction: Inspect the holdings and sector weights. Manager discretion can produce a concentrated portfolio even when the mandate spans all three size groups.
Mistake: ranking categories by recent inflows
Correction: Use inflows only as a dated description of category activity. Assess the scheme’s benchmark-relative returns, drawdowns, costs and process instead.
Mistake: using an old market-cap classification
Correction: Check the latest AMFI stock list because rankings and classifications are updated.
Mistake: comparing returns with different dates or benchmarks
Correction: Align periods, return conventions and benchmarks before drawing a conclusion.
Mistake: ignoring the money’s purpose
Correction: Match the allocation to the date you need the money and your ability to stay invested. A category that looks attractive on paper is unsuitable if a loss would force a sale.

When individualized help is worth considering
Consider a properly registered Indian investment adviser or mutual-fund distributor if you cannot map your existing holdings, set an allocation consistent with your goals, or interpret scheme documents. Verify registration and the scope of the service independently. An adviser should explain the reasoning, risks, costs and review process rather than promising that one category will outperform.
A decision you can defend
Choose a small-cap or mid-cap fund when the dedicated exposure is intentional, affordable in behavioral terms and not duplicated elsewhere. Choose a flexi-cap fund when you want a manager to control the size mix and accept that the portfolio can change. In either case, make the decision at scheme level using the current Riskometer, holdings, benchmark-relative results, expenses, manager process and your own time horizon. No category label or recent flow statistic can make that personal assessment for you.
