Yes—but only if you manage the provider as a critical supplier, not as a piece of software. Before placing an essential process on one private AI provider, classify the dependency, contract for security and data rights, verify that controls actually operate, monitor the rules that apply to your use, and prove that you can move the workload elsewhere. If a provider cannot give you credible evidence or a workable exit path, keep the use case low-impact or maintain a tested fallback.
The key question is not whether private AI is useful. It is whether an outage, price increase, model retirement, changed terms, breach or regulatory restriction would leave your business unable to operate. The checklist below turns that question into decisions, contract terms and tests.

What “depending on” a private AI provider means
A private AI provider may operate a dedicated environment, a hosted model with contractual isolation, or an enterprise service that keeps your data separate from public users. “Private” describes the service arrangement; it does not automatically prove strong security, portability or business continuity. You still need to establish where data is processed, who can access it, how models and APIs change, and what happens when the relationship ends.

Dependency exists when a process, customer commitment or compliance obligation cannot be met without that provider. A chatbot used for internal brainstorming is usually a different risk from an AI system that approves transactions, produces regulated communications or runs a production workflow. Assess the consequence of failure rather than relying on the provider’s label.

Classify the dependency before you sign
Write down the answers for each proposed workload. The classification should be approved by the business owner, technology lead and whoever is responsible for privacy or compliance.
| Dimension | Questions to answer | Higher-risk indicators |
|---|---|---|
| Operational criticality | Which processes stop after one hour, one day or one week without the service? | No manual procedure, customer-facing downtime, missed deadlines or safety impact |
| Data sensitivity | Will prompts, files, embeddings, outputs or logs contain personal, confidential or regulated information? | Identity data, financial records, trade secrets, health information or credentials |
| Replacement time | How long would it take to qualify another provider or a local model? | Months of re-integration, proprietary fine-tuning or unavailable export formats |
| Regulatory impact | Could the use be subject to sector, privacy or AI-specific duties? | High-risk use, cross-border processing, decisions about individuals or required audit records |
| Concentration | How many products and teams depend on the same provider, identity system or region? | One outage affects several revenue or control functions at once |
Record a service owner, business owner, maximum tolerable outage, recovery objective and fallback for every high-impact workload. If those fields are blank, the dependency is not ready for production.
Security and privacy checks
Ask for evidence, not reassuring language. Federal Trade Commission vendor guidance captures the principle in two short instructions: “Put it in writing” and “Don’t just take their word for it.” Obtain current assurance reports or independent assessment evidence, understand its scope and dates, and create a process to review changes as threats and architectures evolve.
Access and isolation
- Require documented role-based access, administrator controls, multifactor authentication and review of privileged activity.
- Confirm encryption in transit and at rest, key-management responsibilities and how tenant data is isolated.
- Ask how support personnel, subcontractors and automated systems can access your content, and whether access is logged and time-limited.
- Require vulnerability management, secure development practices, penetration-testing summaries and a process for fixing critical findings.
Data use, location and deletion
- Obtain a plain-language answer on whether customer inputs or outputs are used to train, tune or evaluate shared models. If use is allowed, make the prohibition or limitation contractual.
- Identify every processing region and the legal mechanism used for cross-border transfers relevant to your business.
- List all subprocessors, their functions and the notice period for adding or replacing one.
- Specify retention periods for prompts, uploaded files, outputs, embeddings, backups and operational logs. Deletion should cover replicas and backups on a defined schedule.
- Require a deletion certificate or equivalent evidence when data is removed, and define what must be retained for legal obligations.
Incident response and resilience
The agreement should set a deadline and channel for notifying you of a suspected or confirmed incident, plus the information needed to investigate: affected systems, data categories, time line, containment steps and remediation. Require recovery objectives, backup practices, regional failover information and an explanation of how the provider will support your own notifications. A vague promise to provide “commercially reasonable” security does not tell you whether the service can recover within your business limit.
Contract terms that prevent avoidable lock-in
Have counsel adapt the terms to your jurisdiction and use case. The contract, order form and data-processing addendum should agree with one another; a marketing page should not be the only place a control appears.

| Term | What to define |
|---|---|
| Permitted processing | Purpose, data categories, approved regions, prohibited secondary uses and instructions for model training or human review |
| Ownership and licence | Your rights in inputs, outputs, prompts, fine-tunes, retrieval indexes, evaluation sets and generated artifacts; the provider’s limited licence to operate the service |
| Retention and deletion | Default and maximum periods, backup treatment, deletion workflow, evidence and exceptions required by law |
| Security evidence | Named standards, independent reports, remediation commitments, audit cooperation and a way to verify that controls remain current |
| Incident notice | Trigger, maximum notice period, communication method, investigation support and cost allocation |
| Subprocessors | Approved list, due diligence, flow-down duties and advance notice or objection rights |
| Service levels | Availability measurement, latency or quota commitments, support severity levels, recovery objectives, credits and termination rights for persistent failure |
| Change control | Notice periods for model, API, policy, pricing, region or safety-control changes; testing access and a right to reject material changes |
| Exit and transition | Export formats, assistance rates, access during wind-down, continued support, deletion evidence and treatment of prepaid amounts |
Do not accept terms that make prompts, configurations, fine-tunes or evaluation data unrecoverable. Require practical machine-readable exports and document the interface needed to replay requests elsewhere. If the provider can suspend access immediately for a policy or billing dispute, negotiate a cure period and read-only export access where legally and operationally possible.
Compare the service, not just the model
A model’s benchmark score is only one part of vendor risk. Evaluate the complete service against your own representative tasks and constraints.
- Task accuracy: Use a controlled evaluation set that reflects your language, documents, edge cases and unacceptable errors. Record the date, model version and scoring method.
- Latency and capacity: Check normal and peak response times, quotas, concurrency limits, regional capacity and behavior when limits are reached.
- Availability and recovery: Examine historical service reporting where available, the contractual uptime definition, recovery commitments and dependencies outside the AI service.
- Version transparency: Require notice of deprecations, model substitutions, changed system behavior and the ability to pin or test versions.
- Safety and escalation: Understand filtering, abuse handling, false-positive appeal, human support and emergency contacts.
- Integration and observability: Confirm audit logs, usage metrics, request identifiers, alerting, role integration and export of the telemetry your controls need.
- Total cost and concentration: Include implementation, storage, retrieval, monitoring, support, egress, migration and the cost of maintaining a fallback—not only per-token or per-request charges.
Run the same evaluation after material model or policy changes. A provider that is inexpensive but impossible to test or replace may create a larger financial exposure than a higher-priced service with strong controls.
Use a repeatable governance method
The NIST AI RMF Playbook organizes governance work into Govern, Map, Measure and Manage and is based on AI RMF 1.0. Its trustworthiness dimensions include security, resilience, privacy, accountability and transparency. The Generative AI Profile, NIST-AI-600-1, was released on 26 July 2024 and adds generative-AI-specific considerations.
Govern
Assign an accountable executive, service owner, security reviewer and data owner. Set risk appetite, approval thresholds, documentation standards and escalation paths. Keep a register of models, providers, data classes, subprocessors, versions and contract expirations.

Map
Describe the intended users, affected people, data flows, downstream decisions, human roles and failure consequences. Identify dependencies such as identity, retrieval stores, monitoring and the provider’s own upstream model or cloud supplier.
Recommended Free Tools
Measure
Define tests for accuracy, bias or disparate impact where relevant, privacy leakage, prompt injection, misuse, latency, availability and cost. Preserve test data, results, model version and decision thresholds so a later change can be compared.
Manage
Track findings to owners and due dates. Apply mitigations such as human approval, rate limits, redaction, fallback routing or suspension. Reassess after incidents, material changes, new data uses or changes in law.
Check which regulatory role applies
Regulation depends on your jurisdiction, sector, role and use—not on the word “private.” For exposure to the European Union, determine whether your counterparty is a general-purpose AI (GPAI) provider, a downstream provider or a deployer, and whether your system is classified as high-risk. The European Commission states that GPAI provider obligations entered into application on 2 August 2025, with Commission enforcement powers applying from 2 August 2026. High-risk systems have separate timelines and duties.
Map the documentation, copyright, transparency, logging, human-oversight and fundamental-rights requirements that attach to your role. Ask the provider which obligations it accepts contractually and which remain yours. Do not assume that a provider’s compliance statement transfers your legal responsibility; obtain advice for the countries and activities involved.

Build portability before production dependence
Portability is a capability you demonstrate, not a sentence in a contract. Create an inventory of everything needed to reproduce the workflow:
- source documents, structured data, embeddings and retrieval indexes;
- system and developer prompts, templates, tool definitions and guardrails;
- model settings, fine-tuning or adapter files, schemas and routing rules;
- evaluation sets, expected answers, quality thresholds and safety tests;
- conversation, audit and billing logs required for operations or compliance;
- integration code, authentication configuration, webhooks and observability mappings.
Prefer open, documented formats and an abstraction layer that separates business logic from provider-specific calls. Keep a small, representative test set outside the provider so you can compare a replacement without first asking the incumbent for permission.
Run the exit procedure
- Export: Retrieve data, prompts, configurations, logs and evaluation artifacts in the formats specified in the contract.
- Recreate: Configure a second provider, a locally operated model or a manual process using the exported materials.
- Validate: Replay the test set, compare quality and safety thresholds, and obtain business-owner approval for any degraded capability.
- Switch: Route a controlled slice of traffic, then document the sequence for a full cutover, including credentials, DNS, queues and rate limits.
- Delete: End access, revoke keys, request deletion of primary and backup copies, and collect evidence of completion.
Measure elapsed time, staff effort, unexpected fees, missing fields and quality differences. Fix the procedure while the original provider is still available.
Rehearse the failure scenarios
Hold a tabletop exercise before making the service mission-critical and repeat it after major changes. At minimum, work through:
Quick wins for a faster PC:
Repair Windows errors before they cause bigger problemsFix Now →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →- a provider outage lasting one hour, one day and one week;
- a sudden price increase, quota reduction or unfavorable policy change;
- retirement or replacement of the model your workflow uses;
- a data incident requiring investigation, notification and containment;
- a regulatory restriction that prevents processing in a region or for a use case;
- an acquisition, insolvency event or loss of a critical subcontractor.
For each scenario, name the decision maker, communication owner, technical steps, customer message, records to preserve and condition for returning to normal service. A fallback that exists only on paper is not a fallback.

Choose an appropriate dependency level
| Workload profile | Suitable posture | Minimum safeguards |
|---|---|---|
| Low impact, replaceable and non-sensitive | Single provider may be acceptable | Basic contractual data limits, export and a documented manual workaround |
| Important internal process or confidential data | Controlled dependence with fallback testing | Independent assurance, incident terms, deletion evidence, monitoring and an exercised second option |
| Revenue-critical, regulated or difficult to replace | Avoid untested single-provider concentration | Strong service levels, change rights, dual capability or self-hosted alternative, formal recovery tests and executive risk acceptance |
No authoritative source establishes a universal percentage for private-AI provider lock-in, outage or failure probability. Use your own impact, replacement-time and test evidence rather than an invented industry benchmark.
A practical implementation sequence
- Inventory and classify: List every AI workflow, data type, owner, outage impact and regulatory question.
- Set acceptance criteria: Define security evidence, quality thresholds, service levels, export formats, recovery objectives and maximum tolerable concentration.
- Negotiate and document: Put processing, rights, retention, incidents, subprocessors, changes, support and exit assistance into the contract.
- Test before launch: Run security review, representative evaluations, load checks and an export-and-recreate exercise.
- Operate and monitor: Track versions, incidents, usage, cost, quality, quota headroom, control evidence and regulatory changes.
- Reapprove material changes: Trigger review for a new model, region, subprocessor, data category, pricing structure or business-critical workflow.
Frequently Asked Questions
Is a private AI provider automatically safer than a public service?
No. Privacy depends on contractual restrictions, technical isolation, access controls, retention, processing locations and verified operations. A private arrangement can still have weak deletion, subcontractor or recovery practices.
What if a provider refuses audit rights?
Ask for independent assurance reports, penetration-test summaries, control attestations and a defined process for answering evidence requests. If you cannot obtain enough evidence to meet your own obligations, limit the workload or choose another arrangement.
How much redundancy does a small business need?
There is no universal number. Match redundancy to the consequence and replacement time you documented. A manual procedure may be enough for a low-impact task; a revenue-critical process generally needs a tested second provider, local model or other viable route.
Can a contract guarantee that another model will produce identical results?
No. Different models can vary in wording, latency, refusal behavior and error patterns. Contracts can require export, testing access, notice and transition assistance; your evaluation set must determine whether a replacement is acceptable.
