REITs vs. Real Estate Crowdfunding: Which Is Right for You?

By TheFinanceBase Team 12 min read

Short answer: For most U.S. investors who want a readily tradable real-estate security, a publicly traded REIT is the simpler starting point: you can see a market price and generally sell through a brokerage account during exchange hours. Real-estate crowdfunding is not one standardized investment. Each offering may have a different property, sponsor, security, legal exemption, fee schedule, valuation method and exit rule. It can suit an investor willing to analyze a specific deal and accept less liquidity, but only after reading that offering’s documents.

The choice is therefore not simply REIT versus crowdfunding. Compare a public REIT with the exact crowdfunding security—or with a non-traded or private REIT—on liquidity, concentration, disclosure, fees, leverage, conflicts, tax structure and the right to exit.

What you are comparing

Publicly traded REITs

A real estate investment trust, or REIT, is a company that owns or typically operates income-producing real estate or real-estate-related assets. Those assets can include properties such as apartments, offices, warehouses and hotels, as well as mortgage-related assets. A public REIT lists shares on a securities exchange, so a brokerage account can usually provide a live market price and an order-based way to buy or sell.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The exchange price reflects what investors are willing to pay for the company, not a current appraisal of each building. It can rise or fall with property fundamentals, interest rates, financing conditions, expectations for management and the broader stock market. A public REIT may own many properties, but a sector-focused trust can still be concentrated in one type of real estate.

Non-traded and private REITs

The word REIT does not tell you whether shares trade publicly. Non-traded REITs are registered offerings that do not list shares on an exchange. They may offer a redemption program, but the program can be limited, changed, suspended or discontinued; a redemption can also occur at a discount. Private REITs are not exchange listed, can be difficult to value or transfer, and may not regularly file reports with the Securities and Exchange Commission.

Because these structures lack an exchange price, investors may see values based on periodic or annual appraisals. The SEC cautions that an appraisal can be delayed or inaccurate. A long holding period is possible: in its August 31, 2015 bulletin on non-traded REITs, the SEC wrote that liquidity events “might not occur until more than 10 years after your investment.” That warning applies to non-traded REIT liquidity events, not to every crowdfunding investment.

Real-estate crowdfunding

Real-estate crowdfunding describes a way of offering an investment online, not a single security. One deal might be an ownership interest in a single property; another could be a loan, a note, a fund interest or an interest in an entity that owns several assets. The sponsor, property, financing, investor rights, fees, valuation process and transfer restrictions must be established from the individual offering documents.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Regulation Crowdfunding is one possible legal route. It is not a synonym for every online real-estate deal. Other offerings may rely on different securities exemptions or entity structures, with different eligibility rules and disclosure obligations.

At-a-glance comparison

Question Publicly traded REIT Non-traded or private REIT Crowdfunding offering
How you buy and sell Usually through a brokerage account on an exchange Direct subscription; any redemption program is subject to its terms Through the platform and transfer process specified in the offering
What sets the value Continuous exchange trading Periodic valuation, often using appraisals Method stated by the issuer; may be infrequent or deal-specific
Portfolio scope One company may own many properties or real-estate-related assets Program assets described in offering materials One property, a group of properties, a fund or a real-estate loan
Regulatory description Public-company securities with periodic SEC filings Separate registered or private structures with different reporting Depends on the exemption; Regulation Crowdfunding is only one route
Main investor trade-off Trading convenience versus market-price volatility Potentially steadier stated valuation versus limited liquidity Deal-level choice versus security-specific risk and exit limits

Liquidity: how quickly can you get your money out?

Public exchange listing generally gives a REIT the clearest exit mechanism. You can submit a sell order during market hours, but execution is at the available market price. A sale is not a guarantee of principal: the quote may be below the price you paid, and a rapidly moving market can produce a different result from the quote you saw moments earlier.

Non-traded REITs do not provide that exchange exit. Their documents may cap the amount redeemed in a period, impose eligibility conditions, use a price that differs from an appraisal, or allow the board to stop the program. A private REIT may require a negotiated transfer, and a buyer may be difficult to find.

For crowdfunding, ask four separate questions rather than relying on a platform’s description:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Can the security be transferred, and is issuer consent required?
  • Is there a contractual maturity, redemption right or repayment schedule?
  • Can the sponsor refinance, sell the property or extend the investment period?
  • What happens if no secondary buyer exists?

Do not infer a lockup period, minimum holding period or secondary market from the word crowdfunding. Those terms belong to the security and its documents.

What you own and how concentrated it is

A public REIT can provide exposure to a portfolio, but diversification is not automatic. A trust focused on one property sector, region or tenant group can be sensitive to a narrow economic cycle. Mortgage REITs have a different risk profile from property-owning REITs because their assets are mortgages or other real-estate debt; leverage and funding conditions can materially affect results.

A crowdfunding investment may be highly concentrated in one building, one development project, one borrower or one sponsor. A fund-style offering can spread exposure across multiple properties, but the number, geography, property types, financing and ownership percentages should be verified rather than assumed.

Map the proposed investment against the rest of your portfolio. A single apartment development may add little diversification if you already own apartment-focused securities. Conversely, a broad public REIT portfolio may overlap with a fund you already hold. Concentration should be measured by asset type, geography, tenant or borrower, sponsor and debt exposure—not merely by the number of investments.

Valuation, disclosure and transparency

Public REIT shares have an observable exchange price and the company’s SEC filings can provide information about properties, debt, operating results, risks and related-party matters. The market price can be noisy, but it is available continuously while the exchange is open.

Non-traded REITs generally rely on periodic or annual appraisals or other valuation procedures. The SEC notes that such values may not be current or accurate, so a displayed net asset value should not be treated as an executable sale price.

A crowdfunding issuer must be evaluated under the legal route it uses. Under Regulation Crowdfunding, the issuer provides specified information about its business, use of proceeds, target amount, deadline, risks and financial condition. Required financial disclosure is tiered according to the offering’s size and circumstances. That framework still leaves the investor responsible for understanding the particular security and its assumptions. A platform page is not a substitute for the formal offering statement, financial information and risk factors.

Fees and the return you actually keep

For a public REIT, examine the brokerage arrangement, any fund expense ratio if you buy through a mutual fund or exchange-traded fund, and the REIT’s own operating, financing and management expenses. Those company expenses affect the cash available to shareholders even when they are not billed as a separate line item to you.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The SEC’s August 31, 2015 investor bulletin on non-traded REITs says upfront fees can reach 15 percent of the offering price. That is a warning about non-traded REIT structures, not a universal crowdfunding fee. Additional transaction, acquisition, distribution, management and ongoing fees may apply. Read the fee table and identify which charges reduce your invested amount, which are paid by the property entity and which can be charged during an extension or sale.

Crowdfunding fees vary by security and sponsor. Look for origination or placement charges, asset-management fees, servicing fees, financing costs, performance allocations, property-sale fees and expenses charged by an affiliated entity. Ask whether a fee is calculated on committed capital, invested capital, gross property value, income or profits. A lower headline fee does not necessarily mean a lower total cost if the investment carries expensive financing or a broad set of pass-through expenses.

Risk, leverage and investor control

Public REIT shareholders face market-price risk in addition to the underlying property or mortgage risks. Interest-rate changes can alter borrowing costs and the relative appeal of dividend-paying securities. Some mortgage REITs use substantial leverage, creating sensitivity to funding spreads and asset values. Management decisions, incentive structures and conflicts can also affect results.

In a crowdfunding deal, inspect the capital stack. Determine whether your security is equity, preferred equity, a note or another interest; where it sits relative to senior lenders; whether the sponsor can incur additional debt; and what happens after a covenant breach. A project can perform operationally while an investor still loses money if refinancing is unavailable or a senior creditor is paid first.

Review conflicts of interest, including sponsor affiliates that receive development, property-management, financing or disposition fees. Check whether the sponsor can change the business plan, replace contractors, issue additional interests or sell to an affiliated buyer. Investor voting rights, information rights and remedies after a default should be stated in the governing documents.

Regulation Crowdfunding carries an explicit total-loss warning. In its October 14, 2022 investor bulletin, the SEC said: “Remember, this is your money that you are putting at risk, and you should only invest after careful consideration of the risks.” Treat that as a description of the possibility, not as a prediction that a particular offering will fail.

Tax treatment is structure-specific

The SEC explains that REITs distribute at least 90 percent of taxable income for the year. That is a distribution requirement for qualifying REITs, not a promise of yield or total return. The SEC also notes that REIT dividends typically are not qualified dividends, so they may be taxed differently from qualified corporate dividends. Your result can depend on the type of distribution, your tax bracket, the account holding the investment and applicable law.

There is no single tax treatment for real-estate crowdfunding. A debt investment, direct ownership through a pass-through entity, corporation, partnership or other security can generate different reporting and tax consequences. Read the offering’s tax section and obtain advice from a qualified tax professional before investing; do not assume that a crowdfunding distribution receives the same treatment as a REIT dividend.

Regulation Crowdfunding versus other online offerings

For Regulation Crowdfunding, the SEC says investors may invest only through an online platform operated by a registered broker-dealer or funding portal. The issuer supplies specified disclosures, and the required financial information is tiered. The legal route does not eliminate business, valuation, liquidity or total-loss risk.

Online real-estate platforms may use other exemptions or structures. Before relying on an investor limit, accreditation rule, disclosure standard, resale restriction or intermediary protection, identify the exemption and the exact security in the offering documents. The SEC staff interpretations page for Regulation Crowdfunding was updated July 9, 2026; that page concerns the Regulation Crowdfunding framework and should not be generalized to every platform deal.

A decision framework for choosing between them

  1. Set the liquidity requirement. If you may need to sell on short notice, begin with investments that have a clear, functioning exit mechanism. An exchange-listed REIT generally fits that requirement better than a non-traded or private structure, while a crowdfunding deal must be judged by its specific transfer and redemption terms.
  2. Choose the desired level of concentration. Decide whether you want company- or fund-level exposure or are comfortable underwriting one property, borrower or sponsor. Require a property list and allocation schedule when a fund claims diversification.
  3. Define the information you need. Public-company filings may be preferable if you want recurring financial reports and a visible market price. For a private deal, confirm the frequency, contents and delivery method of investor reports before subscribing.
  4. Calculate total costs. Put every fee, expense, financing charge and potential performance allocation into a single schedule. Compare the amount that actually reaches the asset with the amount you pay.
  5. Analyze the capital stack and conflicts. Identify senior debt, guarantees, interest-rate exposure, sponsor compensation and related-party transactions. A high projected distribution cannot compensate for an unfavorable priority of payment if the project underperforms.
  6. Check the tax structure. Determine what tax forms you may receive, whether income is passed through, and how distributions and sales are expected to be treated. Get personal advice when the structure is unfamiliar.
  7. Verify that the risk fits your portfolio. Keep emergency savings and near-term obligations separate from investments that may decline in value or be difficult to sell. Do not use an advertised distribution rate as a substitute for an overall risk assessment.

Due-diligence checklist before committing money

  • Read the prospectus, private-placement memorandum, subscription agreement, operating agreement, note or other governing document—not only the summary page.
  • Record the legal issuer, security type, exemption, minimum investment, closing conditions and deadline.
  • List the property or properties, location, occupancy, tenant or borrower concentration, development status and independent valuation method.
  • Review sponsor history, completed and failed projects, litigation, bankruptcies, defaults and the experience of the people making decisions.
  • Identify all fees, affiliated vendors, incentive payments, distribution priorities and circumstances that can dilute your ownership.
  • Measure debt: principal, maturity, interest-rate basis, covenants, refinancing assumptions, guarantees and the consequences of default.
  • Write down transfer, redemption, maturity, sale and wind-down provisions, including any board discretion or sponsor extension rights.
  • Check the issuer’s SEC filings in EDGAR when filings are required. Confirm the registration or regulatory status of any broker, investment adviser, broker-dealer or funding portal through the relevant public registries.
  • Save the version and date of the documents you reviewed. Offering terms can change before a closing, so compare the final documents with the materials that persuaded you to invest.

Examples of when each route may fit

An investor who values daily tradability

An investor building a diversified securities portfolio, who may rebalance or raise cash without negotiating with a sponsor, may prefer publicly traded REIT shares or a REIT-focused mutual fund or exchange-traded fund. The investor accepts that the quoted price can fall even when property operations appear stable.

An investor evaluating one defined project

An investor who understands a particular development, can tolerate an uncertain exit and is prepared to read a full capital stack and sponsor history might consider a crowdfunding offering. The decision depends on that deal’s security rights and economics, not on the platform label.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

An investor considering a non-traded REIT

An investor should treat a non-traded REIT as a separate category from a public REIT. The absence of an exchange price, possible redemption limits and potentially high upfront charges require a review of the sponsor’s program documents, valuation policy, distribution sources and liquidity plan.

Common mistakes to avoid

  • Assuming every REIT is liquid. Public, non-traded and private REITs have materially different trading and redemption characteristics.
  • Treating crowdfunding as one product. Equity, debt, fund interests and other securities can have different rights and risks.
  • Comparing yields without a common basis. No comparable return figure establishes that one category outperforms the other. Any comparison would need the same period, security type, fees, distributions, leverage and tax assumptions.
  • Using an appraisal as a sale quote. A periodic valuation for a non-traded investment may not be current or executable.
  • Ignoring sponsor incentives. Development, management, financing and disposition fees can alter the economics even when a project’s headline return looks attractive.
  • Assuming Regulation Crowdfunding protections apply everywhere. Confirm the actual exemption and intermediary before relying on its disclosure or eligibility rules.
  • Putting short-term cash into a long-term deal. A redemption request, property sale or refinancing may not occur when you need funds.

Bottom line for a U.S. investor

Choose a publicly traded REIT when exchange trading, visible pricing and routine company disclosure are the priorities and you can tolerate stock-market volatility. Consider a crowdfunding investment only when you are willing to underwrite the specific property, sponsor, security, financing, fees, tax structure and exit terms—and can withstand a long or unsuccessful exit. Treat non-traded and private REITs as their own categories, not as interchangeable versions of a public REIT.

There is no universal winner. The sound choice is the investment whose legal structure, liquidity, concentration, costs, disclosures and risks you can explain in your own words after reviewing the final documents.
