Proofpoint completed its acquisition of Hornetsecurity on December 8, 2025, for total consideration of $1.8 billion. The deal gives Proofpoint a channel-first Microsoft 365 security platform and a dedicated route into the small and midsize business market through managed service providers (MSPs). It also gives the company’s possible 2026 IPO a larger growth story—but management’s timetable remains an ambition, not a confirmed public offering.
What Proofpoint bought
Hornetsecurity is a European provider of Microsoft 365 security, backup, compliance, security-awareness training and access-control services. Its flagship 365 Total Protection platform combines those functions with domain-fraud protection and multitenant administration for MSPs.

That last point is central. Proofpoint did not simply acquire another email-security product. It acquired an operating model built for partners that manage many customers at once: centralized administration, separate customer tenants, recurring billing, tiered plans and partner-led support.
At closing, Proofpoint said Hornetsecurity served more than 12,000 MSPs and channel partners and more than 125,000 customers across more than 120 countries. Daniel Hofmann, Hornetsecurity’s founder, remained with Proofpoint as executive vice president and general manager of the MSP business.

Proofpoint’s closing announcement described the combined offering as covering email protection, Microsoft 365 backup, compliance, security awareness, access control and related services.
Why Proofpoint paid $1.8 billion
The financial price and the strategic value are different questions. Proofpoint historically focused on larger enterprises. Hornetsecurity gave it an established channel network and a multitenant platform for selling security services to smaller organizations without building that infrastructure from scratch.
Proofpoint’s stated strategic rationale included:
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errors- Entering the MSP-led SMB cybersecurity market more quickly.
- Reaching smaller customers through established European and international channel relationships.
- Offering a broader Microsoft 365 security and data-protection portfolio.
- Creating cross-selling opportunities between Proofpoint’s enterprise business and Hornetsecurity’s MSP ecosystem.
- Combining threat intelligence and AI-related capabilities across a broader product set.
- Supporting multiple service levels instead of relying on a single point product.
When Proofpoint announced the agreement on May 15, 2025, it said Hornetsecurity had more than $160 million in annual recurring revenue (ARR) and was growing more than 20% year over year. At closing, Proofpoint described Hornetsecurity as generating nearly $200 million in ARR and growing 20% year over year. Those are dated company-reported figures, not necessarily inconsistent measurements: the business continued to grow between announcement and closing.
Using the approximately $200 million closing ARR figure, $1.8 billion is roughly nine times ARR. That is only a simple price-to-ARR calculation—not a disclosed valuation methodology. It does not account for cash, debt, earn-outs, taxes, synergies, integration costs or other transaction terms.

The deal’s real center of gravity is the channel
For Proofpoint, the most important change may be distribution rather than feature overlap. An MSP can use a multitenant platform to configure policies, monitor alerts and administer protection for many businesses from one operating environment.

That can create a practical value proposition:
- Fewer separate products to deploy and maintain.
- Fewer vendor relationships and billing systems.
- A possible path from basic email protection to backup, compliance and awareness services.
- More opportunities for MSPs to add recurring cybersecurity services to existing Microsoft 365 and productivity relationships.
- Potential access to Proofpoint’s enterprise threat intelligence and detection capabilities in an SMB-oriented package.
In an interview with CRN, Proofpoint CEO Sumit Dhawan said the company intended to adapt elements of Hornetsecurity’s partner model, including volume-based and strategic incentives, tiered plans, front-end and back-end incentives, stronger partner-success support and more direct technical engagement for larger MSPs. Distributors would continue to play a role in recruiting partners.
For MSPs, however, “one platform” should not automatically mean one complete replacement. A consolidated commercial relationship may still contain multiple products, separate workflows or uneven depth across categories. Partners should examine migration requirements, API and PSA/RMM integrations, ticketing, billing, reporting, support escalation and customer offboarding before committing.
Proofpoint’s North American follow-through
The acquisition was particularly significant because Hornetsecurity’s strength was concentrated in Europe, while Proofpoint wanted to accelerate adoption in the United States.

That strategy produced a concrete post-close step. In May 2026, Proofpoint launched a dedicated Proofpoint MSP Platform business unit and introduced Proofpoint 365 Total Protection in North America. The company said the offering was based on Hornetsecurity’s channel-first technology and ecosystem.

Proofpoint created an organizational home for the business and began extending the platform into the North American channel. The more meaningful measures of success will be partner recruitment, customer adoption, retention, attach rates and margins—not simply the acquisition announcement or the size of the purchase price.
Proofpoint’s May 2026 announcement documents the North American launch. Public pricing was not established in the supplied sources, so MSPs should treat packaging and economics as partner- or quote-based until confirmed directly with Proofpoint or a distributor.
What MSPs should evaluate
- Platform breadth: Determine whether the offering genuinely replaces existing tools or mainly bundles them under a common commercial structure.
- Microsoft 365 coverage: Check the specific protection offered for Exchange Online, SharePoint, OneDrive, Teams, identities and administrative access.
- Multitenancy: Verify tenant provisioning, delegated administration, policy inheritance, reporting and isolation.
- Backup and recovery: Test retention, granular restore, immutable storage and recovery after deletion or account compromise.
- Partner economics: Request current margins, volume tiers, rebates, deal protection, renewal rules and minimum commitments in writing.
- Operational integration: Review APIs, PSA/RMM connections, billing, alert routing and automation.
- Support: Establish which issues go through a distributor, which go directly to Proofpoint and how escalations are handled.
- Migration: Ask whether existing Hornetsecurity tenants or third-party tools require reconfiguration.
- Data and compliance: Confirm hosting location, retention, audit controls and regional requirements.
- Exit options: Understand data export, backup portability, termination terms and customer offboarding.
What changes for SMB customers
SMBs may gain access to broader security capabilities through an MSP without hiring a large internal security team. Email protection, Microsoft 365 backup, compliance controls and awareness training can be administered centrally, potentially reducing operational complexity.
There are trade-offs. A bundled platform can create concentration risk and make the customer more dependent on both the MSP and the vendor. It may not be best in class in every category. Microsoft 365 customers may also have overlapping security capabilities through existing Microsoft licenses, while third-party backup, monitoring and compliance requirements vary by organization.

Customers should ask which functions are included, what remains dependent on Microsoft licensing, where data is stored, how recoveries are tested, how support responsibilities are divided and what happens if they change MSPs. European and North American availability, compliance features, contracts and channel terms should not be assumed to be identical.

Proofpoint’s IPO remains possible but unconfirmed in the available evidence. Thoma Bravo acquired Proofpoint for $12.3 billion in 2021, and the company has been privately held since then.
Dhawan told CRN that Proofpoint had spoken with public-market investors, received positive feedback and hoped 2026 would be the year for an IPO, subject to market conditions and the company’s readiness. He also said the Hornetsecurity integration could require one to two quarters to reconcile the European business’s accounting and GAAP revenue reporting.
Proofpoint’s 2025 results update reported $2.45 billion in exit ARR, but it did not announce an IPO filing or listing. As of the latest date covered by the supplied reporting—August 16, 2026—the evidence does not establish that Proofpoint had:

- Disclosed an expected valuation, share count or target proceeds.
- Explained whether Thoma Bravo would sell existing shares, whether the offering would raise new capital, or both.
- Published combined financial statements showing how Hornetsecurity would be presented.
- Committed to a listing date.
Accordingly, “IPO in 2026” should be read as management’s stated ambition or target timetable, not as a scheduled transaction. The acquisition could strengthen the IPO narrative by adding growth, channel reach and a larger addressable market. It could also complicate readiness through integration work, combined reporting, leverage considerations and the need to demonstrate durable margins.

The broader cybersecurity-consolidation thesis
Proofpoint has described its direction as a human- and agent-centric security strategy. Hornetsecurity extends that strategy beyond large enterprises and into smaller businesses served by MSPs.
The opportunity is straightforward: smaller companies often need protection but lack the staff to operate several specialized tools. An MSP-oriented platform can turn those tools into a managed service. The challenge is equally clear: consolidation only creates value if the products work together, the platform is simple enough to operate profitably and customers do not lose the flexibility or depth they need.
The deal also raises integration risks. Proofpoint could preserve separate product, billing and support structures, weakening the consolidation case. Legacy partner programs could compete. Incentives could be difficult to calculate or collect. Product overlap could create roadmap confusion, while a European-designed platform may need additional North American integrations and support capacity.
For investors and competitors, the key question is therefore not whether Proofpoint bought growth. It is whether the company can convert Hornetsecurity’s existing channel strength into sustained North American partner growth while preserving retention, margins, service quality and reporting clarity.
