The agreement should identify every benefited parcel and owner, establish which recorded documents control, separate routine maintenance and necessary repairs from optional improvements, state the cost-sharing formula, and spell out approvals, notice, invoices, deadlines, records, emergencies and disputes.
There is no single nationwide rule for who pays for a private road. Deeds, easements, covenants, declarations, association documents and state law can produce different results. Maine and California illustrate that point: Maine has a defined equal-share default in one residential-access situation, while Ventura County’s explanation of California law describes proportional-to-use sharing when no agreement controls in the covered easement context. Treat those as jurisdiction-specific examples, not a formula to copy without reviewing your property documents and local law.

Start with the documents that already govern the road
A new agreement does not automatically replace an earlier obligation. Collect and read the recorded deed for each parcel, the private-road easement, declarations, covenants, restrictions, plats, association bylaws, prior maintenance agreements and any recorded amendments. Note the exact road segment covered, which parcels have access rights, and whether an instrument already states who pays, how work is approved or how shares are calculated.

Maine’s cost-sharing statute, 23 M.R.S. §3121, expressly recognizes a specified agreement, property instrument, association arrangement or statutory method when determining shares. That is a useful drafting lesson everywhere: identify the controlling document instead of assuming that the newest informal understanding wins. If documents conflict, have a local real-estate lawyer explain which one governs before circulating a payment demand.

Make a document schedule
- Record the book and page, instrument number or other reliable reference for every deed, easement, declaration and amendment.
- Describe the road by its recorded name, route, endpoints, parcel references and, if available, a survey or plat.
- List each benefited parcel and the owner shown in current title records.
- State whether the agreement supplements, implements or replaces an earlier document, subject to legal review.
Identify every party and the road precisely
The agreement should name the legal owner of each benefited parcel, not just a household or informal road group. Include mailing and notice addresses, an email address if the parties agree to electronic notices, and a contact for an entity such as a trust, company or homeowners’ association. Attach a parcel schedule with legal descriptions or recorded-document references.
Define the road facilities covered by the arrangement. A private road may include a traveled surface, shoulders, ditches, culverts, bridges, gates, signs, drainage outlets and snow-storage areas. State whether the agreement covers the full route or only a segment. If an easement serves several branches, identify which owners use each branch and whether branch-specific expenses are allocated separately.
Define maintenance, repairs and improvements separately
Use separate definitions so an ordinary repair cannot be presented as an upgrade without the required approval. Tailor the examples to the actual road; they are drafting examples, not legal requirements.

Routine maintenance
Routine maintenance keeps the road in its existing condition. Depending on the road, it may include grading, pothole patching, gravel replenishment, surface repair, ditch cleaning, vegetation clearing, culvert cleaning, snow removal or minor sign replacement. State the expected service standard, such as keeping the road passable for ordinary vehicles, rather than promising a particular condition in every storm.

Necessary repairs
Repairs address damage or an unsafe condition that must be corrected to preserve access. Describe who can order an urgent repair, what evidence is required, and whether a spending cap applies. A failed culvert, washout or bridge defect may require action before a full meeting can be held, so include an emergency procedure.
Improvements and upgrades
Improvements change capacity, alignment, materials or amenities rather than merely restoring the existing road. Examples include paving gravel, widening a lane, installing a new gate, relocating drainage or upgrading a bridge beyond its prior design. Ventura County Public Works Agency explains that, in the covered easement context, California Civil Code section 845 permits agreement-based allocation and, absent an agreement, describes proportional-to-use sharing; its guidance also distinguishes improvements from keeping an easement in good repair. The agency advises: “If you would like to improve a private road easement serving your property, you should consider entering into a written cost sharing agreement with other users.” That is county guidance, not a universal rule.
Say whether improvements are excluded, require unanimous consent, require a stated voting percentage, or are handled under a separate project agreement. Do not fold an upgrade into a routine-maintenance invoice.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsChoose and explain the cost-sharing method
State both the formula and the facts supporting it. A percentage without a definition of the denominator invites disputes. Explain how the parties will handle a new parcel, a lot split, a transfer, a change in use or a property that joins the road later.

| Possible basis | How it works | What to specify |
|---|---|---|
| Existing agreement or recorded instrument | The deed, easement, covenant, declaration or prior agreement supplies the allocation. | Identify the document, affected parcels and any conditions or exceptions. |
| Equal shares | Each owner or benefited property pays the same amount. | Define whether a share is per parcel, dwelling, owner or voting unit. |
| Proportionate to use | Shares track use in the circumstances covered by the governing law or agreement. | Describe the measurement method; do not assume traffic counts or vehicle type are legally required. |
| Benefit, frontage or another written formula | Costs follow an agreed factor such as frontage, direct benefit or a negotiated percentage. | Provide the calculation, examples and a method for updating the figures. |
Maine’s 23 M.R.S. §3121 provides an equal-share default for qualifying residential properties when the private road is the primary access and no specified agreement, property instrument, association or statutory method controls. The conditions matter; the rule should not be presented as a national default. Ventura County’s account of California law describes proportional-to-use allocation when no agreement governs in the relevant easement setting. Because neither example supplies a universal measurement method, the parties should have local counsel test the chosen formula against their documents and law.
Set the decision process before work is ordered
Every agreement should answer who may request work, who obtains estimates, how owners approve a project and what happens if an owner does not respond.
- Request: Identify the person who reports a problem and the information required, such as photographs, location and safety impact.
- Estimate: Require one or more written estimates above a stated threshold. Permit an exception when delay would threaten safety or cause greater damage.
- Notice: State the delivery method, notice period, meeting date and documents owners must receive.
- Approval: Define the vote or consent required for routine work, major repairs and improvements. State whether votes are by parcel, owner, percentage interest or another unit.
- Contracting: Identify who may sign with a contractor, approve change orders and verify completion.
- Emergency work: Set an emergency spending limit and require prompt notice, receipts and a later ratification vote.
Maine’s 23 M.R.S. §3101 is one example of a statutory road-association framework in which meetings and votes can determine necessary work, materials and amounts owners pay. It also addresses matters such as association administration and liability insurance. Use it as a state-specific example, not as a template for another jurisdiction.
Write clear billing, payment and records rules
Invoices and deadlines
State when an assessment is due, where it is paid, acceptable payment methods and whether partial payment is allowed. Require an invoice showing the project, total cost, allocation formula, each owner’s share, credits and supporting receipts. Distinguish a one-time assessment from a recurring reserve contribution.

Late or disputed contributions
Provide a written notice of delinquency, a cure period and any lawful interest or collection costs. Explain how an owner can dispute the calculation without withholding an undisputed amount. Do not promise a lien, attorney-fee award or other remedy unless local counsel confirms that the remedy is available and the agreement can create it.
Records and transparency
Specify who keeps contracts, estimates, invoices, bank statements, meeting minutes, inspection reports and insurance certificates. Set a retention period and a process for owners to inspect or receive copies. If money is held in a reserve, identify the account, authorized signers and permitted uses.
Decide whether an association is needed
A small road may operate through an agreement among owners; a larger network may need an association to receive funds, sign contracts and maintain records. If an association is used, address membership, voting units, meetings, notice, officers, bank authority, annual budgets, records and permitted expenses. Confirm that the structure complies with state nonprofit, property and tax rules. Do not assume that forming an association changes easement rights or binds future owners.
Include disputes and a practical enforcement path
Set a staged process: written notice describing the issue, a meeting or conference, document exchange, and mediation before a lawsuit when appropriate. Specify how a mediator is selected, how fees are divided and whether emergency court relief remains available. The Madison County, Virginia, sample “Road Maintenance Agreement,” dated April 2, 2025, illustrates provisions for road identification, cost sharing and good-faith mediation before legal action. It is a local example, not an attorney-reviewed national form.

Allow an owner to challenge work that falls outside the defined scope, an incorrect allocation or a failure to follow approval rules. Keep the dispute clause consistent with any mandatory state process and with the parties’ ability to address immediate safety hazards.
Address successors, transfers and formalities with local counsel
Ask counsel whether the obligation should bind later owners, tenants, lenders or new parcels created by subdivision. The answer may depend on the easement language, covenant requirements, notice, privity and recording law. Have counsel review whether signatures must be notarized, whether the agreement should be recorded, and whether recording creates a covenant, easement or other property interest. Neither recording nor a signature is automatically sufficient in every jurisdiction.
Require a transferring owner to provide the agreement and current account status to a buyer, but do not treat that private promise as a substitute for whatever legal steps are needed to bind successors. Update the parcel schedule after every transfer and keep proof of notices.
A step-by-step drafting workflow
- Map the road: Mark the maintained segment, branches, drainage structures and access points on a plan or recorded plat.
- Verify title: Obtain current title records and every instrument affecting access, maintenance or cost sharing.
- List beneficiaries: Match each benefited parcel to its legal owner and contact information.
- Separate work categories: Create definitions and examples for routine maintenance, necessary repairs, emergencies and improvements.
- Test the formula: Calculate sample invoices under the proposed basis and check what happens if a parcel is subdivided or changes use.
- Set approvals: Choose estimate requirements, notice periods, voting thresholds, emergency authority and change-order limits.
- Build the money process: Set invoices, due dates, reserves, records, late notices and dispute handling.
- Review enforceability: Have local real-estate counsel reconcile the draft with state law and recorded documents, including successor and recording questions.
- Execute and distribute: Obtain the required signatures and formalities, provide a complete copy to every owner and store the signed version with the road records.
Common mistakes that create cost disputes
- Using street addresses without legal descriptions or recorded references.
- Assuming every user has the same access rights or maintenance obligation.
- Calling paving, widening or drainage redesign “maintenance” to avoid an improvement vote.
- Choosing equal shares, frontage or use-based percentages without checking the governing documents.
- Ordering work on a verbal promise and sending invoices before approval rules exist.
- Failing to define emergency authority, leaving owners to argue while damage worsens.
- Keeping no estimates, minutes or receipts, making later allocations impossible to verify.
- Assuming a county sample form automatically binds future owners or works in another state.
- Promising collection remedies, insurance coverage or recording effects that have not been confirmed locally.
Use local programs and examples cautiously
County programs can help owners understand practical maintenance choices, but they do not rewrite private obligations. Nevada County, California’s “Road Maintenance Program Options and Maintained Mileage” guidance demonstrates that local programs may distinguish service options and the mileage actually maintained. Compare any program with the private road’s easement, contract and budget before relying on it.
The safest agreement is fact-specific: it identifies the actual road and parcels, follows controlling instruments, uses a transparent allocation, and gives owners a workable way to authorize, pay for and challenge work. Before money is collected or construction begins, obtain a location-specific review of the title records, draft, signatures and any proposed recording.
