Private Credit vs. Corporate Bonds: Which Is Safer for Financing a Growing Tech Company?

Neither private credit nor corporate bonds is universally safer. Private credit is often the more realistic and flexible choice for a growing technology company that needs a negotiated deal, fast execution, or lender support through volatility. Corporate bonds can be safer for a larger, consistently profitable issuer that can disclose extensively, access many investors, and lock a fixed coupon. The sound choice follows from stress-tested cash interest, covenant headroom, asset recovery, maturity concentration, control rights, and the company’s ability to refinance—not from the label on the instrument.

What “safer” means in a technology financing

Founders and finance teams usually use “safe” to mean several different things. Separating them prevents a low headline rate from hiding a serious risk.

As an Amazon Associate I earn from qualifying purchases.

  • Default risk: the chance that operating cash flow, liquidity, or covenant compliance fails before maturity.
  • Interest-rate risk: the chance that cash interest rises faster than revenue or margins.
  • Refinancing risk: the chance that a maturity arrives when lenders or bond investors will not roll the debt on acceptable terms.
  • Loss-severity risk: the amount creditors may lose after a default. A first-lien claim is not a guarantee of full recovery.
  • Control and execution risk: the chance that a lender group, trustee, or dispersed bondholders can force actions that damage the business or delay a solution.
  • Operational and reputational cost: the burden of disclosure, ratings, reporting, investor relations, and restrictions on strategic decisions.

Private credit can reduce execution and negotiation risk while increasing floating-rate, illiquidity, opacity, and lender-control risk. Bonds can reduce near-term interest volatility while increasing dependence on market access, public disclosure, and a disciplined refinancing calendar. A board should therefore approve a financing only after reviewing each risk separately.

How the two instruments work

Private credit

Private credit is a privately negotiated loan, commonly arranged by a direct-lending fund or other non-bank lender for a company that may be too small, too specialized, or not yet profitable enough for a broadly distributed bond issue. Terms are set in a credit agreement rather than an offering document. The loan is commonly floating-rate over a benchmark, with a spread, an upfront fee, an original-issue discount, and sometimes an exit or prepayment fee.

The lender normally receives regular financial information and can speak directly with management. Depending on leverage and bargaining power, the agreement may include maintenance covenants, reporting tests, minimum liquidity, cash sweeps, restrictions on acquisitions or dividends, mandatory prepayments, equity cures, and detailed events of default. “Private credit” is not one uniform product: a lightly covenanted unitranche loan and a tightly monitored senior secured facility have very different risk profiles.

Corporate bonds

A corporate bond is a tradable security issued to many investors. The issuer and its advisers prepare offering disclosure, obtain any desired ratings, market the transaction, and sell notes that generally pay a fixed coupon. Investors rely on the indenture, public reporting, and the issuer’s ability to access capital markets again.

Bonds can provide a longer fixed-rate maturity than a private loan and may avoid maintenance covenants. They still contain incurrence tests, liens and debt baskets, change-of-control provisions, call schedules, and other restrictions. Secondary-market prices offer a visible market signal, but trading can become thin or disappear during stress. A bond is not automatically safer because it is public or fixed-rate.

At-a-glance comparison

Risk or feature Private credit Corporate bonds
Access Bespoke underwriting can serve middle-market or less profitable borrowers. Usually requires sufficient scale, disclosure, investor demand, and often a rating.
Rate exposure Commonly floating-rate; benchmark increases raise cash interest. Often fixed coupon, reducing near-term rate volatility for the issuer.
Covenants and control Negotiated terms and direct lender monitoring; covenant quality varies with competition and bargaining power. Offering covenants and public disclosure; amendments are less bilateral.
Liquidity and transparency Loans and fund interests are relatively illiquid and may be valued infrequently. Bonds generally have market prices and secondary trading, although liquidity can vanish in a crisis.
Restructuring A small lender group may negotiate quickly, but a controlling lender can have substantial influence. A broad holder base can complicate amendments, exchanges, and consent solicitations.
Recovery risk Direct-loan recovery can be low when value is concentrated in intangible assets. Recovery depends on seniority, security, guarantees, and the issuer’s asset value.
Typical best fit Fast, customized financing for a growing or specialized company. A larger, creditworthy issuer seeking fixed-rate duration and repeat market access.

Default frequency is not the same as recovery

Private credit has historically shown low reported default frequency, but that does not prove it produces lower losses. The Federal Reserve’s 2024 analysis reported post-default value of about 33% for direct loans, compared with 52% for syndicated loans and 39% for high-yield bonds. These are broad observations, not a forecast for a particular borrower, and recovery depends on the period, capital structure, documentation, collateral, and valuation method.

The result matters especially for software and other technology companies. Their value may sit in code, customer relationships, data, brand, and future recurring revenue rather than equipment or real estate that can be sold quickly. A lender can hold a first-priority lien and still recover little if enterprise value falls, intellectual property is hard to transfer, or customers leave during a restructuring.

Ask for a downside recovery analysis rather than relying on “senior secured” language. The analysis should show enterprise value at default, permitted liens ahead of the claim, working-capital needs during a sale, fees and time to realization, and the value of contracts and intellectual property under a forced process.

Why technology companies need a different safety test

Technology borrowers often have strong annual recurring revenue but low current profitability and high leverage. Revenue retention, customer concentration, implementation costs, stock compensation, cloud commitments, and acquisition spending can make EBITDA adjustments look healthier than cash generation. The key question is whether cash interest remains payable after realistic churn, slower bookings, margin pressure, and delayed collections.

The Federal Reserve’s 2024 note said the average interest coverage ratio—a key liquidity metric—“displayed a significant decline in recent quarters, indicating weakening debt service capacity.” Its 2026 report identified software as the largest private-credit sector and noted that private credit increasingly finances technology companies with strong recurring revenue but low profitability and high leverage.

Calculate coverage using cash earnings that a lender and an independent board member can reconcile to bank statements. Show both the company’s adjusted metric and a stricter version that removes aggressive add-backs, capitalized development, and savings that have not yet occurred. Then test the result after rates rise and revenue growth slows.

When private credit is the safer practical choice

You need funding before a public issue is credible

A direct lender can underwrite a middle-market company without the scale, rating history, or broad investor following expected in the bond market. This can avoid a failed roadshow or a punitive issue price. It does not eliminate credit risk; it changes the access problem into a negotiation with a smaller group.

Your business needs customized timing or structure

Private lenders can combine a term loan with delayed-draw commitments, acquisition financing, amortization holidays, or milestones tied to a software company’s growth plan. A company can negotiate baskets and reporting around its actual operations instead of accepting a standardized public covenant package.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A small lender group can improve a workout

Direct conversations may allow a waiver, maturity extension, or amendment before a liquidity crisis becomes public. This advantage is strongest when documentation clearly identifies the decision-maker and the lender has an incentive to preserve enterprise value. It can reverse into a control risk if one lender or a small club can block an essential transaction.

You can tolerate floating-rate exposure

Private credit is more defensible when the company has ample recurring cash flow, a natural hedge, or a plan to cap the benchmark. Without that protection, the initial spread can be overwhelmed by higher base rates.

When corporate bonds are the safer choice

You have durable scale and repeat market access

Large technology issuers demonstrate what the bond market can fund. The OECD reported that nine hyperscalers raised USD 122 billion in bond markets during 2025, nearly half of global technology-firm issuance. The same nine companies are forecast to spend USD 4.1 trillion on capital expenditure from 2026 through 2030. Their scale, disclosure systems, investor coverage, and financing needs are not representative of a typical startup, but they show why bonds become practical as an issuer matures.

You need fixed-rate duration

A fixed coupon makes near-term interest expense predictable. This can protect a company whose revenue is contracted but whose margins would be damaged by a benchmark-rate increase. The protection lasts only for the bond’s term; a large maturity still creates refinancing risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

You can carry the disclosure burden

Bond issuance requires audited financial statements and detailed risk, debt, liquidity, and business disclosure. Ongoing reporting, investor-relations work, trustee obligations, ratings engagement, underwriting fees, legal fees, and possible call premiums must be priced alongside the coupon. Public visibility can also constrain acquisitions, restructuring messages, and financial-policy changes.

Your capital structure benefits from many investors

A broad holder base can reduce dependence on one lender and support future issuance. It can also make consent, exchange offers, and amendments slower and more complex. The company needs treasury staff and advisers capable of managing that market continuously, not just at launch.

Floating-rate risk: the first private-credit calculation

For any floating-rate proposal, model at least a 300- to 500-basis-point increase in the benchmark and calculate minimum interest coverage after the increase. Include the spread, floors, unused-commitment fees, hedging costs, mandatory amortization, and any payment-in-kind option. A PIK toggle can preserve cash temporarily while increasing principal and future interest; it is not free relief.

  1. Start with monthly cash revenue, gross margin, operating expenses, taxes, capital expenditure, and working-capital changes.
  2. Subtract cash interest and required principal payments under the base case.
  3. Recalculate interest after the benchmark rises 300 basis points, then 500 basis points, keeping the spread and debt balance explicit.
  4. Run a slower-growth case with higher churn, delayed collections, and no uncontracted cost savings.
  5. Identify the month in which liquidity falls below the lender’s minimum and the quarter in which a covenant is breached.
  6. Decide in advance which actions—cost reductions, equity, asset sales, or a draw on committed liquidity—are actually available.

If the company fails this test, a lower initial spread does not make the private loan safe. Consider a fixed-rate tranche, an interest-rate hedge, lower leverage, more equity, or a smaller first draw.

Covenants: protection worth paying for?

The IMF’s April 2024 Global Financial Stability Report described private credit as offering terms with enhanced covenants that provide lenders downside protection. For the borrower, those covenants can be valuable early-warning mechanisms: they force a conversation before cash is exhausted and may preserve lender willingness to fund a turnaround.

Competition among lenders can weaken that protection. A covenant package may appear detailed while allowing broad EBITDA adjustments, generous cure rights, unrestricted debt baskets, or “portability” to a new owner. Read the definitions, not only the covenant headings.

Items to map before signing

  • Maintenance tests for leverage, interest coverage, minimum liquidity, and recurring-revenue performance.
  • Every permitted EBITDA adjustment, including projected synergies, run-rate savings, stock compensation, and one-time costs.
  • Equity-cure mechanics: who can contribute cash, how often, whether the cure counts as EBITDA, and whether it can be used to avoid an event of default.
  • Cash sweeps, excess-cash-flow payments, mandatory prepayments, and restrictions on reinvesting proceeds.
  • Incremental debt, lien, acquisition, investment, restricted-payment, and asset-sale baskets.
  • Prepayment premiums, soft-call periods, make-whole amounts, and fees for refinancing.
  • Reporting deadlines, audit requirements, material-adverse-effect language, and cross-default triggers.
  • Amendment thresholds and the identity of the party that can waive a breach or control enforcement.

Price the operational value of a covenant against its failure cost. A test that triggers a constructive negotiation may be worth the higher spread; a vague test that permits a technical default at the worst time can be more dangerous than a bond covenant with fewer maintenance tests.

Liquidity, transparency, and valuation

Private-credit loans generally do not trade frequently, and fund interests may be valued infrequently. That can prevent a daily market price from amplifying bad news, but it can also delay recognition of deterioration and make it difficult to exit or refinance. The Federal Reserve’s 2026 report noted redemption requests that exceeded typical fund gates, illustrating why a lender’s own liquidity and fund structure can matter to a borrower.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Bonds provide observable prices and a wider investor base. In normal markets that transparency can help an issuer benchmark its cost of capital. In stressed markets, prices can gap lower and liquidity can vanish. A quoted price is not a guaranteed bid for the full issue, and a low price can make a new issue prohibitively expensive.

Refinancing risk and the maturity wall

Fixed-rate bonds remove benchmark volatility until maturity but do not remove refinancing risk. Private loans may mature sooner, include amortization, or rely on a lender’s willingness to extend. Both structures become unsafe when too much debt expires in one period.

Build the maturity wall

  1. List every tranche, drawn amount, maturity date, amortization schedule, call date, and committed but undrawn facility.
  2. Show cash on hand, expected free cash flow, and minimum operating liquidity for each quarter.
  3. Mark the first date at which refinancing, an equity raise, or an asset sale is required.
  4. Apply a weak public-market scenario: wider spreads, lower valuation, slower issuance, and no assumption that an existing lender will automatically extend.
  5. Test whether covenants permit a refinancing, dividend, acquisition, or asset sale at the point when it is needed.
  6. Set a target date to begin refinancing before the wall, with a backup source if the primary market closes.

A company with a diversified maturity schedule and committed liquidity may be safer with either instrument than a company with a theoretically cheap facility that expires immediately after a growth investment.

Cost beyond the interest rate

Cost category Private credit Corporate bonds
Pricing Floating benchmark plus spread; floors and hedging may apply. Fixed coupon is common; the yield reflects market conditions and issuer demand.
Upfront costs Arrangement, underwriting, original-issue discount, legal, unused-commitment, and possible exit fees. Underwriting discount, legal and trustee fees, rating and listing costs where applicable, and investor-relations preparation.
Ongoing burden Financial reporting, covenant testing, lender consents, and monitoring. Public reporting, ratings engagement, investor relations, trustee compliance, and disclosure controls.
Flexibility cost Prepayment premiums, cash sweeps, restricted baskets, and amendment fees may limit strategic choices. Call premiums, make-whole provisions, consent fees, and restrictions in the indenture may limit early refinancing.

Compare all-in annual cash cost and the value of flexibility. A bond with a lower coupon can be more expensive once issuance and compliance costs are included; a private loan with a higher spread can be cheaper if it avoids a failed issue, but only if rate and refinancing stress remain manageable.

A decision process for a growing tech company

1. Define the financing purpose

Separate recurring working capital, a defined acquisition, infrastructure investment, and general liquidity. Match maturity to the life of the asset or cash-flow benefit. Do not use short-dated debt for an investment whose return depends on several years of execution.

2. Establish a conservative operating case

Reconcile bookings, recurring revenue, churn, gross margin, customer concentration, implementation expense, cloud commitments, capitalized development, and free cash flow. Remove optimistic add-backs and show a downside case that management could actually survive.

3. Solicit comparable term sheets

Ask private lenders to quote the same leverage definition, amortization, benchmark, floor, fees, covenant package, baskets, cure rights, and maturity. For a bond alternative, obtain an indicative yield, size, duration, call schedule, ratings assumptions, disclosure timetable, and issuance costs. Comparing only headline spreads produces a false result.

4. Stress-test rates and liquidity

Apply the 300- and 500-basis-point benchmark shocks to a floating proposal. For bonds, stress the yield and spread at the next refinancing date. In both cases, test a revenue slowdown, margin compression, customer loss, delayed collections, and an inability to raise equity.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Analyze collateral and recovery

Map intellectual property, data, contracts, receivables, cash, equipment, and subsidiaries. Identify exclusions, guarantees, intercompany claims, and liens ahead of the proposed debt. Use conservative sale values and include the cash required to keep the platform operating during a restructuring.

6. Compare control and amendment mechanics

Determine who can waive a covenant, accelerate debt, approve an acquisition, release collateral, or force a restructuring. For bonds, examine trustee and holder-consent thresholds, series interactions, and exchange mechanics. For private credit, identify the controlling lender and any voting agreements.

7. Price disclosure and governance

Budget audit, legal, tax, reporting, ratings, investor-relations, treasury, and board time. Decide whether the company can publish reliable numbers on schedule and explain missed targets without damaging customer or employee confidence.

8. Obtain independent review

Use a regulated corporate-finance adviser for jurisdiction-specific market practice, and obtain separate legal and tax advice before signing. Confirm lender licensing, fund authority, security perfection, withholding-tax treatment, and enforceability in every relevant jurisdiction.

Common failure modes and fixes

“Recurring revenue makes leverage safe.”

Why it fails: churn, downgrades, implementation costs, and collection delays can reduce cash faster than reported annual recurring revenue. Fix: underwrite to cash conversion, retention by cohort, customer concentration, and a conservative margin case.

“First lien means full recovery.”

Why it fails: software collateral can be difficult to transfer and may lose value when key staff or customers depart. Fix: model forced-sale value, operating cash needs, and competing claims.

“A fixed coupon removes refinancing risk.”

Why it fails: principal still matures, and a closed market can make replacement debt unavailable. Fix: stagger maturities, preserve liquidity, and start refinancing well before the maturity wall.

“More covenants are always safer for the borrower.”

Why it fails: poorly defined tests, aggressive add-backs, and narrow cure windows can create technical default risk. Fix: negotiate definitions, cure mechanics, notice periods, and amendment thresholds in detail.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

“A private lender will always be easier to negotiate with.”

Why it fails: a lender facing fund redemptions, concentration limits, or a change in strategy may have little flexibility. Fix: review the lender’s fund life, concentration, transfer rights, and decision process, not just its reputation.

“The bond market is available because a peer issued.”

Why it fails: investor demand is highly sensitive to size, rating, sector, disclosure, and market conditions. Fix: obtain a realistic pre-marketing view and maintain a private-credit or equity backup.

Which companies should choose which route?

Company profile More defensible first choice Reason
Early-stage or mid-market SaaS company, profitable or near break-even, limited public disclosure Private credit, sized conservatively Access and customization matter more than a public fixed coupon; floating-rate capacity must be proven.
Scale-up with volatile growth, a large acquisition, and concentrated lender needs Private credit or a hybrid Delayed draws and negotiated milestones can fit the plan, but covenant and control terms require close review.
Large, investment-grade or well-followed issuer with predictable cash flow Corporate bonds Fixed-rate duration, diversified investors, and repeat market access can outweigh disclosure and issuance costs.
Highly leveraged company approaching a maturity wall Neither without restructuring or new equity Changing the instrument without fixing cash flow, leverage, or timing can postpone rather than solve the risk.

A hybrid structure can combine a fixed-rate bond for core duration with a revolving or delayed-draw facility for working-capital variability. It also creates multiple counterparties and documents to manage, so the benefit must exceed the added complexity.

Questions the board should answer before approval

  • What is minimum interest coverage after a 500-basis-point benchmark shock, and which assumptions produce it?
  • How much liquidity remains after a missed quarter, a major customer loss, or a delayed collection cycle?
  • Which covenant definition is most likely to fail first, and can management cure it without emergency equity?
  • What is a realistic recovery value for software, data, contracts, and receivables in a forced sale?
  • Which debt matures in the same twelve-month period, and what is the backup if markets are closed?
  • Who controls a waiver, amendment, acceleration, collateral release, or restructuring?
  • What are the total fees, compliance hours, disclosure obligations, and tax consequences over the full term?
  • Can the company still invest in product, retain employees, acquire a target, or return capital under the proposed restrictions?

Bottom line for founders and CFOs

Choose private credit when negotiated flexibility, speed, and direct monitoring solve a real access problem and the company can withstand floating-rate stress. Choose corporate bonds when scale, disclosure capability, investor demand, and durable cash flow justify fixed-rate duration and repeat market access. Treat neither as inherently safer: the safer financing is the one that leaves the company solvent under a credible downside case, gives it time before maturity, preserves workable control rights, and has a recovery and refinancing plan that does not depend on perfect markets.
