Publicly traded stock generally offers more standardized disclosure and an observable market, yet its price can move sharply and investors can still lose money. The right choice depends on the specific security, offering terms, issuer, price, your eligibility, and how long you can leave the money invested.
This U.S.-focused guide explains the differences using current Securities and Exchange Commission investor guidance. Securities laws and investor protections differ in other jurisdictions. It is general information, not individualized legal, tax, or investment advice.

What “private stock” and “public stock” actually mean
Private company stock
Private company stock is an ownership interest in a company whose shares are not traded on a public stock exchange. It may be issued to founders, employees, venture investors, strategic investors, or other purchasers. A private company can be large and established; “private” does not automatically mean “startup.”
Private placements are a fundraising method, not a synonym for private-company stock
A private placement is an offering that is exempt from SEC registration under an exemption such as Securities Act Section 4(a)(2) or Regulation D. Both private and public companies can conduct private placements, and an exempt offering does not necessarily sell ordinary corporate common stock. It could involve preferred stock, debt, membership interests, or another security with different rights.

Publicly traded stock
Public stock is a security traded in a public market, such as a national securities exchange or another public trading venue. “Public” in this comparison means publicly traded; it does not mean that every security offered to the general public has identical registration, reporting, or liquidity characteristics.
Private stock vs. public stock at a glance
| Decision point | Private company stock or private placement | Publicly traded stock |
|---|---|---|
| Who can buy | Depends on the exemption and offering documents. Rule 506(c) permits general solicitation, but every purchaser must be accredited and the issuer must take reasonable steps to verify that status. Rule 506(b) permits unlimited accredited investors and up to 35 non-accredited investors in a 90-calendar-day period, subject to sophistication and other conditions. | Exchange-traded shares are generally available through market transactions, although a particular offering, security class, or account may impose restrictions. |
| Company information | A private placement is not required to provide all disclosures required in a registered offering. Less information may be available to assess the business and asking price. | Registered offerings such as IPOs provide a prospectus covering matters such as the business, risks, proceeds, dilution, financial statements, and capital-stock rights. Disclosure varies by issuer and security. |
| Ability to sell | The SEC describes private-placement investments as highly illiquid. Securities may be restricted, buyers may be difficult to find, and an investor may need to hold indefinitely. | Exchange trading usually makes it easier to locate a market price and a buyer, but liquidity is not guaranteed for every listed security or at every time. IPO lock-ups can temporarily restrict sales. |
| Price evidence | Limited information and transfer restrictions can make independent valuation difficult. Terms, security rights, dilution, and the company’s financial information matter. | An IPO price is a negotiated estimate based on market conditions, analysis, and investor demand. The trading price can differ materially once buying and selling begin. |
| Primary risks | Potential total loss, limited information, fraud, illiquidity, dilution, and contractual or legal resale limits. | Market volatility, business failure, dilution, unequal voting rights, thin trading in some securities, and losses after purchase. |
Who is allowed to buy private stock?
“Private” by itself does not determine whether you qualify. Eligibility comes from the exemption used, the issuer’s offering terms, and the facts of the transaction.
Rule 506(c)
Rule 506(c) allows an issuer to advertise the offering generally, but every purchaser must be an accredited investor. The issuer must take reasonable steps to verify accreditation rather than simply accept an unchecked box on a form.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesRule 506(b)
Rule 506(b) does not permit general solicitation. It may include an unlimited number of accredited investors and up to 35 non-accredited investors in a 90-calendar-day period, provided the non-accredited investors meet the rule’s sophistication requirements and the offering satisfies its other conditions.
What accredited-investor thresholds mean
SEC investor guidance gives examples of individual accreditation routes: income of at least $200,000 in each of the prior two years, or $300,000 jointly with a spouse or spousal equivalent, with a reasonable expectation of the same income in the current year; or net worth above $1 million excluding the primary residence. Certain professional credentials can also qualify under specified rules.
These are eligibility standards, not a safety rating, suitability determination, or guarantee that a particular offering is available to you. An accredited investor can still lose the entire investment.

Why information and valuation differ
Private offerings
Private placements do not have to provide the complete disclosure package required for a registered offering. You may receive an offering memorandum or private placement memorandum, financial statements, management information, and subscription documents, but the depth, format, and reliability of those materials can vary.

Without regular public reporting and active trading, there may be no independent market price. Compare the proposed price with the company’s capitalization, revenue and cash position, debt, preferred-stock terms, liquidation preferences, option pool, and expected future fundraising. Ask what assumptions support the valuation and what events could change it.
Public offerings and IPOs
An IPO registration statement and prospectus normally describe the business, risk factors, intended use of proceeds, dilution, audited financial statements, capital-stock rights, dividend policy, selling shareholders, and shares eligible for future sale. Those disclosures improve the evidence available to an investor; they do not make the stock fairly priced or eliminate uncertainty.
The SEC states that an IPO offering price reflects “a negotiated estimate as to the value of the company.” Once trading starts, supply, demand, news, analyst expectations, and broader market conditions can move the price far above or below that estimate.
Liquidity and the practical problem of selling
Why private stock can be difficult to sell
The SEC’s Office of Investor Education and Assistance says: “Unlike an investment purchased on a stock exchange, an investment in a private placement is highly illiquid.” A private holder may need approval from the issuer or board, find a permitted buyer, satisfy a right of first refusal, and comply with securities-law exemptions and contractual transfer limits.
There may be no reliable daily quote, no clearing mechanism, and no obligation for the company to repurchase your shares. A future acquisition or IPO is possible in some cases, but it is not a promised exit date and does not guarantee a profit.

Resale-law timing is only one part of the analysis
A commonly used resale rule may require a holding period of at least six months when the issuer files periodic reports, or one year when it does not. Those figures are simplified SEC guidance, not a complete legal opinion. Other conditions, the issuer’s reporting status, your relationship to the issuer, the type of security, and the transaction’s facts can affect resale. A lawyer or qualified broker can assess a proposed transaction.
Public-market liquidity is not guaranteed
Public trading generally makes selling easier, but a thinly traded security can still have a wide bid-ask spread or no buyer at your desired price. Trading halts, market closures, extreme volatility, and company-specific events can delay or impair an exit.
After an IPO, insiders and early investors often face a lock-up agreement. The SEC describes 180 days as typical, but the actual prospectus and agreements control. When locked-up shares become eligible for sale, the additional supply can pressure the price.

There is no universal ranking that makes every private investment riskier than every public investment. Private offerings concentrate several risks that are especially difficult for an individual investor to manage:
- Loss of capital: an investment can become worthless.
- Information risk: incomplete or unaudited information can make business and valuation analysis harder.
- Liquidity risk: you may be unable to sell when you need cash.
- Fraud risk: exemptions from registration do not remove federal antifraud provisions.
- Concentration risk: a large position in one issuer, industry, or employer can dominate a portfolio.
- Dilution: later fundraising, option grants, or convertible securities can reduce your percentage ownership.
- Contract risk: voting, conversion, liquidation, redemption, and transfer provisions can materially affect outcomes.
Public stock still carries ordinary business and market risk. IPO investors additionally face negotiated pricing, early volatility, limited initial trading volume, lock-up expirations, dilution, and dual-class voting structures that may give insiders greater control than their economic ownership.
Voting rights, economic rights, and dilution
Two securities in the same company can produce very different results. Read whether you are buying common or preferred stock, the number of votes per share, conversion rights, dividend terms, liquidation preferences, redemption rights, participation rights, and protective provisions.

Check the fully diluted capitalization table. Your percentage may shrink when the company issues new shares, expands an employee option pool, converts notes or preferred stock, or grants warrants. A public company’s prospectus should explain dilution from the offering and shares that may become eligible for sale; a private offering’s documents should be examined just as carefully.
Private-placement diligence: a step-by-step checklist
- Identify the issuer and security. Confirm the legal entity, jurisdiction, business model, share class, number of securities, price, minimum investment, and whether you are buying equity, debt, or another instrument.
- Read every supplied document. Review the offering memorandum or private placement memorandum, subscription agreement, investor questionnaire, capitalization table, financial statements, risk factors, and any side letters.
- Study management and promoters. Check experience, prior ventures, compensation, related-party transactions, litigation disclosures, and who controls major decisions.
- Reconstruct the valuation. Compare the price with revenue, cash, debt, growth claims, comparable businesses, liquidation preferences, and the probability of future dilution. Treat projections as assumptions, not outcomes.
- Map the exit route. Ask whether transfers require company consent, whether existing holders have a right of first refusal, whether a secondary market is realistic, and which legal exemption would support a resale.
- Calculate the fully diluted ownership. Include options, warrants, convertible notes, preferred shares, and promised grants rather than relying only on the current outstanding-share count.
- Review fees and conflicts. Identify commissions, placement fees, management charges, expense reimbursements, affiliate relationships, and any compensation paid to promoters.
- Search EDGAR for Form D. A Form D notice can show that an issuer reported a Regulation D offering. Its presence is not SEC approval, a quality endorsement, or proof that the investment is legitimate. An expected filing that cannot be found may warrant further questions.
- Verify independently. Contact the issuer through independently confirmed information, inspect corporate records where available, and be skeptical of pressure to wire funds quickly or of claims that an IPO is guaranteed.
- Get professional advice when needed. A securities lawyer can analyze transfer restrictions and exemptions; a tax professional can address basis, holding period, loss treatment, and the tax consequences of compensation or a later sale.
Private placements remain subject to federal antifraud rules, and state securities laws may also apply. An exemption from registration does not make an offering risk-free or exempt from truthful disclosure requirements.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How to evaluate an IPO or other public stock
- Open the latest registration statement and prospectus on EDGAR. Use the most recent version, including any amendments.
- Read the business and risk sections. Look for customer concentration, dependence on key personnel, regulatory exposure, competition, cash burn, debt, and unresolved legal matters.
- Trace the use of proceeds. Determine how much money goes to the company and how much, if any, goes to selling shareholders.
- Analyze dilution and capital structure. Review outstanding options, convertibles, preferred rights, and the effect of the offering on existing holders.
- Check financial statements and cash needs. Revenue growth does not by itself establish profitability or adequate liquidity.
- Understand voting power. Dual-class shares can give founders or other insiders voting control disproportionate to their economic ownership.
- Review future-sale restrictions. Identify lock-up periods, registration rights, and the number of shares that could enter the market after the offering.
- Separate market access from investment quality. The ability to sell quickly does not mean the purchase price is attractive or that losses are unlikely.
Can you sell private company stock?
Sometimes, but not automatically and not necessarily when you want. Start with the stock certificate or electronic ownership record, subscription agreement, shareholder agreement, company bylaws, and any investor-rights document.
Questions to answer before attempting a sale
- Is the security restricted under federal securities law or the offering documents?
- Has the required holding period passed under the resale rule you intend to use?
- Does the issuer file periodic reports, and does that change the available exemption?
- Do the company or existing investors have a right of first refusal?
- Is board or company consent required?
- Are you an affiliate, officer, director, or control person?
- Who is the buyer, and can the buyer legally acquire the security?
- What commissions, legal fees, transfer taxes, and valuation discounts apply?
Do not assume that a website, broker, or proposed buyer can create liquidity where the documents and securities laws do not. Obtain a written legal analysis for a complicated secondary sale.
A decision framework for investors
| If your priority is… | Questions to ask about private stock | Questions to ask about public stock |
|---|---|---|
| Access to an early-stage or pre-IPO company | What is the security, valuation, dilution risk, and credible exit path? Can you afford an indefinite holding period? | Is the company already public, and does the current price reflect realistic growth and cash-flow assumptions? |
| Reliable information | What documents are supplied, who prepared them, and what remains unaudited or unverified? | What do the latest filings say about risks, finances, ownership, and future share issuance? |
| Ability to access cash | Could you lose access to the money for years, and are transfers restricted? | Is the security actively traded, and could volatility or a trading halt prevent a timely sale? |
| Control and voting influence | What votes, vetoes, conversion rights, and protective provisions come with the class? | Do dual-class shares leave public investors with limited voting power? |
| Portfolio fit | Would this position over-concentrate your assets or employment exposure? | Does the position complement your diversification and risk capacity? |
No category is automatically “better” or “safer.” Issuer quality, price, terms, your time horizon, emergency-fund needs, tax position, and overall portfolio determine whether a particular investment is sensible.

Registration exemptions do not remove antifraud rules. Misrepresentations and material omissions can still violate federal law, and state securities laws may apply.

“A Form D means the SEC approved it.”
Form D is a notice filing. It is not an SEC endorsement, investigation result, or guarantee of quality.
“Accredited means safe.”
Accreditation is an eligibility standard used in certain offerings. It does not predict returns or protect you from loss.
“An IPO guarantees an exit for private holders.”
An IPO may never occur, and an acquisition may never happen. Even if one does, lock-ups, dilution, taxes, and market prices can produce an outcome very different from the private valuation.

Bottom line for comparing a specific opportunity
Start with the exact security and documents, not the label “private” or “public.” Compare eligibility, disclosure quality, valuation evidence, resale mechanics, voting and economic rights, dilution, fees, and the amount of time and capital you can risk. Private stock may offer early access but can require an indefinite wait for liquidity. Public stock usually offers more accessible information and a market, while prices remain volatile and losses remain possible. Treat any promised IPO, acquisition, return, or quick resale as an unverified possibility until the documents and facts support it.
