Power of Attorney vs Property Manager for NRIs Renting Out Indian Property

A power of attorney (POA) and a property manager solve different problems. A POA is a legal instrument that lets a named person act for the owner within defined limits. A property manager is a contracted service provider handling agreed rental operations such as tenant communication, inspections, maintenance coordination, rent administration and reporting. Hiring a manager does not automatically authorize that firm to sign a lease, represent you before an authority or perform another act in your name. The authority document, management agreement, applicable law and the receiving institution’s requirements control what can actually be done.

For many non-resident Indians (NRIs), the practical answer is not “POA or manager.” It is identifying the tasks that need recurring local assistance, the acts that require formal authority, and whether one person or firm can lawfully and reliably perform both roles.

What a power of attorney does

The Powers-of-Attorney Act, 1882 defines a power of attorney as an instrument empowering a specified person to act for and in the name of the person executing it. In a rental arrangement, the owner (the principal or donor) authorizes an attorney (the agent) to carry out particular acts.

The document’s wording is decisive. Calling a document a “general POA” or “rental POA” does not prove that it authorizes every action an owner may later want. The authority may be limited by task, property, transaction value, duration, geography, counterparties or approval conditions. A recipient such as a tenant, registrar, bank or government office may also require particular wording, authentication or evidence that the authority remains in force.

Typical acts that may need express authority

  • Signing or renewing a lease in the owner’s name.
  • Issuing notices to a tenant or accepting surrender of possession.
  • Presenting documents or appearing before a registration office or other authority.
  • Receiving rent, issuing receipts or operating an account designated for rental receipts.
  • Authorizing repairs, paying vendors or settling a tenant claim.
  • Communicating with tax, municipal, housing-society or utility officials where the institution asks for proof of representation.

These are examples of acts to examine, not a universal list of powers. The owner should identify each intended act and have local counsel prepare or review language that matches the property, parties and process.

What a property manager does

Property management is a service relationship. The owner and manager agree what operational work the manager will perform, how often it will be performed, what it costs, how money is handled and when the relationship ends. The contract may cover tenant sourcing, screening, move-in coordination, rent reminders, inspections, repair coordination, vendor supervision, statements and complaint handling.

Those services arise from the written agreement, not from a statutory power attached to the job title. A manager may be able to coordinate a repair yet lack authority to sign a lease. Another manager may be willing to sign documents but still need a separate, valid POA that the tenant, registrar or other institution accepts. Never treat a service contract as proof that the manager can act in the owner’s name.

Questions the management agreement should answer

  • Which property, units and common areas are covered?
  • Will the manager advertise, screen applicants, conduct reference checks and document the selection decision?
  • How often will inspections occur, and what evidence will be supplied?
  • What repair amount can be approved without the owner’s consent?
  • How are emergencies defined and reported?
  • Where is rent deposited, who reconciles the account and when are statements delivered?
  • Who retains leases, identity documents, inspection reports, invoices and correspondence?
  • What fees, reimbursable expenses, taxes and termination notice periods apply?
  • What happens to keys, deposits, records and outstanding repairs when the agreement ends?

There is no statutory, market-wide service bundle or universal fee shown by the legal sources governing POAs and registration. Compare the actual terms rather than assuming that every manager performs the same work.

POA and property manager compared

Issue Power of attorney Property manager
Main function Delegates defined authority to a named person to act for the owner. Provides contracted rental operations; the written scope and service levels must be checked.
Question it answers Who may act for me, and for which acts? Who will perform specified management tasks, and how will they report?
Lease signing Permitted only if the instrument validly authorizes signing and the recipient accepts the authority. The management contract alone should not be assumed to authorize signing in the owner’s name.
Day-to-day work The attorney may perform only tasks within the granted authority. The contract can assign tenant communication, inspections, maintenance coordination, rent collection and statements.
Control mechanisms Use limits, duration, approval conditions, reporting and a revocation process. Use spending caps, reporting frequency, repair approvals, funds custody rules, complaint procedures and termination terms.
Formalities Central law provides a definition and rules relevant to recognition for registration purposes; stamping, authentication and acceptance require local checking. Review the agreement, any authority granted and any additional instrument required by tenants or officials.
Registration and tax Does not remove separate lease-registration or tax duties. The manager can be assigned administrative work, but the legally responsible person and current filing or withholding rules must be verified.

Decide by listing the acts you need performed

Start with outcomes rather than labels. Write every task from vacancy to move-out and classify it by the type of help it requires.

  1. List recurring operations. Include advertising, applicant communication, inspections, repairs, rent reminders, statements and utility or society coordination.
  2. Mark acts done in the owner’s name. Lease execution, formal notices, registration-office appearances and submissions to an authority may need express legal authority.
  3. Identify money flows. Specify who receives rent, who holds a security deposit, who approves refunds and how invoices are matched to work.
  4. Check the counterparty. Ask the tenant, registrar, bank, housing society or authority what form of authorization it accepts before signing.
  5. Match documents to tasks. Put operational duties in the management agreement and formal representative powers in a carefully scoped POA or other accepted authorization.
  6. Set oversight. Require periodic statements, supporting documents, approval thresholds and a clear escalation route while retaining the owner’s right to inspect records.

When a manager alone may be enough

A manager-only arrangement can suit an owner who needs local coordination but will personally sign documents and make formal submissions from abroad or through another authorized representative. The manager can still handle tasks expressly assigned in the service contract, such as scheduling inspections, obtaining repair quotations and sending a monthly statement.

Confirm how the manager will communicate decisions that only the owner can make. For example, the contract can require two written quotations above an agreed amount, photographs before and after work, and owner approval before a lease is offered. These controls reduce ambiguity without granting a broader power than necessary.

When a POA is needed

A POA or other accepted authorization should be considered when a person must sign or submit something as the owner, attend a process in the owner’s place, or bind the owner to a transaction. The document should describe the property and the permitted acts precisely.

Drafting controls worth considering

  • Name the principal, agent and property using identifiers that match the title and local records.
  • State whether the agent may sign a new lease, renew, terminate or amend one, and under what approval conditions.
  • Set any rent, deposit, expenditure or settlement limits the owner wants.
  • Separate authority to negotiate from authority to execute a binding document.
  • Specify whether the agent may appoint vendors or another representative.
  • Require copies of signed documents, receipts, inspection records and notices within stated time periods.
  • State the duration, events that end the authority and the method for revocation.
  • Address conflicts of interest and prohibit self-dealing unless separately approved.

A narrow instrument can reduce the risk of unintended commitments, but it must still cover every act the chosen representative is expected to perform. A local lawyer should check whether the wording and execution method will be accepted for the intended transaction.

Using both a manager and a POA

An owner may retain a manager for recurring operations and give a separate representative limited authority for acts that require the owner’s signature or appearance. The manager could coordinate the tenancy while an attorney signs a lease after the owner approves its commercial terms. Alternatively, the manager itself might receive a POA, but that should be treated as a separate decision requiring due diligence and precise limits.

Keep the two documents consistent. If the service agreement says the manager needs approval for spending above a threshold while the POA permits unrestricted commitments, the broader authority may undermine the contractual control. State which document governs operational instructions, who may give approvals and how conflicting directions are resolved.

Lease registration: a separate legal question

A POA does not waive a lease-registration requirement, and appointing a manager does not change the lease’s legal category. Section 17 of the Registration Act, 1908 places leases from year to year, for a term exceeding one year, or reserving a yearly rent in the compulsory-registration category, subject to the Act and applicable state rules.

Section 18 lists certain documents, including leases for a term not exceeding one year, among documents whose registration is optional under the central framework. State amendments, stamp legislation and local practice can affect how those provisions apply. Confirm the property’s state, the exact term, rent structure and current local procedure before execution.

Practical registration questions

  • Does the proposed term or renewal structure fall into a compulsory-registration category?
  • What stamp duty and registration charges apply in the property’s state?
  • Who will attend the registration office and with what accepted authorization?
  • Must the lease, POA or both be presented in original form or with certified copies?
  • What identity, address, title and tax documents will the office or counterparty request?

Government model property-registration documents can illustrate document categories, but a model document does not establish uniform requirements across every state. Obtain state-specific advice before relying on a form.

Signing a POA while living abroad

Section 33 of the Registration Act recognizes specified authentication routes for a principal residing outside India for the section’s registration purposes. The listed routes include execution before a Notary Public, court, judge, magistrate, Indian Consul or Vice-Consul, or a specified Central Government representative.

This is not a complete answer to every execution issue. It does not by itself settle state stamp duty, adjudication, registration of the POA, document legalization, translation, witness requirements or whether a private institution will accept the instrument. Before signing, ask the intended Indian office and the receiving counterparty what they require and have local counsel confirm the sequence.

Execution checklist for an overseas owner

  1. Describe the intended transaction and ask the Indian recipient which authentication route it accepts.
  2. Have the POA drafted or reviewed for the specific property and acts.
  3. Confirm whether consular notarization, local notarization, legalization, apostille, stamping or registration is required for the destination state and transaction.
  4. Sign using the exact name and identity details appearing in the owner’s property and identification records.
  5. Send the executed document through a secure method and retain scans, courier records and any consular or notarial certificate.
  6. Reconfirm acceptance before the representative signs a lease or appears before an authority.

Tax and TDS: do not rely on the POA label

Letting Indian property can create Indian income-tax obligations for the owner. The Income Tax Department’s house-property guidance explains taxation around ownership and annual value. The department’s tax-deductor material describes the basic TDS mechanism: the payer deducts tax where the law requires and remits it for the payee.

The current Form 141 help material surfaced for rent-payment reporting under the Income-tax Act, 2025. However, the material available here does not establish the current NRI-specific withholding rate, reporting form, due date, payer responsibility or the treatment of rent routed through a manager or attorney. Those details must be checked against current official law and guidance before the first payment.

Questions to resolve before rent is paid

  • What is the owner’s tax residency status for the relevant tax period?
  • Who is legally the payer: the tenant, an intermediary or another entity?
  • Does the payer have a withholding or reporting obligation for this particular recipient and payment?
  • Who will issue statements, retain payment evidence and reconcile deductions?
  • Which current return, certificate or reporting form applies?
  • Do the lease, bank route or management arrangement create any additional documentation requirement?

Do not infer that an Indian bank account, a POA or a property manager changes the owner’s tax residency or removes the payer’s obligations. Obtain a current, NRI-specific answer from authoritative guidance or a qualified Indian tax professional, and record who is responsible for each step.

Operational safeguards for an owner who is abroad

Tenant selection and possession

  • Require a written screening process and retain the evidence supporting the approval decision.
  • Use an inventory and dated condition report at move-in and move-out.
  • Record who holds keys and how duplicates are controlled.
  • Specify how notices, access requests and emergency contacts are documented.

Repairs and vendors

  • Set an approval ceiling and a separate emergency rule.
  • Require photographs, quotations where practical, invoices and proof of completion.
  • State whether the manager may appoint a related vendor and how conflicts are disclosed.
  • Require prompt escalation for structural, safety or legal issues.

Rent, deposits and records

  • Use a traceable payment route and reconcile receipts to the lease ledger.
  • Define who may hold a security deposit and when it may be released.
  • Require periodic statements showing rent received, deductions, taxes or charges and the closing balance.
  • Keep executed leases, notices, inspection reports, invoices and tax records in an accessible archive.

Common mistakes and how to correct them

Assuming the title grants authority

Mistake: treating “property manager” or “attorney” as proof that the person can sign anything. Correction: map each intended act to the service agreement, POA wording and recipient’s acceptance requirements.

Using a broad POA without controls

Mistake: authorizing unrestricted leasing, spending or settlement when only routine administration is needed. Correction: specify property, acts, limits, duration, approvals, reporting and revocation.

Ignoring registration because a representative is involved

Mistake: assuming a POA or manager changes whether a lease must be registered. Correction: apply sections 17 and 18 of the Registration Act together with current state rules and the exact lease terms.

Publishing or applying an old tax instruction

Mistake: using a remembered TDS rate, form or deadline for an NRI landlord. Correction: verify the current rule for the owner’s residency, the payer and the payment route before rent is paid.

Failing to plan the exit

Mistake: ending a manager’s engagement without collecting records, keys, deposits and outstanding notices. Correction: include handover duties, final accounting, data return and authority revocation in the agreement.

A pre-letting checklist for NRIs

  1. Confirm ownership records and the property’s state and local authority.
  2. List every recurring task and every act that may bind the owner.
  3. Obtain competing management proposals and compare scope, controls, reporting and termination terms rather than only the fee.
  4. Prepare a task-specific POA or other accepted authorization if representation is required.
  5. Verify execution, stamping, authentication and acceptance steps for an owner signing abroad.
  6. Determine whether the planned lease requires registration and complete the state-specific process.
  7. Confirm current NRI tax, withholding and reporting obligations before the first rent payment.
  8. Set up secure document storage, payment reconciliation and a regular review schedule.
  9. Give the tenant clear contacts while preserving the owner’s approval rights.
  10. Review the arrangement after the first inspection, first statement and any significant repair to correct gaps early.

Bottom line for choosing between them

Choose a property manager when the main need is dependable, recurring local work. Use a POA when a named person must legally act for you, and limit it to the acts that are actually required and accepted. If you need both operations and representation, document both relationships separately and make their controls consistent. Lease registration and tax compliance remain separate responsibilities: check the property’s state rules, the exact lease and current NRI-specific tax guidance before anyone signs or collects rent in your name.
