Closed-end funds generally issue a set number of shares, which then trade between investors on a secondary market at whatever price buyers and sellers establish.
That distinction determines how you enter and exit, whether your transaction price can diverge from NAV, how portfolio cash flows are managed, and which risks deserve the most attention. Both structures can hold volatile assets, charge expenses, and lose money; the comparison below is about fund structure, liquidity, and pricing mechanics rather than a recommendation of either investment.

Open-end and closed-end funds at a glance
| Feature | Traditional open-end mutual fund | Closed-end fund |
|---|---|---|
| How shares are obtained | You generally buy shares from the fund (often through an intermediary). | You generally buy shares from another investor in a secondary market, commonly a stock exchange. |
| How you exit | You submit a redemption request to the fund, subject to its terms and applicable rules. | You sell to another market participant; the fund normally does not redeem your individual shares. |
| Transaction price | Based on the fund’s NAV calculated at its specified daily pricing time. | Set by supply and demand in the market and may be above or below NAV. |
| Effect of ordinary investor transactions on the portfolio | Purchases bring in cash and redemptions can require the fund to sell holdings. | Routine secondary-market trades do not require the fund to buy or sell portfolio holdings. |
| Structure-linked risk | Redemption pressure can force sales, particularly when holdings are difficult or costly to liquidate. | The market-price premium or discount to NAV can widen or narrow, and trading may be thin. |
| Risks shared by both | The underlying securities can fall in value, and expenses, leverage, management decisions, and strategy risks still apply. | |
“Liquidity” is therefore not a single yes-or-no label. It can mean your ability to get cash from the fund, the ease of finding a buyer, or the time and cost required to sell the assets inside the portfolio.

How an open-end mutual fund works
Buying and redeeming directly with the fund
An open-end fund continuously issues new shares when investors contribute money and cancels shares when investors redeem. If you place a purchase or redemption order, you transact with the fund itself rather than with a specific investor on an exchange. The fund’s prospectus and intermediary determine the order cut-off and settlement details.

Daily NAV pricing
The fund calculates a per-share NAV by valuing its assets, subtracting liabilities, and dividing by shares outstanding. Your order receives the next price calculated at the fund’s stated pricing time, not a continuously changing intraday quote. If a market moves after that calculation, the next NAV can be materially different.
What purchases and redemptions do to the portfolio
When investors redeem in aggregate, the fund may need cash. It can use cash on hand, sell securities, or adjust other positions. Heavy purchases can have the opposite effect, requiring the manager to invest incoming cash. Those flows can create brokerage costs, bid-ask spreads, market-impact costs, and taxable gains or losses inside the fund.
Redemption rights are not instant liquidation of every holding
SEC Chair Gary Gensler wrote in a November 2, 2022 SEC press release that “A defining feature of open-end funds is the ability for shareholders to redeem their shares daily, in both normal times and times of stress.” That right concerns your fund shares. It does not mean every bond, loan, private instrument, or thinly traded security in the portfolio can be sold immediately at its quoted value.
SEC Commissioner Caroline A. Crenshaw stated on November 2, 2022 that shareholders have a statutory right to receive payment within seven days after seeking redemption, “and, in some instances, even sooner.” The seven-day figure is a statutory maximum described in her statement, not a promise that the portfolio has no selling costs or valuation uncertainty. Exact current settlement requirements should be checked against the current statute, rules, and the fund’s terms.

How a closed-end fund works
A largely fixed share supply
A closed-end fund generally raises capital in an offering and then has shares outstanding that trade among investors. The fund may conduct additional offerings, repurchases, or other corporate actions, but an ordinary trade on an exchange is simply a transfer from one shareholder to another.
Market price instead of a redemption price
When you sell, you place an order in the secondary market. A buyer’s willingness to pay, available liquidity, order size, and market conditions determine your execution price. The fund normally does not have to sell portfolio assets just because you sold your shares.
Premiums and discounts to NAV
A closed-end fund’s share price can be higher than NAV (a premium) or lower than NAV (a discount). The relationship can change after you buy. A discount can become larger, and a premium can shrink or turn into a discount; neither outcome is guaranteed to reverse.

The discount is $2 divided by $20, or 10%. If NAV remains $20 but the market price falls to $16, your discount has widened to 20% and your market loss is larger than the change in NAV. Conversely, a rise in the market price can increase your return even when NAV moves less. These figures are examples, not a forecast or a current market statistic.

Liquidity has two separate layers
Your liquidity as a shareholder
With an open-end fund, the primary exit route is a redemption request. With a closed-end fund, the exit route is a market sale. An exchange listing does not guarantee an immediate buyer at a price you consider acceptable. A thinly traded fund may show a wide bid-ask spread, move sharply on a modest order, or require a limit order and patience.
Liquidity of the portfolio holdings
Open-end funds can promise routine redemptions while owning assets that take longer to sell. In stressed markets, meeting redemptions may require selling less-liquid holdings at unfavorable prices. The resulting trading costs can reduce the fund’s value and may dilute shareholders who remain.
SEC staff describes liquidity in terms of how quickly an investment can be converted to cash or sold without significantly changing its market value. That framework treats liquidity as a range, not a binary label. The liquidity of a fund share and the liquidity of the assets held by the fund are related but not identical questions.
Why the pricing experience differs
Open-end: one fund-calculated price per day
Your open-end transaction price is tied to the next NAV calculation after your order is accepted. You do not choose an intraday market price. This can make the process predictable operationally, but it also means you may not know the exact price when submitting the order.

Closed-end: two values move independently
Closed-end investors must monitor both NAV and market price. NAV reflects the portfolio after expenses and liabilities. Market price reflects investor demand, expectations about distributions, leverage, management, tax considerations, sentiment, and trading conditions. A favorable change in NAV does not ensure a favorable change in the share price.
Why a discount is not automatically a bargain
A discount may reflect concerns about the portfolio, leverage, distribution sustainability, management, taxes, or the cost of exiting. Even if the assets appear fairly valued, there is no rule requiring the market price to converge with NAV. Treat the discount as one data point, not a guaranteed source of return.
Structure-linked risks in normal and stressed markets
Open-end risks
- Redemption pressure: A wave of withdrawals can force sales at unfavorable times and prices.
- Liquidity mismatch: Daily redemption terms can be challenging when holdings cannot be sold quickly without a material price concession.
- Shareholder dilution: Trading costs from meeting redemptions can be borne by the fund and indirectly by investors who remain, depending on the fund’s tools and policies.
- Timing uncertainty: You receive the next calculated NAV, not a live quote, so rapidly changing markets can produce a different execution price than expected.
Closed-end risks
- Discount expansion: A fund trading below NAV can fall to an even deeper discount.
- Premium contraction: A premium can narrow or disappear even if NAV is stable.
- Trading constraints: Low volume, wide spreads, and limited buyers can make a desired sale difficult.
- Market-price volatility: Sentiment and order imbalances can move the share price independently of portfolio NAV.
Risks that structure does not remove
- Equity, bond, credit, currency, interest-rate, and other underlying-asset risks remain.
- Fund expenses reduce returns regardless of the wrapper.
- Leverage can amplify gains and losses where the fund uses it.
- Manager, strategy, concentration, and distribution-policy risks require fund-specific review.
What the March 2020 experience shows
Historical stress illustrates why open-end redemption rights and portfolio liquidity must be considered together. In a 2022 statement, Caroline A. Crenshaw cited the SEC’s November 2022 proposing release as reporting nearly $329.4 billion in open-end fund outflows during March 2020, equal to 1.7% of prior-period assets. She also cited an approximately 17% decline in open-end fund assets from December 2019 to the end of March 2020.
Those are historical figures for that period, not current flow data and not a prediction of future behavior. They show the scale at which redemptions can pressure portfolios and why a daily redemption feature should not be confused with instant, costless liquidation of every holding.

Open-end funds, closed-end funds, and ETFs are not interchangeable
Exchange-traded funds add a third structure. ETF shares trade intraday on an exchange, while authorized participants can create or redeem large blocks directly with the fund. ETF market prices can differ from NAV, and investors pay attention to bid-ask spreads. That mechanism is not the same as a traditional open-end mutual fund’s direct retail redemption process or a closed-end fund’s generally fixed share supply.
Before comparing a fund, identify its legal and trading structure in the prospectus and account platform. Calling every exchange-traded fund “closed-end” leads to incorrect assumptions about creation, redemption, liquidity, and pricing.
How to decide which structure fits your transaction need
Choose the open-end route when direct redemption is central
- You want to send a redemption request to the fund rather than depend on a market buyer.
- You accept once-daily NAV pricing and do not need an intraday execution price.
- You understand that the fund may sell holdings to meet other investors’ redemptions.
Consider the closed-end route only if you can manage market-price risk
- You can tolerate a sale price below NAV and the possibility that a discount widens.
- You can use a brokerage account and place orders in a secondary market.
- You are prepared to check trading volume, spreads, leverage, distribution policy, and the fund’s discount or premium history.
Do not make the structure the sole decision
Compare the actual portfolio, fees, leverage, tax characteristics, distribution policy, manager, concentration, and investment objective. A structurally convenient fund can still be unsuitable if its holdings or risk level do not match your goal and time horizon.
Quick Recap
Practical steps before buying or selling
- Identify the structure. Read the fund name, prospectus, shareholder reports, and account description to confirm whether it is a traditional open-end mutual fund, a closed-end fund, or an ETF.
- For an open-end fund, check the dealing terms. Find the daily pricing time, order cut-off, redemption procedures, settlement timing, fees, and any restrictions or redemption policies.
- For a closed-end fund, inspect the market. Review the current bid and ask, recent volume, typical spread, and whether your order size could move the price. A limit order may provide price control but does not guarantee execution.
- Measure NAV separately. For a closed-end fund, calculate the premium or discount using the latest published NAV and the market price at a comparable time.
- Read the portfolio and leverage disclosures. Determine what assets drive risk, how concentrated the holdings are, and whether borrowing can magnify losses.
- Plan the exit before entering. Decide what liquidity you need, what price or NAV change would alter your decision, and how you would respond to a widened discount or stressed redemption environment.
Common mistakes and how to avoid them
- “Daily redeemable” means every asset is liquid. It does not. Separate the shareholder right from the saleability of portfolio holdings.
- A discount guarantees a cheap purchase. It does not. Discounts can widen and may persist.
- NAV is the amount you will receive for a closed-end share. Usually it is not; your sale occurs at the market price available from buyers.
- Closed-end trades force the fund to sell assets. Ordinary secondary-market trades transfer shares and do not themselves require portfolio transactions.
- ETF and closed-end fund mechanics are identical. ETFs use creation and redemption of large blocks by authorized participants; that is a distinct mechanism.
- Historical regulatory proposals are current requirements. The SEC’s November 2022 release discussed proposed changes involving liquidity frameworks, swing pricing, and a hard close. Proposal language should not be treated as current law without checking subsequent rules and the fund’s governing documents.
Questions to verify in the fund documents
- When is the fund’s NAV calculated, and what order cut-off applies?
- What is the stated redemption and settlement process?
- What assets are hardest to sell, and how are they valued?
- For a closed-end fund, what are the average volume and bid-ask spread?
- How has the market price historically related to NAV, and what could change that relationship?
- Does leverage, a concentrated position, or a complex strategy create risks beyond the structure itself?
- What expenses, transaction charges, and distribution policies affect your return?
