The IRS’s new Office of Conservation Easements changes who coordinates conservation-easement disputes, not the financial bargain facing taxpayers. Announced Aug. 19, 2026, the office centralizes technical expertise and works with the Office of Chief Counsel on policy, enforcement and case resolution. The IRS also stopped issuing new rolling uniform settlement letters under its May program.
Existing May-framework elections remain effective, and taxpayers with pending cases may ask their assigned IRS examination or Chief Counsel representative for those terms if they qualify. But the IRS expressly said the transition “does not signal a new or more favorable standardized offer.”

What the new IRS office actually changes
The Office of Conservation Easements is an administrative center for technical expertise, policy coordination, enforcement strategy and case resolution. It is not a published amnesty program, a new penalty schedule or a promise to accept more settlements.
The Aug. 19 IRS announcement changes the flow of cases in several specific ways:

- The IRS will issue no additional uniform settlement letters under the May 2026 program.
- Deadlines attached to previously issued offers are withdrawn.
- Taxpayers who already made elections under the May framework keep those elections, which will be processed under their applicable terms.
- A taxpayer with a pending case may request a May-framework settlement through the assigned examination or Office of Chief Counsel representative, subject to the program’s eligibility rules.
- Individual cases may be resolved on different terms when litigation hazards justify a departure from the standardized framework.
The IRS had not announced separate public contact information for the new office in its release. Taxpayers should therefore start with the representative already assigned to the examination or litigation.
How large is the backlog?
The IRS’s May 13, 2026 release described an inventory of more than 1,100 conservation-easement cases. The categories below are approximate, so their totals do not add up to an exact single-case count.

The IRS has not published a current acceptance count for the May 2026 offer. That leaves no public measure showing whether the latest program is moving cases faster than its predecessors.

No published throughput plan
The IRS announcement describes governance and coordination but gives no staffing level, processing capacity, clearance timetable, acceptance target or quantified backlog-reduction goal. Bloomberg Law commentator John Kirbo characterized the announcement as another detail-light initiative and said the inventory remained roughly 1,100 cases as of May. A new organizational label can improve coordination, but it does not by itself establish how many cases the agency can finish each month.

The settlement economics remain difficult
The May framework generally required taxpayers to surrender the disputed charitable deduction and pay a penalty. That is a substantial cost for partnerships and investors that may have expected the deduction to produce tax savings. The IRS’s May guidance also reflects a strong litigation posture: it says the Tax Court has allowed approximately 6% of claimed deductions on average and imposed a 40% gross valuation-misstatement penalty.
The agency has framed the enforcement effort in those terms. In its May 6, 2026 release, the IRS said: “Congress created the conservation easement deduction to encourage genuine preservation, not to subsidize abusive tax shelters.” When the government believes its trial record is favorable, it has less reason to make a standardized offer more generous.

Every case can require a different settlement path
Conservation-easement disputes often turn on partnership agreements, valuation evidence, insurance arrangements, investor approvals, procedural posture and entity-level tax rules. Those facts can determine whether a taxpayer is eligible for May-framework terms, whether partners can approve an election, and whether litigation hazards justify an individualized resolution. Centralized expertise may help the IRS apply those rules consistently, but the same complexity can slow negotiations.
Processing time can add interest
Even after the parties agree, final settlement processing can take one to two years in some cases, according to Shawn O’Brien of McDermott Will & Schulte as quoted by Thomson Reuters. Interest continues to accrue during that period. O’Brien summarized the taxpayer’s concern this way: “If someone’s made a decision that they want to settle, they want certainty.” A settlement that is agreed in principle but not finalized can therefore remain financially unsettled for a long time.

What a taxpayer with a pending case should do
- Identify the assigned contact. Use the IRS examination representative or Office of Chief Counsel representative already handling the case; a separate public office contact had not been announced.
- Confirm eligibility. Ask whether the case still qualifies for a May-framework request based on its procedural status and the program’s eligibility rules.
- Check prior elections. If the partnership or other entity already made a May-framework election, preserve the documentation and confirm that the IRS has recorded it.
- Model the full cost. Include the lost deduction, applicable penalty, accruing interest and any partner-level or entity-level consequences before accepting terms.
- Assemble case-specific evidence. Keep valuation work, partnership agreements, insurance records, investor approvals and procedural filings organized so the representative can evaluate any litigation hazard.
- Ask for a processing path and timeline. The IRS has not published a general clearance deadline, so request written confirmation of the next step, responsible office and expected milestones for the individual case.
What remains unknown
The public plan does not establish how many employees will staff the office, how many cases it can process, when the inventory will be reduced, or what acceptance rate the IRS expects. The agency also has not released a current May-offer acceptance count or a deadline for clearing the open inventory.
Those gaps support skepticism, but they are not an IRS forecast that the backlog will fail to clear. The practical test is whether individualized handling produces more completed settlements, in less time, than the prior standardized cycles.
Bottom line
The Office of Conservation Easements is a process reorganization and a shift toward individualized negotiations. It preserves May-framework elections and lets eligible pending taxpayers request those terms, while ending new uniform letters and withdrawing old deadlines. Without disclosed staffing, throughput or clearance targets—and with penalties, valuation disputes and interest still in play—the announcement offers little evidence that the more-than-1,100-case backlog will shrink quickly.
