Mortgage REITs (mREITs) finance real estate; equity REITs own and generally operate income-producing properties. That single difference changes where each type gets its income, how leverage affects results, and which risks matter most. Equity REIT cash flow is primarily linked to rents, occupancy and property expenses. Mortgage REIT results are tied to interest income on loans or mortgage-backed securities, funding costs, credit performance, hedging, leverage and, for many securities, prepayments. Neither structure makes a high distribution automatically safe or sustainable.
This guide explains the mechanics, compares the risks and income drivers, and gives a filing-based checklist for evaluating a particular REIT. The U.S. Securities and Exchange Commission (SEC) describes the categories and their general risks in its Investor Bulletin: Publicly Traded REITs (August 30, 2016). That bulletin is useful for structure and risk concepts, but it does not provide current yields, interest-rate forecasts or present-day company balance sheets.

What is the difference between a mortgage REIT and an equity REIT?
An equity REIT typically buys, owns and often operates properties that produce rent. Examples of the underlying real estate can include apartments, offices, warehouses, shopping centers, hotels or other income-producing facilities, although the exact sectors differ by issuer. The REIT’s operating result depends on leasing demand, rent levels, occupancy, property expenses, maintenance, insurance, taxes, acquisitions and dispositions.
A mortgage REIT generally does not earn its primary income by collecting rent from buildings. It provides financing to real-estate owners and operators through mortgages or other loans, or invests in mortgage-backed securities and related real-estate debt. Its result depends on the interest received from those assets, the cost and availability of its own funding, borrower credit, changes in market value, hedging and the timing of mortgage prepayments. The SEC summarizes the distinction and related risks in its publicly traded REIT bulletin.

| Comparison | Equity REIT | Mortgage REIT |
|---|---|---|
| Primary assets | Income-producing properties and interests in operating real estate | Real-estate loans, mortgages, mortgage-backed securities and other real-estate-related debt |
| Main income source | Rent and other property operating income, less property and corporate expenses | Interest and related income, less funding costs, hedging costs, credit losses and other expenses |
| Core business exposure | Occupancy, rents, property expenses, local and sector real-estate conditions | Interest rates, yield spreads, borrower credit, financing markets, prepayments and security liquidity |
| Typical balance-sheet sensitivity | Property values and operating cash flow; leverage still matters | Asset values and net interest margins can move quickly with financing and rate changes; the SEC says mREITs tend to be more leveraged |
| What a shareholder owns | A traded interest in a company whose portfolio is primarily real estate | A traded interest in a company whose portfolio is primarily real-estate debt or mortgage securities |
The categories describe the portfolio’s economic engine, not a guarantee about any individual issuer. Some companies hold mixed assets, use substantial derivatives or change strategy over time, so the issuer’s latest filings are more informative than the label alone.
How each type generates income
Equity REIT: rent after property costs
An equity REIT leases space and receives rent and other property income. It pays expenses such as utilities, repairs, payroll, insurance, property taxes, management costs and interest on debt. A portfolio with rising occupancy and rents can increase operating cash flow, but higher expenses, weak demand, lease expirations or expensive acquisitions can offset that growth. Property values also affect the company’s balance sheet and access to capital, even when current rent collection is stable.
Lease terms create different timing patterns. Long leases may make near-term revenue more predictable while delaying the benefit of higher market rents. Shorter leases can reprice faster but expose the REIT to vacancies and renewal costs. Sector and geography therefore matter: an apartment portfolio, a data-center portfolio and a hotel portfolio face different demand cycles and capital requirements.

A mortgage REIT lends against real estate or buys mortgage-backed securities. It receives contractual interest and principal payments, then subtracts the interest it pays on repurchase agreements, secured borrowing, credit facilities, bonds or other funding. The difference is often described as a net interest spread, but reported earnings can also reflect security price changes, realized gains or losses, loan credit provisions, servicing income, hedging results and operating expenses.
Asset selection is crucial. A lender making loans to commercial properties faces borrower and property cash-flow risk. An investor in agency mortgage-backed securities may have different credit exposure but can be highly sensitive to rates, spreads, duration and homeowner refinancing. Non-agency securities and credit-sensitive loans can offer higher yields while introducing greater default and loss-severity risk. Read the portfolio description and risk factors rather than assuming all mREITs behave alike.

Leverage and funding: why mREIT results can move sharply
Borrowing magnifies both gains and losses. The SEC states that “Mortgage REITs tend to be more leveraged (that is, they use more borrowed capital) than REITs that are focused on properties.” This is a general tendency, not a rule that every mREIT has more leverage than every equity REIT. Confirm actual leverage, secured versus unsecured funding, maturities and covenants in the issuer’s current filings.
For an mREIT, funding terms can reset faster than the assets’ income. If short-term borrowing costs rise while loan coupons or security yields adjust slowly, the spread narrows. A lender may also face margin calls or requirements to post additional collateral when pledged securities decline in value. Forced asset sales can lock in losses and reduce future income. Hedging may reduce some exposure but introduces basis, counterparty, liquidity and model risk.
Equity REITs use debt too, but the operating asset base and lease cash flows create a different transmission mechanism. Fixed-rate debt can shelter near-term interest expense from rate increases, while floating-rate debt or refinancing needs can raise costs. Property-level debt, unsecured bonds and secured mortgages each have different claims on assets and different restrictions. A company with modest headline leverage can still face a concentrated maturity wall or expensive refinancing.
Risk comparison
| Risk | How it appears in equity REITs | How it appears in mortgage REITs | Questions to ask in filings |
|---|---|---|---|
| Operating or property risk | Vacancy, rent declines, tenant failures, repairs, insurance, taxes and changes in property values | Indirectly affects collateral and borrowers; direct exposure depends on loan type and security portfolio | What sectors, markets and tenants or borrowers dominate the portfolio? |
| Interest-rate risk | Higher rates can raise debt costs, reduce property values and make competing investments more attractive | Changes in asset yields, funding costs, duration and market values can alter earnings quickly | What portion of assets and liabilities is fixed or floating, and when do they reset? |
| Credit risk | Tenant defaults and weaker property cash flow can reduce rent and asset value | Borrower defaults, delinquencies, losses on loans and deterioration in mortgage securities | What are delinquency, non-performing and loss-reserve trends? |
| Prepayment risk | Usually not a primary portfolio risk | Homeowners may refinance when rates fall, returning principal early and forcing reinvestment at lower yields; mortgage-backed securities can also change duration unexpectedly | How does the issuer model prepayments, duration and reinvestment? |
| Leverage and liquidity | Debt maturities and capital-market access affect acquisitions and refinancing | Borrowing can magnify security-price losses and trigger collateral or margin demands | What is debt-to-assets or debt-to-equity, and what assets secure borrowings? |
| Hedging and derivatives | May hedge rates or currencies, depending on the portfolio | Often central to managing rate and funding exposure; hedges can fail to offset losses and add counterparty and liquidity risk | Which instruments are used, at what notional amounts and with what counterparties? |
| Market and valuation risk | Property appraisals and public-market pricing can diverge from current rents | Mortgage securities and loans can be difficult to value during stressed markets | Are valuations based on observable prices, models or appraisals? |
The SEC’s explanation of mortgage-backed securities and collateralized mortgage obligations highlights market, liquidity and prepayment risks. Those risks can exist even when borrowers continue making scheduled payments.
Interest rates do not produce a universal winner
It is tempting to say that falling rates help mortgage REITs or that rising rates help equity REITs. Neither statement is reliable without knowing the portfolio, hedges, funding and timing. The SEC notes that REITs can respond differently to changing rates.

When rates rise
An equity REIT with floating-rate debt or near-term refinancing may see interest expense rise before leases reprice. Higher discount rates can also pressure public-market valuations and property values. A REIT with long leases, fixed-rate debt and strong rent growth may be better positioned than one with short maturities and weak demand.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteFor an mREIT, rising short-term rates can compress the spread between asset income and funding costs. The effect depends on whether asset coupons reset, how quickly liabilities reprice, the duration of the portfolio and the effectiveness of hedges. Credit-sensitive assets may also weaken if higher borrowing costs damage property cash flow.
When rates fall
Lower rates can reduce borrowing costs and support property valuations, but mortgage-backed securities may be prepaid as homeowners refinance. The principal then has to be reinvested, potentially at lower yields. Falling rates can also change duration and make existing hedges less effective. An mREIT’s result therefore depends on the path and speed of the move, not just its direction.
Distributions, yield and the 90% rule
U.S. REIT tax rules generally require a REIT to distribute at least 90% of its taxable income for the year to maintain its tax status. The SEC states that requirement in its August 30, 2016 bulletin. It is a distribution requirement for the company, not a promise that shareholders will receive a fixed dividend, that the payment will continue, or that the investment will produce a positive total return.
A quoted distribution yield is usually calculated from a recent payment and the current share price. The price can fall while the payment remains unchanged, making the yield appear higher even as the investor’s total value declines. Conversely, a company can reduce a distribution when earnings, asset values, liquidity or capital needs change. Compare the distribution with recurring earnings and cash-generation measures, and read management’s explanation of coverage.

Distribution funding deserves special scrutiny in non-traded REITs. The SEC’s Investor Bulletin: Non-traded REITs warns that, in that distinct product category, distributions may come from offering proceeds or borrowings. That warning is not a claim that every public, non-traded or private REIT funds distributions that way; it is a reason to examine the source of payments rather than relying on the stated rate.
Publicly traded, non-traded and private REITs are separate decisions
Mortgage versus equity describes what a REIT primarily owns or finances. Trading status describes how investors buy, sell and value it. The SEC distinguishes publicly traded, non-traded and private REITs because liquidity, disclosure, valuation and fees can differ substantially.
| Status | Liquidity and pricing | Information and costs to check |
|---|---|---|
| Publicly traded | Shares trade on an exchange during market hours; price is continuously visible but can be volatile and differ from estimated net asset value | Periodic SEC filings, earnings releases, debt disclosures, trading spreads and market-price premiums or discounts |
| Non-traded | Shares are not exchange-listed; redemption may be limited, suspended or subject to fees and procedures | Valuation methodology, redemption terms, upfront and ongoing fees, distribution funding and conflicts |
| Private | Generally limited resale and no public market; eligibility and transfer restrictions may apply | Offering documents, audited information, valuation policy, fees, leverage, conflicts and the legal terms governing withdrawals |
Do not attribute a liquidity or fee feature automatically to all mREITs or all equity REITs. A publicly traded mREIT and a privately offered equity REIT can have more different liquidity profiles than two exchange-listed companies in opposite REIT categories.

REIT distributions generally receive different tax treatment from qualified dividends paid by many corporations. The SEC’s REIT overview explains the general framework, but the amount and character reported to an individual investor can vary. A distribution may include ordinary income, capital-gain amounts or return of capital, and the final classification is typically reported after the tax year.

How to compare two specific REITs
Use the following process with each issuer’s latest annual report, quarterly report, earnings materials and offering documents where applicable. General category descriptions cannot substitute for company-specific numbers.
- Map the assets. Identify the percentage invested in operating properties, residential or commercial loans, agency or non-agency mortgage securities, cash and other assets. Note concentration by sector, geography, borrower and security type.
- Trace the income statement. For an equity REIT, examine rental revenue, same-property performance, occupancy, lease expirations and property expenses. For an mREIT, examine interest income, funding expense, net interest spread, realized and unrealized gains or losses, hedging results and credit provisions.
- Measure leverage and liquidity. Record debt-to-assets or debt-to-equity, secured and unsecured borrowings, available capacity, collateral requirements, covenant tests and maturity dates. Check whether liabilities reprice faster than assets.
- Stress the rate path. Read the issuer’s sensitivity tables for parallel rate moves, curve changes, spread widening and prepayment assumptions. Ask what happens if funding costs rise, asset values fall or hedges underperform.
- Assess credit and collateral. Review delinquencies, non-performing loans, loan-to-value ratios, reserves, modifications, property-level cash flow and exposure to weaker borrowers or tenants.
- Evaluate the distribution. Compare the declared payment with recurring earnings, taxable income, cash available for distribution and balance-sheet needs. Investigate any payment funded by asset sales, new equity or borrowing.
- Check valuation and market price. Compare the share price with reported book value or net asset value, while recognizing that book values and appraisals are estimates. For mortgage securities, determine how much valuation relies on models.
- Review hedges and counterparties. Identify swaps, swaptions, futures and other derivatives, their maturities, collateral arrangements, counterparties and the risks that the hedge will not track the asset or liability it is intended to offset.
- Confirm trading status and fees. Verify whether the security is exchange-listed, non-traded or private. Read redemption limits, sales charges, management fees, incentive fees and conflicts before comparing yields.
- Read risk factors and footnotes. Look for warnings about refinancing, margin calls, tenant or borrower concentration, regulatory changes, cyber or operational disruption, and the assumptions behind management’s targets.
Which type may fit which objective?
If you want exposure to operating real estate
An equity REIT is the more direct structure because its assets and income are tied to properties and leases. The choice still requires sector analysis: a landlord of apartments has different vacancy and pricing drivers from an owner of hotels or industrial facilities. Investors should also decide how much property-level leverage and geographic concentration they can accept.
If you want exposure to real-estate credit
An mREIT provides a more direct connection to mortgage lending and mortgage securities. That can offer income driven by interest spreads rather than rent, but it brings greater sensitivity to funding markets, credit losses, hedges, prepayments and leverage. Portfolio construction and liability management are as important as the coupon on the assets.
If your priority is liquidity
Start with trading status, not the REIT label. An exchange-listed security generally offers a visible market price and the ability to trade during market hours, while non-traded and private structures can restrict exits. Public-market liquidity does not eliminate price volatility, and limited liquidity can make a stated valuation difficult to realize.
Common mistakes to avoid
- Equating yield with safety. A high rate can reflect a falling share price, elevated leverage, volatile earnings or a distribution that may be reduced.
- Assuming every mREIT is riskier in every way. The SEC describes higher leverage as a tendency, while actual leverage, assets and hedges vary by issuer.
- Assuming rate direction decides the outcome. Asset resets, liability resets, duration, prepayments, spreads and hedges determine the result.
- Confusing a mortgage REIT with a property owner. Financing a building or holding a mortgage-backed security creates different cash flows from collecting rent.
- Ignoring trading status. Liquidity, fees, valuation transparency and disclosure can dominate the practical risk of a particular investment.
- Using an old category description as a current recommendation. The SEC’s 2016 bulletin explains general mechanics; current portfolio, leverage, distributions and prices must come from current issuer filings.
- Looking only at the distribution record. Read the balance sheet, debt maturities, asset quality, hedges, valuation assumptions and cash or taxable-income coverage.
Bottom line: compare the cash-flow engine before comparing the yield
Equity REITs are operating-property businesses whose results begin with rents and property economics. Mortgage REITs are real-estate-credit businesses whose results begin with loans or mortgage securities, funding costs, leverage, credit and hedging. The appropriate comparison is therefore not “which has the higher dividend,” but “which assets, liabilities and risks am I buying, and how well does the current distribution reflect recurring earnings?” Use current filings to answer that question, then consider trading status, taxes, liquidity and your tolerance for losses before investing.
