Luxembourg SIF vs AIF: How to Choose the Right Fund Structure

Choose a Luxembourg Specialised Investment Fund (SIF) and assess Alternative Investment Fund (AIF) status as two separate questions. A SIF is a Luxembourg product regime created under the Law of 13 February 2007. An AIF is a classification under the Luxembourg AIFM framework. They are not competing, mutually exclusive vehicles: a SIF can also be an AIF when it satisfies the statutory AIF criteria.

For a promoter, the practical sequence is to define the strategy and intended investors, test whether the vehicle fits SIF requirements, determine separately whether it is an AIF, choose the appropriate AIFM arrangement, and then validate marketing, documentation, liquidity, risk and operating requirements with current CSSF material and qualified Luxembourg counsel.

What you are actually comparing

The phrase “specialised investment fund” is used in several jurisdictions. This guide uses the Luxembourg meaning: a SIF governed by the Law of 13 February 2007 and supervised by the Commission de Surveillance du Secteur Financier (CSSF). It is not a comparison with India’s separate SEBI category or with every product called a SIF elsewhere.

“Alternative investment fund” describes a regulatory classification, not a single Luxembourg product form. The Luxembourg AIFM framework asks whether a proposed collective investment vehicle meets the applicable AIF criteria. The CSSF’s AIFMD FAQ expressly includes SIFs among Luxembourg entities that qualify as AIFs when those criteria are fulfilled.

That distinction changes the decision. You normally do not select “SIF or AIF” from a menu. You decide whether the product regime should be a Luxembourg SIF, then analyse whether the resulting vehicle is also an AIF and what manager, reporting and marketing consequences follow.

SIF and AIF at a glance

Decision point Luxembourg SIF AIF status Practical consequence
What it is A Luxembourg product regime under the Law of 13 February 2007. A classification under the Luxembourg AIFM framework. The same fund may have both descriptions.
Regulator and entry Requires CSSF authorisation before starting activity and remains subject to ongoing CSSF supervision and regular reporting. Depends on the vehicle meeting the statutory AIF criteria; classification is a separate analysis from product authorisation. Do not treat a SIF authorisation as proof that every AIFM obligation has been addressed.
Investors Institutional, professional and qualifying well-informed investors. No standalone investor threshold is created merely by the AIF label. Apply the SIF eligibility rules and any additional distribution rules for the chosen jurisdictions.
Manager A SIF that is not an AIF does not automatically acquire AIFM obligations solely from being a SIF. A SIF that is an AIF generally needs an AIFM, unless a limited exemption applies; a self-managed SIF can itself be the AIFM. Document the manager model and verify whether registration, authorisation or an exemption is applicable.
Cross-border marketing The SIF label alone does not provide the AIFMD marketing passport. A SIF that is an AIF and is managed by an authorised EU AIFM may use the described EU professional-investor passport. The passport point is limited to professional investors and does not establish retail access.
Core documents Offering document or prospectus and an annual report are identified by the Association of the Luxembourg Fund Industry (ALFI). Additional AIFM, reporting and marketing documentation depends on the structure and jurisdictions. Check whether a PRIIPs KID is required if retail investors can invest.

Step 1: Define the strategy, assets and target investors

Start with the fund you need, not with a preferred acronym. Write down the investment strategy, asset classes, expected liquidity, borrowing approach, risk profile, target jurisdictions and investor types. Those facts drive both SIF suitability and the AIF analysis.

Match the strategy to the intended investor profile

CSSF Circular 25/901 describes a flexible approach in which incurred risk is correlated with the targeted investor profile. A strategy with complex, illiquid or leveraged assets therefore has to be considered alongside the knowledge, experience and financial capacity of the people or institutions expected to invest. The circular also raised investment and borrowing limits, but it does not turn those limits into a universal permission to use leverage or illiquid assets: the fund’s documents, risk controls and investor fit still matter.

Identify who may invest

ALFI describes three broad eligible groups for a SIF: institutional investors, professional investors and well-informed investors who meet the legal conditions. An individual is not eligible merely because the fund is labelled a SIF.

For a well-informed investor, ALFI identifies two routes:

  • Minimum-investment route: invest at least EUR 100,000. This is an ALFI-described SIF eligibility route, not an AIF-wide minimum.
  • Assessment route: a qualifying institution assesses and certifies the investor’s expertise, experience and knowledge so that the investor can understand the risks of investing in the SIF.

The fund’s subscription process should state which route is being used, collect the evidence required by the applicable rules and apply any additional suitability, anti-money-laundering and local marketing checks. Do not advertise EUR 100,000 as a universal entry ticket for every AIF or every Luxembourg fund.

Step 2: Test AIF status independently

After defining the product, apply the AIF tests under the Luxembourg AIFM Law as a separate workstream. The CSSF AIFMD FAQ (version 24, dated 20 May 2025) confirms that SIFs can qualify as AIFs when they fulfil the relevant criteria. It does not say that every SIF is automatically an AIF.

Questions for the classification file

  • What legal vehicle is raising capital and making investments for the defined strategy?
  • Does the vehicle satisfy the applicable statutory AIF criteria, based on its constitutional documents and actual operation?
  • Who makes portfolio and risk-management decisions, and under what delegation arrangements?
  • Which obligations follow if the vehicle is an AIF, including manager, reporting and marketing analysis?

Keep the SIF product-authorisation file and the AIF-classification memorandum distinct. A CSSF SIF authorisation addresses the product regime; it is not, by itself, a conclusion about the AIFM arrangement or the availability of a marketing passport.

Step 3: Choose the manager arrangement

If the SIF is an AIF, plan on an AIFM analysis. The general position described by the CSSF and ALFI is that an AIF SIF appoints an AIFM unless a limited exemption applies. The exemption must be identified and documented; it should never be assumed because the fund is small, privately placed or self-managed.

External AIFM

An external AIFM is appointed to perform the management role under the applicable AIFM requirements. The appointment agreement, delegation map, risk-management framework, valuation process, reporting lines and oversight responsibilities should be settled before launch. Confirm whether the proposed AIFM is authorised in the relevant jurisdiction and whether its permission covers the strategy and services being provided.

Self-managed SIF

A self-managed SIF can itself be the AIFM. In that case, the fund entity must meet the obligations that apply to an AIFM rather than treating self-management as a way around them. Governance, capital, risk management, conflicts, valuation, liquidity, reporting and supervisory interfaces must be analysed for the entity and strategy actually proposed.

Registration or authorisation

The correct outcome may be full AIFM authorisation, registration under an applicable threshold or exemption, or another structure-specific treatment. The current Luxembourg AIFM Law and CSSF materials do not establish a single threshold or exemption that applies to every SIF. Obtain a written analysis against the current Luxembourg AIFM Law and CSSF materials before describing the manager as exempt or registered.

Step 4: Complete SIF authorisation and ongoing supervision

ALFI states that a SIF must be authorised by the CSSF before it starts activity. It remains under ongoing CSSF supervision and must provide regular reporting. The launch plan therefore needs an authorisation timetable, complete constitutional and offering documents, service-provider arrangements and a process for recurring regulatory submissions.

What to prepare

  • Constitutional documents establishing the fund and its compartments or share classes, if used.
  • An offering document or prospectus describing the investment policy, eligible assets, borrowing, liquidity, valuation, fees, risks and investor eligibility.
  • Evidence of the proposed manager and delegation structure.
  • Operational arrangements for administration, valuation, accounting, investor registers, reporting and other required services.
  • An annual-report process and a calendar for CSSF reporting.
  • Investor-onboarding controls that verify institutional, professional or well-informed status.

The exact document set, service-provider requirements and approval steps depend on the vehicle and current rules. Circular 25/901, published by the CSSF on 19 December 2025, replaced specified earlier circulars while maintaining core principles and adapting them to market practice. Use the current circular and the fund documents when checking investment and borrowing provisions rather than relying on an older template.

Step 5: Plan distribution by investor type and jurisdiction

Marketing is where the interaction between SIF and AIF status becomes commercially important. ALFI describes an EU professional-investor marketing passport for a SIF that qualifies as an AIF and is managed by an authorised EU AIFM. All three conditions matter: SIF status, AIF status and an authorised EU AIFM.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Professional-investor passport

If the conditions are met, the manager can analyse the relevant AIFMD notification process for marketing to professional investors in the target EU jurisdictions. The passport statement should not be extended to retail distribution, non-EU countries or a SIF whose manager is not an authorised EU AIFM.

Retail access

SIF eligibility rules focus on institutional, professional and well-informed investors. If the proposed structure nevertheless permits retail investors, ALFI states that a PRIIPs Key Information Document (KID) is required. Retail distribution also brings jurisdiction-specific conduct, disclosure, language and registration questions. Treat it as a separate project rather than assuming that the professional-investor passport solves it.

Non-EU marketing

The material available here does not establish a single non-EU private-placement rule. For each destination, identify whether the investors are professional or retail, whether a local filing or licence is required, and whether the AIFM’s permissions extend to that activity. Record the conclusion for every country instead of describing the fund as globally passportable.

Step 6: Align documents, liquidity and risk controls

The investment policy and investor base should tell the same story. The offering document should explain the assets, concentration, valuation, borrowing, redemption terms, gates or suspension powers, liquidity risks and conflicts in language that matches the actual strategy. CSSF Circular 25/901’s risk-to-investor-profile approach makes this alignment a supervisory and governance issue, not merely a marketing preference.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Minimum document questions

  • Does the offering document clearly state that the fund is a Luxembourg SIF and identify the eligible investor categories?
  • Does it explain whether the vehicle is an AIF and identify the AIFM or the documented basis for another treatment?
  • Are investment and borrowing limits consistent with the current CSSF requirements and the strategy?
  • Are valuation and liquidity arrangements workable for the assets and redemption terms?
  • Is an annual report produced on the required timetable?
  • If retail investors are permitted, is the PRIIPs KID prepared and maintained for the relevant product and market?

How to choose: a practical decision sequence

  1. Define the mandate. Document strategy, assets, leverage, liquidity, risk tolerance, target returns and intended investor jurisdictions.
  2. Choose the product regime. Test whether a Luxembourg SIF provides the desired investor eligibility, flexibility and supervisory framework. Confirm that the promoter can satisfy CSSF authorisation and ongoing reporting requirements.
  3. Classify the vehicle. Apply the Luxembourg AIFM Law criteria independently. Record the facts supporting an AIF or non-AIF conclusion.
  4. Select the manager model. Compare an external authorised AIFM with a self-managed structure. If relying on registration or an exemption, identify the exact legal basis and its conditions.
  5. Map distribution. List each target country and investor type. Use the EU professional-investor passport only where the SIF is an AIF and the manager is an authorised EU AIFM; analyse retail and non-EU routes separately.
  6. Build the documents and operations. Align the offering document, annual report, risk and liquidity policies, investor checks, service providers and reporting calendar.
  7. Recheck current rules before launch. Review Circular 25/901, the current consolidated law, CSSF materials and the final fund documents with qualified Luxembourg counsel.

Decision matrix for common structures

Proposed situation Likely analysis What must be confirmed
Luxembourg SIF for institutional and professional investors, managed by an authorised EU AIFM The vehicle may be both a SIF and an AIF. AIF criteria, CSSF authorisation, AIFM scope and professional-investor passport notifications.
SIF offered only to qualifying well-informed individuals SIF eligibility still applies; the EUR 100,000 route or institutional assessment route must be evidenced. Investor certification, subscription controls, local marketing rules and whether the vehicle is also an AIF.
SIF managed by its own governing entity The SIF may be a self-managed AIF and therefore its own AIFM. AIFM obligations, governance, risk and liquidity systems, capital and any applicable authorisation or registration.
SIF marketed to retail investors Do not rely on the professional-investor passport. Whether retail access is legally permitted, PRIIPs KID requirements and each market’s retail rules.
Promoter wants a private-placement exemption An exemption cannot be presumed from the SIF label or a small investor base. The precise statutory basis, thresholds, notifications and ongoing conditions in each relevant jurisdiction.

Common mistakes and how to correct them

Mistake: treating SIF and AIF as alternatives

Why it fails: SIF is a product regime; AIF is a classification. Selecting one label does not answer the other question.

Correction: Run product authorisation and AIF classification as separate workstreams, then connect the results in the manager and distribution analysis.

Mistake: assuming every SIF is automatically an AIF

Why it fails: The CSSF FAQ says SIFs qualify as AIFs when they fulfil the AIF criteria, not that the labels are identical.

Correction: Prepare a fact-based AIF memorandum under the Luxembourg AIFM Law and update it if the strategy, investors or governance changes.

Mistake: advertising EUR 100,000 as an AIF minimum

Why it fails: EUR 100,000 is one ALFI-described route for a well-informed investor to qualify for SIF investment. It is not an AIF-wide minimum.

Correction: State the SIF context and retain either the investment evidence or the qualifying institution’s expertise, experience and knowledge certification.

Mistake: assuming self-management avoids AIFM rules

Why it fails: A self-managed SIF that is an AIF can itself be the AIFM and must meet the applicable AIFM-law obligations.

Correction: Treat self-management as a manager model requiring its own governance, risk, liquidity, valuation and reporting analysis.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Mistake: promising an EU passport to all investors

Why it fails: The described passport applies to SIFs that are AIFs, managed by authorised EU AIFMs, and marketed to professional investors.

Costs, providers and timing: what is—and is not—established

The available source material does not state CSSF fees, AIFM fees, administration charges, depositary costs, audit fees, legal fees or a standard launch timetable. Those figures vary with the vehicle, compartments, asset classes, jurisdictions, manager model and service-provider scope. A budget should nevertheless identify each workstream: legal structuring, CSSF authorisation, AIFM or self-managed compliance, administration, valuation, depositary and custody arrangements where applicable, audit, reporting, investor onboarding and distribution filings.

Do not present an invented “typical cost” or promise a fixed approval period. Obtain written proposals and a project timetable after the strategy, investor base and manager model are defined.

Keeping the structure current

The newest directly relevant CSSF material identified for this comparison is the notice on Circular 25/901 dated 19 December 2025. The CSSF’s Luxembourg vehicle overview was updated on 12 June 2026. The CSSF AIFMD FAQ is version 24 dated 20 May 2025. ALFI’s SIF page was accessed in 2026 but does not show a clear publication date.

Fund law and marketing requirements are jurisdiction- and fact-specific and can change. Before claiming that a proposed fund qualifies for an exemption, passport or investor route, check the current consolidated law, CSSF publications, the offering and constitutional documents, and advice from qualified Luxembourg counsel.
