On July 17, 2019, LMAX Global announced that Cyprus’s regulator had approved its application to acquire CB Capital Business Ltd. LMAX’s financial statements later recorded the transaction as completed on July 1, 2019.
The acquired company became LMAX Broker Europe Limited and operates under the LMAX Global trading name. It remains listed by the Cyprus Securities and Exchange Commission (CySEC) under licence 310/16.
What LMAX acquired
The target was CB Capital Business Ltd, a Cyprus-regulated investment firm with company number HE 346613. Its CySEC licence had been issued on August 8, 2016, several years before the transaction.
That distinction matters. LMAX did not apply for a brand-new Cyprus licence after the acquisition. It bought control of an existing regulated company and subsequently renamed it LMAX Broker Europe Limited.

CySEC’s current entity record identifies LMAX Broker Europe Limited as the successor to “Cb Capital Business Ltd.” It lists services that include receiving and transmitting client orders and executing orders on behalf of clients.
When did the acquisition happen?
The dates can appear contradictory because the regulatory approval, public announcement and legal completion occurred at different points.

Therefore, saying that the acquisition “happened on July 17” is imprecise. July 17 was the announcement date. LMAX’s accounts identify July 1 as the completion date for the initial purchase.
Who bought the Cyprus broker?
The public announcement referred to the buyer as LMAX Global, a business within the wider LMAX Exchange Group. The legal ownership sequence was more specific:

LMAX Global is a trading name, not the legal name of the Cyprus company. For clients and readers checking the regulated entity, the relevant legal name is LMAX Broker Europe Limited.
How much did LMAX pay?
LMAX’s 2019 annual report gives the acquisition price as £1 million. The acquired net assets were valued at approximately £0.7 million, resulting in £0.3 million of goodwill being recorded.
The goodwill figure is an accounting measurement. It does not mean that £300,000 was paid separately to the seller. It represents the amount by which the purchase price exceeded the accounting value assigned to the acquired net assets.
Why did LMAX want a Cyprus operation?
LMAX said the acquisition was intended to strengthen its presence in Southern Europe, Cyprus and the Middle East. The company also pointed to institutional and intermediary clients as key markets.

A Cyprus-regulated entity gave LMAX a European legal and regulatory base from which to provide services to eligible clients and counterparties. The announcement also linked the move to Brexit planning: establishing a European entity would allow LMAX to continue offering services in the region regardless of the eventual Brexit outcome.
At the time of the announcement, LMAX said it served clients in more than 100 countries and operated from 11 offices. Those figures described the group’s position in July 2019 and should not be treated as current operating figures.
What the deal meant for traders and clients
For a client, the most important issue is not the acquisition price but the legal entity named in the account agreement, disclosures and complaints procedure. A broker’s trading brand may cover several companies, each with a different regulator and set of protections.
For the EU business, LMAX currently identifies LMAX Broker Europe Limited as the legal entity behind LMAX Global. The company’s EU page states that it is authorised and regulated by CySEC under licence 310/16.

That does not automatically mean every LMAX customer worldwide contracts with the Cyprus entity. LMAX operates through different group companies, so customers should check their own terms and conditions, account-opening documents and regulatory disclosures.

- It was not a July 17, 2019 completion announcement in the strict legal sense; that date was the public announcement.
- It was not a direct purchase by the LMAX Global trading name.
- It was not the launch of a completely new Cyprus broker.
- It was not evidence that “CB Capital Limited” was a separate acquisition. The available company and licence details connect that abbreviated description with CB Capital Business Ltd.
The clearest description is that LMAX Broker Limited acquired the existing CySEC-regulated CB Capital Business Ltd in July 2019, renamed it LMAX Broker Europe Limited, and later transferred it to LMAX Exchange Group Limited.
