The exposure is generally indirect: an eligible NPS scheme may invest part of its Asset Class A allocation in a regulated alternative investment fund (AIF) that owns qualifying startup or venture-capital assets. PFRDA limits and governance rules reduce concentration and conflict risks, yet startup failures, valuation markdowns, illiquidity and poor timing can still reduce your retirement corpus.
Whether that risk is acceptable depends on the exact NPS sector and scheme, the AIF’s portfolio and terms, your other retirement assets and the years remaining before you need the money.

What “safe” means in NPS
The National Pension System is a defined-contribution pension. You contribute, the money is invested in market-linked assets, and your eventual retirement value depends on contributions, investment performance and the portion of the corpus used to buy an annuity. It is not a defined-benefit promise from the government or a pension fund.

NPS uses an unbundled structure. Pension funds manage investments; the NPS Trust oversees the system; recordkeeping agencies maintain subscriber accounts; a trustee bank handles cash movements; a custodian holds securities; points of presence provide service; and annuity providers sell retirement annuities. Separating these roles limits the control any one intermediary has over the whole system. Subscribers can view account statements and published scheme-portfolio information, and unresolved complaints can be escalated through the NPS grievance process.
Those structural safeguards address custody, administration and oversight. They do not turn market-linked investments into deposits or guarantee that a startup, AIF or pension fund will make money.
How startup exposure can enter an NPS account
An NPS subscriber normally does not select individual startups. The possible route is through Asset Class A, the alternative-investment category, when that category is available in the subscriber’s sector and chosen scheme. The pension fund selects an eligible AIF, and the AIF invests according to its stated strategy.

Category II AIFs are also permitted, but at least 51% of the fund must be invested in start-up entities, infrastructure entities, SMEs, venture-capital entities or social-welfare entities. An AIF can hold several asset types, so the percentage of your NPS money ultimately linked to startups may be lower than the percentage allocated to the AIF itself.

This is a look-through issue. A 5% allocation to Asset Class A does not mean every rupee of that 5% is invested in startups. One AIF may hold infrastructure companies, SME debt, venture investments and cash at the same time, and its mix can change. You must inspect the scheme and AIF information to estimate the actual startup connection.
Current PFRDA limits and what each one actually limits
| Rule | Figure | What it means for a subscriber |
|---|---|---|
| Asset Class A allocation in the cited common active-choice framework | Up to 5% (PFRDA, 2025) | This is a ceiling for the relevant alternative-investment asset class in an eligible scheme, not a promise that startup exposure itself cannot exceed 5% on a look-through basis. |
| Minimum corpus of an AIF that a pension fund may use | ₹100 crore (PFRDA, 2025) | The pension fund may invest only in an AIF meeting this minimum-size requirement. |
| Exposure to one AIF | 10% of that AIF’s size (PFRDA, 2025) | The pension fund’s investment in a particular AIF is limited relative to the AIF’s total corpus. For example, a ₹500 crore AIF could receive no more than ₹50 crore from that pension fund under this rule. |
| Category II AIF qualifying-investment requirement | At least 51% | At least 51% of the fund must be invested in start-ups, infrastructure, SMEs, venture-capital or social-welfare entities. |
The 5% figure is an allocation ceiling for Asset Class A in the cited 2025 framework. Sector menus, scheme choices and circulars can change, so check the current PFRDA master circular and the latest portfolio published by your pension fund before relying on it. A 2016 PFRDA circular recorded a 2% pension-fund-corpus ceiling for applicable AIF investment at that time; carrying that historical figure into a current decision would be misleading.
The main risks of startup-linked exposure
Business failure and permanent loss
Young companies often have short operating histories, unproven business models and a high need for additional funding. A company can fail, be sold for less than its previous valuation or be diluted by later fundraising. If an AIF owns that company, the value of the AIF can fall. NPS has no benefit guarantee, so a loss can reduce the retirement corpus rather than being made good by the pension system.
Illiquidity and delayed exits
Startup shares and AIF interests may not trade every day. Exiting may depend on a private funding round, a strategic sale, an initial public offering or the end of a contractual lock-up. A fund can therefore show a value on a statement while providing no practical way to sell at that value immediately. Delayed exits matter if you need to switch schemes, rebalance or withdraw near retirement.

Valuation uncertainty
Private holdings are usually valued under the AIF’s valuation policy rather than by a continuous exchange price. A new financing round, a failed milestone or a change in comparable-company prices can produce a sharp revaluation. The statement value may remain unchanged between valuation dates and then move substantially when the next valuation is completed. That timing can make reported volatility look lower than the economic risk.
Concentration and look-through risk
The Asset Class A ceiling and the single-AIF limit reduce direct concentration, but they do not guarantee broad diversification. Several companies in one AIF may depend on the same sector, customer type, interest-rate environment or funding market. Two different AIFs can also hold similar companies or use related strategies. The relevant question is not only “What percentage is in Asset Class A?” but also “How many companies, sectors, stages and managers sit underneath it?”
Governance, operational and conflict risk
PFRDA instructs pension funds to assess liquidity, integrity, operational, control and conflicts-of-interest risks. A fund manager can still make a poor investment decision, misjudge a valuation or experience an operational failure. Independence requirements are designed to reduce specified conflicts involving a pension fund, its promoter group, AIF sponsors and investment managers; they do not remove every commercial or governance risk in a private investment.

Retirement-timing risk
The same percentage loss has different consequences at different ages. Someone with decades of contributions may have time to keep investing and recover from a market decline. Someone close to retirement may have little time to wait for a private holding to recover or to complete an exit. A valuation cut or liquidity delay near the date you need an annuity can affect both the amount available and the choices you have.

Protections PFRDA provides
Eligibility and minimum-size filters
PFRDA’s rules require the pension fund to invest only in an AIF with a corpus of at least ₹100 crore under the 2025 provisions cited here. The minimum does not certify investment quality, but it excludes very small vehicles that may have limited operational capacity or diversification.
Allocation and single-fund limits
Limiting Asset Class A to up to 5% in the relevant active-choice framework prevents the alternative-investment sleeve from dominating the NPS allocation. Limiting exposure to one AIF to 10% of that AIF’s own size reduces the chance that a pension fund becomes an outsized investor in one vehicle. Neither rule limits losses inside the permitted allocation.
Conflict restrictions and documented due diligence
PFRDA bars specified conflicts involving the pension fund, its promoter group, and the AIF sponsor or investment manager. Pension funds must document their due diligence before investing. These requirements create an audit trail and a basis for oversight, but due diligence is not a guarantee that forecasts will be correct or that an investment will succeed.
Separation of roles and custody
The unbundled NPS architecture separates investment management, trusteeship, recordkeeping, banking and custody. If one service provider has a problem, the other functions are not automatically controlled by that same entity. This separation helps protect administration and asset records, while market losses remain the subscriber’s risk.

Disclosure and grievance channels
Statements and scheme-portfolio disclosures let subscribers see how their selected scheme is allocated. If information is missing or a service issue is unresolved, use the NPS grievance system and escalate according to its published process. Disclosure can reveal exposure; it cannot create daily liquidity for a private asset.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How to check whether your scheme has startup-linked exposure
- Identify your sector and exact scheme. Log in to your NPS account and record the sector, pension fund and scheme name. Asset Class A availability and limits differ by sector and scheme, so a general statement about NPS is not enough.
- Find the current allocation menu. Read the scheme’s latest investment pattern and the applicable PFRDA master-circular provisions. Confirm whether Asset Class A is available and what percentage ceiling applies to your choice.
- Read the published scheme portfolio. Look for an AIF name, category and percentage allocation. Do not assume that a scheme with no obvious “startup” label has no indirect exposure; the underlying vehicle may use a broader strategy.
- Identify the underlying AIF category and corpus. Check whether it is Category I or Category II, whether its corpus meets the ₹100 crore minimum and whether its stated mandate includes start-ups, venture capital, SMEs or related qualifying assets.
- Examine the investment mix. Ask for the latest breakdown by company, sector, stage and geography. Calculate how much of the AIF is actually in startup or venture holdings rather than treating the entire AIF allocation as startup exposure.
- Review valuation and liquidity terms. Note the valuation frequency, independent-valuation process, redemption windows, lock-up period, notice requirements and circumstances in which withdrawals can be suspended or delayed.
- Check fees and expenses. Record management fees, performance-related fees, fund expenses and any costs charged at the pension-fund or AIF level. Fees reduce the amount compounding for retirement even when asset prices are unchanged.
- Review governance and conflicts. Check the sponsor, investment manager, custodian and related-party disclosures. Confirm that the required independence and conflict controls are described and that the information is current.
- Map the exposure against your whole balance sheet. Include other retirement accounts, provident-fund savings, direct startup holdings, emergency cash and expected retirement income. A small AIF percentage can still be material if you already own private-company risk elsewhere.
- Set a review date. Recheck the portfolio, valuation and terms after major changes and at least when you approach a planned retirement or annuity purchase. Rules and scheme menus can change.
How to compare two NPS schemes or AIF-linked options
| Comparison point | Questions to ask | Why it matters |
|---|---|---|
| Asset Class A access | Is the category available in both schemes, and what is the current cap? | A scheme without Asset Class A cannot create that particular exposure; a lower cap limits the sleeve. |
| Direct versus look-through exposure | Does the portfolio name an AIF, and what share of that AIF is in startups? | The scheme percentage alone may overstate or understate the underlying startup connection. |
| AIF category, corpus and concentration | Is it Category I or II, does it meet ₹100 crore, and how many companies and sectors dominate? | Category and size establish eligibility; concentration determines how one failure could affect value. |
| Valuation and liquidity | How often are private holdings valued, and what are the redemption and lock-up terms? | A reported price is less useful if it cannot be realized when you need cash. |
| Fees | What charges apply at the pension-fund and AIF levels? | Layered costs reduce compounding and can be significant over a long retirement horizon. |
| Governance and conflicts | Who sponsors, manages, values and custodies the AIF, and what related-party controls apply? | Independent roles and documented controls reduce, but do not eliminate, governance risk. |
| Fit with your plan | How many years remain to retirement, and what other assets can fund near-term needs? | Illiquid, volatile assets are harder to absorb when withdrawals or annuity purchases are close. |
What happens if an underlying AIF or startup fails?
If one portfolio company fails
The AIF may write down or write off that holding. The impact on the AIF depends on the company’s weight and on whether other investments perform well. Your NPS statement would reflect the resulting change when the AIF’s valuation is updated; there is no rule that reimburses the loss.
If the AIF’s value falls sharply
The pension fund’s Asset Class A value can decline, reducing the NPS account balance. You may be able to change your investment choice under the scheme’s operating rules, but switching does not reverse a loss and may not provide immediate liquidity from a private holding.

If exits are delayed
The AIF can continue holding investments beyond the date you expected to receive proceeds. A delayed exit can postpone distributions and leave the scheme carrying a valued-but-unrealized asset. Near retirement, that can force you to rely on other liquid assets or accept an unfavourable timing decision.
If there is a manager or operational problem
Trustees, custodians, recordkeepers and the NPS grievance framework provide channels for administration and custody issues. They do not insure investment performance. The practical response is to preserve statements, request the scheme and AIF disclosures, document the complaint and escalate it through the prescribed NPS process.
Who should be cautious about this exposure?
- Subscribers retiring soon: There may be too little time to recover from a markdown or wait for an exit.
- Subscribers without an emergency fund: Illiquid retirement assets are a poor substitute for cash needed for near-term expenses.
- Investors already concentrated in private businesses: An AIF can add exposure to the same economic cycle, sector or founder risk.
- Anyone expecting a guaranteed pension amount: Market-linked NPS cannot deliver that certainty, regardless of the asset category.
- Investors unable to monitor disclosures: Understanding valuation, fees and lock-ups is essential before accepting an alternative-investment allocation.
A long retirement horizon, diversified household finances and the ability to tolerate volatility can make a small, transparent allocation easier to absorb. Suitability still depends on the exact scheme and your personal cash-flow needs.
Practical mistakes to avoid
- Confusing the 5% cap with a 5% startup cap. It limits Asset Class A in the cited framework; the AIF’s own portfolio determines the startup look-through percentage.
- Using an old limit. The 2% figure from a 2016 circular is historical. Use the current PFRDA master circular and scheme documents.
- Judging safety from a stable statement value. Private valuations may move in steps rather than daily.
- Ignoring fund size and concentration. A large AIF can still be concentrated in a few companies or sectors.
- Checking only the NPS percentage. Include other retirement and private-company holdings when assessing total risk.
- Assuming regulation means no loss. Eligibility, conflict controls and due diligence improve governance; they do not guarantee returns or liquidity.
A decision test before accepting or retaining the allocation
- Can you state the exact percentage of your scheme in Asset Class A and identify the underlying AIF?
- Can you explain how much of that AIF is in startups and how concentrated those holdings are?
- Do you understand the valuation method, fees, lock-up and redemption process?
- Could your household meet emergencies and near-term retirement expenses without selling this exposure?
- Would a substantial markdown change your retirement plan or annuity purchase?
If any answer is no, obtain the missing documents or choose an allocation you can understand and fund around. The central protection is informed sizing: treat startup-linked AIF exposure as a limited, higher-risk and potentially illiquid component of retirement savings, not as a safe-return substitute for the rest of your NPS portfolio.
