It can be either. A transfer from a company to its shareholder, director or associate is not automatically a dividend merely because of the recipient’s position or because the bookkeeping system uses a “loan” account. Tax treatment depends on the country, the company’s legal status, the recipient’s relationship with it, the terms made when the money was advanced, and what both sides actually did afterward.
The United States, United Kingdom and Australia apply materially different rules. U.S. authorities generally analyze whether the debt is genuine using facts and circumstances. UK section 455 can impose a company-level charge on certain loans by close companies without making the advance an immediate dividend in the recipient’s hands. Australia’s Division 7A can deem specified private-company payments, loans and benefits to be dividends unless statutory conditions are met. This comparison explains how to assess the classification without treating one country’s rule as universal.

Start with the question that controls everything: which country and entity are involved?
There is no worldwide definition of a “company loan” for tax purposes. First identify the governing jurisdiction, the company’s form and tax status, the tax year, the recipient, and the transaction’s purpose. A loan from a widely held corporation to an employee may be analyzed differently from an advance by a closely held private company to its controlling owner.

The same documents can produce different results in these systems. Do not use a U.S. “arm’s-length” checklist to conclude that a UK section 455 charge or an Australian Division 7A issue is absent.

What makes an advance look like a genuine debt?
Tax authorities look at objective evidence created when the money moved and at conduct over time. Documentation helps, but a ledger label alone does not create a loan. The strongest file shows that the company expected repayment, the recipient could realistically repay, and the company treated the arrangement as debt rather than as an informal extraction of profits.
Terms set when the money is advanced
- A written agreement or signed promissory note identifies the principal and the parties.
- The agreement states an interest rate, or explains how the rate is determined.
- A fixed maturity date or a definite repayment schedule is specified.
- Default consequences are real, such as acceleration, collection rights or other enforcement provisions.
- Collateral or another form of security is provided where a commercial lender would reasonably require it.
- The stated purpose is specific, such as a temporary working-capital advance, rather than an open-ended personal withdrawal.
Ability and intention to repay
The recipient’s financial capacity matters. Evidence can include income, assets, cash-flow forecasts, other borrowing and a credible source of repayment. A promise to repay from an unspecified future distribution is weaker than a documented repayment plan supported by resources. The company should also be able to explain why it made the advance on those terms and why the transaction made business sense.
What happened after the money was transferred?
Actual behavior often carries more weight than the original description. Periodic principal and interest payments, accurate interest accruals, timely updating of the balance and consistent enforcement support debt treatment. Repeatedly advancing new amounts while making no meaningful repayments, ignoring a due date, or forgiving the balance without commercial justification points in the other direction. A company that never demands payment when the borrower defaults may appear to have intended a distribution from the start.

The Internal Revenue Service’s examination material lists a signed note, collateral, a definite due date, periodic repayments, interest actually charged and paid, and resources from which repayment can be made as indicators of a true loan. IRS Chief Counsel memoranda used to illustrate similar factors are nonprecedential, and the Internal Revenue Manual is examination guidance rather than a statute or regulation.
How the United States analyzes shareholder and officer loans
Arm’s-length characteristics
IRS small-business guidance states: “A loan by a corporation to a corporate officer should include the characteristics of a loan made at arm’s length.” In practical terms, the file should resemble a transaction an independent lender would recognize: a contract, stated interest, a repayment period and consequences for default. Security can reinforce that presentation.

If the company charges no interest or charges below-market interest, a separate below-market-loan analysis may apply. The tax character of any additional amount depends on the substance of the transaction; it could raise compensation, distribution or another-payment issues rather than being treated simply as interest.
Debt versus distribution is a factual determination
IRS materials identify a broad set of surrounding facts: the shareholder’s control of the company, corporate earnings and dividend history, the size and limits of withdrawals, how the entries were recorded, the presence of notes and interest, security, a fixed due date, whether repayment was demanded, the shareholder’s ability to repay, and whether repayments were attempted or made. No single factor decides the result.

United Kingdom: a director’s loan and the section 455 overlay
What HMRC means by a director’s loan
HMRC describes a director’s loan as company money borrowed by a director or a close family member that is not salary, a dividend, reimbursement of expenses, or money the person previously paid into or lent to the company. The company should maintain a director’s loan account recording money borrowed from and paid into the company, and amounts due should appear in the balance sheet. The account is a record of the balance, not proof that the underlying transaction is a genuine commercial loan.
Section 455 is a company charge, not an automatic personal dividend
For a close company, section 455 CTA 2010 can charge the company when it lends or advances money to a participator or an associate, subject to statutory exceptions. HMRC expressly explains: “Although the company is charged to tax under CTA10/S455 ‘as if it were an amount of CT…’, this does not mean a loan or advance is, by itself, a distribution of the company or income in the hands of the recipient.”

That distinction is essential. The company may owe a section 455 amount because a qualifying loan exists even though the recipient has not received an immediate dividend for personal tax purposes. The charge and any relief are tied to the legislation and the relevant tax period; rates and timing should be checked for the year concerned rather than quoted as timeless figures.
Write-off or release creates a separate event
If an assessable loan is later released or written off, HMRC describes separate income consequences for the recipient and corresponding company relief rules. A write-off is therefore not just an administrative closure of the director’s loan account. Record the date, amount and legal basis of any release and analyze it under the rules for that later event.
Australia: Division 7A can deem a dividend
Australia’s Division 7A addresses benefits provided by private companies to shareholders and their associates. Certain payments, loans and other benefits can be treated as deemed dividends even when the parties call the transfer a loan. The shareholder’s assessable dividend treatment is subject to the statutory framework, including distributable-surplus rules.
Repayment or a complying loan can prevent the deemed outcome in some cases
ATO guidance states that a potentially covered payment or benefit may avoid deemed-dividend treatment if it is repaid or converted to a complying loan by the company’s lodgment day for the relevant income year, provided the rule’s conditions are satisfied. A complying arrangement requires attention to the statutory documentation, term, interest and repayment requirements that apply for that year. Do not treat “we will document it later” as equivalent to completing the required action by the applicable date.
Genuine debts are an exclusion, but scope still matters
The ATO material identifies payments of genuine debts as an exclusion. That does not mean every supplier payment or ordinary business advance is outside Division 7A. Confirm that the liability is genuinely the company’s debt, identify who received the benefit, and test the transaction against the statutory definitions and exceptions. A payment made for a private shareholder’s obligation can be analyzed differently from a payment settling a company liability in the ordinary course.

Comparison of the three systems
| Jurisdiction | Who the official guidance focuses on | What brings the issue into view | Immediate consequence described | Later events that can change treatment |
|---|---|---|---|---|
| United States | Corporate officers, shareholders and related-party recipients | Whether the purported debt is genuine, based on the surrounding facts | Potential treatment as debt, distribution, compensation or another payment for the company or recipient | Repayments, failure to enforce, write-off, changed ability to repay and the substance of below-market interest |
| United Kingdom | Close companies lending to participators or associates; directors and close family members in HMRC’s director-loan guidance | A qualifying loan or advance under section 455 CTA 2010 and related rules | A company-level section 455 charge; the advance is not automatically recipient income or a distribution | Repayment, release or write-off can affect company relief and recipient income treatment |
| Australia | Private companies providing benefits to shareholders or associates | A covered payment, loan or benefit under Division 7A | Possible deemed dividend to the shareholder, subject to the statutory rules and distributable-surplus limits | Repayment or conversion to a complying loan by the relevant lodgment day, plus later compliance with the loan terms |
A practical review process before filing accounts or a return
- Identify the parties and status. Record whether the recipient is a shareholder, director, associate, employee, close family member or unrelated customer or supplier. Confirm whether the company is close or private under the relevant law.
- Separate the transaction’s purpose. Decide whether the payment was intended as a loan, salary, dividend, expense reimbursement, capital contribution, payment of a company liability or settlement of a personal liability. Mixed transactions should be split and documented rather than forced into one label.
- Reconstruct the advance date. Gather bank records, invoices, board approvals, resolutions, emails and the ledger. The agreement should be dated when the advance occurred or should explain any later formalization honestly.
- Test the commercial terms. Check principal, interest, maturity, installments, default rights and security. Compare the terms with what an independent lender might have required for a borrower with similar risk.
- Measure repayment capacity. Prepare a contemporaneous cash-flow explanation showing how and when the borrower could repay. Document any change in circumstances that later undermined that plan.
- Trace actual conduct. Reconcile every advance, repayment and interest entry. Check whether scheduled payments occurred, whether overdue amounts were pursued and whether new advances effectively replaced missed repayments.
- Apply the jurisdiction-specific overlay. For the U.S., perform the debt-versus-distribution and compensation analysis. For the UK, test director-loan and section 455 rules. For Australia, test Division 7A coverage, genuine-debt exclusions and the lodgment-day action required for repayment or a complying loan.
- Analyze later forgiveness separately. A release or write-off may create a new tax event even if the original advance was a genuine debt. Preserve the approval, date, amount and recipient reporting analysis.
- Document the conclusion and its limits. State the tax year, entity status, assumptions, balances and evidence considered. Escalate where the amount is material, the company is closely held, the loan is overdue, or the records were created after the fact.
Common failure modes and how to correct them
“It is in the shareholder-loan account, so it is a loan.”
A ledger records what someone entered; it does not establish a repayment obligation. Add a signed agreement, commercial terms and evidence of capacity and actual repayment. If those facts do not exist, reassess whether the amount is compensation, a distribution or another payment.
“The recipient is an owner, so every advance is a dividend.”
Ownership alone is not the U.S. test, and UK section 455 specifically imposes a company charge without automatically making the advance recipient income. Australia requires a Division 7A analysis. Start with the governing jurisdiction and statutory definitions.
“We can fix the paperwork at year-end.”
Late documentation may describe the transaction but cannot recreate conduct that never occurred. Record terms at the time of advance, then meet repayment and compliance dates that apply to the relevant tax year.
“No interest means no tax issue.”
Below-market interest can create a separate issue in the United States, and statutory regimes in the UK and Australia can apply regardless of whether the parties call the transfer interest-free. Analyze interest and the principal transaction independently.
“A write-off just clears an old balance.”
Releasing debt can have its own recipient and company consequences. Treat the write-off date as a new event requiring a separate analysis.

What information is needed for an individual answer?
A reliable conclusion requires the country and tax year; company type and ownership; recipient relationship; amount and dates; purpose; written terms; interest and security; repayment history; current balance; any write-off; and whether the company enforced defaults. Without those facts, the most accurate answer is a framework, not a personal tax result. A qualified adviser in the relevant jurisdiction can map the documents to the applicable statutory provisions and filing obligations.
Frequently Asked Questions
Does putting a payment in a director or shareholder loan account make it a genuine loan?
No. The account is a record. Genuine-debt analysis also considers contemporaneous terms, repayment capacity, actual repayments and enforcement.
Is a UK section 455 charge the same as taxing the recipient on a dividend?
No. HMRC states that the company charge does not, by itself, make the loan a company distribution or income in the recipient’s hands. A later release or write-off is a separate event.
