IRS Tax-Exempt Organization Guidance vs. Proposed Regulations: What’s the Difference?

IRS guidance is not one legal category, and a proposed regulation is not current law. A revenue ruling states the IRS position on a specific activity, while a revenue procedure addresses procedural aspects of tax law. A notice may announce an intention to regulate. An IRS notice of proposed rulemaking (NPRM) is a draft regulation offered for public comment. Under the IRS’s own regulations-process explanation, an NPRM does not have full force and legal effect unless it is adopted as a final regulation. Treasury regulations generally acquire the force and effect of law when the Treasury decision containing them is published in the Federal Register.

The short answer: identify the document before relying on it

Nonprofit leaders often use “IRS guidance” as shorthand for anything the agency publishes. That shorthand is practical, but it can conceal major differences. Publication 5729, revised in December 2023, describes revenue rulings as statements of the IRS position on specific activities and actions. It describes revenue procedures as pronouncements dealing with procedural aspects of the law. Other IRS materials include notices, announcements, forms instructions, Internal Revenue Bulletins and regulations.

A proposed regulation occupies a more specific place in that group. It is a draft rule issued through a notice of proposed rulemaking. The proposal explains the government’s intended regulatory approach and invites public comments. The Internal Revenue Manual states: “Unlike Treasury Decisions (TDs), NPRMs do not have full force and legal effect unless and until they are adopted as final regulations.”

A final Treasury regulation is different. The IRS says Treasury regulations are generally submitted for notice and comment under the Administrative Procedure Act and have the force and effect of law once a Treasury decision containing them is published in the Federal Register. That regulation binds Treasury, the IRS and the public unless it is later revised, removed through another rulemaking, changed by legislation or displaced by an unreviewable federal-court decision.

The practical rule is simple: do not ask only whether a document came from the IRS. Ask what type of document it is, what procedural stage it represents, what effective date it gives, and whether a later action changed its status.

What “IRS guidance” can mean

“Guidance” is an umbrella term rather than a single level of authority. The document’s label, issuing authority and legal language matter.

Revenue rulings

A revenue ruling states the IRS position on a specific factual pattern or activity. For an exempt organization, it can show how the agency applies an existing statute or regulation to circumstances that resemble the ruling’s facts. It is not the same document as a regulation and should not be described as one.

Revenue procedures

A revenue procedure addresses procedural aspects of tax law. It may explain how to make an election, request relief, obtain consent, or follow an administrative process. Its importance can be substantial even though its function is procedural rather than legislative.

Notices and announcements

A notice can provide interim information, describe intended administrative action, request comments or announce that Treasury and the IRS plan to issue regulations. A notice is not automatically the proposed regulation itself. Its text determines whether it gives immediate relief, sets an administrative position, requests information or merely describes a future step.

Other publications

Publications, frequently asked questions, forms instructions and Internal Revenue Bulletins can help explain administration. Their practical usefulness does not make every statement a binding regulation. Read the document’s own authority statement, dates, scope and transition language instead of assigning a legal effect based on the word “guidance.”

What an NPRM does—and does not do

An NPRM is a proposal in a formal process

An NPRM is issued through a notice of proposed rulemaking. It presents draft regulatory text or a proposed regulatory approach and asks the public to submit comments. Nonprofit organizations, advisers, trade associations and other affected parties can use the comment period to identify operational problems, request exceptions or suggest different language.

A proposal signals the agency’s position under consideration

An NPRM is more formal than an informal explanation because it begins a rulemaking process. It tells readers how Treasury and the IRS are considering implementing statutory language. That signal can be important for planning, risk assessment and preparing comments.

A proposal is not final law

The IRS’s regulations-process manual expressly distinguishes an NPRM from a Treasury decision containing final regulations. Until adoption as final regulations, an NPRM does not have full force and legal effect under that IRS description. A nonprofit should therefore avoid saying that a proposed rule “requires” conduct as though the final regulation were already in force.

This does not mean a proposal is irrelevant. The proposal may explain the government’s intended interpretation, identify future compliance issues and influence how an organization evaluates a transaction. Those practical effects are different from the legal status of a final regulation.

When a regulation becomes binding

The IRS’s 2022-39 Internal Revenue Bulletin explains that Treasury regulations are generally submitted for notice and comment under the Administrative Procedure Act. Once the Treasury decision containing the regulations is published in the Federal Register, the regulations have the force and effect of law.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Publication is therefore a critical status change. A proposed regulation can be revised after comments, withdrawn, replaced or adopted only in part. The final Treasury decision and Federal Register publication establish the operative text and generally provide an effective date, applicability date, transition rule or reliance provision.

Final regulations remain subject to later change. The IRS explanation notes that they can be revised or removed through notice and comment, altered by legislation or affected by an unreviewable federal-court decision. Checking only the original proposal is not enough when an organization is making a current filing or compensation decision.

Guidance and proposed regulations compared

Document Primary function Procedural position Legal-status description supported by IRS materials
Revenue ruling States the IRS position on specific activities or actions Administrative interpretation of a factual situation Different from a regulation; apply its stated facts and scope
Revenue procedure Addresses procedural aspects of tax law Administrative procedure Use the procedure and its conditions; it is not an NPRM or final regulation
Notice May provide information, relief, a request for comments or an announcement of intended rulemaking Varies by notice Read the notice’s operative language; a notice announcing a proposal is not the proposal itself
NPRM Proposes regulatory text or an approach and solicits public comment Proposed rulemaking stage Does not have full force and legal effect unless adopted as final regulations
Final Treasury regulation Sets regulatory requirements under delegated statutory authority Completed rulemaking after Treasury decision and Federal Register publication Generally has the force and effect of law after publication of the Treasury decision in the Federal Register

The status questions to answer for any nonprofit issue

When a board, finance team or tax adviser finds an IRS document, record five facts before relying on it.

  1. What is the document type? Look for “revenue ruling,” “revenue procedure,” “notice,” “proposed regulations,” “temporary regulations” or “final regulations.” Do not infer the type from a webpage headline.
  2. Who issued it? Identify whether the document is from the IRS, Treasury, or both, and whether it is published in an Internal Revenue Bulletin, the Federal Register or another official format.
  3. What stage is the rule in? Determine whether comments are being requested, whether the comment period has closed, whether a Treasury decision adopted the rule, or whether the document was withdrawn or superseded.
  4. What legal effect does the document claim? Read the authority, reliance and applicability sections. An NPRM’s proposed language and an effective final regulation must not be described in the same terms.
  5. What date controls? Capture the publication date, effective date, applicability date and any transition provision. A rule can be final but apply only to transactions or tax years beginning after a specified date.

How to check an exempt-organization regulation’s history

The IRS maintains an exempt-organizations Treasury regulations archive. Use the archive to locate the issue-specific entry, then follow the document history rather than relying on an isolated search result.

  1. Find the topic or Internal Revenue Code section in the exempt-organizations regulations archive.
  2. Open the proposed regulation and record its publication date, comment deadline, proposed applicability language and any request for public input.
  3. Look for a subsequent final regulation, Treasury decision, correction, withdrawal or replacement.
  4. Read the final document’s effective and applicability provisions separately from the preamble. The preamble explains the agency’s reasoning; the operative rule and dates control compliance.
  5. Check whether legislation or a court decision changed the rule after publication.
  6. Keep the proposal, final rule and relevant notices in the organization’s tax file so the basis for a decision can be reconstructed later.

An archived proposal should never be treated as final merely because it remains easy to find. Archive placement shows regulatory history, not current legal status.

Current example: Notice 2026-36 and section 4960

Notice 2026-36, published in Internal Revenue Bulletin 2026-26 on June 22, 2026, illustrates why the stages must be separated. The notice announced Treasury and IRS intent to issue proposed regulations under Internal Revenue Code section 4960, which concerns the tax on excess compensation paid by certain tax-exempt organizations.

The notice anticipated that a future proposal would address the expanded covered-employee definition enacted in 2025 and would solicit comments on potential exceptions. That announcement describes expected content; it does not itself establish that the anticipated proposed regulations had been issued.

The sequence is:

  1. Notice 2026-36: announces the intention to issue proposed regulations and describes subjects under consideration.
  2. Later NPRM, if issued: proposes regulatory language and opens the applicable comment process.
  3. Final Treasury decision: adopts final regulations, possibly with changes after comments.
  4. Federal Register publication: gives the final regulations the force and effect of law under the IRS description, subject to their stated applicability provisions.

The status of the anticipated section 4960 proposal should be confirmed in the current IRS and Federal Register records before an organization relies on it. The notice alone should not be cited as though it were a final compensation rule.

Historical example: contributor-information reporting

A 2019 IRS announcement about proposed regulations and relief for certain tax-exempt organizations shows why context matters. The IRS reported that proposed regulations on annual information reporting incorporated prior guidance concerning contributor information after a court decision held that the agencies should have used notice-and-comment procedures for the earlier relief.

The lesson is not that every form of guidance is invalid or that every notice requires a regulation. The lesson is that legal effect can depend on the document’s history, the procedure used to issue it and subsequent judicial review. When a court has addressed the same guidance, include that decision in the status check rather than describing the document in isolation.

What nonprofit leaders should do in practice

For a current filing or tax return

Use the statute, applicable final regulations and the form instructions governing the filing. Treat a proposal as an explanation of possible future rules, not as a substitute for the rule currently in force. If a notice provides specific interim relief, follow its conditions and expiration date exactly.

For a pending transaction or compensation decision

Identify whether the transaction falls within a proposed rule’s stated facts and whether the proposal offers a reliance provision. Document the current law, the proposal’s potential effect and the organization’s risk tolerance. A board memorandum should label each point as statute, final regulation, administrative guidance or proposed position.

For submitting comments

Use the NPRM’s instructions and deadline. Focus comments on the organization’s actual operations, the statutory authority, administrability, transition periods and unintended effects. A notice announcing future rulemaking may invite comments before an NPRM exists; follow that notice’s instructions rather than waiting for a document that has not yet been issued.

For policies and internal controls

Do not hard-code a proposal into permanent policy without a reason to adopt a conservative approach. If management chooses to prepare for a possible rule early, label the policy as precautionary, set a review date and identify the proposed provisions that triggered it.

Common mistakes and the correction for each

  • Calling all IRS material “nonbinding.” Correction: identify the document. Guidance includes distinct publication types, and the IRS describes final Treasury regulations as having the force and effect of law after the required publication.
  • Calling an NPRM current law. Correction: say that it is proposed, give its comment and applicability information, and identify the current rule separately.
  • Treating a notice of intent as the NPRM. Correction: distinguish an announcement that Treasury plans to propose rules from the later proposed rule itself.
  • Ignoring effective dates. Correction: record both the publication date and the date on which the final rule applies to the organization’s tax year, transaction or payment.
  • Stopping at the archive entry. Correction: search for finalization, withdrawal, amendment, correction, legislation and relevant court action.
  • Applying a document beyond its facts. Correction: read the scope, definitions, examples and stated limitations before extending an IRS position to a different activity.
  • Assuming a proposal will be adopted unchanged. Correction: compare the final Treasury decision with the NPRM; comments can produce material revisions, delayed applicability or added exceptions.

A decision framework for describing a document accurately

Use wording that matches the procedural stage:

  • For a revenue ruling: “The IRS states its position on the specific activity described in the ruling.”
  • For a revenue procedure: “The IRS sets out a procedure and its conditions for this administrative matter.”
  • For a notice of intended rulemaking: “Treasury and the IRS announced plans to propose regulations and described subjects under consideration.”
  • For an NPRM: “Treasury and the IRS proposed regulations and requested public comments.”
  • For a final regulation: “The Treasury decision adopted regulations published in the Federal Register, effective under the dates stated in the rule.”

This vocabulary prevents a proposal, announcement and final rule from being collapsed into the single word “guidance.”

Bottom line for tax-exempt organizations

“IRS guidance versus proposed regulations” is not a contest between two uniform categories. Guidance must first be classified by document type. A revenue ruling, revenue procedure and notice serve different functions. An NPRM is a proposed rule in a public rulemaking process and, according to the IRS, lacks full force and legal effect until adopted as final regulations. Final Treasury regulations generally have the force and effect of law once the Treasury decision containing them is published in the Federal Register.

For every issue, verify the document’s procedural history, effective date and later actions in the IRS exempt-organizations regulations archive and the underlying official publications. That status check is what turns a general IRS reference into a defensible compliance decision.
