Find and replace yours safely.Free scan · under a minuteShort answer: A civil IRS tax audit (formally, an examination) tests whether your return is accurate and can lead to additional tax, interest, and civil penalties. An IRS Criminal Investigation (IRS-CI) case examines suspected criminal tax violations or related financial crimes. Civil examinations are generally handled by revenue agents under civil procedures; CI cases are handled by sworn special agents who gather evidence for a possible prosecution. A referral or investigation is not a finding of guilt, and it does not guarantee that prosecutors will bring a case.
What is the difference between an IRS audit and a criminal investigation?
The two processes can involve the same tax returns and financial records, but they serve different legal purposes.

| Issue | Civil tax audit (examination) | IRS-CI criminal investigation |
|---|---|---|
| Primary purpose | Determine whether a return is correct and calculate civil tax consequences. | Investigate suspected criminal violations of federal tax law and related financial crimes. |
| Typical personnel | Revenue agents and other civil compliance personnel. | IRS-CI special agents, who are sworn federal law-enforcement officers. |
| Typical process | Review of returns, books, records, and explanations under civil examination procedures. | Criminal evidence gathering, which may include interviews, surveillance, search warrants, forensic work, subpoenas for bank records, and financial-data analysis. |
| Possible result | No change, an agreed or disputed adjustment, additional tax, interest, and civil penalties, with appeal rights that depend on the decision. | Closure without prosecution, or a special-agent report recommending prosecution. The Department of Justice (DOJ) Tax Division or a U.S. Attorney separately decides whether to accept a recommendation. |
| Payment demands | Civil personnel can explain an amount due and normal IRS payment processes. | CI special agents do not demand payment during a criminal investigation. |
The IRS cautions that not every audit follows an identical sequence and that not every technique listed for CI is used in every case. The personnel and purpose distinctions, however, are fundamental.
What a civil tax audit actually does
An examination asks whether income, deductions, credits, filing status, basis, payroll items, or other entries on a return are supported and reported correctly. The examiner may request documents, ask written questions, schedule an interview, or inspect business records. The case can end with no change, an agreed adjustment, or a proposed adjustment that you dispute.

Typical civil outcomes
- Additional tax, plus statutory interest.
- Civil penalties when the facts and applicable penalty rules support them.
- No change when the return is substantiated.
- An opportunity to challenge the IRS position through the examination process and, for most decisions, an independent administrative appeal.
A large adjustment, a long document request, or a detailed audit does not by itself mean that CI is involved. Civil examiners are expected to verify complex returns, and complexity is not the same as criminal intent.
What IRS Criminal Investigation does
IRS-CI investigates conduct that may violate criminal tax statutes, such as willful evasion, fraudulent returns, deliberate failure to file, or schemes involving money laundering and other financial crimes. Special agents are law-enforcement officers, not civil revenue agents. Their assignment is to develop evidence, identify the people and transactions involved, and prepare a case for review.
Criminal investigative methods
Depending on the facts and legal approvals, a CI investigation may use:

- Interviews with the subject, employees, customers, vendors, or other third parties.
- Surveillance and review of publicly available or lawfully obtained information.
- Subpoenas for bank and other financial records.
- Forensic examination of accounting systems, devices, and transaction records.
- Search warrants and searches conducted under the applicable warrant requirements.
- Financial analysis that reconstructs income, assets, expenditures, and flows of money.
These are potential tools, not a checklist that appears in every matter. Their use reflects the evidentiary needs and legal authority in a particular investigation.
Can a tax audit turn into a criminal investigation?
It can, but an audit does not automatically convert into a criminal case. IRS personnel may refer information to CI when a revenue agent, revenue officer, or investigative analyst detects indicators of possible fraud. CI also receives information from public reports, other law-enforcement agencies, and U.S. Attorneys’ offices, so a civil audit is not the only route by which a criminal investigation begins.
The possible path from information to prosecution
- Information is received. A referral, public report, or information from another agency may identify suspected criminal conduct.
- Preliminary analysis occurs. CI evaluates the information before opening a subject criminal investigation.
- Supervisory and office review occurs. Required internal reviews determine whether the matter should be opened as a criminal investigation.
- Evidence is gathered. Special agents use appropriate investigative methods and analyze financial and other evidence.
- The case is resolved at CI. If evidence does not substantiate criminal activity, CI may discontinue the investigation. If the evidence supports prosecution, agents prepare and review a special-agent report recommending prosecution.
- Prosecutors make a separate decision. CI may forward its recommendation to the DOJ Tax Division or a U.S. Attorney. Prosecutors decide whether to accept the recommendation and manage any prosecution.
Each step is a decision point. A referral is not an indictment, an open investigation is not a prosecution recommendation, and a recommendation is not an accepted prosecution.

Does a criminal investigation mean you are going to jail?
No. A criminal investigation means that CI is examining suspected criminal conduct; it does not establish criminal liability or predict the result. CI can close a matter when the evidence does not substantiate criminal activity. Even when CI recommends prosecution, DOJ or a U.S. Attorney must decide whether to accept it, and a court process is still required before criminal liability is established.

No one can responsibly predict an individual outcome from the existence of an audit, a contact from an agent, or an investigation notice alone.
How do you know if an IRS agent is a special agent?
IRS-CI special agents are sworn federal law-enforcement officers. IRS guidance says they may call or visit without an appointment during a criminal investigation, present law-enforcement credentials, and do not work civil tax cases or demand payment. A revenue agent conducting a civil examination is performing a different function.
Practical identity checks
- Ask for the person’s name, title, office, and a callback number.
- Request to see official credentials if the contact is in person. Do not treat a badge or caller ID alone as proof.
- Use the IRS Employee Verification Tool when it is available. The IRS notes that the tool is not available during every enforcement action.
- Verify the contact through official IRS channels before sharing sensitive information or sending money.
- Be alert to demands for immediate payment, gift cards, cryptocurrency, wire transfers, or secrecy. Those demands are inconsistent with the CI role described by the IRS and are common warning signs of impersonation fraud.
Verification is sensible whether the contact appears civil or criminal. Do not rely solely on a caller’s assertion that they work for the IRS.
What signs distinguish civil contact from CI contact?
| Contact feature | What it usually indicates | What it does not prove |
|---|---|---|
| A written examination notice with a document list and response date | A civil examination process. | That no criminal issue could ever be considered. |
| Questions from a revenue agent about return entries or supporting records | Civil compliance work. | That the examination is routine or will end without an adjustment. |
| An unannounced visit by an identified CI special agent | Possible criminal investigative contact. | That prosecution has been recommended or accepted. |
| A request for payment during a call or visit | A potential impersonation or collection issue requiring verification. | That the person is a CI special agent; CI agents do not demand payment. |
| A request for third-party records or a subpoena | Evidence gathering that may occur in a criminal investigation. | That the recipient is personally accused or that a conviction will follow. |
These are contact cues, not a diagnostic test. The IRS can coordinate civil and criminal work in some circumstances, and the applicable rules depend on the tax periods, referral status, and coordination requirements.
Can civil and criminal tax work happen at the same time?
Potentially. IRS policy addresses coordination and the balancing of civil and criminal cases. The existence of a criminal issue does not mean every civil activity stops immediately, nor does continuing civil work prove that CI is absent. Different tax periods, issues, or legal authorities may be handled under different tracks. Whether and how the tracks interact depends on the facts and the referral status.

Because parallel activity can create complicated timing and privilege questions, a person who has credible reason to believe criminal exposure exists should obtain case-specific advice from a tax controversy or criminal tax defense attorney before deciding how to respond.
What rights do taxpayers have?
The IRS Taxpayer Bill of Rights applies as a general framework to dealings with the Service. Important rights include:
- The right to be informed: You should receive understandable information about what the IRS is doing, what it expects, and applicable deadlines.
- The right to challenge the IRS’s position and be heard: You may raise objections and provide supporting facts and documents through the process that applies to your matter.
- The right to appeal an IRS decision in an independent forum: This is available for most decisions, subject to the specific rules and exclusions for the action involved.
- The right to finality: You are entitled to know how long the IRS has to audit a particular tax year or collect an amount, subject to statutory exceptions.
- The right to privacy: IRS inquiries and enforcement should comply with the law and be no more intrusive than necessary, with exceptions permitted by law.
These rights do not make a criminal investigation disappear, guarantee a particular appeal result, or replace advice about a specific subpoena, interview, search, or filing decision.
What should you do during a routine civil audit?
- Read the notice completely. Identify the tax year, issues, requested documents, response method, and deadline.
- Preserve records. Keep the return, work papers, receipts, bank statements, accounting files, correspondence, and copies of everything sent to the IRS.
- Organize a factual response. Match each requested item to the relevant line, transaction, or explanation. Tell the truth; do not alter, backdate, or destroy records.
- Use the specified channel. Submit documents through the address, upload method, or contact instructions in the notice, and retain proof of delivery.
- Track deadlines and extensions. Ask the examiner promptly, in writing when practical, if you need more time. Never assume an extension exists without confirmation.
- Review proposed changes. If you disagree, identify the specific factual or legal issue and use the examination response or appeal route described in the notice.
An audit response should be complete and accurate, but an audit request alone is not evidence that you are under criminal investigation.
What should you do if CI contacts you?
First verify the person’s identity through official IRS channels. If the contact is credible or the facts suggest possible willful noncompliance, promptly consult a lawyer whose practice includes tax controversy or criminal tax defense. That category of professional can explain the applicable process and help you make informed decisions about communications, records, and deadlines.
- Do not ignore a subpoena, search-related document, or written deadline.
- Do not destroy, alter, conceal, or move records to frustrate an investigation.
- Do not guess when answering factual questions; obtain advice about the appropriate response.
- Keep a dated log of contacts and preserve letters, subpoenas, and documents.
- Do not assume that hiring counsel guarantees immunity, prevents prosecution, or changes the evidence.
The appropriate response depends on the exact contact and the conduct at issue. General information cannot determine whether a particular statement, document, or filing is legally protected or required.

Voluntary disclosure: important limits
IRS-CI’s Voluntary Disclosure Practice is aimed at taxpayers who willfully failed to comply with tax or tax-related obligations. The IRS describes a disclosure as timely only when it is received before specified triggering events, including the commencement of a civil examination or criminal investigation, receipt of certain third-party information, or acquisition of directly related information through a criminal enforcement action.
Recommended Free Tools
Consideration under the practice does not automatically guarantee immunity from prosecution. A taxpayer whose problem was an error or mistake rather than a willful violation may need a different correction route, such as an amended or past-due return. Do not enter a voluntary-disclosure process based on a general internet explanation; obtain case-specific professional advice first, because timing and eligibility are decisive.
Common misunderstandings to avoid
“A big tax bill means CI is investigating me.”
Not necessarily. Civil adjustments can be large because of income, basis, payroll, or documentation issues. Amount alone does not establish criminal intent or a CI referral.
“Every IRS employee who visits is a special agent.”
No. Revenue agents and other civil personnel conduct examinations and collection work. Special agents are the sworn law-enforcement officers assigned to CI.
“A referral means I will be prosecuted.”
No. CI reviews information, gathers evidence, and may discontinue a case. If it recommends prosecution, DOJ or a U.S. Attorney makes a separate acceptance decision.

Bottom line for taxpayers
A civil audit is an accuracy and tax-assessment process; an IRS-CI investigation is a law-enforcement inquiry into suspected criminal conduct. The people, methods, and possible outcomes differ. An audit can generate information for a CI referral, but CI can also begin from other sources, and no stage short of an adjudicated criminal case establishes guilt. Read civil notices carefully, verify unexpected contacts, preserve records, respect deadlines, and obtain qualified advice when credible criminal exposure or compulsory process is involved.
Frequently Asked Questions
Can an IRS revenue agent refer my audit to Criminal Investigation?
Yes. IRS information says a revenue agent, revenue officer, or investigative analyst may refer information when possible fraud is detected. CI then performs its own analysis and review; the referral is not an automatic criminal case or a finding of guilt.
The Tool Desk
Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →Will the IRS tell me if my civil audit has become a criminal investigation?
There is no single notice that answers every case. Contact from an identified CI special agent, law-enforcement process, or other verified criminal-investigative communication is more significant than the size or thoroughness of a civil audit. Verify the contact and obtain case-specific legal advice.
Can I appeal a criminal investigation the same way I appeal an audit?
No. Civil examinations have administrative examination and appeal procedures. A criminal investigation is an evidence-gathering law-enforcement process; prosecutorial and court procedures apply if a case is accepted.
