An investment trust is a listed company with a fixed number of shares. You normally buy or sell those shares from another investor on a stock exchange, so the market price can be above or below the value of the portfolio (its net asset value, or NAV). An open-ended fund—such as a unit trust or an OEIC—creates or cancels units or shares as investors subscribe and redeem; its dealing price is linked to NAV.
Neither structure is automatically cheaper or safer. A fair comparison uses the same cost basis, includes platform and trading charges, and examines discount or premium behaviour, gearing, underlying-asset liquidity and the fund’s actual strategy.

What is the difference between an investment trust and an open-ended fund?
Investment trusts are listed companies with fixed capital
An investment trust is a closed-ended company. It issues a set number of shares and those shares usually trade on a stock exchange. When you invest, you generally buy shares from another shareholder; when you sell, another market participant must buy them. The company does not normally redeem your shares on demand. The Association of Investment Companies (AIC) explains the structure in its guide to investment companies: What are investment trusts?
The name can be misleading. HM Revenue & Customs says the term is historical: “The term ‘investment trust’ dates back to the time when such vehicles were constituted as trusts, but all such vehicles consequently converted to limited companies and they are therefore not trusts in any legal sense.” That wording appears in HMRC’s Investment Funds Manual, IFM14110, updated 1 October 2026: HMRC IFM14110.

Because the number of shares is not automatically adjusted when investors trade, a trust can continue holding its portfolio when one shareholder exits. That can be useful where assets are difficult to sell quickly, but it does not guarantee that you can sell immediately or at NAV. You depend on exchange liquidity and the price another investor is willing to pay.
Open-ended funds expand and contract with demand
A unit trust or OEIC is an open-ended collective investment scheme. The fund can issue new units or shares when investors subscribe and cancel or redeem them when investors leave. HMRC describes the issue or surrender price as varying in proportion to the fund’s NAV at the relevant time. The legal and dealing distinctions are set out in HMRC’s Stamp Taxes on Shares Manual: Open and closed-ended investment companies.
Your dealing price is therefore based on the value of the underlying portfolio, subject to the fund’s valuation point, dealing arrangements and any applicable charges. The fund manager must meet redemption requests, usually by using cash, selling assets or managing inflows and outflows. That mechanism is straightforward for liquid shares and bonds, but it becomes more difficult when the portfolio contains assets that cannot be sold promptly without a material price impact.
Structure at a glance
| Feature | Investment trust | Open-ended fund |
|---|---|---|
| Legal form | Fixed-capital, closed-ended company; despite the name, it is not legally a trust. | Unit trust or OEIC that can issue and redeem units or shares as demand changes. |
| Who is your counterparty? | Normally another shareholder buying your listed shares. | The fund, which issues or redeems units or shares under its dealing rules. |
| How is the price set? | Exchange supply and demand set the share price. It may be above (a premium) or below (a discount) NAV. | The issue or redemption price is linked to NAV at the fund’s valuation and dealing point. |
| What happens when you sell? | You need a willing market buyer and accept the prevailing exchange price; the company does not normally buy your shares back on demand. | The fund manages your redemption, which can require cash management or asset sales. |
| Main liquidity question | How liquid are the listed shares, and how far might their market price differ from NAV? | Can the portfolio be sold quickly enough to meet redemptions without unfairly harming remaining investors? |
This structural summary is consistent with the AIC’s explanations of investment-company dealing and HMRC’s description of open- and closed-ended schemes. The AIC’s investor guide is available at Choosing an investment trust.
How pricing differs: NAV, premiums and discounts
NAV is the portfolio’s accounting value
NAV is the value of the trust’s or fund’s assets minus its liabilities, divided by the relevant number of shares or units. For an open-ended fund, the dealing price is designed to track that value at the applicable valuation point. For a trust, NAV is a reference figure rather than a guaranteed trading price: the stock market sets the price independently.
What a discount means
If an investment trust’s shares trade below NAV, they trade at a discount. For example, if each share represents £1 of NAV but changes hands for 90p, the discount is 10%. If the share price rises to 95p while NAV remains £1, the discount has narrowed and the shareholder has gained relative to the portfolio’s NAV movement. If the price falls to 80p, the discount has widened and the shareholder has suffered an additional loss relative to NAV.

AIC notes that trusts more often trade at discounts, but there is no permanent rule. Sentiment, the trust’s strategy, asset type, performance expectations, dividend policy and market conditions can all affect the gap. A discount is not proof that shares are undervalued or that a recovery is due. The AIC discusses these mechanics in What are investment trusts? and Costs at a glance.
Premiums and discount movements change your return
A trust shareholder has two linked exposures: the portfolio’s NAV return and the change in the market-price-to-NAV relationship. A narrowing discount or a move to a premium can increase your return compared with NAV; a widening discount can reduce it. The reverse is also true when markets rise. You should therefore review the current discount or premium, its history and the reasons the market may be assigning it, rather than treating one day’s percentage as a valuation signal.
Which has lower fees?
There is no reliable answer based solely on whether the wrapper is a trust or an open-ended fund. The published percentages may cover different categories, use different time periods or omit costs you pay through your platform. Compare like with like and identify every charge that affects your own account.
Ongoing charges, KIDs and KIID figures are not interchangeable
The AIC describes an ongoing charge as regular, recurring running costs paid during the previous financial year. It is a backward-looking measure of what was charged in that period. A Key Information Document (KID) is intended to be forward-looking and can include transaction costs, borrowing (gearing) costs and performance fees when those are paid. Older Key Investor Information Documents (KIIDs) and KIDs can therefore present costs on different bases. The AIC warns investors not to compare a trust KID with an open-ended fund KIID as though they were identical measures; see AIC’s costs guide.
Before comparing two percentages, check:
- the document type and reporting period;
- whether transaction costs are included;
- whether borrowing or gearing costs are included;
- whether performance-related fees are included and under what conditions;
- whether one figure is an estimate and the other is based on costs already paid; and
- whether the fund’s stated charge excludes costs imposed by your platform or account.
If the documents do not use the same basis, record the difference rather than declaring a winner. A lower headline number can simply reflect narrower disclosure.

Investor-level charges can outweigh small fund differences
Your total cost can include platform custody or holding fees, dealing commissions, account or wrapper charges, foreign-exchange costs where relevant, and advice fees. Trading frequency matters especially for a listed trust because each purchase or sale can incur a dealing charge and the spread between the buy and sell price. An open-ended fund may have different dealing arrangements, but it can still have platform or account costs.

Platform pricing depends on the provider, assets held, account type and activity. The AIC’s platform heatmaps are illustrative first-year ISA examples based on publicly available charges, with some details checked with platforms. They were reported as last updated 30 January 2026 and explicitly warn that circumstances vary; they are not a universal cheapest-provider ranking. Use them as a prompt to calculate your own account cost, not as a recommendation.
AIC’s ten-year charge illustration
The AIC gives this example: £10,000 invested for ten years, assuming a 6% annual market return, would grow to £17,081 with annual charges of 0.5% and to £16,289 with annual charges of 1%. The difference is £792. These figures are an illustration under those stated assumptions, not a forecast and not a prediction of what any particular trust or fund will earn. They also do not establish that one structure will always have the lower charge.
A practical total-cost calculation
- Choose comparable investments with the same broad asset class, region and objective.
- Copy each vehicle’s charge figures and note whether they are ongoing charges, KID estimates or another measure.
- Add transaction, gearing and performance costs where the disclosure includes them or identifies them separately.
- Add your platform’s annual holding fee, account or wrapper charge and any advice fee.
- Estimate the number and value of trades you expect, including dealing charges and spreads for a listed trust.
- Run the calculation for your actual holding period. A one-off purchase and a portfolio rebalanced every month can produce very different investor-level costs.
Risk differences you need to understand
Investment-trust gearing can magnify gains and losses
Some investment trusts borrow to invest, a practice usually called gearing. Borrowing can increase the impact of a rising portfolio, but interest and debt remain when markets fall. A decline in the underlying assets can therefore produce a larger fall in NAV than an ungeared portfolio would experience. The share price can then fall further if the discount widens at the same time. Gearing levels and policies differ; do not assume that every trust uses the same amount or that a trust is geared at all. Check the trust’s current report and risk disclosures.
Discount risk is separate from portfolio risk
Even if a trust’s holdings are unchanged, investors can lose money because the market assigns a smaller price relative to NAV. Discount movements can be driven by sentiment, interest-rate expectations, concerns about the strategy, weak demand for the shares or a change in the liquidity of the underlying assets. A discount can narrow, remain wide or widen further. It is an additional variable, not a guaranteed margin of safety.
Open-ended funds face redemption and asset-liquidity mismatch
An open-ended fund that offers frequent, such as daily, redemptions while holding assets that cannot be sold within that period without a material loss can face pressure when many investors redeem together. The Financial Conduct Authority explains this liquidity mismatch in Open-ended funds investing in less liquid assets. The manager may need to sell assets quickly, use available cash, apply dealing tools permitted by the fund’s rules or suspend dealing in exceptional circumstances.
The FCA has discussed UK examples involving commercial-property funds and the LF Woodford Equity Income Fund, where dealing was suspended amid redemption requests during the 2016–2019 period. Those cases illustrate a particular liquidity problem; they do not mean that every open-ended fund will suspend or that every asset class has the same risk. Read the fund’s dealing frequency, notice periods, suspension powers and liquidity-management disclosures.

Both structures still carry investment and market risk
The wrapper does not remove the risk of the assets inside it. Shares, bonds, property, private companies and specialist strategies have different volatility, credit, interest-rate, currency and valuation risks. Two vehicles with different structures can hold almost identical portfolios, while two trusts or two open-ended funds can have radically different exposures. Compare holdings, concentration, objectives, benchmark, geographic exposure and use of derivatives before drawing conclusions from the legal form.
How to compare an investment trust with an open-ended fund
1. Match the investment mandate
Start with the objective and actual holdings. Compare a global equity trust with a global equity OEIC, not a specialist infrastructure trust with a diversified bond fund. Check the proportion in each asset class, the largest positions, geographic exposure, income policy and whether the manager can use derivatives or borrow.
2. Map the dealing route
For the trust, identify the exchange, normal trading hours, typical bid-offer spread and how you will place an order through your platform. Decide whether you are comfortable accepting a market price that may differ from NAV. For the open-ended fund, check the valuation point, cut-off time, settlement timetable, dealing frequency and the rules governing delayed or suspended dealing.
3. Record NAV and discount information
For a trust, note the latest published NAV, current share price, discount or premium and the range over a meaningful period. Ask what has driven unusually wide or narrow discounts. Do not use the discount alone as a buy or sell trigger. For an open-ended fund, verify how often NAV is calculated and whether swing pricing, dilution adjustments or other permitted mechanisms can affect the dealing price.
4. Reconcile the cost documents
Put the ongoing charge, KID or KIID figure and any separately stated costs in adjacent columns. Label the period and methodology. If a cost is not stated on a comparable basis, mark it as not stated rather than filling the gap with an assumption. Then add your platform, account, trading and advice costs.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problems5. Test leverage and downside scenarios
For a trust, read the gearing policy, borrowing maturity, interest exposure and any limits. Consider how a 10% fall in NAV might interact with a widening discount; the actual outcome depends on the market and the trust’s gearing, so this is a stress question rather than a forecast. For an open-ended fund, examine the liquidity of the holdings and the practical consequences if many investors redeem at once.

6. Check the liquidity you actually need
If you may need the money on a particular date, consider both the time needed to sell listed shares and the possibility that an open-ended fund could delay or suspend dealing under its rules. A structure that is convenient in normal markets may behave differently during stress.
7. Review the evidence and dates
Charges, discounts, gearing and platform prices change. Record the date of each figure, read the latest annual or interim report and KID, and revisit the comparison when your account, contribution pattern or investment objective changes.
When each structure may be a better operational fit
| Your priority | What an investment trust means in practice | What an open-ended fund means in practice |
|---|---|---|
| Trading at a transparent exchange price | You can place a limit or market order during exchange hours, but the price can be at a premium or discount to NAV and the spread varies. | You deal at the fund’s stated valuation and dealing process rather than a continuously quoted exchange price. |
| Keeping the portfolio intact when one investor exits | The company does not normally have to sell assets because you sell; another shareholder buys the shares. | The fund must process the redemption and manage the resulting cash or asset sale. |
| Exposure to less-liquid underlying assets | The closed-ended structure can allow the manager to hold assets without meeting every shareholder’s redemption request, but the listed shares can still become illiquid or trade at a wide discount. | Frequent redemption promises must be matched to the liquidity of the holdings; dealing may be restricted or suspended under the fund’s rules in stressed conditions. |
| Simple NAV-linked dealing | The market price can diverge from NAV, so you must monitor both figures. | The dealing price is linked to NAV, subject to valuation, pricing and fund-specific dealing adjustments. |
| Borrowing risk | Check whether the trust uses gearing and how debt could magnify NAV and share-price movements. | Check the fund’s own borrowing and derivative powers; an open-ended label does not by itself mean there is no leverage. |
This is a description of operating mechanics, not a personal suitability assessment. Your decision also depends on time horizon, ability to tolerate losses, access to cash and the tax wrapper or account in which you invest.

Common mistakes and how to avoid them
- Calling a discount a bargain. A discount can persist or widen. Investigate the strategy, holdings, gearing and reasons for investor sentiment.
- Comparing one percentage without reading the footnotes. Confirm whether the number is an ongoing charge, a forward-looking KID estimate or a KIID figure, and what costs are included.
- Ignoring platform economics. A low fund charge can be outweighed by custody, account or dealing costs on your chosen platform.
- Assuming open-ended means instantly liquid. Redemption terms depend on the fund and the liquidity of its assets; read the suspension and notice provisions.
- Assuming every trust is heavily geared. Gearing is a policy choice that varies by trust. Check the current level and limits.
- Comparing wrappers instead of portfolios. Two vehicles can have different structures but similar holdings, or the same structure but very different risk.
- Using dated figures as if they were current. Discounts, charges, gearing, platform prices and documents change. Date every figure you record.
A concise decision checklist
Before committing money, you should be able to answer these questions from current documents:
- What exactly does the vehicle own, and does its objective match your intended exposure?
- For a trust, what are the current NAV, share price, discount or premium, and recent range?
- For an open-ended fund, when is NAV calculated, when will your order deal, and what could delay or suspend redemption?
- Which cost basis is used, what does it include, and what remains outside it?
- What will your platform, account, dealing and advice charges add for your expected balance and trading pattern?
- Does the vehicle borrow or use derivatives, and how could that affect a fall in markets?
- How quickly might you need the money, and could the relevant liquidity mechanism fail to meet that timetable in stressed markets?
- Have you compared the same asset class and strategy rather than relying on the wrapper’s label?
The central distinction is simple: an investment trust gives you a traded share whose price can diverge from NAV, while an open-ended fund gives you a redeemable unit or share whose dealing price is tied to NAV. The consequences for fees and risk are not simple, because disclosure methods, platform costs, gearing, discount movements and asset liquidity all matter. Use those variables together when comparing two specific investments.
