An interim dividend is normally a board-authorised payment made during a financial year. A final dividend is proposed after year-end results and, where the company’s law and articles require it, becomes payable only after shareholder approval. For an investor, the label matters less than the announcement’s approval status and its ex-dividend, record and payable dates. An interim payment can remain changeable before payment in some jurisdictions; a properly declared final dividend is generally more settled once it becomes due.

The difference in one view

Question Interim dividend Final dividend
When is it proposed? During the financial year, often before the annual general meeting (AGM) or final accounts. After the financial year ends, commonly with the annual results and AGM process.
Who normally decides? The board, if permitted by the company’s governing law and articles. Directors usually recommend it; shareholders approve it where the applicable rules require approval.
Can it change before payment? Under UK HM Revenue & Customs guidance, it can be varied or rescinded before payment. A properly declared final dividend can become an enforceable debt when due, although the exact effect depends on local law and the company’s documents.
What determines investor entitlement? The ex-dividend date, record date and payable date—not the word “interim” alone. The same three dates, plus confirmation that any required shareholder approval has occurred.
How often is it paid? Often one of two yearly distributions, but a company may pay more or less frequently. Often the second yearly distribution, but frequency is not universal.

These are conventions rather than a single worldwide rule. The governing jurisdiction, listing rules, company constitution and wording of the announcement control the legal result.

What an interim dividend is

An interim dividend is a distribution declared during the financial year, before the company has completed the normal year-end reporting and shareholder-approval cycle. Directors commonly use it to distribute part of the earnings generated so far or to follow an established distribution policy. The board can act only within the authority granted by the relevant company law and the company’s articles.

“Interim” describes timing, not a promise that the company will pay a second, equal or larger amount later. A company can reduce, suspend or omit a later payment if its results, cash position, capital requirements or policy change. An interim amount should therefore be assessed as one component of the total distribution for the year.

Why investors see interim payments

  • Many companies use a two-payment pattern, with an interim payment part way through the year and a final payment after year-end.
  • The board can often respond to current trading and cash generation without waiting for the AGM.
  • The amount may be compared with the prior interim payment and the company’s stated payout policy, but a prior pattern is not a guarantee.

The Australian Securities Exchange (ASX) notes that many of its listed companies pay twice a year, usually an interim and a final dividend, while also making clear that companies can pay more or less frequently.

What a final dividend is

A final dividend is the distribution considered after the financial year has ended and the company’s annual results are available. Directors normally recommend the amount. In systems that require shareholder approval, the AGM or another general meeting must approve the recommendation before the dividend is declared in the legally effective form.

UK HM Revenue & Customs describes the practical distinction this way: a final dividend is declared by the company in general meeting, but it cannot exceed the amount recommended by the directors, while directors may decide to pay interim dividends. That wording is UK guidance, not a universal rule. Other markets use different resolutions, deadlines and terminology.

Why “proposed” matters

A results announcement may say “proposed final dividend,” “recommended final dividend” or “subject to shareholder approval.” Those words indicate that the payment is not yet in its final legal state where approval is required. A later notice may say the dividend was approved or declared. Check the company’s meeting result and the final announcement rather than treating the first proposal as irrevocable.

Authority, approval and enforceability

Board authority for an interim dividend

Where the governing law and articles permit it, directors approve an interim dividend by board resolution. The company then announces the amount and the relevant dates. In Thailand, for example, the exchange’s rules state that an interim dividend is paid within one month of the board resolution and reported at the next shareholders’ meeting. That is a Thailand-specific timetable, not a rule that applies to every listed company.

Shareholder approval for a final dividend

For a final dividend, directors’ recommendation and shareholder approval are separate steps in jurisdictions that require both. Shareholders generally cannot approve more than the directors recommend under the UK formulation cited by HMRC. If the resolution fails or the company changes the proposal before the meeting, the expected payment may not become payable.

When a payment becomes enforceable

HMRC guidance states that an interim dividend can be varied and rescinded at any time before payment and is therefore regarded as “due and payable” only when its payment date arrives. A properly declared final dividend can instead create an enforceable debt when due. The precise point at which a debt arises is jurisdiction-specific, so investors should read the company’s announcement and local rules rather than applying the UK treatment globally.

Ex-dividend, record and payable dates: the dates that decide entitlement

The interim/final label does not determine who receives a dividend. Investors must read three dates together.

Ex-dividend date

The ex-dividend date is the first trading date on which a buyer is generally not entitled to the next dividend. The U.S. Securities and Exchange Commission’s Investor.gov explains the practical rule: if you buy on or after the ex-dividend date, the seller generally receives the next dividend. A purchase before the ex-date generally keeps the buyer on the entitled side, subject to the market’s settlement and applicable rules.

Record date

The record date is the date used to identify entitled holders on the company’s share register. ASX describes it as the date on which the register is closed to determine who is entitled. The ex-date is set in relation to the record date under the applicable exchange and settlement rules; do not assume that buying on the record date itself is sufficient.

Payable date

The payable date is when the company sends or credits the dividend. It can be weeks after the ex-date and record date. ASX defines it as the date on which the dividend is paid. Hong Kong Exchanges and Clearing (HKEX) guidance says issuers should announce the expected payment date after approval and that no fixed interval is required between the record date and payment date.

Date What it answers Investor action
Ex-dividend date Does a trade generally include the next dividend? Check whether your purchase is before or on/after the ex-date.
Record date Which holders are entered on the register for entitlement? Confirm the company’s stated record-date rule and settlement treatment.
Payable date When should cash be paid? Check your broker’s posting time and the company’s payment announcement.

Do you get the final dividend if you buy before the AGM?

Not automatically. Buying before the AGM is not the test for entitlement. You normally need to have bought before the relevant ex-dividend date and be treated as an entitled holder under the record-date and settlement rules. If the final dividend is still only proposed, shareholder approval may also be required before it becomes payable.

For example, suppose a company announces a proposed final dividend, an ex-dividend date in May, a record date shortly afterward and a payable date in June, with the AGM in late May. A purchase before the ex-date can generally carry the entitlement even if it occurs before the AGM; a purchase on or after the ex-date generally does not. If shareholders reject or amend the proposal where approval is required, the expected payment may not proceed as announced.

Always read the company’s announcement for the exact approval condition. “Proposed” and “subject to approval” are materially different from “declared” or “approved.”

When interim and final dividends are paid

Interim timetable

An interim dividend is announced during the year, followed by its ex-dividend, record and payable dates. Thailand’s exchange rules provide a concrete local example: an interim dividend is paid within one month of the board resolution and reported at the next shareholders’ meeting. Other exchanges do not necessarily use that interval, so the company’s announcement governs.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Final timetable

A final dividend is usually announced with year-end results, proposed for shareholder approval where required, and then assigned ex-date, record date and payable date information. Thailand’s rules state that an annual dividend is paid within one month of shareholder approval. HKEX guidance requires issuers to announce the expected payment date after approval but does not impose a fixed interval between the record and payment dates.

Why dates differ between companies

  • Listing and settlement systems differ by market.
  • The company’s articles and local company law may require different resolutions.
  • Cross-border holders may face broker processing, currency conversion or local payment schedules.
  • A meeting date does not replace the ex-date and record date.

How to read a dividend announcement

  1. Identify the status. Look for “proposed,” “recommended,” “declared,” “approved” or “subject to shareholder approval.” Treat a proposal as conditional where the notice says approval is needed.
  2. Find the amount and currency. Confirm whether the figure is per share, the share class covered and whether it is a gross amount before any withholding or other deductions.
  3. Write down all three dates. Record the ex-dividend, record and payable dates in your calendar. Do not rely on the AGM date.
  4. Check the jurisdiction. Read the exchange, company-law and articles-based conditions for the market where the shares are listed.
  5. Confirm the meeting result. For a proposed final dividend, check the later announcement showing whether shareholders approved it and whether the amount changed.
  6. Check your holding route. A broker, nominee or depositary may have its own cut-off and payment-posting process. Ask the intermediary if the cash is not visible by the stated payable date.
  7. Compare with the whole-year policy. Add the interim and final amounts only when both are approved or paid, and compare the total with the company’s stated policy and prior periods.

Jurisdiction differences investors should not overlook

Market or source Established point What not to assume
United Kingdom (HMRC guidance) Final dividends may be declared in general meeting within the directors’ recommendation; directors may decide interim dividends. An interim can be varied or rescinded before payment. Do not apply the UK approval and enforceability treatment to every country.
Australia (ASX education) Many listed companies pay interim and final dividends twice yearly; record date identifies entitled holders and payable date is when payment is made. Not every ASX company pays twice yearly.
Thailand (exchange rules) Interim payment is within one month of the board resolution and reported at the next shareholders’ meeting; annual payment is within one month of shareholder approval. These intervals are not a global timetable.
Hong Kong (HKEX guidance, 2024) Issuers should announce the expected payment date after approval; no fixed interval is required between record date and payment date. A record date does not guarantee a standard number of days until cash arrives.
United States (Investor.gov education) Buying on or after the ex-dividend date generally leaves the next dividend with the seller. Do not use the AGM concept as a substitute for the market’s ex-date and record-date rules.

These examples show why a generic “interim always means X” or “final always means Y” answer is unsafe. The company’s listing market and constitutional documents take priority.

How much weight should investors give an interim payment?

Use an interim dividend as evidence of a current distribution decision, not as proof of the full-year payout. Compare it with:

  • the company’s previous interim payment;
  • the previous final payment and the combined prior-year total;
  • the stated payout or capital-allocation policy;
  • the wording about earnings, cash generation and balance-sheet priorities; and
  • the approval status and dates in the current announcement.

A larger interim payment does not guarantee a larger final payment. Conversely, a smaller interim payment may reflect timing or prudence rather than a permanent policy change. The announcement’s explanation and subsequent results matter more than the label.

Dividend capture: why the date alone is not an investment thesis

Buying a share solely to receive an approaching dividend exposes you to the share price moving around the ex-dividend date. Taxes, dealing costs, currency effects and the possibility that a proposed payment is not approved can outweigh the cash distribution. The share price may also respond to the company’s results and broader market conditions.

Separate two questions:

  • Entitlement: Do the trade, ex-date, record-date and settlement rules leave you entitled to the announced payment?
  • Investment quality: Is owning the business at that price justified by its prospects, risk and valuation, whether or not a dividend is imminent?

An entitlement answer does not make a dividend-capture trade profitable, and a high announced yield does not remove approval or price risk.

Common mistakes and how to correct them

Confusing “proposed” with “guaranteed”

Mistake: Treating a proposed final dividend as certain cash. Correction: Locate the approval condition and verify the meeting result.

Using the AGM date as the buying deadline

Mistake: Assuming a purchase before the AGM receives the final dividend. Correction: Use the ex-dividend date and record-date rules.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Ignoring the payable date

Mistake: Expecting cash on the ex-date or record date. Correction: Check the separate payable date and allow for broker posting.

Assuming every company pays two dividends

Mistake: Calling an interim payment the first half of a guaranteed pair. Correction: Check the company’s policy; ASX notes that payment frequency varies.

Applying one country’s legal rule everywhere

Mistake: Assuming an interim is always revocable or a final is always shareholder-approved. Correction: Read the rules for the listing market and the company’s articles.

Adding interim and final amounts prematurely

Mistake: Reporting a full-year total while the final amount is still conditional. Correction: Mark the total as proposed until the required approval occurs.

A practical calendar checklist

  • Save the original dividend announcement and any replacement notice.
  • Highlight whether the payment is interim, proposed final, declared or approved.
  • Enter the ex-dividend, record and payable dates separately.
  • Note the currency, per-share amount and share class.
  • Record any AGM or shareholder-resolution date, but do not substitute it for the ex-date.
  • After the meeting, verify approval, rejection or amendment.
  • On the payable date, check the broker or nominee account and investigate delays with the intermediary.
  • For portfolio analysis, classify the payment as part of the company’s annual distribution rather than as an automatic bonus.

What the labels do—and do not—tell you

“Interim” tells you that the payment was considered during the year and is often board-authorised. “Final” tells you that it was considered after year-end and is commonly tied to the annual-results and shareholder-approval process. Neither word, by itself, tells you the amount you will receive, whether approval is complete, whether the payment can be changed, or when cash will arrive.

No single cross-market statistic establishes how often interim or final dividends are paid, how large they are on average or how often proposed payments fail. Those figures vary by company, market and year. Use the issuer’s announcement and applicable rules for a decision rather than an industry-wide average that has not been established.

Investor decision framework

  1. Need to know whether you qualify? Start with the ex-dividend and record dates.
  2. Need to know whether the cash is certain? Check whether an interim can still be rescinded locally or whether a final remains subject to approval.
  3. Need to know when cash arrives? Use the payable date, not the AGM or announcement date.
  4. Need to compare income across companies? Compare the approved full-year total, policy and financial context, not an isolated interim amount.
  5. Considering a dividend-capture trade? Model price movement, tax and costs, and treat approval risk separately from entitlement.
