Indian SaaS and overseas SaaS are not taxed by nationality alone. The GST result depends on who supplies the service, where the supplier and customer are located, the customer’s status, the place of supply, and whether the transaction qualifies as an import or export. An Indian company buying a foreign SaaS subscription may need to pay IGST under reverse charge, while an Indian SaaS company selling to a foreign customer may make a zero-rated export if every statutory condition is met. An Indian supplier billing an Indian business generally issues a tax invoice for the taxable service.
The practical difference is therefore in the transaction flow and paperwork, not simply in whether the software company is Indian or foreign. Use the framework below to classify the transaction before approving an invoice or booking tax.

The three SaaS transactions businesses must separate
Start by identifying the legal supplier, the recipient, and each party’s location. The same software feature can produce a different GST treatment when the customer changes from an Indian business to an overseas customer, or when the supplier changes from an Indian entity to a foreign entity.

| Indian SaaS supplier to overseas customer | Does the supply qualify as an export and therefore become zero-rated? | All statutory export conditions, including the parties’ locations and place of supply, plus the export route and endorsement used on the invoice. |
| Foreign SaaS supplier to Indian business | Is the purchase an import of services on which the Indian recipient pays IGST under reverse charge? | Supplier location, recipient location, place of supply, recipient status, service classification and reverse-charge accounting. |
These are starting points rather than automatic outcomes. A contract can include implementation, support, licences, advertising or other elements that require classification review instead of being treated as a single generic “SaaS” line.

How to classify an Indian-versus-overseas SaaS transaction
1. Identify the actual supplier and recipient
Use the contracting entity and the entity receiving the service, not the brand name, website domain or payment processor. Record the supplier’s legal name, registered address and GSTIN where applicable. Record the customer’s legal name, address, GST registration details and the establishment that actually uses or receives the service.
A foreign parent, Indian subsidiary, reseller or marketplace may change which entity is the supplier on the invoice. Ask for the contract, order form and invoice together when the entity shown on one document differs from the entity shown on another.
2. Determine the customer type
A registered business recipient and a non-taxable online recipient are not interchangeable for online services. The Central Board of Indirect Taxes and Customs (CBIC) explains that online information database access or retrieval (OIDAR) rules can distinguish supplies to business recipients from supplies to non-taxable online recipients. Confirm the customer’s status before deciding who collects, pays or remits GST. See the CBIC OIDAR explainer.

One free scan finds every outdated or missing driver and matches the right update for your exact hardware.Free scan · exact hardware match3. Establish the place of supply
The supplier’s country does not, by itself, establish the place of supply. The Integrated Goods and Services Tax Act contains general and special place-of-supply rules. Apply the rule that fits the service and the customer facts, and retain the reasoning in the tax file. The IGST Act materials are the relevant starting point, but use the current notified law and amendments for a live transaction.
4. Decide whether the flow is an import or export
An Indian business buying from a supplier outside India should test the import-of-services and reverse-charge conditions. An Indian supplier selling outside India should test every statutory export condition. A foreign customer alone does not prove that the supply is an export, and paying a foreign supplier in rupees alone does not prevent the import analysis.

Applicable rate: use classification, not a blanket label
CBIC’s Sectoral FAQs state: “The rate of GST on IT services is 18%.” This is the official FAQ’s stated IT-services rate; it should not be treated as a universal answer for every bundle containing software access, support, licensing, implementation or other services. Confirm the classification and current rate before issuing the invoice. The FAQ is available at CBIC’s Sectoral FAQs.

The 18% figure is a tax rate, not a market statistic, and the FAQ page does not state a publication year. If a contract has several deliverables, separate them or obtain a documented classification position rather than applying 18% to an undefined “subscription” line.
Invoice deadline
CBIC’s invoice rules generally require a registered supplier of taxable services to issue the invoice within 30 days from the date of supply. Check the current rule text and transaction-specific exceptions before relying on that general deadline. Delayed invoicing can affect the supplier’s reporting, the customer’s input-tax-credit records and the period in which tax is accounted for.
Information a domestic service invoice should contain
The invoice rules identify core particulars that let the customer and tax authorities connect the document to the supply:
- Supplier name, address and GSTIN.
- A consecutive, unique invoice serial number and the invoice date.
- Recipient details where required, including the recipient’s GSTIN or other prescribed identifier.
- A clear description of the SaaS or other service and its value.
- The applicable tax rate and tax amount.
- Place of supply, including the State name where required for an inter-State supply.
- An indication of whether tax is payable under reverse charge, where that rule applies.
Use the CBIC Tax Invoice, Credit and Debit Notes rules for the current field requirements. A PDF invoice that omits the recipient’s legal identity, service description or tax treatment may be difficult to reconcile even when the amount is correct.
Domestic invoice review example
Suppose an Indian company purchases a monthly software subscription from an Indian SaaS entity. The accounts-payable reviewer should match the legal supplier on the contract and invoice, confirm the customer’s GSTIN, check the service description and period, verify the rate selected under the supplier’s classification, and confirm that the place-of-supply and tax fields are populated. The reviewer should not infer the result from the product’s hosting location or the payment gateway.

When an export can be zero-rated
Qualifying exports of services are zero-rated. CBIC describes two routes: the supplier can pay IGST and seek a refund, or supply under a bond or letter of undertaking (LUT) without payment of IGST and seek a refund of eligible input tax credit. The customer’s foreign address is only one fact; every statutory export condition must be satisfied.

Before selecting the export route, document the supplier’s Indian location, the overseas recipient’s legal identity and location, the applicable place-of-supply rule, the payment arrangement and any other condition required by the current law. If one condition fails, do not label the invoice “export” merely because the customer is outside India.
Export invoice endorsement
CBIC’s invoice rules prescribe an endorsement for export service invoices. Use the wording that matches the route:
- “SUPPLY MEANT FOR EXPORT ON PAYMENT OF IGST” when the supply is made on payment of IGST.
- “SUPPLY MEANT FOR EXPORT UNDER BOND OR LETTER OF UNDERTAKING WITHOUT PAYMENT OF IGST” when the supply is made under bond or LUT without payment of IGST.
These endorsements belong on the invoice when the transaction is being treated under the relevant export route. They do not cure an export-condition failure.

- Contract or order showing the overseas customer’s legal entity.
- Evidence supporting the customer’s location and the establishment receiving the service.
- Place-of-supply analysis retained with the invoice.
- Evidence of the selected IGST-payment or bond/LUT route.
- Invoice with the appropriate export endorsement and required supplier and recipient particulars.
- Records supporting any refund claim, including eligible input tax credit where the bond/LUT route is used.
Keep the evidence together. A bank statement alone does not establish every export condition, and an overseas email domain is not a substitute for the customer’s legal details.
Indian business buying SaaS from a foreign supplier
Reverse-charge IGST can shift the tax obligation to the customer
CBIC’s import-of-services FAQ describes a reverse-charge outcome where the supplier is outside India, the recipient is in India and the place of supply is in India. In that situation, the Indian recipient may have to pay IGST under reverse charge. The FAQ’s stated example also says that payment in rupees does not change the conclusion. Apply the statutory conditions to the actual transaction rather than using the currency as the deciding test. See CBIC’s Sectoral FAQs.
The customer should identify the foreign supplier, determine the place of supply, classify the service and check whether the recipient is required to account for tax under reverse charge. The accounting entry, tax payment and credit treatment should follow the current law and the customer’s registration and record-keeping position.

What to collect from the overseas supplier
- The foreign supplier’s legal name and address.
- The subscription agreement, order form and billing period.
- A description of the service, including any separate support, implementation or licence components.
- The invoice currency and amount, with the conversion method used in the accounting records.
- Evidence of the supplier’s location and the Indian establishment receiving the service.
The foreign invoice may not contain an Indian GSTIN or Indian tax amount. That does not, by itself, settle the Indian recipient’s obligation. The recipient’s reverse-charge review is separate from whether the overseas supplier can issue an Indian GST tax invoice.

OIDAR and business recipients

A practical review procedure for finance and procurement teams
- Match the entities. Compare the contract, purchase order, invoice and payment beneficiary. Record the legal supplier and the establishment receiving the SaaS.
- Classify the service. Separate software access from implementation, support, licensing or other deliverables when the contract bundles them.
- Check the customer category. Determine whether the recipient is a registered business, another type of business recipient or a non-taxable online recipient relevant to OIDAR rules.
- Determine place of supply. Apply the current IGST Act rule that fits the transaction and save the reasoning with the invoice.
- Choose import, export or domestic treatment. Do not let supplier nationality or payment currency make this decision by itself.
- Review the tax mechanism. For an Indian supplier, verify the rate and tax fields. For a foreign supplier, test reverse charge. For an export, confirm the zero-rated route and supporting conditions.
- Validate invoice fields. Check identifiers, serial number, date, description, value, tax rate and amount, place of supply, reverse-charge indication and export endorsement where relevant.
- Archive evidence. Retain the contract, invoice, customer-status evidence, place-of-supply analysis, payment records and any bond/LUT or refund documentation according to the business’s record-retention policy.
Common mistakes and how to correct them
“The supplier is foreign, so there is no Indian GST”
A foreign supplier can create an import-of-services issue for an Indian recipient. Reopen the review using supplier location, recipient location and place of supply. If the statutory reverse-charge conditions are met, the Indian customer may need to account for IGST.
“The customer is foreign, so the invoice is automatically zero-rated”
Export treatment requires all statutory conditions, not just an overseas billing address. Confirm the legal recipient, place of supply and the other current-law requirements before using an export endorsement.
“The software is online, so OIDAR has one treatment”
OIDAR analysis depends in part on the recipient category. A registered business recipient and a non-taxable online recipient can lead to different collection and remittance responsibilities. Establish the customer status first.
“Payment in rupees proves the purchase is domestic”
CBIC’s import-of-services FAQ expressly describes a case where payment in rupees does not change the reverse-charge conclusion. Use the statutory tests rather than currency.

“A missing field is only a formatting problem”
Invoice particulars support tax reporting and the customer’s records. Ask the supplier for a corrected document when the legal entity, invoice number, service value, tax amount, place of supply, reverse-charge indication or export endorsement is missing or inconsistent.
“18% applies to every SaaS bundle”
CBIC states 18% for IT services in its Sectoral FAQs, but a bundle still requires classification review. Document why the selected rate applies to the actual supply.
Cash-flow and accounting implications
Domestic invoicing usually makes the supplier the party that charges and reports the tax shown on the invoice. In an import with reverse charge, the Indian customer may have to fund the tax payment itself before considering any credit available under the current rules. That creates a cash-flow and reconciliation task even when the commercial subscription price has not changed.
For an export, the supplier chooses between paying IGST and pursuing a refund or using bond/LUT without payment of IGST and seeking a refund of eligible input tax credit. The choice affects working capital, documentation and refund administration. Model the cash timing with the tax team instead of selecting a route solely because the invoice looks simpler.
Keeping the position current
CBIC’s statutory pages and FAQs are official, but some consolidated law pages and the OIDAR explainer are older than October 2026. Rules, rates, forms and notifications can change. Before processing a material or unusual SaaS transaction, check the latest notified law, current CBIC guidance and any applicable circulars, and obtain transaction-specific professional advice where the classification or place of supply is uncertain.
The safest policy is to make the transaction file answer five questions: who supplied, who received, what was supplied, where was the place of supply, and which GST mechanism and invoice wording were used. If those answers are documented, the Indian-versus-overseas distinction becomes a useful starting point rather than a misleading shortcut.
