India and U.S. initial public offerings (IPOs) differ most in how an individual investor gets access to shares. In India, eligible retail applicants commonly place bids through the ASBA process, often authorizing payment through UPI. The application amount is blocked in the investor’s bank account and only the amount for allotted shares is debited. In the United States, direct access to the offer price is selective: an underwriter may offer shares to clients, but the more common route for a typical individual is buying after the stock begins trading on a public exchange.

Those mechanics affect timing, allocation expectations and cash management, but they do not tell you whether an IPO is attractively valued or likely to perform well. The issue-specific prospectus, financial statements, risk factors, eligibility rules, fees, taxes, currency exposure and resale restrictions matter more than the country label.

India IPOs vs. U.S. IPOs at a glance

Decision point India IPOs U.S. IPOs
How an individual usually participates Bid in the public issue using ASBA; eligible retail investors can use UPI as an authorization route. Direct offer-price participation may be available through an underwriter relationship; typical individuals more often buy after public trading starts.
What happens to application money Funds are blocked until allotment. The amount for allotted shares is debited; if no shares are allotted, the blocked funds are released under the ASBA mechanism. There is no single retail application process. If a broker offers an allocation, its own funding and settlement rules apply; otherwise, the investor pays the market price after listing.
Allocation Shares are issued only if the application receives an allotment under that issue’s allocation process. Underwriters distribute the initial shares and may limit participation to eligible clients. There is no general guarantee of an allocation.
Main disclosure document The current issue’s offer documents and bidding instructions, together with applicable Indian regulatory and exchange requirements. Usually the issuer’s Form S-1 registration statement and prospectus.
Listing timing Issue-specific. A 2024 SEBI filing described an objective of reducing the period from issue closure to listing from six working days to up to three through UPI-related changes; that objective is not a universal service guarantee. The effective dates and first-trading date are stated in the issuer’s filing and exchange notices.
Post-listing share supply Restrictions and resale provisions must be checked in the particular offer documents; no universal India-wide lock-up period is established here. Lock-up terms vary. The SEC says many arrangements prevent insider sales for 180 days, but the prospectus controls.

These are process differences, not evidence that one market is safer or more profitable. No reliable comparative return statistic is established by the official materials cited here.

How an Indian retail IPO application works

ASBA blocks money instead of requiring a later refund

SEBI’s investor guidance explains that, under Application Supported by Blocked Amount (ASBA), the amount corresponding to the shares applied for is blocked in the bank account while it remains there until allotment. SEBI’s wording is: “In ASBA, money to the extent of price of the shares for which the investor has applied, is blocked, but it remains in their account till allotment.” Read the current instructions at SEBI’s ASBA IPO guidance.

If the application receives an allotment, the amount due for those shares is debited. If there is no allotment, the investor does not need to pursue a separate refund under this mechanism because the funds were blocked rather than transferred to the issuer as a completed purchase. SEBI also says the blocked funds continue to earn interest. The investor must still maintain enough available balance for the authorization to succeed and must follow the bank, registrar and issue instructions for the specific offering.

UPI is an authorization route for eligible retail applications

For eligible retail individual investors, SEBI describes UPI as a route to authorize the ASBA block. The cited SEBI page states a limit of ₹5 lakh per UPI transaction for retail individual investors. Because limits, eligibility and operating procedures can change, verify the current figure and the issue’s instructions at SEBI’s UPI IPO guidance before submitting an application.

A typical sequence is:

  1. Read the issue’s current offer document, price range, lot size, dates, investor categories and bank or UPI requirements.
  2. Enter the bid through an authorized intermediary using the required application details.
  3. Provide the correct UPI ID when the issue permits that route.
  4. Approve the UPI mandate in the UPI application before the stated deadline. An entered bid without a successfully authorized mandate may not be treated as a valid application.
  5. Keep the required balance available until the allotment and release process is complete.
  6. Check the registrar, bank or intermediary for the allotment result and confirm whether the mandate was debited or released.

The exact screens and cut-off times depend on the intermediary and issue. A rejected or expired mandate, an incorrect UPI ID, insufficient balance or an application that violates category or lot-size rules can prevent participation.

Allotment is an outcome, not a purchase entitlement

Submitting an Indian IPO bid does not mean that shares will be delivered. The investor receives shares only if the application is selected under that issue’s allocation process. Demand, investor category rules, the number of valid applications and the issue’s stated allocation method can all affect the result. An application can therefore tie up cash temporarily without producing a position.

How individual access to a U.S. IPO usually works

Offer-price access is selective

The SEC explains that some individuals may receive a direct opportunity to buy at the IPO offer price through a relationship with an underwriter. That opportunity is not universal: the underwriter and participating broker decide which clients are eligible, how orders are collected and how shares are allocated.

The SEC describes buying after the IPO begins trading in the public market as the more common route for typical individual investors. In that case, the investor places an ordinary order through a brokerage account after the stock is listed. The price is the prevailing market price, not necessarily the IPO offer price, and the order may execute at a different price or not execute at all. The SEC’s investor bulletin explains the distinction in Investor Bulletin: Investing in an IPO.

What a broker’s invitation does and does not mean

An invitation or eligibility notice from a U.S. broker is access to an allocation process, not a promise of shares. Brokers can receive fewer shares than their clients request, and they can apply additional eligibility or account rules. An investor should ask:

  • How the broker determines allocations if demand exceeds its allotment.
  • When cash must be available and how cancellations or order changes work.
  • Whether shares can be sold immediately after listing or are subject to account-specific restrictions.

If no direct allocation is available, waiting for the public listing avoids the allocation process but introduces market-price risk. A stock can open above or below the offer price, trade with limited liquidity, or move sharply while the market establishes a price.

Disclosure: where to learn what you are buying

U.S. Form S-1 and the prospectus

For a U.S. IPO, the registration statement is typically Form S-1, and the prospectus describes the company and the IPO terms. Review the final or latest effective filing rather than relying on an early draft or a summary supplied by a platform.

Important sections commonly include the business description, use of proceeds, capitalization, dilution, selected financial data, risk factors, management discussion, executive compensation, related-party transactions, description of securities, underwriting arrangements and shares eligible for resale. The filing also identifies the expected trading venue, ticker and the number and type of shares being offered.

SEC effectiveness is a filing-status decision, not an investment endorsement. The SEC states: “The SEC’s declaration of effectiveness does not represent an approval of the merits of the IPO or an indication that the information disclosed is complete or accurate.” That qualification appears in the SEC’s investor materials at Investor.gov’s IPO bulletin page.

Indian offer documents and issue instructions

For an Indian IPO, use the current offer documents hosted through the issuer, exchange and SEBI channels, and read the bidding instructions that apply to your investor category. A generic explanation of ASBA or UPI cannot substitute for the issue’s price band, lot size, timetable, reserved categories, minimum application, basis-of-allotment rules and risk disclosures.

A SEBI filing available at this SEBI document described a policy objective of reducing the time from public-issue closure to listing from six working days to up to three working days through UPI-related process changes. Treat that as the filing’s objective, not as a guaranteed timetable for every current issue. The live offer document and exchange notice govern the dates for the IPO you are considering.

Timing and cash management differences

India: blocked funds remain committed during allotment

ASBA can make the cash-flow result clearer than a conventional payment-and-refund process: the application amount is blocked, the allotted portion is debited, and the balance is released if no shares are allotted. The investor still cannot freely use the blocked amount during that period, so a bid should not be funded with money needed for bills, margin calls or another imminent obligation.

UPI authorization deadlines are especially important. A bid submitted near the closing time can fail if the mandate is not approved in time, even when the investor entered the application correctly. Keep records of the application number, mandate status and the issue’s stated allotment and release dates.

United States: the timing depends on the route

A direct U.S. allocation involves an offering timetable set by the issuer and underwriters. The broker may require funds before pricing and may communicate allocation only after the final price is set. The public-market route begins once the shares are admitted to trading, but the first trading session can be volatile and the market price can differ materially from the offer price.

Do not infer a listing date from a headline, an initial filing or a marketing presentation. Confirm the effective prospectus, the expected pricing date, the first-trading date and any exchange notice applicable to the issue.

Allocation and access: what investors should expect

Indian public-issue allocation

Indian applicants participate in the issue’s stated categories and allocation framework. The practical question is not simply whether the IPO is “open” but whether the application meets the category, lot-size, payment and timing rules. A valid application can still receive fewer shares than requested or no shares at all.

U.S. underwriter allocation

In the United States, underwriters distribute the initial shares among institutional and eligible individual clients according to the offering arrangements and their own allocation policies. A brokerage account that can trade listed U.S. stocks may not have access to a particular IPO allocation. Access can also vary by account type, client relationship and the broker’s participation in that offering.

In both markets, oversubscription or strong first-day trading does not prove that the company is fairly valued. Allocation mechanics describe who receives shares; they do not predict subsequent returns.

Post-listing supply and lock-ups

Why restricted shares can affect trading

An IPO may leave a substantial number of shares held by founders, employees, early investors or other existing holders. If those shares are temporarily restricted, the initial freely tradable supply can be smaller than the company’s total outstanding shares. When restrictions expire, additional holders may become eligible to sell. That potential increase in supply can affect liquidity and price, although it does not establish the direction of a future move.

U.S. lock-ups are common but not uniform

The SEC says many U.S. lock-up arrangements prevent insiders from selling for 180 days. The agency also emphasizes that lock-up terms vary. Read the specific prospectus for the length of the restriction, the shares covered, permitted transfers, early-release provisions and any applicable trading-plan or registration-rights provisions. The SEC’s explanation is at SEC: Lock-up agreements.

India requires issue-specific checking

The materials reviewed do not establish a universal India-versus-U.S. lock-up duration. For an Indian IPO, inspect the offer documents for promoter, employee, anchor-investor and other resale restrictions, as well as the dates and conditions under which previously restricted shares may enter the market. Do not import a 180-day assumption from a U.S. deal into an Indian issue.

A practical diligence checklist for either market

Use the same analytical questions for both countries, then add the market-specific process checks:

  • Valuation: Compare the offer price with the company’s earnings, revenue, cash flows, debt, margins and the assumptions behind the issuer’s valuation. Identify which peer set and metrics the prospectus uses.
  • Primary versus secondary proceeds: Determine how much money goes to the company in a fresh issue and how much goes to selling shareholders. Secondary proceeds do not provide the company with operating capital.
  • Business risks: Read the risk-factor section for concentration, regulation, litigation, customer dependence, technology, competition, supply chains and profitability risks that apply to the company.
  • Financial quality: Check audited statements, cash generation, working-capital movements, debt maturities, related-party transactions and any qualifications or material weaknesses disclosed in the filing.
  • Governance and control: Review voting rights, promoter or founder control, board composition, related-party arrangements and the rights attached to each share class.
  • Allocation rules: Confirm your investor category, minimum lot or order size, bid limits, mandate or funding deadlines and the process for checking allotment.
  • Trading and liquidity: Identify the exchange, trading hours, settlement cycle, expected public float and any restrictions on selling after allocation.
  • Costs and taxes: Account for brokerage, exchange fees, withholding, local taxes, currency conversion and cross-border reporting obligations applicable to your residence and account. These rules vary and should be confirmed against current official guidance.
  • Supply after listing: Note lock-up expiration dates, employee-share vesting, secondary offerings and other events that could increase the tradable share count.
  • Exit plan: Decide in advance what information would invalidate your investment thesis. Do not treat a first-day gain, an oversubscribed book or a social-media narrative as a substitute for that plan.

Common mistakes and how to avoid them

Assuming an IPO application guarantees shares

It does not. In India, a valid ASBA or UPI application can receive no allotment. In the United States, a broker’s participation in an offering does not guarantee that every eligible client receives an allocation.

Treating the offer price as a fair value

The offer price is negotiated and marketed by the issuer and underwriters. It is not an independent valuation certificate. Compare the price with the company’s disclosed financials, dilution and risk factors.

Using a generic timeline

India’s process changes and issue timetables can vary; the three-working-day objective described in the 2024 SEBI filing is not a promise for every issue. U.S. pricing and first-trading dates are also issue-specific. Use the current prospectus, exchange notice and intermediary instructions.

Ignoring currency and cross-border rules

An investor outside the issuer’s home country may face foreign-exchange movements, account eligibility limits, withholding or reporting requirements. Confirm the rules for your residence and account type before sending funds.

Confusing disclosure with approval

Regulatory filing effectiveness does not mean that an agency recommends the investment or guarantees that every statement is complete or accurate. Read the filing critically and verify material claims.

Which participation path fits which investor?

If you want a defined application process

An eligible Indian retail investor who understands ASBA and UPI may prefer the structured application route, knowing that funds are blocked pending allotment and that no allotment is possible. The convenience does not remove the need to read the issue documents or preserve cash until release.

If you cannot access a U.S. allocation

Buying after a U.S. listing is the normal alternative for many individuals. It provides access through a regular brokerage order, but the investor gives up the certainty of the offer price and must accept market-price, liquidity and execution risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

If you are comparing the two markets from abroad

Start with eligibility, tax and currency questions, not with the country’s IPO headlines. A process that is available to a domestic retail investor may be unavailable to a foreign resident or to a particular account type. Confirm those constraints with the broker, issuer documents and current regulator guidance before evaluating valuation.

Bottom line for investors

India generally gives eligible retail investors a direct issue-application path through ASBA, with UPI authorization available under the stated rules: money is blocked, the allotted amount is debited and an unsuccessful application is released. In the United States, direct offer-price access is selective through underwriters, so many individuals participate only after public trading begins. In both markets, allocation is uncertain, listing dates are issue-specific, and post-listing supply can change when restricted shares become eligible for resale.

The sensible comparison is therefore procedural rather than predictive. Read the current offer document, verify eligibility and deadlines, understand every source of dilution and post-listing supply, and evaluate valuation and risk independently of the application method.
