Income-tax demand notice vs appeal vs stay: what each stage means for a company in India (2026 guide)

Short answer: a demand notice tells your company what the tax department says is payable; an appeal challenges the underlying assessment, adjustment or penalty; and a stay application asks an authorised officer or tribunal to pause recovery while that challenge is heard. Filing an appeal does not by itself stop collection. Treat the demand as live until it is paid, corrected, set off, or covered by a written stay or other recovery protection.

Demand, appeal and stay at a glance

These documents are connected but perform different legal jobs. The demand is a collection document. The appeal is the challenge to the disputed determination. The stay is a separate request about enforcement while the challenge is pending.

Stage Legal purpose Who starts it Forum or authority Timing Does it change the tax liability? Does it pause recovery? Payment or security expectation Core company records
Demand notice States the amount the department seeks after an intimation, assessment, penalty order or another proceeding Income-tax Department Issued through the applicable assessment or collection channel Payment deadline stated in the notice No. It records the department’s current computation; it is not the company’s acceptance No. Recovery can continue unless another protection applies Pay the amount claimed or pursue correction, appeal and/or stay Notice, DIN, service evidence, tax-year details, computation and payment history
First appeal Asks the appellate authority to reconsider an appealable assessment, adjustment, penalty or related order Company or authorised representative Generally the faceless first-appeal process, subject to departmental exceptions Form 35 must be filed electronically within 30 days from service of the order or demand notice, according to current Income Tax Department guidance No immediate change. The disputed order remains operative until an appellate decision or other resolution No. An appeal is not an automatic stay Any tax, fee or security directed under the applicable rules or recovery order remains separately relevant Form 35 acknowledgement, impugned order, demand notice, grounds, facts, evidence and authorisation
Stay application Requests suspension of collection of the disputed amount while the appeal proceeds Company or authorised representative Assessing Officer, JCIT(A), CIT(A) or ITAT, depending on stage and jurisdiction File promptly with the appeal and before recovery action or the existing protection expires No. A stay controls recovery; it does not decide the merits Only to the extent and for the period stated in the written stay order Departmental guidance describes 20% of disputed tax demand as the usual AO condition, with possible variation in specified circumstances; tribunal conditions can differ Appeal acknowledgement, stay petition, demand split, cash-flow evidence, merits documents, payment proof and prior orders

The Income Tax Department’s published section 220 text says a demand remains effective while an appeal or other proceeding is pending until disposal by the last appellate authority. That rule is why a company should not assume that filing alone protects it from collection.

What an income-tax demand notice means

It is a live collection claim, not an admission by the company

A notice of demand normally follows an intimation, scrutiny assessment, reassessment, penalty order or another statutory proceeding. It identifies the amount that the department currently seeks. The figure may combine principal tax, interest, fee and penalty, so the headline total should never be reviewed without its component-wise calculation.

Receiving the notice does not mean the company has accepted the computation. It does mean the department has moved the matter into a collection-facing stage. Unless the amount is corrected, paid, adjusted against a refund, or protected by a written stay, the liability remains actionable.

Checks to complete on the day of service

  • Record the exact service date from the portal, email, post or other valid channel. Limitation and payment periods run from legally relevant service, not from the date the finance team happens to open the message.
  • Capture the assessment year or tax year, statutory section, document identification number (DIN), issuing authority and every amount line.
  • Separate tax, interest, fee and penalty. A disagreement with one component may require a different remedy from a disagreement with another.
  • Download the underlying intimation, assessment or penalty order and preserve the original electronic files and metadata.
  • Reconcile the demand with the filed return, tax deducted or collected at source credits, advance tax, self-assessment tax, earlier challans, refunds and any rectification already filed.
  • Check whether the portal shows a duplicate, an unapplied payment or a credit mismatch before deciding that the full amount is a merits dispute.

When the amount may be corrected instead of litigated

An apparent error on the face of the record—such as a missing tax credit, arithmetic mistake or a payment mapped to the wrong year—may be suitable for a rectification request. Rectification is not a substitute for an appeal on a debatable interpretation or disputed evidence. A company can need both: pursue rectification for an obvious record error while filing the appeal needed to protect the limitation period for the remaining issues.

What an appeal does

The appeal attacks the underlying determination

An appeal asks the designated appellate authority to reconsider the assessment, adjustment, penalty or other appealable order. It can challenge jurisdiction, procedure, facts, evidence, computation and legal interpretation, but the grounds must be tied to the order being challenged.

For a first appeal, the Income Tax Department states that the filing is electronic in Form 35 within 30 days from service of the order or demand notice. The Form 35 manual identifies section 249(2) and requires the order and demand-notice particulars. Build the filing around the legally relevant service date and retain the electronic acknowledgement.

First-appeal channel and exceptions

First appeals are generally handled through the faceless electronic process. Departmental guidance lists exceptions that can include serious fraud, major tax-evasion matters, sensitive or search-related cases, Black Money cases and international-tax cases. Confirm the channel shown for the specific order rather than assuming that every appeal follows the same workflow.

What a complete appeal file contains

  • Form 35 acknowledgement and the order or intimation under challenge.
  • A concise statement of facts that follows the chronology of the return, notice, submissions and order.
  • Numbered grounds of appeal, separated by issue and relief sought.
  • Working papers that bridge the return figures to the disputed additions, disallowances, credits or penalties.
  • Evidence filed earlier and any additional evidence with an explanation of why it is admissible.
  • Board resolution, power of attorney or other authorisation for the signatory and representative.
  • Proof of service and a limitation calculation, including any legally recognised exclusion or condonation request.

An appeal does not rewrite the demand automatically

Until an appellate authority changes the order, the original demand remains the department’s operative claim. The appeal preserves the company’s challenge; it does not by itself suspend debit, adjustment of refunds or other recovery measures. Recovery protection must be requested separately.

What a stay application does

Stay is about recovery, not merits

A stay application asks the competent authority to pause collection of the disputed amount while the appeal is pending. It should identify the exact demand, the appeal to which it relates, the amount in dispute and the recovery action that would cause harm. A stay order may be conditional, partial or time-limited, so read its operative paragraphs rather than relying on an oral assurance or a portal status.

Possible stay authorities

Departmental guidance identifies the Assessing Officer, JCIT(A), CIT(A) or ITAT as possible authorities, depending on the procedural stage and the powers available in the case. File before the authority that has jurisdiction over the live demand and appeal. If the matter has moved to a higher forum, an earlier order may not protect the company unless its terms cover the new stage.

The usual Assessing Officer payment condition

The Income Tax Department’s guidance, citing CBDT Office Memorandum F. No. 404/72/93-ITCC (FTS: 284146) dated 31 July 2017, describes payment of 20% of the disputed tax demand as the usual condition for an Assessing Officer stay. This is an administrative guideline, not a universal entitlement to a stay. The guidance also describes circumstances in which the threshold may be increased, including adverse litigation history, a binding jurisdictional High Court or Supreme Court decision against the assessee, or credible search or survey evidence.

Prepare a cash-flow explanation if the requested payment would disrupt payroll, statutory dues, lenders or essential operations. Explain the strength of the grounds, earlier decisions in the company’s favour, payments already made and any security offered. A stay decision remains fact-specific even when the usual percentage has been paid.

ITAT duration and extensions

Section 363 of the Income-tax Act 2025 permits an ITAT stay for up to 180 days, subject to its statutory conditions. Departmental guidance describes a possible extension when delay is not attributable to the assessee and an aggregate ceiling of 365 days under the stated framework. Track the expiry date printed in the order; an extension is not implied merely because the appeal hearing has not occurred.

What the written order should answer

  • Which assessment year or tax year and which demand components are covered.
  • Whether the protection is full or limited to a specified amount.
  • Any payment, security, reporting or cooperation condition.
  • The start and expiry dates, and the procedure for extension.
  • Whether collection, refund adjustment, bank attachment or another named action is restrained.
  • What happens if a condition is missed or the appeal is adjourned.

Company action plan after receiving the notice

  1. Open a controlled case file. Nominate a tax lead, finance owner, legal reviewer and board or audit-committee contact. Restrict edits to a version-controlled folder.
  2. Freeze the evidence. Save the notice, order, portal downloads, emails, courier proof, return, ledgers, challans, tax-credit statements and prior correspondence.
  3. Build a demand reconciliation. Tie every rupee in the notice to tax, interest, fee or penalty and mark credits, payments, duplicated entries and genuinely disputed additions.
  4. Identify the governing statute. The official e-filing FAQ says proceedings for tax years beginning before 1 April 2026 continue under the repealed Income-tax Act 1961, while the Income-tax Act 2025 applies to its relevant tax years. Do not select a form or limitation rule solely from the calendar year in which the notice arrived.
  5. Classify each issue. Mark apparent record errors for rectification, merits disputes for appeal, and collection risk for a stay request. A single notice can require all three tracks.
  6. Protect limitation. Prepare and submit the prescribed appeal electronically before the applicable deadline, then download the acknowledgement and verify that the portal shows a valid submission rather than a saved draft.
  7. File the stay separately. Attach the appeal acknowledgement, demand computation, financial-impact statement, merits summary, payment or security proof and a draft schedule for compliance with any condition.
  8. Monitor recovery and hearings. Check portal notices, deficiency memos, hearing communications, adjustment messages and bank or refund actions. Escalate immediately if recovery begins, a stay condition is unclear or limitation is disputed.

Rectification, appeal and payment: choosing the right combination

Use rectification for a clear record mistake

Examples include a tax-credit entry omitted from processing, a mathematical error, a payment posted to another year or an interest calculation that contradicts the underlying figures. Attach the source document proving the error and request a corrected demand. Keep the appeal timetable running while the request is pending.

Use an appeal for a debatable issue

An interpretation of a deduction, transfer-pricing adjustment, business-purpose question, unexplained-credit addition or penalty finding generally requires appellate review. A rectification request should not be used to re-argue an issue that requires appreciation of evidence or competing legal views.

Consider payment without surrendering the challenge

Payment may reduce interest, prevent coercive recovery or satisfy a stay condition, but it does not necessarily waive appellate rights. Record whether each payment is voluntary, made under protest, required by a stay order or allocated to a particular component. Obtain professional advice before using language that could be treated as an admission.

Tax-year transition from the 1961 Act to the 2025 Act

The transition is determined by the tax year covered by the proceeding, not simply by the date shown on the notice. The official e-filing FAQ states that proceedings for tax years beginning before 1 April 2026 continue under the repealed Income-tax Act 1961, while the 2025 Act governs its relevant tax years.

For each case, write the governing statute and section at the top of the internal case sheet. Then confirm the current portal form, limitation provision, stay power, fee and filing route under that statute. A notice issued after 1 April 2026 can still relate to an earlier tax year and therefore follow the earlier Act’s procedural framework.

What to do if recovery starts before the dispute is decided

Do not wait for the next hearing if the department adjusts a refund, sends a coercive recovery communication or threatens attachment. Send the recovery message, payment ledger and appeal acknowledgement to the officer handling the stay and request written directions. If an existing stay has expired, file the extension before expiry and identify every date on which the company complied with its conditions.

Section 220’s continuing-effect rule means that a pending appeal alone is not a defence to every recovery step. The company needs a current written order, a corrected demand, payment or another legally recognised resolution. Preserve proof that the department received the stay request and any documents requested; an unacknowledged email is not a substitute for a valid order.

Records and controls for the finance team

  • Deadline register: service date, appeal due date, payment due date, stay expiry, hearing date and extension-filing date.
  • Amount register: tax, interest, fee, penalty, payments, credits, disputed amount and amount protected by stay.
  • Authority map: issuing officer, appellate forum, stay authority, representative and escalation contact.
  • Evidence index: return, invoices, contracts, books, confirmations, tax-credit statements, challans and earlier submissions.
  • Decision log: why the company chose rectification, appeal, payment, stay or a combination, with approval from the appropriate governance body.
  • Portal audit trail: submission numbers, acknowledgements, deficiency responses, hearing notices, orders and screenshots showing status.

Illustrative cases

Missing tax credit

A processing notice includes the company’s full returned income but omits tax deducted at source shown in the credit statement. The finance team can reconcile the omission, submit rectification with the statement and challan, and preserve the appeal route in case the correction is rejected. A stay may be needed if the department begins collecting before the credit is restored.

Disputed disallowance with short-term cash pressure

An assessment adds a large disallowance that the company says is fully supported by contracts and payment records. The company files the first appeal, then submits a stay application explaining the operating cash impact, the evidence supporting the ground and payments already made. The authority may impose a payment or security condition and may protect only the disputed portion.

ITAT appeal approaching stay expiry

An ITAT order grants protection for a stated period, but the appeal is not heard before that period ends. The company checks the 180-day term, files any permissible extension request before expiry, documents that the delay was not caused by it and continues complying with every condition. It does not assume protection continues automatically up to the aggregate ceiling.

Common failure modes and fixes

  • Waiting for a rectification result before appealing: file the appeal within limitation and pursue rectification in parallel where appropriate.
  • Treating the demand total as one issue: split tax, interest, fee and penalty so each objection and payment is traceable.
  • Assuming appeal equals stay: obtain and monitor a separate written stay order.
  • Paying the usual percentage without a written application: submit the stay petition, proof of payment and merits explanation together.
  • Missing a portal deficiency notice: assign a daily portal check and a backup reviewer; a defective submission may not protect limitation.
  • Using the wrong Act or form: determine the tax year first, then verify the current statutory section and electronic form.
  • Letting a stay expire: calendar the expiry and extension window as board-level tax-risk dates.
  • Relying on oral assurances: ask for the operative written order and retain the acknowledgement.

Practical rule for management

Run three workstreams from the first day: reconcile or correct the number, file the appeal that preserves the merits challenge, and seek written stay protection for recovery. The demand remains live while the dispute moves through the system; only a valid resolution or enforceable recovery protection changes what the company must do next.
