A registration record, a Form D filing, a warm introduction, or a popular online group can help with one narrow check, but none proves that an investment is legitimate, suitable, or safe.
What you are actually verifying
“Investor network” is a marketing description, not a regulatory status. A network may be a formal organization, an informal group of angels, a social-media community, a fundraising intermediary, or simply a name used by a promoter. Start with the legal identity and claimed role of the person or firm. Then investigate the startup and the specific securities offering as a separate evidence problem.
As an Amazon Associate I earn from qualifying purchases.
A professional can be genuinely registered while an unrelated startup offer is fraudulent. Conversely, a real company can be presented by someone impersonating a legitimate broker or adviser. The two checks must connect through independently verified facts, not through the introducer’s assurances.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
- Identity and role: Is the individual or firm who they claim to be, and does the claimed broker or investment-adviser role match a regulator’s records?
- Issuer and security: Does the startup exist, and are its finances, ownership, terms, risks, and use of proceeds understandable and supportable?
- Communication: Are you dealing with the real firm through contact details you obtained independently?
- Conduct: Does the pitch use pressure, guaranteed returns, implausible exclusivity, or claims that the SEC endorsed it?
Even when each item checks out, a private startup investment can lose all of its value. Private offerings can be difficult to sell and may provide less information than public investments.

Immediate stop signs before you investigate
Pause the conversation if the approach came unsolicited through an internet advertisement, social media, text message, or group chat. The SEC’s 2024 alert specifically asks whether you clicked an online or social-media advertisement and were then added to an investment-focused group chat. That pattern is a reason to verify, not a reason to continue because other participants appear enthusiastic.
- A promise of high or guaranteed returns with little or no risk.
- Pressure to invest immediately, keep the opportunity secret, or use a particular payment method.
- A request for your Social Security number, bank login, wire instructions, cryptocurrency, or identity documents before basic identity questions are answered.
- Testimonials, screenshots of profits, or an introducer’s reputation offered instead of financial and legal documentation.
- A claim that the SEC, another regulator, or a government official “approved” the investment. The SEC states, “The SEC never endorses an investment.” SEC investor alert
Do not click links or call phone numbers supplied only in the pitch until you have checked the firm through an independent source. Save the messages and files first; they can be important if the identity later proves false.
Step 1: Record the exact identity and offer
Make a written record while the details are still available. Ask for precise answers rather than accepting a brand name or nickname.
Quick wins for a faster PC:
Clear out junk files and repair common Windows errorsFree Scan →Scan for outdated or missing drivers - takes under a minuteDriver Scan →Repair Windows errors before they cause bigger problemsFix Now →- The individual’s full legal name, job title, and claimed registration or license.
- The firm’s legal name, physical location, website, and the relationship between the individual and the firm.
- The startup’s legal name and the name of the security: for example, common stock, preferred stock, a note, a SAFE, or another instrument.
- The amount sought, minimum investment, valuation or price, and the claimed offering exemption.
- Who receives the money, the proposed closing date, and any stated transfer or resale restrictions.
- Every presentation, term sheet, subscription document, email, chat message, and attachment.
Do not fill gaps by guessing. If the promoter will not identify the issuer, security, or legal entity, you cannot perform the next checks. Keep funds and sensitive identity information out of the process until those basic facts are resolved.
Step 2: Verify the professional, then authenticate the contact
Use the database that matches the claimed role
For a U.S. broker or brokerage firm, search FINRA BrokerCheck. For an investment adviser or adviser representative, use the SEC and state regulator’s Investment Adviser Public Disclosure (IAPD) system. IAPD can show Form ADV information, employment history, and disciplinary disclosures, and it can surface brokerage-firm results through BrokerCheck.
| Claim being made | Primary record to check | What the record can establish |
|---|---|---|
| Registered broker or brokerage firm | FINRA BrokerCheck | Whether the named broker or firm appears in the system and the disclosures shown there |
| Investment adviser or adviser representative | SEC/state IAPD | Form ADV information, employment history, disciplinary disclosures, and related firm information |
Compare the record with the pitch: spelling of the legal name, firm, role, location, employer, and contact details. A matching name is not enough if the person’s location, title, or employer differs. Ask the regulator or database support channel about an apparent discrepancy rather than accepting an explanation from the promoter.

Confirm that the person is really connected to the firm
Impersonators can copy a registered firm’s logo, website style, registration number, and public disclosures. Locate the firm’s official website or telephone number independently, then ask whether the named person works there and whether the firm is involved with the startup offer. Do not use the phone number, email address, or website link supplied only by the person who contacted you.
A matching registration record confirms information about the professional or firm displayed in that system. It does not validate a separate startup, a claimed relationship with the issuer, the terms of an offering, or a promised return. Treat a mismatch as a stop signal until you resolve it independently.
Step 3: Check warning lists without treating them as clearance
Search the SEC’s Public Alert: Unregistered Soliciting Entities (PAUSE) list for the names, websites, and locations used in the pitch. The list can identify entities that falsely claim to be registered or located in the United States, impersonators of real firms, and fictitious regulators.
PAUSE is a warning tool, not a licensing database. The SEC says the list is incomplete and that inclusion alone is not a legal finding that a securities-law violation occurred. An absent name is therefore not a clearance. Continue with the professional, contact, issuer, and offering checks even when no match appears.
Step 4: Investigate the startup and the specific security
Search the issuer’s filings
Search the company’s legal name and related entities in SEC EDGAR. Look for filings that identify the issuer, offering type, amount sold, officers, and other relevant details. Compare those records with the documents and claims you received. A different legal entity, amount, state, or offering description requires an explanation from an independently verified contact.
Understand what a Form D means
For certain Regulation D offerings, the issuer must file Form D no later than 15 days after the first sale. It is a notice filing associated with an exemption from registration, not a merits review. The SEC warns that fraudsters may point to a real filing to imply that the government vetted the company or investment. The investor bulletin states plainly: “Form D does not represent SEC approval or registration.” See the SEC Regulation D investor bulletin and the SEC’s explanation of false claims of SEC registration.

A Form D does not register or license the promoter, certify the startup’s finances, establish that the valuation is reasonable, or guarantee repayment or profit. It is one filing to reconcile with the rest of your diligence.
Request documents that answer the investment questions
Ask for information that lets you test the company’s claims and the security’s economics:
- Current financial statements, cash position, debt, revenue assumptions, and audit status.
- Management biographies, relevant operating experience, ownership, and prior company history.
- The startup’s operating history, product or service evidence, market assumptions, competitors, and material legal or regulatory issues.
- The exact use of proceeds, expected milestones, runway, and what happens if the round is not fully subscribed.
- Valuation method, capitalization information, investor rights, liquidation preferences, dilution, voting provisions, and any conversion terms.
- Minimum investment, fees, closing mechanics, transfer or resale restrictions, and circumstances in which you could lose the entire investment.
An offering memorandum can organize these facts, but it is not a regulator’s seal of approval. SEC guidance notes that such documents are generally not required for private placements and typically are not reviewed by a regulator. Missing, contradictory, or unusually vague answers are themselves diligence findings.

If the offer is made under Regulation Crowdfunding, confirm that the online intermediary is a registered funding portal or broker-dealer and review the prescribed offering information available through that intermediary. Use the platform’s own regulated route rather than sending money to a separate account supplied in a chat.
Crowdfunding rules and platform procedures can improve the information flow, but they do not make a startup safe. The SEC’s Regulation Crowdfunding investor bulletin highlights risks specific to early-stage companies:
- A product may never find a sustainable market.
- Valuing a young company can be highly uncertain.
- The investment may be illiquid, with no ready market for resale.
- Business development, execution, and financing risks can result in a total loss.
Read the offering information for the particular issuer and security. Do not infer that an exemption or platform process means the SEC evaluated the company’s prospects.

How can I tell if a startup fundraising offer is a scam?
Evaluate the pitch independently from the credentials of the person presenting it. Verify each material claim through records or sources you find yourself. A professional introduction, a well-designed presentation, or a group of enthusiastic investors is not independent confirmation.
Returns and risk
Guaranteed profits, unusually high returns, or “little to no risk” language conflicts with the economic reality of an early-stage private company. Ask what assumptions produce the projection, who prepared it, and what downside cases were modeled. Refusal to discuss failure scenarios is a warning sign.
Urgency and exclusivity
Pressure to wire funds before reviewing documents, claims that only a few places remain, and demands for secrecy reduce your ability to verify facts. A legitimate closing deadline does not prevent you from confirming the firm, issuer, payment instructions, and documents through independent channels.
Impersonation and regulator references
Compare email domains, phone numbers, names, and addresses with records you obtained independently. Be especially cautious when someone claims the SEC endorsed, approved, or guaranteed the opportunity; the SEC says it never endorses investments.
Social proof replacing evidence
Testimonials, celebrity or executive endorsements, screenshots, and a promoter’s personal wealth do not substitute for financial statements, terms, and issuer verification. Ask for the underlying evidence and check it outside the promoter’s network.

| Dimension | Questions to answer |
|---|---|
| Legal identity and contact route | Can you independently confirm the individual, firm, legal name, address, telephone number, and relationship to the offer? |
| Professional role | Does BrokerCheck or IAPD show the claimed role, firm, employment history, and disclosures? |
| Issuer and offering records | Does EDGAR or the applicable offering documentation match the issuer, exemption, amount, security, and dates? |
| Risk and economics | Are valuation, use of proceeds, investor rights, transfer limits, dilution, and total-loss risk clearly explained? |
| Conduct and plausibility | Are returns, urgency, exclusivity, and claims of regulatory endorsement plausible and independently supported? |
| Independent diligence | Can you obtain third-party financial, legal, market, or management checks rather than relying on the promoter’s testimonials? |
These dimensions help organize questions; they are not a guarantee that an investment is sound.
What a clean check does—and does not—prove
A regulator database can establish that a named professional or firm appears in that database and can reveal disclosed history. A Form D can show that an issuer made a notice filing associated with a Regulation D exemption. A registered crowdfunding intermediary can show that the intermediary meets a registration requirement.
None of those facts proves that the startup will succeed, that the valuation is fair, that the security is liquid, that the promoter is authorized to sell this particular offering, or that you will recover your money. Private startup investments can have limited disclosure and may be impossible to sell when you want to exit. Your decision must rest on the complete issuer and offering evidence, your ability to absorb a total loss, and advice from a qualified independent professional when appropriate.
If the details do not match
- Stop communicating about the transaction and do not send funds or identity documents.
- Preserve the original messages, headers, documents, payment instructions, websites, usernames, and telephone numbers.
- Recheck the person and firm through BrokerCheck, IAPD, EDGAR, and PAUSE using independently located links.
- Call the firm through its independently published contact route and ask whether the person and offering are genuine.
- For material financial exposure or complex securities terms, consult an attorney or investment professional who is not connected to the promoter.
If the promoter changes names, refuses basic documents, or insists that verification itself is disloyal, treat the offer as unsafe to pursue. Do not let money already spent on diligence or a claimed “reservation” fee pressure you into sending more.
Geography and changing records
This process is U.S.-focused and relies on SEC, Investor.gov, and FINRA-related resources. A person outside the United States must identify the applicable national or local securities regulator, adviser and broker databases, and offering rules; the U.S. records do not establish equivalent status elsewhere.
Live databases, warning lists, filing requirements, and firm details can change. Check the current entries immediately before signing or transferring funds, and save the date of each record you relied on.
