A tokenized Treasury is not verified merely because its blockchain balance equals a dollar value or its name mentions Treasury bills. Verification means tracing the token to its legal wrapper, matching dated reserve assets to outstanding liabilities, identifying who legally controls those assets, and testing the issuer’s actual redemption procedure. The following audit sequence shows what to request, how to read it, and what each piece of evidence does—and does not—prove.
What you are actually verifying
“Tokenized Treasury” describes a digital representation of an investment or claim connected to short-term U.S. government obligations. It does not by itself identify the holder’s legal rights. A product can be structured as a fund share, a note, a trust interest, a stablecoin-like payment claim, or another contract. The same-looking token can therefore have very different bankruptcy priority, transfer rights, redemption rights and tax treatment.

The blockchain record is only one layer. A transfer may update an on-chain balance while the legally authoritative ownership register remains with a fund administrator or transfer agent. Conversely, a wallet can display a balance without proving that the underlying assets are unencumbered, segregated, or available for your redemption. Your first task is to connect the token to the contract that governs your claim.
Fund share, debt claim or payment token?
Obtain the offering memorandum, subscription agreement, constitutional documents, governing law, transfer restrictions and insolvency provisions. Look for the exact term used for the holder: shareholder, noteholder, beneficiary, account holder or unsecured creditor. That term determines whether you own a slice of a pool, hold a promise from an issuer, or have a redemption claim subject to a separate reserve regime.

For example, Circle describes USYC as the on-chain representation of shares in Hashnote International Short Duration Fund Ltd. That is different from a token that is simply an unsecured promise to pay one dollar. IOSCO’s description of the BUIDL arrangement likewise discusses a permissioned tokenized-fund system in which off-chain fund records remain part of the ownership framework.
Which entity is responsible?
List every named party and its role: issuer, fund, investment manager, token administrator, custodian, sub-custodian, fund administrator, transfer agent, broker, auditor and redemption intermediary. Do not treat a well-known brand, a wallet address or a smart-contract deployer as a substitute for the legal entity named in the governing documents.
Record each entity’s jurisdiction and regulatory status as of your review date. A product can use one entity to issue or administer tokens, another to maintain the shareholder register and a bank or broker to hold securities. Your recovery route in a failure depends on those contracts, not on which logo appears on a product page.

Layer 1: establish the legal wrapper and ownership record
Build a one-page legal map before examining reserve numbers. It should answer five questions in plain language:
- What instrument does one token represent?
- Who is the issuer or fund, and under which law is it organized?
- What document creates the holder’s claim?
- Which record is legally authoritative when the blockchain and an administrator’s register differ?
- What transfer, investor-eligibility and jurisdiction restrictions apply?
Read the governing documents, not only the summary
Search the offering memorandum and subscription agreement for definitions of “share,” “unit,” “token,” “NAV,” “redemption,” “business day,” “default,” “insolvency,” “suspension” and “transfer.” Identify clauses that let the issuer delay or reject a transfer, require a whitelisted wallet, impose a minimum, or route all redemptions through an intermediary.
Check whether token holders have a direct claim on a segregated pool or only a contractual claim against the issuer. A statement that proceeds are “backed by” Treasury bills does not establish ownership, priority or access to those bills in an insolvency. Those rights must appear in the fund, trust or note documents and in the custody arrangements.
Confirm the authoritative register
Ask who records ownership and when that record changes. Circle’s USYC support material says the fund administrator updates the share registry on redemption, while transfer-agent-recorded shares are mirrored by ERC-20 tokens. That workflow means an on-chain transfer is one record in a larger legal and administrative system; it is not automatically the complete shareholder register.

For any product, obtain the reconciliation procedure: how frequently the administrator compares token supply with registered units, who investigates breaks, and what happens during a chain outage or reversal. A credible procedure identifies a responsible party and a correction deadline rather than simply saying that balances are “verified on-chain.”
Layer 2: match reserves to outstanding token liabilities
Reserve verification is a dated reconciliation, not a glance at an asset list. Obtain reserve evidence for the same measurement date as the outstanding-token figure. Record the quantity and type of every reserve asset, its issuer, maturity, valuation method, location, liens or other encumbrances, and whether it is legally segregated.
Use a reserve-to-liability worksheet
| Field | What to record | Why it matters |
|---|---|---|
| Outstanding tokens or units | Exact amount and measurement date | Sets the liability that reserves must cover |
| Asset inventory | Treasury bill, reverse-repurchase position, cash or other asset; issuer and maturity | Shows what “backing” actually consists of |
| Valuation | Price source, accrued interest and valuation time | Prevents a balance from being compared with an incompatible value |
| Encumbrances | Pledges, rehypothecation, repo obligations or other claims | Gross assets may exceed assets available to token holders |
| Segregation | Account title, legal owner and separation from issuer assets | Supports recovery if an issuer or intermediary fails |
| Reconciliation | Who matched assets to units, exceptions and resolution date | Tests whether the reserve report covers liabilities as well as assets |
Distinguish Treasury bills from repo exposure
A portfolio can contain Treasury bills directly or gain exposure through reverse repurchase agreements backed by short-term government securities. Those are not identical risks. For a repo position, identify the counterparty, collateral type, haircut, maturity, margining and rights on default. “Government-backed collateral” does not tell you whether the product has a perfected security interest, how quickly collateral can be liquidated or whether another creditor has priority.
Ask whether reserve assets can be lent, pledged or rehypothecated. Also check whether operating cash, fees, derivatives, taxes or other liabilities are deducted before holders are paid. A report that lists only gross market value cannot establish that each token is fully covered by unencumbered assets.
Apply the statutory disclosure benchmark carefully
For permitted payment stablecoins, 12 U.S.C. §5903 requires at least 1:1 identifiable reserves and monthly publication of outstanding units, reserve composition, average tenor and custody geography. The statute also requires issuers to publicly disclose their redemption policy. Use those fields as a practical checklist, but first confirm that the product is legally within that regime. A fund share or private note may be governed by different disclosure rules.
Compare the reporting date with your purchase date. A monthly statement can be stale during a rapid issuance or redemption period. Capture the exact timestamp, not just the month, and ask whether the reserve figure is point-in-time, average or continuously monitored.
Judge an attestation by scope and assurance
New York Department of Financial Services guidance calls for a CPA attestation covering reserve market value, outstanding units, whether reserves fully back units and compliance with reserve conditions. Treat that as a model for questions, while checking the product’s own legal regime. Read the CPA’s scope, procedures, independence statement, exceptions, valuation assumptions and whether the work is an examination, review or agreed-upon procedures engagement.

An attestation with no liability reconciliation, no treatment of encumbrances or no identification of custody accounts is incomplete for this purpose. The presence of a CPA name is not a guarantee that the assets are available to you or that the report covers the date on which you transact.

“Held in custody” is not a complete answer. You need to know which legal custodian holds the securities, whose name appears on the account, who can instruct transfers and how the assets are separated from the issuer’s property.
Map every custody role
| Role | Evidence to request | Question answered |
|---|---|---|
| Custodian bank or broker | Named entity, account structure and governing custody agreement | Who legally holds the securities? |
| Sub-custodian | Jurisdiction, appointment and oversight terms | Where can assets move outside the primary custodian? |
| Fund administrator | Unit register, NAV process and reconciliation reports | Who records liabilities and ownership? |
| Transfer agent | Share-register authority and redemption instructions | Who can cancel units and recognize a claimant? |
| Token administrator | Mint, burn, allowlist and key-management controls | Who controls the blockchain representation? |
Test segregation and insolvency language
Find the clauses describing segregation, beneficial ownership, set-off and the treatment of client assets if the issuer, custodian, administrator or token administrator becomes insolvent. Determine whether the holder has a proprietary claim to specific assets, a claim on a fund pool or an unsecured claim against an estate. “Bankruptcy remote” is meaningful only when the documents explain the vehicle, separateness covenants and enforcement rights.
Ask what happens if a custodian freezes an account, a transfer agent is unavailable or a blockchain key is compromised. A sound contingency plan identifies replacement service providers, backup records, authority to move securities and the order in which claims are processed.
Reconcile the off-chain and on-chain systems
Request the mint-and-burn controls, wallet allowlist policy, chain-support list, pause authority and audit-log retention. Circle says USYC wallets are allowlisted, tokens are minted against the current share price and the administrator updates the registry on redemption. Those controls reduce unauthorized transfers but also mean that a token may not be freely transferable to an unapproved wallet.

For permissioned systems such as the one IOSCO describes for BUIDL, ownership recording, client-wallet custody, whitelisted secondary transfers, dividend payment and redemption initiation are distinct functions. Confirm which event changes legal ownership and which merely moves a token between approved addresses.
Layer 4: verify redemption as an executable procedure
Do not settle for “redeemable at par” or “liquid.” Write the redemption rule as a transaction sequence and test every condition that could delay payment.

Capture the ten operational terms
- Eligible claimant: Identify whether only the registered holder, an approved institution, a non-U.S. person or a holder using a particular intermediary may redeem.
- Identity checks: Record KYC/AML, sanctions screening, tax forms and wallet-ownership evidence required before an instruction is accepted.
- Redemption currency: Confirm whether payment is in U.S. dollars, a stablecoin such as USDC, another currency or an in-kind transfer of securities.
- Price or NAV: Note the valuation point, accrued interest treatment, price source and whether the amount is fixed at instruction, acceptance or settlement.
- Cutoff: Record the time zone, business-day calendar and the consequence of missing the cutoff.
- Fees and minimums: List transaction, wire, conversion and intermediary charges, plus any minimum redemption size.
- Instant capacity: Determine the maximum amount eligible for immediate or one-block settlement and whether that capacity can change.
- Settlement window: State the expected block, same-day, T+0 or T+1 completion and what event starts the clock.
- Queue and suspension rights: Identify circumstances permitting a queue, pro-rata processing, gate, delay or complete suspension.
- Intermediary dependence: Establish whether the issuer accepts your instruction directly or only through a broker, platform or transfer agent.
Use the published USYC workflow as a reading example
Circle’s materials describe KYC/AML onboarding, an allowlist for wallets, minting at the current share price and registry updates when shares are redeemed. They also state that USYC redemptions below the product’s instant-redemption capacity settle in one block, while redemptions above that capacity settle T+0 or T+1, subject to eligibility and other terms. The practical lesson is not that every token has those timings; it is that a usable rule states the threshold, claimant conditions and settlement path together.
Ask what happens after you submit an instruction but before the administrator accepts it. Is the NAV locked? Can the request be cancelled? Does a chain congestion event change the settlement date? The answers belong in the redemption FAQ or governing documents, not in an assumption based on the token’s market price.
Secondary-market liquidity is not issuer redemption
A token trading near one dollar demonstrates only that buyers and sellers recently agreed on a price in that venue. It does not prove that the issuer will redeem it, that reserves are unencumbered or that a transfer is permitted for your wallet.
Separate these questions:
- Can an approved wallet transfer the token to another approved wallet?
- Can a venue match a buyer and seller?
- Can the issuer, fund or transfer agent cancel the unit and pay the claimant?
IOSCO’s BUIDL discussion describes permissioned issuance, ownership recording, client-wallet custody, whitelisted secondary transfers, dividend payment and redemption initiation. Those functions can operate on different schedules. A secondary exchange may remain open while direct issuer redemptions are queued, or direct redemption may be available even when no secondary buyer is present.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How to investigate failure and recovery scenarios
If the issuer fails
Return to the legal wrapper and segregation clauses. Determine whether a trustee, fund board, administrator or replacement manager can continue operations. If assets are owned by a separate fund and properly segregated, investors may have a route to those assets; if the token is an unsecured note, holders may instead join the issuer’s creditor pool. Do not infer priority from reserve language alone.
If the custodian fails
Check the custody account title, client-asset rules, sub-custodian arrangements and transfer procedures. A custodian’s failure can delay access even when the securities still exist. The documents should identify who reconciles positions, communicates with a receiver and instructs a transfer to a replacement custodian.
If the token administrator or key system fails
Find the pause, recovery and replacement-key provisions. Ask whether the off-chain register can establish ownership while token transfers are paused, and how duplicate or stale tokens are invalidated. A resilient design preserves the legal record and a path to redemption without relying on one private key or one blockchain endpoint.

If reserves fall short
Identify notice obligations, recapitalization rights, dilution or loss-allocation provisions and the order of payments. A 1:1 target does not itself explain who bears a shortfall caused by valuation losses, fraud, an uncollateralized counterparty or fees. The governing documents must supply that answer.
A practical document-request checklist
Send one written request and preserve the responses with their dates. Ask for:
- Current offering memorandum, subscription agreement and governing constitutional documents.
- Issuer, fund, administrator, transfer agent, token administrator, custodian and sub-custodian names and jurisdictions.
- Latest reserve report or attestation, including measurement date, assurance level, exceptions and valuation methodology.
- Outstanding-token or unit report matching the reserve date.
- Asset schedule showing Treasury bills, reverse repos, maturities, counterparties, collateral and encumbrances.
- Custody-account structure, segregation language and insolvency provisions.
- Mint, burn, allowlist, pause, key-recovery and off-chain/on-chain reconciliation procedures.
- Complete redemption policy with eligibility, KYC/AML, currency, NAV, cutoff, fees, minimums, capacity, settlement and suspension terms.
- Transfer restrictions, supported chains, wallet requirements and secondary-market rules.
- Regulatory registrations, notices and the date each document was last amended.
Comparing two tokenized Treasury products
Use identical questions and the same measurement date for every product. This prevents a polished disclosure for one product from being compared with a bare balance for another.

How to interpret market size and policy proposals
The U.S. Treasury Borrowing Advisory Committee estimated tokenized Treasury-fund market capitalization at approximately $2 billion in 2024 and named BUIDL and Franklin Templeton’s OnChain U.S. Government Money Fund among the largest projects. That figure is historical market context, not a safety score, reserve guarantee or liquidity promise.
A July 2026 submission to the SEC Crypto Task Force advocates 1:1 backing, regulated custody, regular independent audits and defined custody, redemption, bankruptcy and investor-recovery rules. It is a stakeholder submission, not binding law. Treat its recommendations as policy arguments and compare them with the rules that legally govern the specific product you are reviewing.
Red flags that should stop a purchase or trigger deeper review
- The issuer will not provide the legal wrapper or governing documents.
- Reserve figures have no measurement date or cannot be reconciled to outstanding tokens.
- An attestation omits liabilities, encumbrances, custody location or exceptions.
- The product names a wallet or oracle but not the legal custodian and account structure.
- “Instant redemption” has no capacity, cutoff, claimant or suspension definition.
- A secondary-market price is presented as proof of guaranteed issuer liquidity.
- Transfer-agent or administrator records are described as optional when the documents make them authoritative.
- Eligibility, jurisdiction or KYC rules appear only after you attempt to transact.
- Insolvency documents do not explain whether holders own assets or merely hold an issuer claim.
Final verification sequence
- Identify the legal instrument, issuer, governing law and authoritative ownership register.
- Obtain a dated reserve report and match identifiable assets to the same-date token liability.
- Strip out encumbered assets, repo obligations and other claims when assessing coverage.
- Name every custody and recordkeeping party, then read segregation and insolvency provisions.
- Trace minting, transfers, registry updates, burning and reconciliation across the off-chain and blockchain systems.
- Rewrite redemption terms as an executable checklist covering claimant, currency, NAV, cutoff, fees, capacity, settlement and suspension.
- Check current documents, administrator records, fees, supported chains and redemption notices on the date you act; product terms and capacities can change.
The decisive evidence is contractual and operational: a defined holder claim, dated and independently supported reserves, identifiable custody control, reconciled records and a redemption process that works for your eligibility category. A token balance, oracle price or active secondary market cannot substitute for those five links.
