How to Verify a Condo-Hotel Investment Before You Buy

By TheFinanceBase Team 10 min read

Verify a condo-hotel as three things at once: a real-estate title, a hotel operating arrangement, and—depending on how it is promoted and managed—a transaction that can raise securities-law questions. Do not rely on an advertised occupancy rate, gross-revenue figure, or promised return. Before paying a deposit, obtain the recorded property documents, every rental and management agreement, association financial records, and the lender’s project determination; then rebuild the income estimate from the contract’s actual deductions and your permitted personal use.

The exact answer depends on the property’s jurisdiction, ownership form, operator contracts, and financing program. Nevada and Florida rules cited below are examples, not nationwide standards.

Why a condo-hotel needs more diligence than an ordinary condominium

A conventional condominium usually gives you a deeded unit and an interest in common elements. A condo-hotel may add hotel licensing, front-desk and housekeeping services, a rental pool, an exclusive rental agent, limits on when you can occupy the unit, and rules controlling how rooms are marketed and priced. Those additions can change the economics, your practical control, resale prospects, and mortgage eligibility.

The sales presentation may focus on a room’s gross revenue or a projected annual return. Your result, however, depends on the amount left after management, booking, housekeeping, utilities, insurance, association charges, taxes, repairs, reserves, and periods when you use the unit yourself. The only reliable starting point is the signed agreement and the project’s records.

Step 1: Establish exactly what you are buying

Start with the legal identity of the asset, not the hotel brand or sales brochure. Ask for the recorded declaration and all amendments, the unit’s legal description, the proposed purchase contract, and the current title commitment or equivalent title report.

Confirm ownership and title

  • Determine whether the interest is a deeded condominium unit, a leasehold, or another form of ownership.
  • Check the legal description, unit number, percentage interest in common elements, parking or storage rights, and any shared facilities included in the purchase.
  • Review liens, easements, use restrictions, ground leases, and other title exceptions.
  • For a leasehold, identify the expiration date, renewal options, rent adjustments, reversion rights, and any redemption provisions.
  • Confirm whether the unit can be sold independently or only with an associated hotel or membership interest.

A mismatch between the sales materials and the recorded documents is a stop signal until a local real-estate lawyer explains it. Do not assume that a hotel name, a reservation number, or a right to receive room revenue proves ownership of the underlying real estate.

Check what the declaration permits

Read the declaration, bylaws, rules, and amendments for transient occupancy, minimum rental periods, commercial use, signage, pets, renovations, and access to amenities. Look for provisions that let the association or operator change rules, levy special assessments, or reserve portions of the property for hotel operations.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Step 2: Collect the complete disclosure package

Request the jurisdiction’s public-offering statement for a new sale or the resale package for an existing unit. Nevada’s condominium-hotel disclosure framework illustrates the type of information that may be required: governing documents, financial information, projected shared expenses, reserves, and rental-management terms. A different state may require different documents or deadlines.

Documents to obtain before your review

Document What to verify Warning signs
Declaration, bylaws, rules, amendments Use rights, rental restrictions, common-element obligations, assessment powers and amendment procedures Broad operator control, unclear voting rights, or rules that conflict with the sales presentation
Purchase contract and addenda Deposit conditions, cancellation rights, representations, closing costs and documents incorporated by reference Pressure to sign before receiving the disclosure package or blank schedules
Hotel-management agreement Services, term, renewal, termination, fees, reserves, insurance and control of rates and inventory Long irrevocable term, unilateral fee changes, or termination penalties you have not modeled
Rental-management or rental-pool agreement Mandatory participation, revenue formula, deductions, owner-use calendar and resale transfer “Net” is undefined, deductions are open-ended, or participation binds a future buyer
Budgets, financial statements and reserve information Operating expenses, reserve contributions, assessments, delinquencies and insurance Repeated deficits, underfunded reserves, large unpaid assessments or missing records
Inspection and condition records Structural, life-safety, roof, mechanical and building-envelope issues Unresolved defects, deferred maintenance or an upcoming major project

Ask for every amendment, side letter, schedule, fee sheet and operator policy. A summary sheet is not a substitute for the agreement that controls your rights.

Step 3: Map the rental and hotel contracts

Condo-hotel economics are contractual. Read the hotel-management agreement, rental-management agreement, rental-pool agreement, owner-use policy and all amendments together. Make a one-page map showing who controls each decision and who receives each dollar.

Questions the agreements must answer

  • Is rental participation mandatory? If optional, identify the election deadline, notice method, minimum term and consequences of leaving the program.
  • How is your share calculated? The formula may use gross room revenue, net revenue, a points system, or a pool-wide allocation. Define every term.
  • Which costs are deducted before distribution? List management, booking, marketing, housekeeping, credit-card, utilities, insurance, taxes, repairs, reserve and association charges separately.
  • Who sets rates and accepts bookings? Determine whether you can reject guests, set minimum rates, use outside channels, or inspect the operator’s records.
  • When may you use the unit? Record blackout dates, maximum nights, advance-booking windows, cleaning charges and whether owner stays receive rental credit.
  • What happens if the operator fails? Check default, cure, termination, replacement-manager and escrow provisions.
  • Does the contract bind a resale buyer? Nevada rules, for example, require disclosure when a rental-management agreement legally binds a purchaser on resale. Obtain the agreement and amendments, not merely a statement that a buyer “assumes the program.”
  • Who owns furniture and equipment? Determine replacement responsibility, depreciation treatment and whether a future assessment can fund hotel assets.

Have the operator identify the exact section supporting each answer. If a salesperson’s promise is absent from the written contract, treat it as unverified.

Step 4: Examine whether the promotion raises securities-law questions

The U.S. Securities and Exchange Commission’s Release 33-5347 distinguishes a real-estate sale from a sale coupled with collateral arrangements and managerial efforts. The release states: “The offer of real estate as such, without any collateral arrangements with the seller or others, does not involve the offer of a security.” It then explains that an investment contract may be present when real estate is offered with specified services or arrangements.

The classification is fact-specific; do not label every condo-hotel unit a security or assume none can be. Ask a securities lawyer to analyze the actual offering if the marketing emphasizes income from the promoter’s or a third party’s efforts.

Facts that deserve legal review

  • A rental pool that combines rooms and distributes returns according to a formula.
  • Promises that the promoter or hotel will generate profits, appreciation or a particular return.
  • Required availability of the unit for rental or use of an exclusive rental agent.
  • Material restrictions on your personal use that make the investment dependent on the operator’s activity.
  • Marketing that presents the purchase primarily as a passive income opportunity rather than a place you can use and control.

Preserve brochures, emails, webinars and the online listing that influenced you. They may matter when counsel compares promotional claims with the signed documents.

Step 5: Rebuild the income model from the contract

Build your own spreadsheet rather than copying a projected “net return.” Use the same assumptions for every project you compare and label each figure as historical, budgeted, projected or unknown.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A practical revenue waterfall

Line What to enter
Gross room revenue Room charges actually attributable to the unit or pool under the agreement
Operator and rental-management fees Base fees, percentage fees, minimum fees and renewal or technology charges
Distribution and booking deductions Booking commissions, marketing, credit-card processing and channel fees
Property operations Housekeeping, utilities, repairs, furnishings and replacement reserves
Association obligations Regular assessments, special assessments, insurance allocations and common-area charges
Taxes and owner-paid items Amounts the contract or local law assigns to you; obtain professional tax advice for the property’s jurisdiction
Owner distribution The amount the agreement actually pays after all applicable deductions

Do not treat gross revenue as income. A projection is not a guarantee, and a one-time promotion is not a recurring return. Nevada Administrative Code 116B.500 warns: “In making a decision whether to use your unit for transient rental purposes after executing a contract to purchase a unit, you should carefully evaluate all information provided to you by a rental management company or the hotel operator or an agent of the hotel operator.”

Model personal use and downside cases

Create at least three cases: the operator’s projection, a conservative case with lower occupancy or room rates, and a case that includes a major assessment or repair. Then vary the owner-use calendar. If your stays displace high-rate nights, the opportunity cost belongs in the model even when the operator does not show it as a fee.

Include the purchase price, closing costs, furnishing or improvement obligations, financing payments, reserves, insurance and expected resale costs. Keep property-level operating results separate from your personal tax position; tax treatment depends on facts and local law and cannot be inferred from a brochure.

Demand evidence for every material assumption

  • Ask for historical monthly occupancy, average daily rates, gross room revenue and owner distributions, if available.
  • Reconcile any sample statement to the contract’s fee schedule.
  • Compare projected shared expenses with association budgets and reserve contributions.
  • Identify whether figures cover the whole hotel, a subset of units, or the exact unit you are buying.
  • Mark missing data as unknown rather than filling it with an industry average.

No reliable market-wide occupancy, return or appreciation figure is established here. A generic industry statistic cannot prove that a particular building or unit will perform.

Step 6: Review association finances, reserves and physical condition

The association can be economically as important as the rental operator. Request recent financial statements, approved budgets, reserve studies, inspection reports, insurance declarations, litigation disclosures, delinquency reports, board minutes and notices of proposed or approved assessments.

What to look for

  • Regular assessments that do not appear to fund expected replacement cycles.
  • Special assessments, payment plans, construction defects or unresolved insurance claims.
  • Large owner delinquencies that shift costs to paying owners.
  • Insurance exclusions, high deductibles or coverage that does not match the building’s risks.
  • Inspection findings involving structure, balconies, roofs, elevators, fire systems or water intrusion.
  • Restrictions that let the hotel operator reserve common areas or impose operating charges.

Florida’s 2025 resale-disclosure statute illustrates the breadth of records a state may require, including association financial statements, budgets, inspection summaries and, where applicable, structural-integrity reserve studies. Apply only the law of the property’s location; Florida’s requirements are not a national checklist.

Step 7: Confirm mortgage eligibility before relying on financing

Ask your intended lender to review the actual project documents before you waive a financing contingency or assume a conventional loan will be available. A lender’s decision can depend on the project, not just your income and credit.

Fannie Mae’s guide identifies characteristics relevant to project ineligibility under its rules, including hotel or resort licensing, daily or short-term hotel services, required or voluntary rental-pooling or revenue-sharing arrangements, restrictions on occupancy, and marketing the purchase as an investment opportunity. These are Fannie Mae criteria, not a complete statement of every lender’s policy.

Financing question Evidence to provide the lender
Is the project operated as a hotel or resort? Licenses, operator agreements, unit-use rules and project description
Are hotel services provided to owners or guests? Front-desk, housekeeping, food-service and daily-rental policies
Is rental pooling required or available? Rental-pool agreement, allocation formula and owner-use restrictions
Is the purchase marketed as an investment? Offering materials and promotional language
Are there project-level financial or insurance issues? Budgets, reserves, assessments, litigation and insurance documents

Get the lender’s project determination in writing. If the project is ineligible for your preferred program, compare the cost, term, down payment and prepayment conditions of any alternative loan only after confirming that the alternative lender has reviewed the same documents.

  • Comfortable Non-Slip Grip:The ergonomic pen barrel has a soft rubberized coating for a comfortable, non-slip grip, so you won't get fatigued even after long hours of writing.

Step 8: Compare candidate projects on identical assumptions

When choosing among units, use one worksheet and one set of assumptions. A project with a lower advertised price can be more expensive after fees, assessments, financing and restricted personal use.

Comparison axis Questions to answer
Title and ownership Deeded or leasehold? What rights and obligations attach to the unit and common elements?
Rental participation Mandatory or optional? Can you leave, and what happens to owner use and resale?
Operator control Who sets rates, controls inventory, keeps records and can change fees?
Contract term and exit How long is the agreement, how can it end, and does it bind a buyer?
Net distribution What remains after every contractual and association deduction?
Reserves and condition Are inspections, reserves, insurance and assessments adequate for known needs?
Financing Has the intended lender approved this exact project and ownership structure?
Legal status and marketing Do promotional claims and passive-income features warrant securities counsel?

Do not compare one project’s gross revenue with another project’s net distribution, or one project’s unrestricted owner use with another’s blackout calendar.

Professional review and decision gates

Use independent professionals who do not represent the seller, operator or promoter. Nevada materials specifically identify an attorney or accountant as examples of competent professionals who can assist with rental-management information.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Before signing or paying a nonrefundable deposit

  • A local real-estate attorney has reviewed title, the declaration, amendments, purchase contract and rental agreements.
  • An accountant has checked the revenue waterfall, fee deductions, reserves and assumptions.
  • If the offering is return-focused or heavily managed, a securities lawyer has assessed the promotional structure.
  • The lender has reviewed the project and confirmed the intended loan program in writing.
  • You have received association records, inspection information and insurance details.
  • Every verbal promise that matters appears in a signed document.

Walk away or renegotiate when

  • The seller will not provide the complete agreements or amendments.
  • The operator refuses to define “net,” disclose deductions or provide supporting statements.
  • Owner-use limits make the unit unsuitable for your purpose.
  • Reserves, insurance or inspections reveal liabilities you cannot price.
  • Financing is uncertain and the contract offers no practical financing contingency.
  • Marketing promises a return that the documents cannot support.

What verification can—and cannot—tell you

Document review can establish your legal rights, required rental participation, fee formula, owner-use limits, assessment exposure and whether a lender will consider the project. It cannot guarantee occupancy, room rates, appreciation, distributions, tax results or the operator’s future performance. Those outcomes remain uncertain even when the paperwork is complete.

The defensible purchase decision is therefore not “the brochure says the return is X.” It is a documented conclusion that you understand the ownership, can survive the downside case, accept the use restrictions, and have independent confirmation of legal and financing issues.
