The signed promissory note, mortgage or deed of trust, and program agreement—not the program’s marketing label—determine whether mortgage assistance is free, conditionally forgiven, or eventually repayable. A grant generally creates no repayment obligation. A forgivable loan is a debt that can be canceled under stated conditions or on a schedule. A deferred-payment loan postpones what you owe; it does not, by itself, erase the balance.
Read all of the documents together before you accept funds. Look for a debt and lien, interest, the forgiveness schedule, occupancy and ownership requirements, and every event that can make the balance due.

The three legal categories
Government and nonprofit housing programs use different labels for assistance. The same phrase—such as “down-payment assistance,” “second mortgage,” or “deferred loan”—can describe very different obligations. The classification below is a starting point, not a substitute for the signed documents governing your particular program.
Grant
In HUD’s description of HOME program assistance, a grant has no repayment requirement or expectation. If your award is truly a grant, the agreement should not create a debt, a promissory note, or a repayment lien. A document that calls the money a “grant” but requires you to sign a note or allows the provider to record a lien needs closer review; the legal instruments may make it a loan instead.

Grant rules can still include eligibility, income, property, or compliance conditions. Those conditions do not automatically turn the award into a loan, but you should identify what happens if a condition is breached. Ask the administrator to point to the exact clause that describes any recapture or repayment obligation.
Forgivable loan
A forgivable loan starts as a loan. It may be secured by a subordinate mortgage or deed of trust, and it can carry interest even if no monthly payment is required. Forgiveness occurs only when the written conditions are met. Some agreements cancel the entire balance at a stated date; others forgive portions over a schedule.
Typical conditions include keeping the property as your principal residence, retaining ownership, and satisfying program requirements for a defined period. The Consumer Financial Protection Bureau’s Regulation Z examples describe subordinate-lien assistance that is forgiven when specified ownership and occupancy conditions are met. Those examples illustrate permissible structures; they are not universal terms for every local program. See the CFPB’s Regulation Z exemption guidance.
Until the forgiveness date or each scheduled installment of forgiveness, the unforgiven amount remains an obligation. A sale, transfer, refinance, move-out, or another breach can cause some or all of that amount to become due, depending on the agreement.
Repayable deferred-payment loan
A deferred-payment loan delays payments rather than eliminating the debt. HUD’s HOME guidance explains that deferred loans can be either forgivable or repayable and are generally secured by property or other collateral. A repayable version may require payment when you sell or transfer the property, stop using it as your principal residence, refinance, or reach a fixed maturity date.

No monthly bill does not mean no balance. Principal can remain outstanding for years, and interest may accrue according to the note. The exact due date, interest method, and triggering events must come from your documents.
Quick comparison
| Type of assistance | What happens to the money | When payment may be required | What to verify |
|---|---|---|---|
| Grant | HUD describes a grant as having no repayment requirement or expectation. | A repayment clause or recapture condition would need to be identified in the written agreement. | Whether you signed a promissory note or lien instrument and whether any compliance breach creates a debt. |
| Forgivable loan | The funds are structured as a loan, with forgiveness at a stated time or incrementally if the conditions are satisfied. | Before forgiveness is complete, a triggering event or unmet condition can make the remaining balance due. | Forgiveness schedule, principal-residence and ownership rules, interest, lien, and acceleration events. |
| Repayable deferred loan | The funds remain a debt even though regular payments are postponed. | Examples include sale or transfer, a change in principal residence, or the end of a fixed period. | Due-on-sale and transfer language, refinance treatment, move-out rules, maturity date, interest, and payoff procedure. |
These categories are based on the structures described by HUD and the CFPB. A local program can combine features, so classify your offer from its own note and agreement rather than from a brochure or a verbal description.
How to classify your own assistance documents
Collect every document you received at application, approval, and closing. At minimum, this usually means the promissory note, mortgage or deed of trust, and a separate program agreement. Read them as one package because a marketing summary may omit the clause that controls repayment.
- Find the document that creates the obligation. Search for a promissory note, loan agreement, mortgage, deed of trust, security instrument, or subordinate lien. A signed promise to repay or a recorded security instrument indicates loan treatment even when payments are deferred.
- Confirm the principal and interest terms. Record the original principal, interest rate, whether interest is simple or otherwise calculated, and whether interest accrues while payments are deferred. If the paperwork says interest is zero, confirm that no separate fee or charge is added to the payoff.
- Locate the forgiveness clause. Look for words such as “forgiven,” “deferred forgiveness,” “annual forgiveness,” “forgiveness period,” or “reduction of principal.” Determine whether the entire amount is canceled at one date or whether a percentage or dollar amount is forgiven over time.
- List every condition attached to forgiveness. Note requirements to occupy the home as your principal residence, keep ownership, maintain the property, remain within an income category, or comply with other program rules. Write down when the condition starts and ends.
- Mark each event that can make the balance due. Check separate sections for sale, transfer of title, refinance, death, divorce, moving out, conversion to a rental, failure to maintain insurance or taxes, default on the first mortgage, and a fixed maturity date. Do not assume that an event is harmless because it is not called a “sale.”
- Check the lien and release process. Identify whether the assistance provider records a subordinate lien, how priority works, and who issues a satisfaction or release after payoff or forgiveness. A lien can affect a refinance or a later sale even when the assistance has no monthly payment.
- Compare documents for conflicts. If the program agreement describes forgiveness but the note says the full principal is due at maturity, ask which clause controls and request a written amendment or clarification before signing. Keep the final signed versions and any recorded instrument.
If a term is unclear, ask the program administrator to explain it in writing. For a substantial balance, a housing attorney or HUD-approved counselor can help you understand how the documents interact; do not rely on a salesperson’s summary.
What “deferred” really means
“Deferred” describes payment timing, not the final outcome. A deferred loan can end in forgiveness, or it can require a payoff later. The note may show no monthly installments while still stating that the principal is secured by a subordinate lien and becomes due at a specified event or date.

For example, an agreement might postpone payment until you sell the home. Another might defer payment for a fixed period and then require a balloon payoff. A third might forgive one portion each year while the remaining portion stays due if you leave early. Only the written schedule distinguishes these structures.
Recommended Free Tools
Ask for a payoff illustration based on the events most likely to affect you: selling in a few years, refinancing, moving to another primary residence, or reaching the maturity date. The provider should be able to identify the balance, accrued interest, and any forgiveness that would have vested by each date.
Conditions that commonly control forgiveness
Principal residence
Many assistance agreements require the financed property to remain your principal residence. A move-out, extended absence, or conversion to a rental can stop future forgiveness or accelerate the unforgiven balance. The definition of “principal residence,” permitted absences, and documentation requirements vary, so read the agreement’s wording rather than relying on ordinary usage.
Ownership
Forgiveness can depend on retaining title for the full affordability or compliance period. Adding or removing an owner, transferring the property into a trust, divorce-related transfers, and other title changes may be treated as transfers. Check whether the provider must approve a change before it occurs.
Time-based vesting
A schedule can forgive the same amount each year, a different amount at different milestones, or the entire balance after a stated period. Identify the exact anniversary or calendar date, whether the first period is prorated, and what happens if a triggering event occurs between scheduled forgiveness dates.

Other program duties
The agreement may impose duties beyond occupancy and ownership, such as maintaining taxes, insurance, habitability, or compliance with resale restrictions. A breach can affect forgiveness even when your first mortgage is current.
Events that can create a payoff obligation
HUD discusses sale or transfer and repayment at the end of a fixed period as examples for deferred assistance. CFPB Regulation Z examples also address forgiveness tied to ownership and occupancy and deferral until events such as a sale or a change in principal residence. Treat these as examples of possible structures, not a checklist that applies automatically to every program.
- Sale: The provider may require repayment from the sale proceeds, or it may forgive the balance if the required period has ended.
- Transfer: A deed transfer, addition of an owner, or other change in title may trigger repayment even without a conventional sale.
- Refinance: A new loan can change lien priority. The assistance provider may require payoff, subordination approval, or proof that the refinance meets program rules.
- Change in principal residence: Moving out can end eligibility for future forgiveness and make the remaining amount due.
- Fixed maturity: A note can set a date when the full principal and any accrued interest are payable regardless of whether you have sold.
- Default or breach: Failure to meet a stated condition can accelerate repayment. The agreement controls which breaches matter and whether there is a cure period.
Before any sale, refinance, or move, request a written payoff or forgiveness calculation. Ask how much has vested, what remains, and which documents will release the lien.

| Repayment requirement | Is the amount a grant, a forgivable loan, or a debt that remains repayable? What event or date ends the obligation? |
| Principal and interest | What is the original principal? Is interest charged or accrued, and how is it calculated? |
| Lien status | Will a mortgage or deed of trust be recorded? Is it subordinate to the first mortgage, and what is required for release? |
| Forgiveness timing | Is forgiveness immediate, all at once after a period, or incremental? What date starts the schedule? |
| Conditions | Must you maintain ownership, occupy the property as your principal residence, or satisfy other program rules? |
| Acceleration events | What happens after a sale, transfer, refinance, move-out, default, or maturity date? |
| Payoff mechanics | Who calculates the balance, how much notice is required, and how is the lien released after payment or forgiveness? |
A program with no monthly payment can still be more expensive than one with a modest payment if its balance is repayable and your plans require a sale or refinance before forgiveness. Conversely, a forgivable loan may provide substantial value if you can satisfy every condition for the full period. The right comparison depends on your expected ownership period and the risk of each triggering event.

Questions to ask before signing
- Does this agreement create a debt and a recorded lien?
- What is the exact principal, interest rate, and payoff balance if I sell after one, three, or five years?
- Is forgiveness automatic, or must I submit proof or request a release?
- What percentage or amount is forgiven on each date?
- What happens if I refinance without taking cash out?
- Does adding a spouse or transferring title to a trust count as a transfer?
- How is “principal residence” defined, and how long can I be away?
- What happens if I rent the property, separate from a co-owner, or experience a financial hardship?
- Who must approve a sale or refinance, and how much lead time is needed?
- What office issues the payoff statement and lien release?
Request answers by email or in an amended agreement. Keep the approval letter, closing disclosure, note, security instrument, program agreement, and any later notices together.
If you are worried about making the first-mortgage payment
Mortgage assistance and first-mortgage servicing are separate obligations. If you may miss a payment, contact your mortgage servicer promptly and ask what loss-mitigation options are available. The CFPB also recommends contacting a HUD-approved housing counseling agency. Its consumer guidance is available at “If I can’t pay my mortgage loan, what are my options?”
Be cautious of anyone who guarantees a mortgage modification, tells you to stop communicating with your servicer, or directs you to send payments to a person or company other than the servicer. Do not sign over title or pay an upfront fee merely to have someone read a program agreement. A HUD-approved counselor can help you identify legitimate options and organize the documents.

Use this checklist immediately before accepting funds or closing:
- The documents identify whether the assistance is a grant or creates a loan and lien.
- The principal and interest treatment are clear.
- The forgiveness date or schedule is written in exact terms.
- Ownership and principal-residence requirements are defined.
- Sale, transfer, refinance, move-out, default, and maturity consequences are listed.
- You know whether the balance can grow through accrued interest.
- You know how to obtain a payoff calculation and lien release.
- You have written answers to any conflict between the note and the program agreement.
The practical rule is simple: classify the assistance from the enforceable note, security instrument, and agreement. “Free,” “deferred,” and “forgivable” are conclusions you can reach only after checking the repayment clause, forgiveness conditions, and triggering events that apply to your home.
