Switching from a mutual fund distributor to a fee-based adviser is primarily a change in your advice relationship—not an instruction to sell every mutual fund you own. First appoint and verify the new adviser, then review each holding, SIP and transaction separately. Some regular-plan units may be worth retaining; others may justify a switch to a direct plan after checking taxes, exit loads, suitability and service arrangements.
In India, a SEBI-registered investment adviser generally charges the client for personalized advice, while a mutual fund distributor is compensated through commissions linked to fund distribution. Direct and regular plans are different plan options within a scheme, not automatically different investment strategies. A careful transition keeps those decisions separate so that an adviser change does not accidentally trigger unnecessary costs.

What changes when you move from a distributor to a fee-based adviser?
A mutual fund distributor helps investors purchase mutual fund products and receives distribution compensation from fund houses. A fee-based investment adviser provides personalized recommendations under an advisory engagement and charges the client according to written terms. The exact service, fee basis, review frequency and implementation support depend on the agreement you sign.

- Who advises you: whether you continue with a distributor or engage a SEBI-registered investment adviser.
- Which plan you hold: whether a particular scheme is in its regular plan or direct plan.
- What transactions occur: whether to retain, redeem or switch existing units and how future investments are made.
Changing the first item does not automatically require changing the second or third. You can appoint a new adviser while retaining some regular-plan holdings, and you can change future SIPs without immediately moving accumulated units.

Regular plans, direct plans and advice are not the same thing
How regular and direct plans differ
Both plans belong to the same mutual fund scheme and generally follow the same stated investment objective and portfolio. A regular plan is distributed through an intermediary and includes distribution costs in its expense structure. A direct plan is purchased without a distributor and therefore has no distributor commission; AMFI explains that this usually results in a lower expense ratio. The difference varies by scheme and over time, so there is no universal rupee saving or fixed percentage that applies to every fund.
A lower expense ratio can improve the amount that remains invested, but it does not guarantee higher returns. Fund selection, asset allocation, risk, market performance, taxes and investor behavior still matter. Direct plans are most suitable for investors who can select and monitor funds themselves or who are willing to obtain personalized advice separately from a registered adviser.
What a fee-based adviser does
A fee-based adviser may help with goals, asset allocation, fund selection, risk assessment, reviews and a transition plan. Whether the adviser executes transactions for you or only provides recommendations must be stated in writing. The adviser should also explain conflicts of interest, the fee basis and the services included. Do not rely on labels such as “fee-only,” “independent” or “wealth adviser” without checking the legal registration and compensation arrangement.

Step 1: Build a complete inventory before ending the old relationship
Download current account statements, capital-gains reports and transaction records before giving cancellation instructions. Create one line for every holding and every recurring instruction.
| Record | What to capture | Why it matters |
|---|---|---|
| Scheme and folio | AMC, scheme name, folio number and account holder | Prevents a transaction being applied to the wrong account |
| Plan and option | Regular or direct; growth or payout option | Plan changes and payout choices can have different consequences |
| Units and value | Units held and approximate current value | Allows a holding-by-holding review |
| Purchase history | Transaction dates, amounts and cost basis where available | Needed to assess holding periods and potential gains |
| Restrictions | Lock-in, pledge, lien or other restriction | May prevent an immediate redemption or switch |
| Recurring activity | SIP, STP, SWP, mandate and next debit date | Stops an old instruction from continuing unintentionally |
Keep copies of the statements even if the new adviser imports data into a portal. Records are useful for checking recommendations, proving what you authorized and preparing tax filings.

Step 2: Verify the prospective adviser
Take investment advice only from a properly registered adviser. Confirm the person or entity’s SEBI registration through SEBI’s current official investor and intermediary resources, and make sure the legal name on the registration matches the agreement and invoices you receive.
Before signing, request a written engagement that answers these questions:
Recommended Free Tools
- What advice is included: a one-time plan, ongoing reviews, implementation help, or another defined service?
- How is the fee calculated and billed—flat amount, percentage, periodic retainer or another basis?
- What review frequency and communication channels are included?
- Will you transact directly, or will the adviser assist with execution?
- How are conflicts disclosed and managed?
- What happens if either party terminates the engagement?
- Which services are excluded, such as tax filing, legal advice or insurance distribution?
Current fee limits, permitted fee modes and other regulatory requirements should be checked against the applicable regulations rather than inferred from a marketing page. Obtain the actual fee schedule and disclosures in writing.
Step 3: Compare advisers on substance, not slogans
Use the same questions with every candidate. A lower quoted fee is not necessarily better if the service is limited or unsuitable for the support you need.
| Comparison point | What to verify | Warning sign |
|---|---|---|
| Regulatory status | SEBI registration and the legal entity providing advice | Registration number is missing or cannot be verified |
| Compensation | Client-paid fee, amount, billing schedule and conflict disclosures | Unclear fees or pressure to buy a particular product |
| Scope | Deliverables, review schedule and response times | Promises of “complete management” without defined work |
| Implementation | Whether you transact yourself and how direct plans are selected | You are asked to authorize unexplained switches |
| Transition method | How taxes, exit loads and holding periods will be assessed | Advice to move everything immediately without a review |
| Investor support | Education, documentation and assistance appropriate to your experience | Returns are presented as guaranteed or risk-free |
Step 4: Request a holding-by-holding recommendation
Give the adviser your inventory and require a written rationale for each regular-plan holding. The possible outcomes are not limited to “keep” or “switch.” A holding may be retained temporarily, redeemed and replaced, switched after a specified date, or left untouched while future contributions change.

Questions for every regular-plan unit
- Does the scheme still fit the goal, time horizon and risk level?
- Is the regular plan providing a service you actually use?
- What is the current direct-plan expense ratio and how does it compare with the regular plan for this scheme?
- Would a switch create a capital gain or loss based on the actual purchase lots?
- Does the scheme impose an exit load on the proposed transaction?
- Are any units locked in or otherwise restricted?
- Would selling or switching disturb a goal, withdrawal plan or asset allocation?
Do not assume all schemes use the same exit-load schedule, holding period or tax treatment. Check the scheme’s current information document and transaction terms. A scheme-specific example cannot be treated as a tariff for every mutual fund.

A regular-to-direct change is normally implemented as a switch or redemption and a fresh purchase, not as a free administrative relabeling. SEBI investor material warns that capital-gains tax and applicable exit load may arise. The result depends on the fund, purchase lots, holding periods, transaction date and your individual tax position.
Tax review
Ask a qualified tax professional to calculate the likely consequence before placing the instruction. Provide the professional with transaction dates, cost basis, units, prior redemptions and any loss carry-forward information that may affect the calculation. Do not rely on an estimate based only on the current account value.
Exit-load review
Read the current scheme information document and the applicable load schedule for the exact plan and transaction. Some funds may charge a load only when units are redeemed within a specified period; others may have different rules or exemptions. Confirm the amount with the AMC or registrar before authorizing a switch.
Timing and market risk
A switch can create a period in which one transaction has completed while the replacement purchase has not, or in which prices move between orders. Ask how the adviser will sequence the transactions, but do not treat a proposed sequence as a guarantee of a particular market price or return.

Step 6: Decide separately what to do with future SIPs
Future contributions can be changed independently from accumulated units. Discuss whether new SIPs should be started in direct plans, continued in existing regular plans temporarily, paused, or redirected to a different scheme that better fits your plan.
- List every active SIP, STP and SWP, including mandate details and debit dates.
- Confirm which plan and option each new instruction will use. A fund name alone may not reveal whether the instruction is regular or direct.
- Obtain written confirmation of the intended amount, frequency, start date and end date.
- Cancel or modify old instructions only after confirming the replacement process and allowing for processing time.
- Check the first statement and bank debit after implementation.
If you transact directly while receiving advice, document who selects the fund, who places the order and who monitors the result. An adviser’s recommendation does not remove your responsibility to verify the plan and amount shown on the transaction confirmation.
Step 7: Execute the transition carefully
Before submitting an instruction
- Read the switch or redemption form, including plan, option, units and destination scheme.
- Check exit-load and tax assumptions against current documents.
- Confirm bank details, folio number and mode of holding.
- Keep the adviser’s recommendation and your authorization together.
After submission
- Save the order acknowledgement or transaction reference.
- Review the AMC or registrar confirmation when the transaction is processed.
- Check that the units, plan, option and amount match the authorization.
- Download the updated statement and preserve it with tax records.
- Verify that old SIP, STP or SWP instructions have stopped or changed as intended.
If the result differs from what you authorized, contact the relevant AMC or registrar promptly and notify the adviser. Use the applicable grievance process if the discrepancy is not corrected.

Moving everything immediately
An adviser change does not establish that every holding should be switched. Immediate liquidation can create avoidable tax, exit-load and market-timing consequences. Require a separate decision for each scheme.

Choosing only on the promise of lower expenses
Direct plans reduce distribution costs, but a lower expense ratio does not compensate for unsuitable funds, poor diversification or decisions you cannot maintain. Match the plan to your capability and the advice service you will actually use.

Assuming a new adviser automatically controls old accounts
Advisory authority, transaction access and distributor arrangements are separate. Confirm exactly what the adviser can do and what remains your responsibility.
Ignoring recurring instructions
An old SIP can continue after the relationship changes. Include every mandate in the inventory and verify the first post-transition debit.
Relying on verbal promises
Fees, scope, conflicts, review frequency and implementation responsibilities should appear in the written agreement. Keep invoices and recommendations as well as transaction confirmations.
How to tell whether a fee-based arrangement fits you
A fee-based adviser can be useful when you need personalized asset-allocation decisions, help coordinating multiple goals, behavioral coaching or an independent review of existing holdings. It may be less useful if you only need occasional factual assistance and can select and monitor funds competently on your own.
Ask yourself:
- Do I understand the risk and time horizon of each goal?
- Can I compare schemes and monitor changes without abandoning the plan during market stress?
- Will I follow a written process for rebalancing and new investments?
- What specific work will justify the fee I will pay?
AMFI’s investor guidance presents direct plans as an option for investors with adequate knowledge and capability, or for investors willing to obtain professional advice from a registered adviser for a fee. That guidance does not mean every investor should self-manage or that direct plans guarantee superior performance.
Records to retain after the switch
- Old and new adviser agreements and fee schedules
- SEBI registration details checked at the time of appointment
- Portfolio inventory and written recommendations
- Switch, redemption and purchase confirmations
- Updated statements and capital-gains reports
- Tax calculations and professional advice received
- Invoices and proof of advisory-fee payments
- Changes or cancellations to SIP, STP and SWP mandates
Rules, taxes, scheme expenses, exit-load schedules and adviser terms can change. Recheck the relevant documents when you make a later transaction rather than relying on an old statement or earlier recommendation.
A practical decision framework
| Your situation | Reasonable next question |
|---|---|
| You are satisfied with the scheme but not the distribution relationship | Can the holding remain while future investments are handled under the new advisory arrangement? |
| You want lower ongoing costs and can manage implementation | Would a direct plan be suitable after reviewing tax, exit load and service needs? |
| You are unsure whether a fund fits your goals | What does the adviser recommend for this specific holding and why? |
| You have many purchase lots or a large unrealized gain | What is the tax-efficient sequence, and should any change be deferred? |
| You need hands-on execution support | Does the written engagement include that support, and who remains responsible for order accuracy? |
The safest transition is deliberate: verify the adviser, document the service, inventory the portfolio, review each holding, assess transaction costs, decide on future contributions, and confirm implementation. There is no universal requirement to move every regular-plan unit or to do so on one date.
