Pause, identify who is speaking, check the person or firm through U.S. regulatory tools, compare the company’s claims with current public filings, examine compensation and ownership, and ignore pressure to act before you can verify the facts. Guaranteed returns, “inside” information, unsolicited messages, anonymous group chats, impersonation, and requests for trade screenshots are strong warning signs.
The process below is designed for U.S. investors and U.S. databases. A registration check can reveal background information, but it cannot make a particular recommendation safe or profitable.

What a stock tip can—and cannot—tell you
A tip is a lead. It is not proof of a company’s prospects, a prediction of its share price, or approval from a regulator. The person sending it may be sincere, mistaken, paid to promote the security, or attempting to manipulate the market. Even a message containing accurate facts can omit risks, use stale information, or present a conflict of interest.
Make the default decision “not yet.” Do not place an order until you can independently answer four questions:

- Who is making the recommendation, and is that identity genuine?
- What has the company actually disclosed about its business and finances?
- How does the promoter benefit if you buy?
- Does the pitch depend on urgency, popularity, or promises that cannot be verified?
The Securities and Exchange Commission (SEC) has stated: “Investors should never make investment decisions based solely on information from social media platforms or apps.” That warning applies equally to texts, messaging groups, forums and newsletters that recycle social-media claims.
Red flags that should stop an immediate purchase
No single signal proves that a recommendation is fraudulent. Several signals together, however, justify ending the conversation and doing independent checks before considering any investment.
Guaranteed gains paired with little or no risk
Every investment involves risk. Promises of a specific high return, a “can’t lose” trade, or a claim that downside is protected are classic fraud warnings identified by the SEC. Do not convert a promoter’s promised return into your own expected return. Ask what could make the investment lose money and whether that risk is described in a current filing.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesUrgency, scarcity and fear of missing out
“Act now,” “before everyone finds out,” “last allocation,” and “once-in-a-lifetime” language is designed to crowd out checking. A legitimate opportunity should survive a pause long enough to review the issuer, the promoter and the evidence. If a deadline prevents you from verifying basic facts, let the opportunity pass.
Unsolicited contacts and investment group funnels
An unexpected direct message, text or online advertisement may invite you to an “investment club” or encrypted group. A stranger may first mention familiar, heavily followed stocks to build credibility, then steer members toward a smaller or less familiar company. Group agreement is not independent confirmation: one person can operate multiple accounts or aliases.

Impersonation and almost-correct credentials
Scammers copy a real professional’s photograph, logo, biography and website. Compare account names, email domains, telephone numbers and web addresses character by character. A link to a genuine firm website does not prove that the account contacting you is controlled by that firm. Never use contact details supplied only by the promoter to verify the promoter.
Anonymous “insider” claims and manufactured popularity
Posts promising an imminent contract, clinical result, acquisition or government decision need evidence from the company or an authoritative filing. Multiple aliases can make a small campaign look like broad investor interest. Popularity is not verification.

Requests for screenshots, credentials or identity data
FINRA identifies requests for a screenshot proving that you executed a trade as a common scam tactic. A stranger does not need to see your account, position size, account number, tax identification number or login information. Do not send those items, even if the request is framed as proof that you are eligible for a “special” allocation.
Fees to recover money you already lost
After a loss, a second person may claim to be a regulator, lawyer or recovery specialist and demand an upfront fee. Treat unsolicited recovery offers as a new fraud attempt. Regulators do not require a private stranger to collect a fee before you can report a suspected scam.
A calm, step-by-step verification workflow
Use this sequence whenever a tip comes from a person or source you do not already know and trust. The resources named here—Investor.gov, FINRA BrokerCheck and SEC EDGAR—are U.S. tools; investors elsewhere should use their own securities regulator and company-filing system.

- Pause and preserve the message. Do not click a trading link or transfer money while the pitch is active. Save the text, post, email headers, account handle, phone number and any claimed deadline. A screenshot can document the solicitation, but never send that screenshot to the promoter.
- Identify the speaker. Write down the person’s full name, firm, role, claimed license and the exact security being recommended. Search the person and firm in Investor.gov and FINRA BrokerCheck. Review whether the registration or license is current and read the available disciplinary history. A matching name is not enough; impersonation is common, and two people can share a name.
- Confirm identity through an independent channel. Find the firm’s contact information from its own public records or its Client Relationship Summary (Form CRS), not from the message. Call or email using that independently obtained information and ask whether the person and account are genuine. Do not rely on a phone number, QR code or link supplied by the unknown contact.
- Define the claim precisely. Separate verifiable statements (“the company filed a quarterly report”) from forecasts (“the price will double”) and rumors (“a major contract is imminent”). Record the date, time frame, exchange or ticker, and any promised return. Vague claims are difficult to test and should not be treated as evidence.
- Check the issuer in SEC EDGAR. Read the latest annual and quarterly reports, current reports, registration statements and material exhibits that apply to the company. Confirm what the company does, how it earns revenue, its cash position, debt, share count, losses, significant risks and recent financing. Compare each factual statement in the tip with the filing’s date and wording. A message-board post or company announcement alone is not enough.
- Compare with independent, current information. Look for corroboration from more than one unaffiliated source, and make sure the information is current. A press release may describe management’s view; it does not independently establish that a contract is profitable, a product works or a forecast will be met. If the tip depends on an event that has not been disclosed, label it speculation rather than fact.
- Investigate incentives. Ask whether the promoter owns shares, receives cash, receives securities, earns referral fees or has another relationship with the issuer. Investor.gov explains that paid touting can be lawful when applicable disclosures identify who paid, how much and the form of payment. Disclosure reveals an incentive; it does not validate the recommendation. Promoters may also lie about compensation or past performance, so verify the disclosure independently.
- Study the longer price-and-volume record. Review price and trading volume over months and years, not just the dramatic move shown in the message. Consider whether the stock is thinly traded, whether spreads are wide and whether a small number of trades could move the quoted price. A rapid rise may reflect genuine news, speculation or manipulation; the chart alone cannot decide which.
- Check the offering’s status. Determine whether the security or offering is registered or relies on an exemption that imposes restrictions. Do not infer safety from the existence of a filing. The SEC does not issue registration certificates, and a filing is not an SEC endorsement or approval.
- Decide without the promoter’s clock. If identity, evidence, incentives or offering status remain unclear, do not invest. Never borrow, liquidate emergency savings or increase position size merely because a group claims that others have already bought.
- Report suspected fraud. Investor.gov directs investors to the SEC, FINRA or their state securities regulator. FINRA also accepts regulatory tips about suspected manipulation. Preserve the original communications and transaction records when reporting.
Keep four different checks separate
Investors often treat a professional’s registration, a company filing, an offering exemption and a promotion disclosure as if they were the same approval. They answer different questions.

| Check | Question it answers | What it does not establish |
|---|---|---|
| Person or firm registration | Is the individual or business currently registered or licensed for the relevant service, and what disciplinary history is shown? | That the person controls the account contacting you, that the advice is suitable, or that the stock will rise. |
| Company disclosure | What has the issuer reported about its operations, finances, risks and material events? | That the SEC endorses the company, that management’s projections will come true, or that the shares are a good investment. |
| Offering status | Is the offering registered, or does it rely on an exemption with particular conditions and restrictions? | That the security is safe, liquid, fairly priced or government-approved. |
| Promotion and conflicts | Who paid the promoter, what was paid and in what form, when those disclosures are required? | That the recommendation is accurate. A promoter can disclose a conflict and still be wrong or deceptive. |
How to read the company’s public evidence
Start with the business, not the ticker
Explain the company in one sentence using its own filings: what it sells, to whom, in which markets and how it expects to make money. If you cannot describe the business without repeating the tip’s promotional language, you do not yet understand the investment.
Check financial condition and dilution
Review revenue trends, operating losses, cash and debt, cash-flow needs, financing plans and the number of shares outstanding. A promising announcement may be accompanied by a need to raise capital, issue new shares or grant convertible securities. Those actions can dilute existing holders. Compare the date of each number with the date of the tip; an old balance sheet cannot confirm a current claim.
Test event-based claims
For a claimed contract, acquisition, approval or breakthrough, look for a corresponding company filing and the material terms. Distinguish a nonbinding memorandum from a signed, funded contract; a planned trial from a completed result; and management’s target from an independently verified outcome. If no disclosure exists, describe the statement as unconfirmed rather than “secret information.”
How pump-and-dump schemes create a misleading signal
Investor.gov describes a two-part pattern: promoters circulate false or misleading statements to increase buying and the price, then sell their own shares into that demand. When promotion stops, the price typically falls, leaving later buyers with losses.

FINRA says newer versions may use unsolicited texts, social-media advertisements for investment clubs and encrypted group chats. A fast rise attracts additional buyers who mistake momentum for confirmation; the promoter can then sell quickly, while a thin market makes it difficult for others to exit at a reasonable price.
A rising price by itself does not prove manipulation. FINRA notes that enthusiastic legitimate advice can be hard to distinguish from a pump-and-dump. Treat the combination of unsolicited contact, impersonation, unverifiable claims, urgency, sudden volatility and limited liquidity as a reason for deeper checks—not as proof that a crime has occurred.
Questions that expose the mechanics
- Did the recommendation arrive before any public disclosure, and is the alleged news still absent from EDGAR?
- Is the promoter urging members to buy at the same time, while discouraging questions or selling?
- Does the stock have low trading volume or a wide bid-ask spread that could magnify a small campaign?
- Does the promoter disclose current ownership and compensation in a way you can verify?
- Did the message shift from familiar companies to an obscure issuer after trust was established?
The SEC’s February 6, 2026 investor alert said it had temporarily suspended trading in the stocks of 13 small-cap Asia-based companies during the prior year after social-media recommendations appeared designed to artificially inflate price and volume. That is a dated enforcement-context count, not a measure of how common all stock-tip fraud is.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Use the same scorecard when comparing two tips
When two recommendations compete for your attention, compare their evidence rather than their promised returns. The following framework organizes due diligence; it does not predict performance.
| Comparison axis | Stronger evidence | Warning sign |
|---|---|---|
| Identity and registration | Person and firm match independently sourced records; registration is current; disciplinary history is reviewed. | Anonymous account, look-alike handle, unverifiable credentials or pressure to avoid the firm’s official channels. |
| Company claims | Material statements match recent EDGAR filings and independent current information. | Claims exist only in a post, chat, newsletter or promotional release. |
| Ownership and compensation | Specific, verifiable disclosure of holdings, payment, amount and form. | “No conflict” assertions without details, or refusal to answer who benefits. |
| Pitch style | Risks, uncertainty and time horizon are explained without a deadline. | Guaranteed returns, scarcity, secret information, anonymous social proof or a demand to act now. |
| Market context | Months- and years-long price and volume are considered; liquidity is adequate for your plan. | A screenshot of a one-day spike, thin trading or a claim that momentum alone proves value. |
If one tip has better documentation but neither has enough evidence for you to understand the downside, the correct comparison result is “buy neither.”

What official status does—and does not—mean
A filing in EDGAR shows that a document was submitted; it does not mean the SEC has certified the issuer, reviewed every statement for accuracy or approved the investment. The SEC warns about false claims of SEC registration and does not issue registration certificates. Verify status using the official search tools and read what type of filing or exemption is involved.
Registration is also not a quality seal. A registered broker or adviser can still make an unsuitable recommendation, and an unregistered promoter can impersonate a registered professional. Check the identity and the investment separately.
What to do if you already responded
If you shared a screenshot or personal information
Stop communicating with the requester, change any reused passwords, contact your brokerage through its independently obtained number and ask about account-security steps. Monitor statements and credit reports. Do not send a second payment to “unlock” or protect the first one.

If you sent money
Contact the bank, card issuer, wire service or brokerage immediately and ask whether the transaction can be stopped or recalled. Preserve payment confirmations, wallet addresses, account handles and all messages. Report the suspected fraud to the SEC, FINRA or your state securities regulator. An unsolicited recovery-fee offer should be treated as a separate warning, not as a solution.
A one-page decision checklist
- I can name the person, firm and exact security being recommended.
- I confirmed the identity through contact information I found independently.
- I checked current registration and disciplinary information in Investor.gov or BrokerCheck.
- I read the issuer’s current EDGAR filings and can explain its business, finances and major risks.
- Every material factual claim in the pitch has current, independent support.
- I know whether the promoter owns shares or receives compensation, and I verified the disclosure.
- I reviewed price and volume beyond the latest spike and considered liquidity.
- I understand the offering’s registration or exemption status without treating a filing as approval.
- No one is demanding urgency, guaranteed returns, secrecy or screenshots.
- I can afford a total loss and do not need to invest before these checks are complete.
If any important box is unchecked, keep the money out of the trade. Missing information is itself a reason to wait.
Geography and limits of this process
Investor.gov, BrokerCheck and EDGAR are U.S. resources, and the registration concepts described here are U.S.-focused. Investors in other countries should use their national securities regulator, licensing register and issuer-filing database. The underlying habits—pause, verify identity independently, read primary disclosures, examine incentives and resist urgency—apply broadly, but legal definitions and reporting channels differ by jurisdiction.
The practical conclusion
Legitimate investing does not require you to trust a stranger on a deadline. Slow the interaction down, verify the speaker and the issuer separately, test every important claim against current public evidence, and treat compensation and market context as part of the evidence. A tip that cannot survive those checks is not a missed opportunity; it is an unverified risk.
