To sell IDBI Bank shares held in dematerialised form, place a sell order through your stockbroker, authorise delivery of the executed shares through your depository participant (DP), and verify that the settlement proceeds reach your linked bank account. The tax result then depends mainly on whether the shares are an investment or stock-in-trade, the holding period of the specific shares sold, your FIFO acquisition cost, and your residency.
For listed-equity transfers completed on or after 23 July 2024, qualifying long-term gains are generally taxed at 12.5% above the annual ₹1,25,000 section 112A threshold, while qualifying short-term gains are generally taxed at 20% under section 111A. These headline rates do not include any applicable surcharge or health and education cess, and the statutory conditions must be checked for your transaction.

What you need before placing a sell order
An ordinary sale requires three linked accounts:
| Account | Purpose | What to verify |
|---|---|---|
| Demat account | Holds your electronic IDBI Bank shares | The correct quantity is credited and there are no pledges, freezes or other restrictions |
| Trading account | Sends the order to the stock exchange through your broker | It is active, linked to the correct demat account and permitted to sell the security |
| Bank account | Receives the net settlement proceeds | The account is linked, KYC-compliant and able to receive credits |
SEBI describes the demat account as the electronic securities-holding account, the trading account as the account used to buy and sell on an exchange, and the bank account as the payment channel. If the shares do not appear in your demat statement, contact the DP before attempting to sell; a trading screen cannot sell a holding that is not available for delivery.

How to sell IDBI Bank shares: the ordinary market process
1. Confirm the holding and remove account obstacles
Sign in to your broker and compare the displayed free quantity with your latest demat statement. Check whether any shares are pledged as collateral, locked because of a corporate action, or marked for another instruction. A pledged or otherwise blocked quantity may not be available for a normal delivery sale until the restriction is removed.

Also confirm the settlement segment and the bank account to which your broker normally pays out. If your broker has recently changed its account or depository participant, reconcile the old and new statements before trading.
2. Reconstruct the acquisition lots
Download your broker ledger, historical contract notes and demat transaction statement. Record the date, quantity and cost of each acquisition, including shares received through splits, bonuses, rights issues or other corporate actions. These records are needed because dematerialised holdings are matched under the first-in, first-out (FIFO) method: the earliest matching shares credited are treated as sold first.
FIFO can change both the holding period and the taxable cost. Do not use the average price shown on a trading app unless it agrees with your lot-level records and the relevant corporate-action adjustments.
3. Enter and review the sell order
Open the broker’s equity order screen, select IDBI Bank, enter the quantity and choose the order type. A market order seeks execution at the best available prices, whereas a limit order specifies the lowest price at which you will sell. Review the displayed exchange price, order validity, product type and all disclosed charges before submitting.
Check the quantity against the free balance rather than the total balance. A sell order for more than the deliverable quantity can be rejected or create an obligation that requires prompt correction. If you use a limit price, remember that the order may remain unexecuted if the market does not reach that price before its validity expires.
4. Authorise delivery after execution
Execution of the order is not always the final operational step. NSDL’s procedure says that, once a sell order has been executed and execution is confirmed, the investor must provide the securities to the stockbroker to meet the pay-in obligation.

Depending on your DP, authorisation may be made by signing a Delivery Instruction Slip (DIS), using an electronic delivery instruction facility, or approving a supported depository authorisation. Enter the broker’s clearing-account details, the security, quantity and settlement information exactly as instructed. Submit it before the DP’s pay-in deadline shown for that trade. A late or incorrect instruction can lead to a short-delivery problem, auction exposure or other broker action.
5. Verify settlement and the bank credit
The broker arranges securities pay-in to the clearing system. After the clearing payout, the broker credits the net sale proceeds to the linked bank account, after applicable brokerage, exchange charges, taxes and other disclosed deductions. Compare the amount with the contract note and ledger rather than relying only on an app notification.
Keep the trade confirmation, contract note, DP debit confirmation and bank statement. The broker or contract-note date is generally used to establish the transfer date for listed shares when the sale is completed with delivery, but retain the settlement evidence in case the timing must be demonstrated.
6. Preserve a tax file
Create one folder for the transaction containing:
- the contract note showing trade date, quantity and price;
- the broker ledger and charge statement;
- the demat statement showing the acquisition lots used for FIFO;
- the DIS or electronic delivery confirmation and pay-in date;
- the bank credit statement; and
- your gain calculation, including corporate-action adjustments and eligible transfer expenses.
Ordinary market sale versus a tender offer
An ordinary sale is an exchange transaction: your order is matched with a buyer through the broker, and the shares are delivered through the normal clearing process. A tender offer is different. It is a public invitation to sell shares at a specified price during a specified period, subject to the offer’s rules and acceptance capacity.
| Feature | Ordinary exchange sale | Tender offer |
|---|---|---|
| Where you act | Your broker’s normal trading screen | A separate acquisition or tender window designated for the offer |
| Price | Market price at which your order executes | Specified offer price, if your tender is accepted |
| Timing | Order validity and exchange trading hours | Offer opening and closing dates stated in the offer documents |
| Delivery | Broker/DP pay-in process after execution | Offer-specific early pay-in and tender instructions may apply |
| Outcome | Normally executes when a matching market order is available | Shares may be accepted in full, in part or rejected under the offer terms |
| Tax records | Contract note, delivery evidence and bank credit | Those records plus tender acceptance, rejection or settlement advice |
NSE explains that its tender mechanism covers takeover, buy-back and delisting offers and uses a separate acquisition window. For demat tenders, early pay-in may be required before an order can be placed. Read the current offer document and your broker’s instructions instead of assuming that a normal sell order is a tender instruction.

That announcement, by itself, does not state a retail-holder tender price, acceptance ratio or deadline. Unless and until a formal offer and acquisition-window instructions are published, a retail shareholder should not treat the announcement as an invitation to tender. You can still sell through the ordinary market process, subject to the live market price and normal settlement rules.
How tax is determined when you sell
Start with the correct income classification
Shares held as an investment generally produce capital gains on sale. Shares held as stock-in-trade by someone carrying on a securities-trading business may instead produce business income. The correct classification depends on your facts, including the purpose and pattern of holding, books of account and applicable tax guidance. The same security can therefore receive different treatment for different taxpayers.
Apply FIFO to dematerialised holdings
For demat holdings, match the sale quantity against the earliest acquisition lots first. For each matched lot, calculate:
Quick wins for a faster PC:
Repair Windows errors before they cause bigger problemsFix Now →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Capital gain or loss = sale consideration − eligible transfer expenses − cost of acquisition.
If a sale spans several lots, calculate each lot separately and then aggregate the results. A lot acquired through a bonus or split may have a special cost rule, so use the corporate-action statement and the acquisition records rather than assigning an unsupported cost.
Determine whether the matched shares are long-term or short-term
For listed securities transferred on or after 23 July 2024, the general listed-security threshold for long-term treatment is more than 12 months. The holding period is measured for the specific FIFO-matched shares, not simply from the date shown as the average purchase date in your app.

Long-term listed-equity gains
Qualifying long-term gains on specified listed equity under section 112A are taxed at 12.5% on the amount above the ₹1,25,000 annual threshold for transfers on or after 23 July 2024, where the statutory conditions—including the required securities transaction tax (STT) conditions—are met.
The ₹1,25,000 threshold is an annual threshold for the relevant section 112A gains, not a per-trade allowance. Add all applicable gains covered by that provision when determining how much of the threshold remains available in the year.
Short-term listed-equity gains
The Income Tax Department’s current capital-gain guidance gives a 20% section 111A rate for specified listed securities transferred on or after 23 July 2024 when the section’s conditions, including STT requirements, apply. Confirm that the security, transaction route and your facts satisfy those conditions before using the rate.
Transfer costs and STT
Expenditure incurred wholly and exclusively for the transfer may be deducted in computing capital gains. Keep invoices for eligible brokerage and other transfer expenses. STT itself is not deductible from the capital-gain calculation, so show it separately in your worksheet rather than reducing the sale consideration by STT.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsSurcharge, cess and filing obligations
The 12.5% and 20% figures are headline tax rates. Your final liability can also include applicable surcharge and the health and education cess. Capital losses, set-off restrictions, return-reporting requirements and advance-tax obligations depend on your complete income and transaction history. Use the current income-tax return instructions for the filing year, and do not infer your final bill from the rate alone.

Illustrative calculation
Assume FIFO identifies 500 shares as a long-term lot. If the sale proceeds attributable to that lot are ₹1,80,000 and eligible transfer expenses are ₹1,000, while the documented cost is ₹60,000, the gain is ₹1,19,000:
- Sale consideration: ₹1,80,000
- Less eligible transfer expenses: ₹1,000
- Less acquisition cost: ₹60,000
- Long-term gain: ₹1,19,000
On its own, that illustrative gain is below the ₹1,25,000 annual section 112A threshold. Your other qualifying long-term equity gains in the same year could use part or all of the threshold, and surcharge, cess and other tax rules still need to be considered. The figures are an example of the method, not a prediction of your tax bill.
Situations that need a different analysis
Non-resident shareholders
Residency can affect withholding, documentation, tax rates and treaty claims. The offer-tax summary distinguishes resident and non-resident shareholders, but the correct result depends on your residential status, the transaction and any applicable treaty. Keep residency evidence and acquisition records, and obtain professional advice before filing.

Inherited holdings require the deceased holder’s acquisition records, the applicable inherited-cost rule and the date relevant to the holding-period calculation. Gather the transmission documents, prior contract notes and demat entries before matching lots under FIFO.
Corporate-action holdings
Bonus shares, stock splits, rights issues, mergers and other corporate actions can alter quantity, cost and acquisition dates. Reconcile the issuer’s corporate-action statement with your demat statement and broker history. Do not assume that the original purchase price applies unchanged to every resulting share.
Shares treated as business stock
If you trade securities as a business, the gain may be business income rather than capital gains. That can change the applicable rate, expense treatment, accounting and reporting. The investment-versus-business conclusion is fact-specific; ask a qualified Indian tax professional if your activity is frequent or organised as a trading business.
Common problems and practical fixes
- Shares appear in the demat account but the order is rejected: check free quantity, pledge status, account restrictions and whether the selected product is delivery-enabled.
- The order executed but proceeds are missing: review the contract note and settlement status, confirm that the DP instruction was accepted, and ask the broker for the pay-in or payout reference.
- The DP instruction was submitted late: contact the broker and DP immediately. Do not assume that a submitted instruction was accepted; obtain written confirmation of the securities-delivery status.
- Your app shows one average cost but your tax records show another: use contract notes, demat history and corporate-action records to rebuild FIFO lots.
- A tender instruction is not visible: verify that a formal offer is open, that the broker has enabled its acquisition window and that any early-pay-in requirement has been met.
- The bank credit is lower than expected: reconcile brokerage, exchange charges, taxes and other disclosed deductions with the contract note rather than comparing only the gross trade value.
Which records to retain
Keep the following until the relevant return can no longer be revised or challenged under applicable law:
- broker contract note with trade date, quantity and price;
- demat statement showing acquisition lots and the debit of sold shares;
- DP delivery instruction or electronic confirmation and pay-in date;
- broker ledger and invoices for eligible transfer expenses;
- STT details, retained separately because STT is not deductible in the capital-gain computation;
- bank statement showing the net proceeds;
- corporate-action and transmission documents; and
- any tender-offer acceptance, rejection or settlement advice.
Where to ask for help
Use the broker for order entry, execution, charges and settlement questions. Use the DP for demat balances, delivery instructions, pledges and debit confirmations. For shareholder-record, transmission or registrar matters, IDBI Bank lists [email protected] and identifies KFin Technologies Limited as its registrar and transfer agent.
For tax classification, FIFO calculations involving corporate actions, non-resident filings or business-income questions, consult a qualified Indian tax professional with your contract notes and demat records.
