How to Sell Delisted Shares and Withdraw the Money: A Practical Decision Guide

You usually cannot sell a delisted share through the exchange that removed it. First identify the exact security, country, exchange, delisting reason and share form. Then check the issuer’s current notice for a tender or post-offer process, ask your broker or custodian whether it can process that transaction, and contact the registrar or liquidator if account servicing or winding-up is involved. A delisting does not automatically liquidate the company or create a cash payment.

What delisting changes—and what it does not

Delisting removes a security from trading on the exchange that delisted it. SEBI’s definition is limited to that trading status: the securities are no longer traded at that stock exchange. Delisting by itself does not prove that the company has been liquidated, that your shares are worthless, or that every shareholder has been bought out.

Your practical options depend on several facts:

  • Why the company was delisted and whether the delisting was voluntary or compulsory.
  • The country, exchange and securities rules governing the holding.
  • Whether the issuer remains listed or transferable on another venue.
  • Whether a current tender, exit offer, transfer facility or liquidation claim exists.
  • Whether your shares are held in electronic or physical form.
  • Whether a buyer, promoter obligation or liquidation distribution actually exists.

An account transfer is not a sale. Removing a security from a custody account is not a promise that someone will buy it or pay its former market value.

Start with an exact holding check

Before asking how to sell, gather the identifiers that determine which rules apply. Use your account statement, certificate or corporate-action notice to record:

  • Issuer’s legal name and the security identifier (such as an ISIN, ticker or certificate number).
  • The exchange and country where it was listed.
  • Delisting date and whether the notice describes a voluntary or compulsory delisting.
  • Number of shares and whether they are dematerialized or physical.
  • The broker, custodian, central securities depository or registrar currently shown on your records.
  • Your tax residence and the account into which proceeds could be paid.

Verify status in the issuer’s delisting announcement and the exchange notice. Also check whether the security remains listed elsewhere or can be transferred through a regulated off-market process. A secondary listing, a private buyer and a functioning transfer mechanism are separate questions; none should be assumed from the old ticker.

Check for a live offer before attempting a private sale

Search the issuer’s current notices for a public announcement, letter of offer, tender window, post-offer sale period, valuation notice or liquidator’s claim instructions. Capture the operative details in writing:

  • Who is eligible and which holdings qualify.
  • Opening and closing dates, including any extension or settlement date.
  • Price, fixed-price terms or valuation method.
  • How to tender, transfer or submit a claim.
  • Required forms, identification, certificates and signatures.
  • How and when payment will be sent, and to which bank or custody account.

Use the issuer notice that applies to your security, not a general internet summary. If no current offer or buyer is identified, you may still own a legally valid security, but there may be no immediate route to cash.

Compare the possible routes

Route What it does Price or value basis Important condition
Issuer or promoter tender Lets eligible holders offer shares under a formal exit process Fixed price or process-defined exit price Only during the stated window and under the offer documents
India post-voluntary-delisting sale Allows holders who missed the main process to offer shares to promoters Same exit price described by SEBI SEBI’s 2025 FAQ says the facility is usually available for at least one year after closure
India compulsory-delisting acquisition Promoters acquire delisted shares under the compulsory process Independent valuer’s value SEBI’s FAQ describes acquisition within three months, with a public shareholder option to retain shares
Off-market or private transfer Transfers shares to a willing, legally permitted counterparty Price agreed with that counterparty Requires a real buyer, lawful transfer route and operational intermediary
CDS withdrawal or registration transfer Moves or removes the security from a depository account Does not create a sale price Registrar availability, forms, transfer duty and fees may be required
Liquidation claim Places the holding or creditor claim into a winding-up process Any distribution determined by the liquidation Amount, priority and timing depend on the specific liquidation

India: selling through voluntary or compulsory delisting rules

India’s process is jurisdiction-specific. SEBI’s FAQ dated 25 April 2025 describes different mechanisms for voluntary and compulsory delisting. It is a simplified explanation of Indian rules, not a universal rule or a binding opinion for every issuer.

Voluntary delisting: tender during the exit process

For a voluntary delisting, SEBI describes either reverse book building or a fixed-price process. Eligible shareholders tender through the route and deadline in the public announcement and letter of offer. Your stockbroker handles tendering of dematerialized shares. If you hold physical shares, follow the complete document and verification requirements in the particular offer; the issuer’s notice controls the actual dates and paperwork.

SEBI’s FAQ explains the post-offer choice this way:

“Those shareholders who did not participate in the Reverse Book Building or the Fixed price process have an option to offer their shares for sale to the promoters.”

The same FAQ says this post-process facility is usually available for at least one year from closure of the delisting process and uses the same exit price. Confirm the exact closing date, eligibility and submission method in the issuer’s documents before relying on that period. “At least one year” is the period described in SEBI’s guidance, not a guarantee that every issuer’s notice uses identical dates.

Compulsory delisting: a different acquisition framework

Compulsory delisting is not the voluntary tender process with a different label. SEBI’s 2025 FAQ describes promoters acquiring the delisted shares at a value determined by an independent valuer within three months. Public shareholders have the option to retain their shares. Check the specific valuation notice and instructions: the three-month period and the independent-valuation requirement come from the Indian framework described by SEBI, and do not automatically apply in another country.

How to tender in practice

  1. Read the issuer’s public announcement and letter of offer and confirm that your holding is eligible.
  2. Ask your stockbroker whether it accepts the tender for that security and note its cut-off time, charges and required authorizations.
  3. Submit the tender through the broker using the stated quantity and account details. Dematerialized shares are tendered through the stockbroker; physical holders follow the offer’s verification process.
  4. Keep the acceptance, rejection, settlement and payment records. Do not treat a tender instruction as proof that all shares will be accepted.
  5. Check the bank or linked account identified in the offer for the payment after the stated settlement process, and escalate a missing payment to the broker and the offer’s designated contact.

Malaysia: withdrawing a delisted security from a CDS account

Bursa Malaysia’s help article, updated 23 May 2025, addresses withdrawal from the Central Depository System (CDS). This is a securities withdrawal or transfer procedure, not a cash sale.

  1. Ask your broker or Authorised Depository Agent to check whether the share registrar is still available.
  2. If the registrar is available, obtain the Securities Withdrawal Request (FWT010) and complete the required details.
  3. Prepare an Instrument of Transfer with sufficient stamp duty.
  4. Submit the request, transfer instrument and applicable withdrawal fee through the broker or Authorised Depository Agent.
  5. Ask where the security will be registered or delivered after withdrawal and retain the completed forms and receipt.

The process can remove or transfer the security from the CDS account, but it does not supply a buyer, establish a value or generate proceeds. Ask the broker separately whether any permitted sale or issuer offer exists.

What your broker or custodian can—and cannot—do

Start with the institution that holds the shares because it can see the account restriction, share form and settlement route. Ask specific questions rather than simply requesting a sale:

  • Can you process this issuer’s tender, promoter offer or compulsory-delisting transaction?
  • Can you process a lawful off-market transfer, and is a willing counterparty required?
  • Are the shares restricted, suspended, unclaimed or otherwise non-transferable?
  • What forms, certificates, identification, signatures and fees are required?
  • Where will proceeds be credited, and what settlement or payment time applies?
  • Can the holding be delivered or transferred if it cannot be sold?

A broker may be unable to process a security that no longer settles through its systems. In that case, request the reason in writing and ask whether the account can remain open for a corporate action, whether the shares can be moved, or whether physical delivery is available under local rules.

Investor.gov notes, in the United States brokerage-transfer context, that bankrupt securities may be among holdings that do not transfer to a new brokerage firm. Investors should ask both firms how they handle non-transferable assets; possible choices can include selling if possible, leaving the asset at the old firm or taking physical delivery where relevant. Fees may apply. This guidance concerns US account transfers and does not establish that a particular delisted share is sellable.

When the registrar is the right contact

If the obstacle is registration, certificates, lost details, dividend records or an inactive broker account, contact the issuer’s registrar and transfer agent or share department. For Indian listed-company securities, SEBI’s investor-service FAQ dated 5 January 2026 directs investors to a SEBI-registered registrar and transfer agent or the company and explains that contact details can be found through regulator, exchange or issuer pages.

Ask the registrar:

  • Is the shareholder register still active?
  • Is the security transferable, and in what form?
  • What proof of identity, address, ownership or succession is required?
  • Which forms and stamp duties apply?
  • Is there a current offer, and who is the designated payment or transfer agent?

A registrar services the register. It is not necessarily a buyer and normally cannot promise cash for your shares.

If the company is in liquidation or winding up

Delisting and liquidation are separate events. If official notices show that the company is in liquidation or winding up, identify the appointed liquidator and follow the claim procedure in those notices. Submit proof of the holding and any other requested documents by the stated deadline.

Do not assume a particular distribution, priority, amount or payment date. Those outcomes depend on the company’s assets, creditor ranking, court or regulator orders and the applicable insolvency law. Keep copies of the claim, acknowledgment and every subsequent notice.

How to get the money after a successful sale

Once a tender, transfer or liquidation payment is accepted, confirm the payment destination rather than assuming it will reach your ordinary bank account. Depending on the process, proceeds may go to a linked bank account, the broker’s settlement account, a designated payment agent or another account specified in the offer.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Confirm the accepted quantity and price or valuation in the acceptance or settlement statement.
  2. Check whether fees, withholding or transfer charges are deducted before payment.
  3. Verify the bank details or payment method recorded by the broker, custodian or offer agent.
  4. Wait for the stated settlement or distribution date, then reconcile the amount received with the statement.
  5. If payment is missing, contact the party named in the offer first, provide the acceptance reference and request a written status.
  6. After funds clear, move them from the receiving account using that institution’s normal withdrawal process; a custody withdrawal and a cash withdrawal are separate actions.

Never pay an unsolicited “release fee” to an unknown person promising to unlock delisted-share proceeds. Verify payment instructions through the broker, issuer, exchange, regulator or appointed liquidator using independently obtained contact details.

Tax and recordkeeping

Preserve the acquisition record, account statements, certificates, tender or transfer forms, broker notes, acceptance statements, fees, payment confirmations and correspondence. These documents may be needed to establish ownership, proceeds, cost basis, holding period and a loss or gain.

Tax treatment depends on your country, tax residence, security type, transaction date and whether the event was a sale, tender, transfer, redemption or liquidation distribution. Do not apply Indian rules to another country. For India, the Income Tax Department explains that the broker’s note and delivery affect the transfer date for listed shares sold through a broker, that dematerialized holdings use FIFO for holding-period calculations, and that certain transfer-related expenses may be deductible under Indian law. Check the current rules for the relevant tax year and obtain professional advice where the amount is material.

Troubleshooting common dead ends

“My broker says the ticker is inactive.”

Ask whether the security has a current corporate action, transfer restriction or alternate identifier. Request the issuer notice and the exact reason the broker cannot process a transaction. Then contact the registrar or offer agent.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

“I missed the tender deadline.”

Read the post-offer provisions before assuming the opportunity is gone. In India’s voluntary-delisting framework, SEBI describes a facility for holders who missed the reverse-book-building or fixed-price process to offer shares to promoters at the same exit price, usually for at least one year after closure. The issuer’s documents determine whether and how it applies.

“The registrar cannot be found.”

Verify the registrar through the regulator, exchange or issuer rather than relying on an old statement. In Malaysia, first ask the broker or Authorised Depository Agent whether the registrar remains available because that determines whether the CDS withdrawal procedure can proceed.

“I have physical certificates.”

Do not send originals until the official process specifies where they go and how they are protected. Physical holders may need identity verification, signature matching, transfer forms, stamp duty and replacement procedures for lost certificates. Follow the particular issuer’s offer or registrar instructions.

“There is no buyer and no liquidation notice.”

That may mean the holding remains illiquid rather than automatically cancelled. Ask the broker and registrar whether it can be retained, transferred or delivered, and monitor official issuer or regulator notices for a later process. Do not record a tax loss or abandon the security without checking the consequences in your jurisdiction.

A document checklist before you close the case

  • Current account statement showing the security and quantity.
  • Issuer and exchange delisting notices.
  • Offer, valuation or liquidation documents and their deadlines.
  • Broker or custodian correspondence, fee schedule and transaction references.
  • Registrar, transfer-agent or liquidator contact details verified from an official source.
  • Certificates, transfer instruments, withdrawal requests and identity documents.
  • Acceptance, settlement, payment and bank-credit records.
  • Acquisition and tax records retained for the period required by local law.

The decision in one minute

If an official tender or promoter process is open, use the stated intermediary before its deadline. If the process has closed, check the issuer’s post-offer rights and any permitted off-market buyer. If you only need to move the holding, follow the relevant depository or registrar procedure, understanding that a transfer is not a sale. If the issuer is in liquidation, file with the appointed liquidator. In every route, confirm the exact security, jurisdiction, paperwork, fees, payment destination and tax treatment before expecting money.
