If you received a U.S. Internal Revenue Service (IRS) notice saying income on your tax return does not match information reported by an employer, bank, brokerage, or another payer, first identify the notice code and its response date. The most common federal notice for this situation is CP2000. It is usually a proposal to change your return, not a bill and not proof that you intentionally misreported income. Reconcile every listed item with your filed return and records, then either sign and return the response, dispute specific items with evidence, or file Form 1040-X as well when other parts of the return also need correction.

This guide covers U.S. federal IRS CP2000 procedures. State tax agencies, other IRS notice codes, and notices that have already assessed a penalty can use different forms and deadlines. Follow the exact instructions and date printed on your notice.

What a CP2000 notice means

The IRS Automated Underreporter (AUR) function compares information returns filed by third parties with amounts on your federal return. Employers may report wages on Form W-2; financial institutions and other payers may report interest, dividends, retirement distributions, brokerage proceeds, or other payments on Forms 1099 and related forms. An examiner reviews a potential mismatch before the IRS sends a CP2000.

The notice normally shows the amounts on your filed return, amounts reported by payers, and the IRS’s proposed changes to income, payments, credits, deductions, tax, and interest. The IRS describes it in Topic 652 as follows: “The CP2000 isn’t a bill, it’s a proposal to adjust your income, payments, credits, and/or deductions.” Read the current IRS explanation at IRS Topic no. 652, Notice of underreported income – CP2000.

A CP2000 can result from a missing form, a corrected form filed after you submitted your return, a wrong taxpayer identification number, a duplicate or incorrectly attributed payment, a timing difference, or an item that is not taxable in the way the IRS assumed. It does not by itself establish fraud or intentional misreporting. A separate penalty notice or an adjusted account may follow if the proposed change is sustained.

Find the controlling deadline before doing anything else

Use the response date printed on your notice, not a date calculated from the day you happen to open the envelope. The IRS overview says, “Reply to the notice by the date listed.” For many CP2000 notices, Topic 652 describes a 30-day response period from the notice date, or 60 days when the taxpayer lives outside the United States. Those are general rules; the notice’s date, instructions, and any later correspondence control your case.

Situation Timing described by IRS guidance What controls
Initial CP2000 response Generally 30 days from the notice date; generally 60 days for a taxpayer outside the United States The response date and instructions on your CP2000
Request to protest proposed adjustments Generally 30 days from the CP2000 letter when an appeal opportunity is available The notice’s appeal instructions and deadline
Request for an Appeals conference after penalty-relief denial Generally 30 days from the penalty-denial letter The denial letter and its instructions

The IRS explains appeal deadlines on its letters and notices offering an appeal opportunity page. Do not treat the initial CP2000 period as the deadline for every later proceeding; a statutory notice of deficiency has separate rights and deadlines.

Step 1: Confirm exactly what arrived

Read every page, including any response form and continuation sheets. Before comparing numbers, record:

  • the issuing agency and mailing address;
  • the notice code (for example, CP2000) and notice date;
  • the tax year involved;
  • the response due date;
  • each payer, form type, account or transaction description, and amount listed;
  • the proposed changes to income, deductions, credits, tax, and interest;
  • the telephone number, mailing address, fax number, or online upload option supplied by the IRS; and
  • whether the notice asks you to agree, disagree, provide documents, or complete a particular form.

Keep the original notice. Scan or photocopy all pages before writing on them. If the document is not a CP2000, use that notice’s procedure rather than assuming the CP2000 workflow applies.

Step 2: Reconcile each item with your return and records

Make a line-by-line comparison rather than looking only at the total proposed tax. Gather the filed federal return for the year in question and the underlying records:

  • Forms W-2, 1099, 1098, K-1, and any corrected or replacement forms;
  • brokerage statements, trade confirmations, and basis information;
  • bank statements and year-end interest statements;
  • retirement, pension, annuity, or unemployment distribution records;
  • payroll records and employer correspondence;
  • proof of withholding, estimated payments, and tax payments;
  • documents showing that an amount belongs to another person or tax year; and
  • records supporting deductions, credits, exclusions, or a different tax treatment.

For every line, ask five questions:

  1. Is the payer correct? Confirm the business or institution actually paid you and that a form was not issued under your name by mistake.
  2. Is the amount correct? Compare the notice with the original and any corrected payer form, then trace the amount to your statements.
  3. Is the tax year correct? A payment reported for one year may have been received, recognized, or corrected in another year.
  4. Does the item belong to you? Check for an incorrect Social Security number, joint-account allocation, nominee income, inherited property, or a transaction for someone else.
  5. Is the tax treatment correct? The amount may be partly excluded, offset by basis or expenses, reported on another schedule, or already included elsewhere on the return.

Write down the evidence for each conclusion. A spreadsheet with columns for the notice line, your return line, payer document, amount, explanation, and attached proof helps prevent an unexplained number from being sent back to the IRS.

Choose the response that matches the evidence

Your findings Response Additional filing
The listed items and proposed changes are correct, and no other return item needs correction. Complete, sign, and return the CP2000 response form by the notice date. A separate amended return is generally not needed merely to agree with the proposed adjustment.
The CP2000 is correct, but another income, credit, deduction, or expense on that year’s return also needs correction. Agree with the CP2000 and explain the additional correction. File Form 1040-X for the tax year shown, write “CP2000” at the top as directed, and send it with the response form and supporting documents.
One or more proposed items are wrong in whole or in part. Mark the disagreement and provide a signed explanation identifying each disputed item and why it is wrong. Include records that prove the payer, amount, year, ownership, or tax treatment. Do not send only a replacement number without an explanation.
You cannot assemble the response by the date. Use the extension-request option described on the notice, if available. An extension request is not automatically granted; do not assume the due date changed until the IRS confirms it.

How to agree with the proposed adjustment

When your reconciliation confirms the IRS’s figures and nothing else on the return requires correction, complete every requested field on the response form. Sign and date it, and return it by the listed deadline using one of the channels the notice provides. Keep a complete copy of the signed form and all attachments.

Agreement means you accept the proposed change; it does not mean the CP2000 itself was a bill. The IRS may issue an adjusted account or bill after processing the response. If the notice includes interest calculated through a stated date, later interest can still depend on when the account is paid.

How to disagree, in whole or in part

A disagreement must be specific. In a signed statement, identify the tax year and each notice line you dispute. Explain the factual or tax reason, state the correct treatment if you know it, and tie the explanation to attached records. Examples of useful explanations include:

  • the payer issued a corrected Form 1099 that was not reflected in the information the IRS used;
  • the amount was reported under your taxpayer identification number but belongs to another person;
  • the same income was already included on a different line or schedule of the filed return;
  • the notice uses the wrong tax year or duplicates a transaction;
  • a sale amount must be considered with basis or other information shown in your brokerage records; or
  • the item is not taxable, or is only partly taxable, under the facts documented in your records.

Attach legible copies, not irreplaceable originals. Arrange attachments in the same order as the notice and label each document with the tax year and relevant notice line. If a payer needs to correct a form, request the corrected form and include the payer’s correspondence; do not wait to send an otherwise complete response if the deadline is approaching.

When Form 1040-X is needed

Do not automatically file an amended return solely because a CP2000 arrived. If you agree with the proposed CP2000 adjustment and no other entry on the return changes, IRS guidance says the signed response form is generally enough.

Use Form 1040-X when the CP2000 is correct but the original return also omitted or misstated another item, such as additional income, a credit, deduction, or expense. Complete the amendment for the tax year named in the notice, write “CP2000” at the top as the IRS directs, and submit it with the signed CP2000 response and relevant documentation. Follow the notice instructions for whether to mail or upload the amendment and attachments. Keep proof that both the response and amendment were submitted.

Submit through an IRS-listed channel

The CP2000 overview lists the IRS Document Upload Tool, fax, and mail as possible response methods. The notice tells you which destination and method apply to your case. The IRS describes document upload as the fastest option on its overview page, but availability and acceptable file types are governed by the notice and upload portal.

  1. Prepare one complete package: signed response form, explanation, Form 1040-X if required, and supporting records.
  2. Check that every page is readable and that your name, taxpayer identification information, tax year, and notice number appear where requested.
  3. Use the exact upload destination, fax number, or mailing address printed on the notice or in the linked IRS instructions.
  4. Save the upload confirmation, fax transmission report, certified-mail record, tracking information, or other submission proof.
  5. Retain the notice, a copy of everything submitted, and the records used to prepare the response for as long as they may be relevant to the tax year and any follow-up.

Handle payment separately from the response

A CP2000 can calculate additional tax and interest, but the notice is still a proposal. Payment decisions do not replace the signed response. Even if you pay online or apply for a long-term installment agreement, return the completed response form by the CP2000 deadline.

The IRS says the notice’s interest calculation runs through a stated date and that interest may continue until the account is paid. Topic 652 says paying the proposed amount within 30 days of the notice may stop additional interest and possibly penalties from accruing; the exact amount and timing depend on the notice and your account. Compare these practical choices:

Choice When it may fit Important qualification
Pay the proposed amount promptly You agree with the adjustment and have funds available. Use the payment instructions for your account; prompt payment may limit additional accrual, but it does not eliminate the response requirement.
Wait for an adjusted account and bill You need the IRS to process your agreement or disagreement first. Interest may continue while the balance remains unpaid.
Apply for a long-term installment agreement You agree that tax is due but cannot pay in full. Application and approval are separate from the CP2000 response, and interest or other charges can continue under the account terms.

If you dispute the amount, do not assume a payment resolves the dispute. State your disagreement in the response and follow the notice’s instructions while deciding whether to pay an undisputed amount.

What happens if you miss the response date

If the IRS does not receive a reply by the response date, Topic 652 says it will send a Statutory Notice of Deficiency. That later notice is not the same as the initial CP2000 and carries separate rights and deadlines. Open it immediately, read its petition and appeal instructions, and obtain professional help if the proposed tax is significant or the facts are complicated.

A taxpayer who wants to appeal proposed adjustments generally must file a protest within 30 days of the CP2000 letter when the notice offers that opportunity. The IRS explains the process at Letters and notices offering an appeal opportunity. A protest is not automatically accepted, and filing one does not erase the response instructions on the notice.

Penalty relief is a separate question

Disputing the proposed income adjustment and asking for penalty relief are different actions. First establish whether the income, tax, and account adjustment are correct. If a penalty is later assessed, review the penalty notice and the IRS’s stated relief procedures rather than assuming the CP2000 response removed it.

IRS Appeals says reasonable cause may support penalty relief when the taxpayer exercised ordinary business care and prudence but circumstances beyond the taxpayer’s control prevented compliance. The explanation should address the actual facts, dates, steps taken, and records supporting them. A request is fact-specific and is not guaranteed.

If the IRS denies a penalty-removal request, an Independent Office of Appeals conference or hearing may generally be requested within 30 days of the denial letter. See IRS Penalty appeal for the current procedure and the denial letter’s instructions.

When professional or free assistance makes sense

Consider a tax professional or authorized representative when several payers or years are involved, records are missing, business or investment transactions require basis calculations, a statutory notice has arrived, or the potential balance is large enough that a mistake would be costly. IRS guidance permits you to authorize another person to discuss the notice with the agency.

Taxpayers who meet income and other eligibility rules may be able to obtain help from a Low Income Taxpayer Clinic. The Taxpayer Advocate Service explains CP2000 issues and available resources at Notice CP2000. An advocate or clinic cannot change the evidence requirement, but may help a qualifying taxpayer understand the process or communicate with the IRS.

Common mistakes that delay a correct response

  • Treating the CP2000 as a final bill: It is a proposed adjustment, so reconcile it before agreeing or paying.
  • Assuming a mismatch proves intentional conduct: Payer corrections, identification errors, timing, and duplicate reporting can create discrepancies.
  • Ignoring the tax year: A correct amount in the wrong year can still produce an incorrect adjustment.
  • Sending a bare corrected number: The IRS needs a signed explanation and evidence for a disagreement.
  • Amending automatically: File Form 1040-X when other return items also need correction, not merely because the CP2000 exists.
  • Waiting for a payer before responding: Send the timely explanation with the evidence you have and identify any pending corrected form.
  • Paying but not replying: Payment or a payment-plan application does not satisfy the signed-response requirement.
  • Assuming an extension is granted: Follow the notice’s extension process and obtain confirmation.
  • Losing submission proof: Keep copies and upload, fax, or mailing confirmation.

Final response checklist

  • Notice code, tax year, and notice date confirmed.
  • Response deadline copied from the notice calendar.
  • Every payer, amount, taxpayer-identification detail, and proposed change reconciled.
  • Original return, payer forms, corrected forms, statements, and ownership or tax-treatment records gathered.
  • Agree, agree with additional corrections, or disagree decision documented.
  • Signed response form completed.
  • Signed explanation and labeled evidence attached for each disputed item.
  • Form 1040-X prepared and marked “CP2000” when other return corrections are required.
  • Submission made through the channel and destination listed by the IRS.
  • Copies and proof of submission retained.
  • Payment or installment-plan decision handled separately from the response.

For a CP2000, the safest sequence is simple: identify the exact deadline, reconcile the notice line by line, send a signed and evidenced response, and deal separately with any balance, penalty relief, or later appeal.
