How to Respond to an Income Tax Search Notice for a Company in India

Do not start by filling out a form. First preserve the complete communication, authenticate its Document Identification Number (DIN), identify the statutory section and requested action, and calendar the exact deadline printed in the notice. A company that has experienced a search may receive a block-return notice, an information request, an attendance direction, or another assessment communication; each has a different response route.

For a qualifying search or requisition under sections 132 or 132A of the Income-tax Act, 1961, conducted on or after 1 September 2024, the Income Tax Department’s manual describes a block-assessment process under section 158BC or section 158BC read with section 158BD. When the Assessing Officer issues the relevant notice, the company files Form ITR-B through the e-Filing portal’s e-Proceedings workflow. The due date is the date specified in that notice, not a universal number of days.

This guide explains how a company’s directors, finance team, tax staff and in-house counsel can triage the document, determine which law and form apply, assemble the block-period information, submit the response and escalate issues that require advice on the actual case record.

1. Identify exactly what the company received

“Income tax search notice” is a description, not a precise legal category. The same company may receive several communications after officers execute a search or requisition. Before drafting a reply, download the original electronic notice and every attachment, and keep any physical copy, envelope and delivery record.

Record the notice essentials

  • Legal name of the company, registered address and PAN as printed on the document.
  • Issuing authority and office, the officer’s designation, the statutory section and the proceeding or assessment reference.
  • DIN, date of issue, date and channel of receipt, and the exact action requested.
  • Whether the notice asks for a block return, documents or information, personal or company attendance, a statement, or another submission.
  • The response deadline and the portal or method specified for filing.

Do not infer the notice’s purpose merely because a search occurred. A search date, the date a notice was issued and the assessment years covered can be different. The document’s wording controls the immediate response.

Authenticate the communication

The Department describes DIN as a unique number used on its notices, orders and other communications. Use the official Authenticate the Notice/Order issued by ITD service to check the DIN and retain the authentication result with the case file. If the number cannot be authenticated, or the company name, PAN or proceeding does not match, contact the Department through an official channel and obtain professional advice before disclosing information.

Build a receipt log

Assign one person to maintain a dated log showing who received each communication, where it was stored, which officer or adviser was notified, and what action is due. Keep the original PDF rather than relying on a screenshot of the portal. Download later acknowledgements and portal messages as well.

2. Determine the governing law and filing route

Two dates are especially important: when the search or requisition was initiated and which tax years the notice covers. The transition to the new income-tax law does not automatically move every earlier proceeding into the new framework.

Search or requisition on or after 1 September 2024 under the 1961 Act

The Department’s ITR-B user manual states that a search under section 132 or a requisition under section 132A conducted on or after 1 September 2024 follows the block-assessment route under section 158BC, or section 158BC read with section 158BD where the provision is applied to another person. Form ITR-B is required when the Assessing Officer issues the relevant notice.

The manual directs the taxpayer to log in to the e-Filing portal, open e-Proceedings, select the response to the applicable 158BC or 158BC read with 158BD notice, and choose Block ITR. The existence of a search alone is not the trigger described by the manual; the relevant notice is.

Proceedings connected with an earlier search

The Department’s Objective and scope of the New Act FAQs explain that proceedings connected with a search initiated under the 1961 Act before the new Act commenced continue under the old Act. The same transition guidance says proceedings for tax years beginning before 1 April 2026 remain under the old Act. Read the notice’s section and assessment years rather than assuming that a post-1 April 2026 communication uses the new law.

Search initiated on or after 1 April 2026

For a search initiated on or after 1 April 2026, verify the new Act provision, the notice language and the current form shown in the company’s e-Filing account. The ITR-B manual cited above explains the 1961 Act route and should not be treated as a complete description of procedures for a new-Act search. Ask counsel to confirm the governing provision before filing a form selected solely by its name.

Case to check What the official material indicates What the company should do
Sections 132/132A search or requisition on or after 1 September 2024, with a 158BC or 158BC read with 158BD notice Block assessment under the 1961 Act and ITR-B when the relevant notice is issued. Use the notice date as the deadline and follow the e-Proceedings Block ITR route.
Search initiated under the 1961 Act before commencement of the new Act Transition guidance says connected proceedings continue under the old Act. Confirm the old-Act section, form and proceeding from the actual notice.
Tax year beginning before 1 April 2026 Transition guidance says the old Act continues for those proceedings. Map each year in the notice before deciding which law and return apply.
Search initiated on or after 1 April 2026 The ITR-B manual does not establish the complete new-Act procedure. Verify the current provision, portal form and instructions with the notice and qualified Indian tax counsel.

3. Understand the block period before collecting numbers

For the 1961 Act ITR-B route, the Department’s manual describes a block period that includes the six assessment years preceding the previous year of the search or requisition, together with the relevant portion of the current previous year up to the execution of the last authorisation. The exact years and cut-off date must be taken from the notice and the search record.

Prepare a year-by-year schedule before entering figures. Separate amounts already reported in regular returns from items that may fall within the notice’s definition of undisclosed income. Reconcile the schedule to the company’s general ledger, statutory financial statements, tax audit files, bank statements, fixed-asset register and records collected during the search. A block-period schedule is a working paper; it is not a substitute for the statutory notice or a legal conclusion about what is undisclosed.

4. A practical response sequence

  1. Preserve and authenticate. Save the complete notice and attachments, run the DIN check on the Department’s authentication service, and record the receipt date, recipient and channel.
  2. Classify the request. Write down the section, proceeding reference and requested action. Mark whether the document expressly requires Form ITR-B under section 158BC or section 158BC read with section 158BD.
  3. Map the dates. Record the search or requisition initiation date, execution of the last authorisation if available, each assessment year in scope, the notice issue date and the response deadline.
  4. Confirm the Act and form. Apply the transition guidance to older searches and pre-1 April 2026 tax years. For a new-Act search, verify the current provision and form rather than copying the 1961 Act workflow.
  5. Set an internal timetable. Work backwards from the notice deadline. Give counsel and the authorised signatory a review date before the statutory deadline, and reserve time for portal access, digital signing and correction of validation errors.
  6. Assemble source records. Build an indexed folder containing returns, ledgers, bank and demat statements, invoices, contracts, payroll data, fixed-asset records, loan documents, TDS/TCS statements, search inventories and correspondence. Label the period and source for every schedule.
  7. Prepare the return or information response. Use the form and fields specified by the notice. Reconcile the figures to underlying records, document assumptions and identify items requiring a legal position instead of silently forcing them into a category.
  8. Submit through the official channel. Follow the Department’s portal path, complete validation, submit using the company’s applicable digital signature or EVC method, and download the acknowledgement and filed copy.
  9. Monitor the proceeding. Check e-Proceedings for acknowledgements, defects, follow-up notices and hearing directions. Preserve every subsequent submission and response in the same case file.

5. Prepare the information required for Form ITR-B

The ITR-B manual identifies the core information needed for the block return. The Department does not prescribe one universal document checklist for every company, so tailor supporting evidence to the notice, the period and the facts.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Company identity and access

  • Correct PAN and company details matching the notice.
  • Active e-Filing account access and the credentials needed by the authorised filer.
  • Authorised signatory details and a working digital signature or applicable EVC capability.
  • A copy of the authenticated notice and any linked proceeding visible in e-Proceedings.

Block-period returns and reconciliations

Collect the company’s regular income-tax returns, revised returns, tax audit reports and computation files for every year in the stated block period. Reconcile reported turnover, expenses, fixed assets, investments, loans, related-party balances and brought-forward figures to the books and statutory accounts. Explain reconciling items in a schedule rather than leaving unexplained differences between the return and the ledger.

Undisclosed income and assets

The manual calls for information about undisclosed income and assets during the block period. Create separate schedules for each category, with date, amount, entity or person, supporting record and the reason the item is included. Trace entries to seized or requisitioned material where relevant, but do not assume that possession of a document proves the company’s ownership or tax treatment. Those factual and legal questions require review of the actual material.

TDS, TCS and other available credits

Compile available TDS and TCS credit details and reconcile them to certificates, Form 26AS or other portal records and the company’s books. Investigate mismatches before filing. Retain evidence for credits claimed and identify credits that are unavailable, duplicated or attributable to another taxpayer.

Tax and interest computation

Prepare the tax computation required by the form, including applicable interest. Keep a version-controlled worksheet showing the rate, base, period and source of every figure. Have a tax professional check classifications, set-offs and credits that depend on the notice or the statute; the manual’s identification of required fields does not resolve every substantive computation issue.

6. File through e-Proceedings and retain proof

The Department’s e-Proceedings service is the electronic channel for responding to notices and tracking submissions. The ITR-B manual gives this sequence:

  1. Sign in to the Income Tax e-Filing portal using the company’s account.
  2. Open e-Proceedings.
  3. Select the response linked to the relevant section 158BC or section 158BC read with section 158BD notice.
  4. Choose Block ITR.
  5. Enter the required company, block-period, undisclosed-income, asset, credit and tax information.
  6. Attach the schedules and supporting records requested or needed to explain the entries.
  7. Validate the return, complete submission with the applicable digital signature or EVC, and download the acknowledgement.

Keep the filed XML or generated return, acknowledgement number, attachment index, uploaded files, validation messages and screenshots or PDFs of portal status. The company should be able to reproduce exactly what was submitted and when, without relying on an employee’s personal inbox.

For broader portal navigation, consult the Department’s e-Proceedings User Manual. The Department also published a 4 July 2025 news item describing ITR-B filing through the e-Proceeding tab; use the portal and current notice as the controlling source if labels change: ITR-B via e-Proceeding tab.

7. Treat the deadline as notice-specific

The Department’s ITR-B manual states: “The due date for filing Form ITR-B is the date specified in the notice issued by the Income Tax Department following a search or requisition action.” That wording means a company should not replace the printed date with a generic filing period found in a checklist or online discussion.

The materials cited here do not establish an automatic extension, an entitlement to adjournment or a standard number of days for every ITR-B notice. If records are incomplete, access is blocked or the deadline appears impossible, notify qualified counsel immediately and make any request through the channel and procedure permitted by the actual proceeding. Do not let an extension request substitute for a response that is already due, and do not assume that silence grants more time.

8. If the document is not an ITR-B notice

A post-search communication may require information, attendance, a statement, production of books or another response rather than a block return. The same preservation and authentication steps still apply, but the filing path and deadline may differ.

Information or document request

Create a request-by-request index. For each item, identify the custodian, period, file location, format and proposed response. Mark documents that are unavailable, duplicative or held by another entity and explain the position instead of omitting the item without comment.

Attendance or statement direction

Confirm who is required to attend, the date, location or video link, authority cited and records the person may need. Coordinate the company’s authorised representative and counsel; do not send an employee who lacks authority or knowledge of the records.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Multiple communications

Cross-reference each notice by DIN and proceeding. A later notice may supplement rather than replace an earlier one. Maintain separate deadlines while checking whether the portal groups them under one e-Proceedings record.

9. Protect evidence, confidentiality and internal controls

Search-related material often includes commercially sensitive contracts, employee information, customer data and legally privileged communications. Restrict access to the case team, preserve originals and use a read-only copy for analysis. Keep an evidence register showing when a file was collected, by whom, from which system and whether it was altered for working purposes.

Do not delete, overwrite or backdate records after receiving a notice. Suspend routine destruction schedules for relevant data, including email, messaging, accounting exports and cloud files. Document any unavailable record, system change or restoration effort. A clean chain of custody helps the company explain its response without claiming that a working copy is the original.

Use one controlled calculation workbook and lock prior versions. Every adjustment should have a reason, preparer, reviewer and source. Reconcile the final form to the signed financial statements and the schedules attached to the submission.

10. Common mistakes and how to avoid them

  • Calling every post-search letter a “search notice.” Fix: classify the section, action, proceeding and deadline before choosing a form.
  • Ignoring DIN authentication. Fix: use the official DIN service and retain the result.
  • Using the search date as the filing deadline. Fix: copy the exact due date from the notice and calendar it.
  • Applying a pre-2026 or old-Act checklist automatically. Fix: map search initiation and tax-year dates to the transition guidance.
  • Filing ITR-B merely because a search happened. Fix: confirm that the Assessing Officer issued the relevant 158BC or 158BD notice.
  • Submitting unreconciled figures. Fix: tie every block-period amount to books, returns and source records.
  • Assuming the manual is a universal evidence list. Fix: tailor attachments to the actual notice and explain why a requested record is unavailable.
  • Waiting for counsel until the deadline day. Fix: send the authenticated notice, date map and preliminary schedules for review as soon as possible.
  • Failing to save proof of filing. Fix: download the return, acknowledgement, attachments and portal status immediately after submission.
  • Believing that an ITR-B filing closes every search issue. Fix: track follow-up assessments, information requests and other proceedings separately.

11. When specialist review is essential

Obtain qualified Indian tax counsel’s review before taking a substantive position when the company disputes the search or requisition, the authority or jurisdiction, the material seized, ownership of an asset, privilege, the computation of undisclosed income, the availability of a credit, the applicable Act during the transition, or the validity of the deadline. A generic filing guide cannot determine those issues without the notice, authorisations, inventories, statements and underlying records.

Ask the adviser to review the authenticated notice, search or requisition timeline, assessment-year map, portal history, draft computation, evidence index and proposed submissions. Keep advice and business records separated where appropriate, and confirm how privileged material should be handled in the particular proceeding.
