How to Respond to an Income Tax Notice About Deemed Dividend or HUF Income

Do not answer a deemed-dividend or HUF-income notice with a bare denial. First authenticate the communication, identify the named assessee, tax year, statutory provision, deadline and proposed amount. Then test each legal condition against documents showing who received the money, who owned the shares or asset, how the transaction was recorded and whether an exclusion applies.

For a notice under section 2(22)(e) of the Income-tax Act, 1961, a company loan is not automatically taxable. For an HUF allegation, the word “HUF” does not by itself make every family receipt taxable to an individual. Your response should answer numbered allegations, attach an indexed evidence set and be submitted through the channel specified in the notice.

Start by identifying exactly what you received

Tax communications can be notices, intimations, letters, draft orders or assessment orders. The remedy and response window depend on the document, not merely on its subject line. Download the complete communication and every annexure rather than relying on an email preview or screenshot.

Check authenticity and the Document Identification Number

The Income Tax Department’s “Authenticate the Notice/Order issued by ITD” facility explains that communications issued on or after 1 October 2019 should carry a unique Document Identification Number (DIN). Use the Department’s current authentication service and compare the result with the document you received. The Department’s guidance states that a communication without a DIN is treated as invalid and non est, subject to the applicable exceptions. Do not declare a notice invalid from an incomplete copy or an unverified screenshot; inspect the full document and any stated exception before relying on that position.

Record the operative details

  • Notice or proceeding type and the section under which it was issued.
  • Assessment year or tax year, and the period to which the transaction relates.
  • PAN and legal name of the person or entity named as the assessee.
  • Statutory adjustment proposed, amount, computation and the source information cited.
  • Response deadline, permitted extension process and requested records.
  • Whether the notice is available in e-Proceedings or directs you to another channel.

A notice received after 1 April 2026 may still concern an earlier year governed by the 1961 Act. The arrival date does not decide the governing law.

Choose the law that applies to the tax period

India’s Income-tax Act, 2025 took effect on 1 April 2026. The Income Tax Department’s transition FAQ says the 1961 Act was repealed from that date, while its provisions continue to govern tax years beginning before 1 April 2026. Assessments and other proceedings for those earlier years continue under the 1961 Act until resolved. The portal is designed to support compliance under both Acts at the same time.

Question What to establish Why it matters
Which period is examined? Tax year or assessment year stated in the notice It determines whether the 1961 Act or the 2025 Act provisions apply.
When did the notice arrive? Date of service, separately from the transaction year A post-1 April 2026 notice can still concern a pre-transition year.
What section is cited? Exact section and version of the Act in the notice Thresholds, definitions and procedure must be tested against that text.
Is the proceeding continuing? Assessment, reassessment, appeal or other stage Earlier-year proceedings generally continue under the 1961 Act until final resolution.

Do not substitute a current-year rule for the provision cited in the notice. If the section, year or amount appears inconsistent, identify the discrepancy in your response and ask the authority to clarify it.

Test a section 2(22)(e) deemed-dividend allegation element by element

For a period governed by the 1961 Act, section 2(22)(e) addresses specified payments by a company in which the public are not substantially interested. It can apply to an advance or loan to a shareholder who is the beneficial owner of shares carrying not less than 10% of the voting power. It can also cover a payment to a concern in which that shareholder is a member or partner and has a substantial interest, as well as certain payments made by the company on behalf of, or for the individual benefit of, that shareholder.

The amount treated as dividend is limited by the company’s accumulated profits. The provision contains an exception for an advance or loan made in the ordinary course of business where lending money is a substantial part of the company’s business. It also contains a set-off rule for a later dividend to the extent specified by the statute. The definition of “concern” expressly includes an HUF, firm, association of persons, body of individuals and company.

Company status

Establish whether the payer is a company in which the public are not substantially interested for the relevant period. Obtain the articles, shareholding profile and accounts or other records used by the assessing authority. Do not assume that a private-company label alone answers the statutory test.

Shareholder and voting-power threshold

Identify the person who beneficially owned the shares and the dates on which the ownership existed. The cited statutory threshold is not less than 10% of voting power. Legal ownership on a register and beneficial ownership can raise different questions, so provide the share register, beneficial-owner records, shareholder agreements, voting arrangements and relevant corporate filings where they bear on the allegation.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Recipient and qualifying concern

Determine who actually received the money or benefit. A company payment to an HUF, for example, does not automatically mean that an individual shareholder received it personally. For a concern other than a company, the cited definition describes substantial interest as beneficial entitlement to not less than 20% of that concern’s income at any time during the previous year. Prove or dispute the shareholder’s membership, partnership or beneficial entitlement with the concern’s constitutional documents, HUF records, capital accounts and income computation.

Nature and purpose of the payment

Classify each entry from the books and bank trail: loan, advance, trade payment, reimbursement, payment to a third party, or expenditure for an individual’s benefit. State the commercial purpose, approval, interest terms, maturity, security, repayment history and accounting treatment. A ledger label such as “advance” is not a substitute for the underlying agreement and bank evidence.

Accumulated profits and statutory limits

Ask for the working that calculates accumulated profits as of the payment date. Reconcile it to audited accounts, reserves, prior losses, interim accounts and the dates of each payment. The proposed deemed dividend cannot exceed the statutory accumulated-profit limit. If the company claims a later dividend set-off, identify the later declaration, amount, date and accounting entry and show how the statutory set-off is calculated.

Ordinary-course lending exception

If lending money is a substantial part of the company’s business, collect the relevant objects, financial statements, lending portfolio, regulatory records, comparable customer loans and the terms showing that the disputed advance was made in the ordinary course. The exception is fact-sensitive; merely describing a company as a financier is not enough.

Questions to answer in your working paper

  1. Is the payer the type of company covered by section 2(22)(e)?
  2. Who beneficially owned the relevant shares on each payment date?
  3. Did that person hold at least 10% of the voting power?
  4. Was the recipient the shareholder, a qualifying concern, or another person?
  5. If a concern was involved, did the shareholder have the required beneficial interest?
  6. Was the payment a loan, advance, payment on behalf of or for individual benefit, or something else?
  7. What accumulated profits existed on the relevant date?
  8. Does the ordinary-course lending exception apply?
  9. Is a later dividend set-off being claimed, and is it documented?

These are statutory elements, not a presumption that every company loan is taxable. The statute supplies the framework; the facts and applicable judicial authorities determine how it applies to a particular arrangement.

Do not merge the individual, the HUF and the company

Read the name and PAN in the notice before preparing a reply. The notice may assess an individual, an HUF, a company or another entity. The individual shareholder and an HUF recipient are not interchangeable merely because the individual manages the HUF or holds shares in a company.

Identity to establish Documents that usually address it
Named assessee Notice header, PAN, return acknowledgement and assessment records
Actual recipient of payment Bank statements, beneficiary details, vouchers, agreements and ledger entries
Shareholder’s beneficial ownership Share register, beneficial-owner declarations, voting records and corporate filings
HUF’s separate identity HUF PAN, deed or declaration where available, books, bank account and returns
Use of funds Invoices, investment records, loan schedules, board approvals and repayment evidence

If the notice seeks to include an amount in an individual’s income because an HUF received it, explain the legal route asserted by the officer and identify facts that support or contradict that route. Correct an inaccurate recipient description without conceding unrelated allegations.

Analyse an HUF-income or transferred-property allegation under section 64(2)

Section 64(2) of the 1961 Act concerns an individual member’s separate property that is converted into property belonging to the family, impressed with HUF character, thrown into the common stock or transferred to the family otherwise than for adequate consideration. It provides a rule for computing the individual’s total income in relation to income derived from that converted property and addresses income after partition in specified circumstances.

This is not a general rule that all income shown in an HUF return becomes the individual’s income. The answer depends on the history of the particular asset and the income it generated.

Trace the asset from acquisition to income

  1. Identify when and how the asset was acquired.
  2. Show who paid for it and from which bank account or funds.
  3. Determine whether it was separate property, pre-existing family property or property acquired with HUF funds.
  4. Identify any declaration, transfer, gift, settlement, conversion, throwing into the common stock or other act that changed its character.
  5. Establish whether adequate consideration was paid and document the consideration trail.
  6. Match the specific asset to the rent, interest, capital gain, business receipt or other income under examination.
  7. Check whether a partition occurred and the date, terms and post-partition ownership.

Evidence for the ownership history

  • Purchase deeds, title records, demat statements or investment confirmations.
  • Bank statements showing the source of purchase money and subsequent receipts.
  • Transfer, settlement, gift or release documents and evidence of consideration.
  • HUF books, resolutions, declarations, capital accounts and balance sheets.
  • Individual and HUF returns, computation statements and income ledgers.
  • Partition deed, memorandum, court order or contemporaneous family records, if a partition is claimed.
  • Rental agreements, interest certificates, sale documents or business records linking income to the asset.

Explain independent HUF property and income separately from property that began as an individual’s asset. If records do not establish the entire history, say exactly which period or document is missing and why; do not replace an evidentiary gap with a broad assertion that the HUF label settles ownership.

Prepare the response around numbered allegations

A useful response is concise but complete. It should let the officer move from each allegation to the relevant fact, legal point and document without searching through an unlabelled bundle.

  1. Identify the proceeding. State the notice date, section, tax year, PAN and deadline. Confirm that the response is filed for the named assessee.
  2. Give a short position statement. Say which allegations are accepted, disputed or requiring clarification. Do not make admissions beyond the facts you can prove.
  3. Answer allegation 1, allegation 2 and so on. For each, state the relevant fact, explain the statutory element briefly and cite the attachment number.
  4. Correct factual errors precisely. Identify the incorrect date, recipient, amount or ownership description and supply the supporting record.
  5. Address missing information. List records you are still obtaining, explain why they are unavailable and request time through the permitted channel before the deadline.
  6. State the relief requested. Ask that unsupported additions be dropped, that the correct entity be considered, or that the proposed adjustment be recomputed using the statutory limit, as the evidence supports.
  7. Sign and verify. Use the authorised signatory or representative required for the assessee and retain the final submitted copy.

A paragraph can follow this pattern without asserting facts you do not know: “The allegation states that the payment was made to [identify the recipient in your own record]. The bank statement and ledger at Annexure 2 show [the documented transaction]. On that evidence, the statutory element concerning [recipient, ownership, purpose or accumulated profits] is disputed. Please consider the indexed records and recompute the proposal.” Any variable text should be replaced with the actual facts before filing.

Submit through e-Proceedings and preserve proof

The Income Tax Department’s e-Proceedings manual says the service is available to registered users to view and submit responses to notices, intimations and letters issued by an Assessing Officer, CPC or another Income Tax authority.

  1. Sign in to the income-tax e-filing portal with the registered user credentials for the assessee or authorised representative.
  2. Open the e-Proceedings area and select the relevant proceeding. Verify the notice PDF, tax year, section and deadline.
  3. Download and save the original notice and annexures before uploading a response.
  4. Choose Submit Response and follow the portal’s instructions for a partial or full response.
  5. Upload a clearly named response PDF and an indexed attachment set within the permitted size and file-format limits shown on screen.
  6. Review the declaration, select the correct response option and submit.
  7. Save the transaction ID, confirmation page, submitted response and exact attachment files. Take a contemporaneous screenshot or PDF print of the successful submission.

The portal manual describes partial and full response paths and says a successful submission generates a transaction ID and confirmation. If the notice directs you to another channel, follow that direction and the Department’s current instructions rather than assuming e-Proceedings is available. The pre-login “Comply to Notice” facility covers only limited eligible notice types and is not a universal replacement for e-Proceedings.

File management that prevents avoidable disputes

  • Use an index such as A1 for the notice, B1 for the share register, C1 for the bank trail and D1 for the accumulated-profit computation.
  • Keep one read-only copy of the submitted bundle and one working copy.
  • Use searchable PDFs where possible and ensure every page is legible.
  • Reconcile totals in the response to the amounts in the attachments.
  • Preserve portal messages, email service records, transaction IDs and extension requests.

Common mistakes and how to correct them

“Every loan is a deemed dividend”

Correct the assumption by testing company status, beneficial ownership, voting power, recipient, qualifying-concern interest, payment character, accumulated profits and exceptions. A loan that fails one required element should be identified as such with the supporting record.

“The HUF received it, so the individual must be taxed”

Identify the assessee and trace the legal basis for attribution. Separate the HUF’s own property and income from an individual asset converted or transferred to the HUF. Provide ownership and source records rather than relying on family relationship or management status.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Sending a bare denial

A one-line denial does not answer a notice that requests specific books, ownership records or computations. Use numbered allegations and an attachment index.

Uploading a mixed, unlabeled bundle

An officer should be able to find the bank entry, agreement and calculation cited in your response. Rename files, add a page index and cross-reference each document.

Ignoring the deadline while collecting records

Submit the available explanation and request additional time through the channel allowed by the notice before the deadline. Explain what is missing and when it is expected.

Relying on the notice date to choose the Act

Use the tax year and the proceeding’s governing provision. A notice served after the 2026 transition can still be an old-Act proceeding.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Declaring invalidity from a missing DIN without checking exceptions

Authenticate the communication and read the Department’s current DIN guidance. State the issue in the response only after verifying the complete document and applicable exception.

When individual professional advice is justified

Consider a qualified Indian chartered accountant or tax advocate experienced in tax notices when the proposed amount is material, several entities are involved, beneficial ownership is disputed, records are incomplete, a partition or conversion is alleged, or an adverse order is imminent. An adviser can map the facts to the governing year’s statute, review the evidence, calculate accumulated profits and manage the portal or representation process. Professional assistance cannot guarantee a particular result; supply the complete notice, annexures, books, bank trail and prior filings so the advice is based on the actual record.

Final pre-submission checklist

  • Authenticity and DIN checked using the Department’s current facility.
  • Named assessee, PAN, tax year, section, amount and deadline verified.
  • Governing Act identified, including the 1961 Act for earlier tax years where proceedings continue after 1 April 2026.
  • For section 2(22)(e), every statutory element and any exception tested.
  • Recipient distinguished from shareholder, HUF and other entities.
  • For section 64(2), asset ownership, conversion or transfer, consideration, income source and partition history traced.
  • Response answers numbered allegations and does not concede unsupported facts.
  • Attachments are indexed, legible and cross-referenced.
  • Submission channel follows the notice; transaction ID and confirmation are saved.

The safest response is evidence-led: identify the exact allegation, apply the law for that tax period, prove or dispute each element and preserve a complete record of what you filed.
