The most reliable way to research a public company is to work from its latest SEC filings, in a fixed order: understand the business and risks in the 10-K, test management’s explanation against the financial statements and notes, measure multi-period growth and cash generation, then value the shares using ratios that fit the company’s industry. Refresh the work with the latest 10-Q and relevant 8-K before making any decision. This process produces an evidence-based view, not a prediction or a personal investment recommendation.
Start with the right documents
This guide applies primarily to U.S.-listed public companies that file with the Securities and Exchange Commission (SEC). Their reports are available through the SEC’s EDGAR system. Private companies may not publish comparable information, and foreign issuers can use different forms, accounting standards, and regulatory regimes.

| Filing | What it contributes | When to use it |
|---|---|---|
| 10-K | Annual business description, risk factors, management’s discussion, audited financial statements, notes, and auditor’s report. | Use as the foundation for an annual review. |
| 10-Q | Interim business and financial information, including current-quarter and year-to-date comparisons with the corresponding prior-year periods. | Use to update the annual picture during the year. |
| 8-K | Material current events, including certain preliminary earnings announcements and other significant developments. | Check after major news and before relying on older figures. |
Download the latest annual report first, then check whether a newer quarterly filing or material-current-event filing has changed the facts. A valuation based on an old annual report can be misleading if debt, share count, guidance, or operating conditions have changed.

Read Item 1, Business
In the 10-K, begin with Item 1, Business. Identify the products and services that generate revenue, the markets and customers served, geographic exposure, competitive setting, and any material changes during the year. Your goal is to describe the company in a few precise sentences without using its stock-market story or promotional language.

- Record the measures management uses to describe the business, while treating those measures as context rather than substitutes for audited figures.
Read Risk Factors immediately afterward
Risk Factors lists the threats the company considers material. Classify each risk by the way it could affect an investment:
- Demand risk: customers may reduce purchases or move to alternatives.
- Execution risk: a new product, integration, expansion, or cost program may fail.
- Financial risk: debt, refinancing needs, weak liquidity, or restrictive covenants may limit choices.
- Operational risk: supply interruptions, outages, litigation, regulation, or concentration could interrupt cash generation.
- Accounting and disclosure risk: estimates, unusual transactions, or complex arrangements may make results harder to interpret.
Do not treat a long risk section as proof that the company is unsafe; public companies are expected to disclose a broad range of material risks. Instead, connect each important risk to a number you can monitor later, such as gross margin, receivables, inventory, debt maturities, or operating cash flow.
2. Put management’s explanation beside the numbers
Use MD&A as a map, not as evidence by itself
The Management’s Discussion and Analysis of Financial Condition and Results of Operations (MD&A) explains management’s view of results, liquidity, capital resources, known trends, and uncertainties. It can tell you why revenue changed, what drove margins, how cash was used, and which conditions management expects to matter.

Separate fact, interpretation, and assumption
- Company-reported fact: a figure in a filed statement or note, such as revenue, debt, or diluted earnings per share.
- Management explanation: the MD&A account of why that figure changed.
- Your interpretation: a judgment about durability, risk, or value that should remain conditional until supported by several periods and disclosures.
Watch for explanations that rely on adjusted measures, exclude recurring costs, or emphasize percentage growth from a small base. Reconcile any non-GAAP measure to the closest reported measure when the filing provides that reconciliation, and keep the reported result as the anchor.
3. Trace earnings and growth across several periods
Build a multi-period record
Copy at least several annual periods of revenue, operating income, net income, and earnings per share into a worksheet. Then add the latest quarterly and year-to-date figures beside the comparable prior-year periods. The objective is to distinguish a durable operating trend from a one-time event.
| Measure | Question to ask | What can distort the comparison |
|---|---|---|
| Revenue | Are sales rising, falling, or merely shifting between periods? | Acquisitions, divestitures, foreign-exchange effects, pricing changes, and unusual contract timing. |
| Operating income | Does the core business convert sales into more operating profit? | Restructuring, impairment, acquisition costs, or temporary cost spikes. |
| Net income | What remains after operating costs, financing, taxes, and other items? | Interest-rate changes, tax benefits, investment gains or losses, and discontinued operations. |
| Earnings per share | How does profit translate to each share? | Share repurchases, stock issuance, option dilution, or a changing share count. |
Investigate changes before calling them growth
Mark every large year-over-year or quarter-over-quarter change and locate its explanation in MD&A and the notes. A revenue increase caused by an acquisition is not the same as organic demand growth. A profit jump caused by a tax benefit is not the same as improved operating performance. A per-share increase can result from fewer shares even when total net income is flat.

Use comparable periods: compare a quarter with the same quarter of the prior year, and year-to-date results with the corresponding prior-year period. Seasonality can make sequential-quarter comparisons misleading. When a filing changes an accounting estimate or presents a reclassified prior period, use the company’s restated or recast comparison where provided and document the change.

Measure both level and direction
Calculate year-over-year percentage changes only after checking the underlying dollars. A high percentage increase from a very small base may have little effect on the company’s total earnings. Also inspect whether margins and cash generation move with revenue; fast sales growth without improving economics may increase financing needs rather than shareholder value.
4. Read the three core financial statements together
The statements answer different questions and cover different time frames. Reading only the income statement can hide a weak balance sheet or poor cash conversion.
| Statement | Time frame | What it tells you | Useful checks |
|---|---|---|---|
| Income statement | Activity over a period | Revenue, operating costs, operating income, other items, taxes, net income, and earnings per share. | Revenue growth, operating margin, unusual expenses, and the bridge from operating income to net income. |
| Balance sheet | Point-in-time snapshot | Assets, liabilities, and shareholders’ equity at the reporting date. | Cash, receivables, inventory, debt, lease obligations, deferred revenue, and changes in working capital. |
| Statement of cash flows | Cash inflows and outflows over a period | Cash from operating, investing, and financing activities. | Whether operations generate cash, how much is invested, and whether financing supplies the cash gap. |
Income statement: test profitability
Follow revenue down through operating expenses to operating income, then through interest, taxes, and other items to net income. Compare the pattern across periods rather than relying on a single annual result. A widening gap between revenue growth and operating-income growth can indicate cost pressure; a widening gap between operating income and net income can indicate financing, tax, or non-operating effects.
Balance sheet: test resilience
Check whether cash and liquid assets appear sufficient for near-term obligations, whether receivables or inventory are growing faster than sales, and when debt must be repaid or refinanced. Read debt footnotes and liquidity disclosures for maturities, interest terms, covenants, and restrictions. A profitable company can still face stress if it cannot meet obligations when due.

Cash flow statement: test conversion
Operating cash flow shows cash generated by operations after working-capital movements. Investing cash flow captures purchases and sales of long-lived assets and investments. Financing cash flow shows borrowing, repayments, share issuance, repurchases, and dividends. Compare operating cash flow with net income, and investigate persistent gaps rather than assuming accrual earnings will become cash automatically.
Use notes and the auditor’s report for context
Notes explain accounting policies, commitments, contingencies, segment information, debt, leases, stock compensation, taxes, and other details that can materially change the interpretation of headline numbers. The auditor’s report provides context on the audit of the financial statements. Neither replaces your analysis: both help you understand what the statements include, exclude, or estimate.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.5. Judge the quality and durability of growth
Look for a three-part pattern
Higher-quality growth generally shows up as a combination of rising or stable revenue, sustainable operating margins, and cash generation that supports the expansion. No single pattern proves durability, but a mismatch deserves an explanation.

- Revenue up, margin down: growth may be bought with discounts, costly acquisition, capacity investment, or unfavorable mix.
- Revenue up, operating cash flow flat or down: receivables, inventory, contract timing, or other working-capital needs may be absorbing cash.
- Net income up, operating cash flow persistently weak: inspect accruals, working-capital changes, and one-time items in the notes.
- Earnings per share up while net income is flat: check whether a shrinking share count, rather than business growth, explains the increase.
Check resilience, not just speed
Assess whether debt, liquidity, or the identified risks could constrain the business during a weaker period. Record cash balances, debt maturities, interest burden, and access to financing. Consider whether the company can fund planned investment from operations or must repeatedly borrow or issue shares. Fast sales growth does not automatically mean durable earnings growth.

Identify one-time effects explicitly
Label acquisitions, divestitures, accounting-estimate changes, impairments, restructuring charges, tax effects, and unusual gains or losses in your worksheet. Present the reported result first, then explain how the item affects your interpretation. Do not silently remove costs or gains and call the result “underlying” without a clear basis in the filing.
6. Put valuation in industry context
Calculate the basic ratios correctly
The SEC defines price-to-earnings (P/E) as share price divided by earnings per share. If a share sells for $20 and earnings are $2 per share, the P/E is 10 to 1; this is an explanatory arithmetic example, not a current market statistic. Operating margin is operating income divided by net revenues.
| Measure | Formula | Interpretation and limitation |
|---|---|---|
| P/E | Share price ÷ earnings per share | Shows how much price investors pay for a dollar of reported earnings. It can be meaningless when earnings are negative and can be distorted by one-time items or changing share counts. |
| Operating margin | Operating income ÷ net revenues | Shows the portion of revenue left after operating costs. Compare definitions and unusual items before comparing companies. |
Compare with the company’s history and genuine peers
A ratio is a context tool, not a verdict. Compare the company’s current measures with its own history and with genuinely comparable businesses over the same period. Industry economics matter: desirable ratios vary by industry, business model, growth rate, capital intensity, leverage, and accounting choices.

When comparing companies, use the same axes:
- Revenue and earnings growth over the same annual or quarterly periods.
- Operating profitability and the direction of margins.
- Operating cash generation and the relationship between cash flow and net income.
- Debt, liquidity, and significant obligations.
- Material risks and exposure to similar markets or customers.
- Valuation ratios calculated from consistent definitions and dates.
A low P/E alone does not establish undervaluation. It may reflect weak prospects, high risk, cyclical peak earnings, leverage, or a temporary benefit. Conversely, a high P/E may reflect expected growth, but expectations can fail. Tie every valuation observation to the operating and balance-sheet evidence you have already collected.
Use current market data carefully
Share price changes continuously while filings report results at specific dates. Record the price date, the earnings-per-share period used, and whether the figure is trailing, annualized, or otherwise adjusted. Recalculate after a stock split, material issuance or repurchase, or a new filing. The filing provides the accounting facts; current market data supplies the price input.
7. Refresh the analysis before acting
- Open the latest 10-K. Read Business, Risk Factors, MD&A, all three statements, notes, and the auditor’s report.
- Build the period worksheet. Enter several annual periods plus the latest quarter and year-to-date comparison.
- Read the latest 10-Q. Update revenue, profit, cash, debt, share count, commitments, and any changed risk disclosures.
- Search recent 8-K filings. Check for material current events and certain preliminary earnings announcements that could supersede the annual narrative.
- Reconcile changes. Explain every major movement in results, cash, debt, margins, and shares using the filing’s disclosures.
- Recalculate valuation. Use a clearly dated share price and the appropriate earnings measure, then compare with history and genuinely comparable companies.
- Write a conditional conclusion. State what would support further investigation, what could invalidate the thesis, and which figures should be monitored next.
Keep a dated copy of each worksheet. This prevents an older annual figure from being mixed with a newer price or interim result and makes it easier to see whether the business is following the pattern management described.
Common mistakes and how to correct them
- Starting with the stock chart: begin with the business, risks, and filings so price movement does not dictate the story.
- Reading only headlines or an earnings release: use the 10-K and 10-Q statements and notes for complete context; check an 8-K for material updates.
- Treating MD&A as an independent audit: verify management’s explanations against reported figures and disclosures.
- Using one year of results: trace several periods and comparable quarters to identify seasonality and one-time events.
- Equating revenue growth with quality growth: examine margins, operating cash flow, working capital, debt, and risks.
- Ignoring share count: reconcile net income with basic and diluted earnings per share and note repurchases or issuance.
- Comparing unlike businesses: use peers with similar economics and the same comparison period; disclose when accounting or unusual events limit comparability.
- Calling a low P/E a bargain: test whether the multiple reflects deteriorating prospects or elevated risk.
- Using stale information: recheck filings after the annual report before relying on the analysis.
A repeatable pre-investment checklist
- Can you explain the company’s products, customers, markets, competition, and recent material changes?
- Which risks could most directly reduce revenue, margins, liquidity, or access to financing?
- What do several annual periods and the latest comparable quarter show for revenue, operating income, net income, and earnings per share?
- Are reported earnings supported by operating cash flow?
- What do receivables, inventory, cash, debt, maturities, and covenants say about resilience?
- Which changes came from acquisitions, divestitures, accounting estimates, taxes, unusual gains or losses, or share-count changes?
- What is the company’s operating margin, and how does it compare with its own history and genuinely comparable businesses?
- What is the dated P/E input and calculation, and what risks or prospects might explain the multiple?
- Have you checked the latest 10-Q and relevant 8-K after the 10-K?
- What evidence would disconfirm your interpretation on the next filing?
This checklist is an educational framework for investigating a U.S. public company. It cannot guarantee an investment outcome, predict returns, or replace judgment about risk, time horizon, diversification, taxes, and personal circumstances.
