Do not put every tokenized stock in the same tax box. In India, the correct return schedule and tax calculation depend first on what the token legally gives you: a virtual digital asset (VDA), an actual share or other security, or only a contractual or derivative claim against a platform. Price tracking, a stock-style name, or an app’s description does not settle that question.
Collect the token terms, issuer and platform documents, complete transaction ledger, wallet or account records, acquisition-cost evidence, INR valuation method and TDS certificates. Classify the instrument before calculating gains. If the documents do not clearly establish the underlying right, obtain a written opinion from an Indian chartered accountant or tax lawyer rather than guessing between crypto and share treatment.

Start with the legal right, not the marketing label
“Tokenized stock” describes a delivery format, not one legal category. A token may merely represent a cryptographic record whose value follows a company’s share price; it may be issued as a legally enforceable security; or it may be a contract with a platform that promises cash settlement. Those differences affect the rate, deductible costs, loss treatment, TDS, return schedule, foreign-asset disclosures and the investor protections available to you.
| Possible legal form | What you may actually own | Potential Indian tax route | What must be verified |
|---|---|---|---|
| Virtual digital asset | A cryptographic token with no direct share ownership | Section 115BBH and transaction-wise Schedule VDA, if the facts meet the VDA definition | Token terms, transferability, cryptographic ledger, consideration and whether any exclusion applies |
| Security or share | A legally issued share, bond, depositary interest or other security recorded through a tokenised or dematerialised system | Capital-gains or business-income rules applicable to that security | Issuer, shareholder or beneficial-owner rights, recognised transfer, securities regulation and foreign-exchange compliance |
| Derivative or contractual claim | A promise by a platform to pay an amount linked to an asset’s price, with no ownership of that asset | Depends on the contract and how the activity is characterised; do not assume either VDA or share treatment | Settlement terms, counterparty, governing law, leverage, redemption and whether the product is a derivative, CFD or depositary arrangement |
A token that tracks a listed company is not automatically an Indian share. Read the legal documents before opening the return form.

How to classify your token
Check the rights attached to one token
Look for express rights to vote, receive dividends, redeem for the underlying share, receive corporate-action proceeds, or enforce a beneficial-ownership interest. Confirm whether those rights run against the issuer, a trustee, a depository or only the trading platform. A statement saying “one token equals one share” is not enough if the contract gives you only a cash claim.
Identify the issuer and every intermediary
Record the legal name and jurisdiction of the token issuer, the platform that sold or holds it, the custodian or depository, and the law governing the terms. Determine whether an Indian securities intermediary, recognised exchange or depository is involved. If the platform is overseas, note the remittance path, account location and any foreign-asset reporting consequences.
Read the transfer and redemption mechanics
Can you transfer the token to an independent wallet, or only sell it back to the platform? Is settlement in the underlying share, in cash, or in another token? Does the platform create and cancel tokens when it acquires or disposes of assets? These provisions help distinguish a VDA from a security or a bilateral contract.

Obtain a written view when the documents conflict
India has no single official tax rule written specifically for all tokenized stocks. Ask a chartered accountant or tax lawyer to state, in writing, the classification, taxable events, applicable return schedule and treatment of fees, swaps, staking, lending and redemptions. Keep that opinion with your records.
If the token is a virtual digital asset
What the VDA guidance covers
The Income Tax Department describes a VDA as “any information or code or number or token … generated through cryptographic means or otherwise … providing a digital representation of value … and can be transferred, stored or traded electronically.” Its guidance also covers crypto-assets that rely on a cryptographically secured distributed ledger. The stated exclusions include Indian currency, central-bank digital currencies (CBDCs) and foreign currency. Whether your token falls inside that definition remains a fact-specific classification question.

Rate and deductions under section 115BBH
For a VDA transfer, section 115BBH applies a 30% tax rate, plus applicable surcharge and 4% health and education cess. Only the cost of acquisition is deductible under that regime. Other expenses—such as platform fees, gas or network charges, custody costs, interest and advisory fees—cannot be deducted from the VDA income, and losses cannot be set off against other income or carried forward under the VDA rules.
Keep the acquisition cost attached to each lot. If you bought tokens in several transactions, do not use a single average figure unless your adviser confirms that method and your records support it.

Section 194S TDS
Section 194S generally requires 1% tax deducted at source when a resident receives consideration for a VDA transfer, subject to the statutory thresholds described by the Income Tax Department. The deductor may be the buyer, platform or another person responsible for paying the consideration. Check Form 26AS and the Annual Information Statement (AIS), and retain the TDS certificate. A deduction visible in a platform statement is not enough if it does not appear in your tax records.
Which return schedule to use
The Income Tax Department’s ITR-2 FAQ states: “Gains from Virtual Digital Assets are subject to a 30% tax (along with applicable surcharge and 4% cess) under Section 115BBH.” It also states: “There is a separate schedule, ‘Schedule VDA’ in ITR-2 & 3 where you can disclose your VDA income transaction-wise.” Those statements describe the VDA reporting mechanism; they do not establish that every tokenized stock is a VDA.
Use Schedule VDA in ITR-2 or ITR-3 only after you have confirmed the classification. Enter each disposal or exchange transaction-wise, rather than reporting only a year-end net number.

Sales, redemptions and token swaps
A sale for rupees, redemption by the issuer, or a transfer in exchange for another asset can all be taxable disposals. A token-to-token swap can still be a transfer even when no rupees enter your bank account. If the platform supplies no INR value, document the exchange-rate source, timestamp, quantity of each asset and the valuation method used. Ask your adviser to confirm the consideration and cost entries for a non-INR swap.

A transfer between wallets that you own may not be a disposal, but do not assume that every internal movement is tax-neutral. Check whether beneficial ownership and control stayed with you, whether a custodian changed, and whether the platform treated the movement as a sale. Include deposits, withdrawals, staking or lending receipts and redemptions in the exported history so that taxable events are not omitted.
If the token legally represents a security
Confirm that it is actually a recognised security
Apply ordinary share or security rules only after confirming that the token conveys enforceable ownership or another recognised security interest. Verify the issuer, shareholder register or depository record, voting and dividend rights, transfer recognition, and the securities and foreign-exchange framework governing the transaction. A price feed or reserve statement does not by itself turn a token into a share.
Capital gains versus business income
The Income Tax Department’s share-sale guidance distinguishes capital gains from business income where securities are held as stock-in-trade. Your intention, frequency, accounting treatment and the nature of the activity matter. An investor holding a security as an investment may use the capital-gains schedule; a person carrying on a trading business may need the business-income schedule. Keep a consistent policy and supporting books.
Long-term rate change from Finance (No. 2) Act 2024
The department states that the Finance (No. 2) Act 2024 introduced a uniform 12.5% long-term capital-gains rate for relevant capital assets and removed the indexation benefit. Use that rule only if the token is first established to be the relevant security or capital asset and the applicable holding-period test is met. Do not import the 12.5% rate into a VDA calculation.

Short-term and long-term holding-period rules, exemption provisions and transaction-specific rates can differ by security type and date. Your purchase and sale dates, issuer jurisdiction and instrument terms should be reviewed before selecting the schedule and rate.
When the token is a derivative or platform contract
Some products provide no share, dividend or voting right. Instead, the platform promises to pay the difference between an opening and closing price, or to redeem a balance under its own terms. That may be a derivative, contract-for-difference, depositary interest or another contractual product. Tax treatment can depend on the contract, settlement, frequency and whether the activity is a business.
Do not force such a product into Schedule VDA merely because it uses a blockchain, and do not claim share capital gains merely because the reference asset is a listed company. Preserve the agreement, risk disclosures, margin statements, settlement records and governing-law clause and obtain a written professional classification.
Regulatory and foreign-exchange checks
Check SEBI status and investor protection
SEBI has warned that unauthorised electronic platforms offering securities are not recognised stock exchanges. Such dealings may deprive investors of exchange, dispute-resolution and investor-grievance protections and may contravene securities laws. Check the intermediary’s SEBI registration, the exchange or depository involved, and the legal entity that holds any underlying asset. Tax reporting does not make an unauthorised transaction lawful.

SEBI’s FAQ index lists a 10 September 2026 “Demat 2.0: Pilot for Tokenised Corporate Bonds” FAQ. That is a limited corporate-bond pilot, not blanket authorisation for tokenized stocks and not a tax rule for equity tokens. Do not cite the pilot as proof that your product is a security or that its gains have a particular rate.

Do not confuse an e₹ with a private stock token
The Reserve Bank of India describes the e₹ as a tokenised version of the Indian rupee and discusses its wholesale pilot for government-securities settlement. CBDC tokenisation does not show that a privately issued tokenized stock is an e₹, Indian currency or an ordinary share.
Review FEMA and foreign-asset reporting
If the issuer, platform, custodian or underlying security is outside India, check the Foreign Exchange Management Act (FEMA), remittance route and permitted investment category. A security classified for capital-gains purposes may still require foreign-asset or foreign-income disclosure. Keep the overseas account, asset and income details needed for the relevant return schedules, and ask your adviser about reporting even when no gain was realised.

- Obtain the legal documents. Download the issuer’s terms, platform agreement, redemption policy, reserve or custody statement, fee schedule and privacy or governing-law terms. Save the version in force when you traded.
- Map the ownership chain. Identify issuer, platform, broker, custodian, exchange, depository and wallet addresses. Note each jurisdiction and whether you had direct beneficial ownership.
- Export all activity. Include purchases, sales, deposits, withdrawals, wallet transfers, swaps, redemptions, staking or lending receipts, fees, airdrops if any, and corporate-action adjustments. Preserve the original CSV or PDF as well as your working spreadsheet.
- Separate disposals from internal transfers. Treat a movement as non-disposal only after checking that beneficial ownership and control did not change and that the platform did not execute a sale or conversion.
- Reconcile each lot. For every disposal, record acquisition date, quantity, cost, disposal date and time, INR consideration, transaction ID, wallet or account, counter-asset received and fees. Tie totals to bank, card and platform statements.
- Document INR valuation. Record the exchange-rate source, quoted asset pair, timestamp, spread and method used for non-INR consideration. Keep screenshots or downloadable rate records where the platform does not provide INR values.
- Reconcile TDS. Compare the platform’s section 194S entries with Form 26AS and AIS. Contact the deductor about mismatches and retain certificates; do not claim an amount that cannot be supported.
- Select the return treatment. If VDA classification is confirmed, report every relevant transfer in Schedule VDA in ITR-2 or ITR-3 and apply section 115BBH. If security classification is confirmed, use the applicable capital-gains or business-income schedule and complete foreign-asset disclosures where required. For an unresolved derivative or contract, obtain the written opinion before filing.
- Retain the file. Keep contracts, ledgers, calculations, valuation evidence, TDS certificates, bank records, correspondence and the adviser’s opinion for the statutory record-retention period applicable to your return.
What your transaction file should contain
| Record | Minimum details | Why it matters |
|---|---|---|
| Instrument terms | Token rights, issuer, redemption, dividends, voting, governing law and version date | Supports VDA, security or contract classification |
| Trade ledger | Date and time, quantity, INR value, counter-asset, fees, transaction ID and account or wallet | Enables transaction-wise income and cost reconciliation |
| Acquisition evidence | Purchase confirmation, payment trail, lot quantity and cost | Only acquisition cost is deductible under the VDA regime |
| Valuation evidence | Rate source, timestamp, currency pair and conversion calculation | Defends INR consideration for overseas or token-to-token trades |
| TDS evidence | Form 26AS, AIS, certificates and platform statements | Supports a section 194S credit and resolves mismatches |
| Regulatory records | SEBI registration details, exchange or depository information, FEMA analysis and foreign-account data | Separates tax reporting from legality and disclosure obligations |
Common cases and the appropriate question
| Your situation | Question to answer before filing | Do not assume |
|---|---|---|
| You sold a token for rupees | Does the token meet the VDA definition, represent a security, or create a contract claim? | That every sale is a share capital gain |
| You exchanged one token for another | What was the INR value and did the platform execute a disposal? | That no rupee payment means no transfer |
| You moved tokens between your wallets | Did ownership and control remain unchanged? | That every wallet movement is taxable—or automatically exempt |
| You received a dividend-like payment | Was it a legal dividend, staking or lending receipt, or contractual adjustment? | That the platform’s label determines the income head |
| You used an overseas platform | What FEMA, foreign-asset and foreign-income disclosures apply? | That Indian tax treatment removes overseas reporting duties |
| You saw a 1% deduction | Does it appear in Form 26AS or AIS and relate to your transfer? | That a platform statement alone proves a section 194S credit |
Filing errors to avoid and how to correct them
- Using Schedule VDA because the product is on a blockchain: Re-read the ownership and settlement terms and obtain a classification opinion.
- Reporting only net annual profit: Rebuild the ledger transaction by transaction, including swaps and redemptions.
- Deducting every platform expense from VDA gains: Under section 115BBH, only acquisition cost is deductible.
- Ignoring TDS mismatches: Compare Form 26AS, AIS, certificates and platform reports before claiming credit.
- Calling every wallet transfer a sale: Trace beneficial ownership, control and the platform’s execution record.
- Applying the 12.5% long-term security rate to a token automatically: First prove that the token is the relevant security and satisfies the holding-period rule.
- Treating SEBI’s bond pilot as approval for equity tokens: The 10 September 2026 FAQ concerns a limited corporate-bond pilot.
- Omitting overseas details: Review FEMA and foreign-asset schedules whenever an issuer, platform, custodian or underlying asset is outside India.
When professional advice is essential
Get a written view before filing if the token terms are silent or contradictory, the platform is offshore, the token is leveraged, you received non-cash consideration, several entities hold the underlying asset, you traded frequently as a business, or a material amount of TDS is missing from Form 26AS or AIS. Give the adviser the original documents and complete ledger, not only a screenshot of your profit figure.
The defensible Indian filing method is classification first, reconciliation second and schedule selection third. A token’s name and price reference cannot answer the tax question; the enforceable rights, transaction mechanics and regulatory setting do.
